Statement of Work The Contractor shall provide leased/rental vehicles as described in the Schedule within the terms and conditions of this Statement of Work and Contract. The contractor shall retain title to the vehicles at all times. The vehicles will be operated only for official U.S. Government purposes within the Island of Guam.

VEHICLES: The contractor shall provide leased/rental vehicles that are properly registered, licensed, and comply with all local safety laws, ordinance rules, and regulations. Rental vehicles must be no more than three years old, have no more than 24,000 miles on the odometer, be equipped with air conditioning, front and back seat belts (one set for each passenger), a spare tire, a jack and a complete set of tools for changing a flat tire. The vehicles will contain a full tank of gas at the time of pick up. The renter is expected to return the vehicle with a full tank of gas or will pay for refueling by the contractor. The renter is responsible for resolving all traffic violations assessed during the rental period.

VEHICLE SUBSTITUTIONS In the event the item ordered is not available at the time of pick-up, the contractor must provide the next item (vehicle class) to the renter at no additional charge for the duration of the initial order period.

VEHICLE ACCIDENT / BREAKDOWN SERVICE The contractor shall provide a reputable vehicle accident and breakdown response service 24 hours/day, seven (7) days/week in the event a rental vehicle becomes an un-roadworthy due to mechanical breakdown and/or accidental damage due to contractor servicing. Within 2 hours of receiving a request, the contractor will provide a replacement vehicle (of the same or better vehicle class) for any vehicle that becomes un-roadworthy due to mechanical breakdown, accidental damage, or when servicing will take longer than four (4) hours. All pick up and removal of inoperable vehicles shall be the contractor’s responsibility and at the contractor’s expense.

INSURANCE AND DAMAGE LIABILITY

The contractor will maintain in force, at its sole cost, insurance coverage, or a duly qualified self-insurance program, which will protect the United States Government and its employees using vehicles under this agreement against liability for personal injury, death, and property damage arising from the use of the vehicle.

Loss of or Damage to Vehicle: The contractor hereby assumes and shall bear the entire risk of loss of or damage to rented vehicles (including costs of towing, administrative costs, loss of use, and replacements), from any and every cause whatsoever, including without limitation, casualty, collision, fire, malicious mischief, vandalism, tire damage, falling objects, overhead damage, glass breakage, strike, civil commotion, theft and mysterious disappearance, except when the loss or damage is caused by one or more of the following:

Obtaining the vehicle through fraud or misrepresentation, or the damage or loss is caused intentionally by an authorized driver Operation of the vehicle by a driver who is under the influence of intoxicants or any prohibited drugs Use of the vehicle for any illegal purpose Use of the vehicle in pushing or towing another vehicle Use or permitting the vehicle to carry passengers of property for hire Operation of the vehicle in live artillery fire exercise, or used in training for tactical maneuvers Operation of the vehicle in test, race or contest Theft of the rented vehicle and the renter cannot produce the vehicle keys, unless the renter can show the keys were stolen through theft or robbery Operation of the vehicle off paved, graded, professionally maintained roads, or driveways, except when the contractor has agreed to this in writing beforehand Operation across international boundaries unless specifically authorized at the time of rental

Billing of Damages:When loss or damage is due to an exception stated above, the contractor will submit its bills directly to the renter’s agency to the attention of the Contracting Officer at the official duty address on page 1 of the contract document. If the agency denies liability on the basis that the renter or other authorized driver was not operating the vehicle within scope or employment or for an official purpose at the time of the loss, the contractor may handle the matter directly with the renter. Claims for damage to a vehicle will not include amounts for administrative costs, loss of use or replacements.
Police Report:The renter will notify the company of any accident and obtain a police/traffic report for the contractor if one is reasonably available, and will fill out an accident report when requested to do so. The contractor will advise the renter that failure to report an accident may result in the employee being charged with the cost of repairs to the rented vehicle.

Maintenance Servicing:

The contractor is responsible for providing maintenance servicing and repairs to keep the vehicles in good operating condition throughout the duration of this agreement to include:

Planned service and maintenance (including materials, oil, grease, and lubricants) in accordance with the manufacturer’s schedules, recommendations, and warranty regulations Any further items of maintenance, repair or replacement including engine overhauls or replacement, overhauls of major components, and rectification of other mechanical defects, except where due to our negligence, misuse, or abuse;

Any testing as required by any statute statutory regulation for the time being in force;

Anti-Freeze Replacement of all tires, batteries and exhausts required as a result of faulty manufacture or fair wear and tear

The Government is responsible for:
Taking proper and responsible care of the vehicle at all times

Regular checks for radiator coolant levels, battery, tires, brake fluid and engine oil levels and adjusting where necessary All fuel consumed by the vehicle (while in Government possession) Notifying the contractor (as soon as possible) after the vehicle becomes un-roadworthy from mechanical breakdown or accidental damage Making the vehicle available to the contractor for maintenance at the due date or mileage according to the manufacturers servicing schedule, as displayed in the vehicle handbook
