52.212-1 ADDENDA

ADDENDA TO 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

A) To assure timely and equitable evaluation of the proposal(s), the offeror must follow the instructions contained herein. The proposal(s) must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The response shall consist of three (3) separate parts; Part I– Price Proposal and Amendments; Part

II – Past Performance Information and return of the FAR 52.212-3 “Offeror Representations and Certifications

– Commercial Items”; and Part III - Technical Proposal (submission only required upon receipt of a letter of intent to award).

The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists offerors may be required to submit information other than cost or pricing data to support a determination of price reasonableness.

B) Specific Instructions:

1. PART I – PRICE PROPOSAL AND AMENDMENTS - Submit 1(one) copy.

(a) Standard For (SF) 1449. Complete blocks 12, 17a, 30a, 30b, and 30c. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation and attachments.

(b) Complete the necessary fill-ins and certifications in provisions and in the on-line Representations and

Certifications at www.sam.gov. Return the provision FAR 52.212-3, Offeror Representations and

Certifications-Commercial Items, along with the proposal. For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in.

(c) This solicitation may be formally amended to incorporate changes to items such as the requirement or proposal due date. Offerors shall sign and return all published amendments with their proposal.

(d) This part shall contain a completed Schedule of Supplies/Services, continuation sheets of SF 1449, blocks

19-24.

(e) Insert proposed unit prices(s) and extended amount(s) in the Schedule of Supplies/Services for each

Contract Line Item Number (CLIN) or Sub CLIN, including all option periods. The proposal must be submitted for a 12 month base period plus four (4) Option Years. The extended amount must equal the unit price multiplied by the number of units. It is imperative the mathematical calculations are correct;

particular care should be taken to ensure the amounts match when using the EXCEL program and the rounding of figures, limited to two decimal places.

(f) Extreme care should be exercised to ensure no price data of any kind are included in any other part of the proposal.

2. Part II – PAST PERFORMANCE INFORMATION – Limited to no more than 4 pages per contract listed. Only references for past efforts/contracts of relevance desired. Submit 1 copy.

(a) Past Performance Surveys: The government will evaluate the quality and extent of offeror’s performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and other sources such as other Federal government offices, state and municipal offices, and commercial sources, to assess performance. Provide a list of no more than three (3), of the most relevant contracts performed for Federal agencies and commercial customers within the last five years. Relevant contracts include: medical healthcare worker services requiring post bachelor degree similar to the requirements of the PWS. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the current acquisition. However, subcontractor, and predecessor company information will not be considered as highly as past performance information for the principal offeror. Furnish the following information for each contract referenced:

1. Company/Division name

2. Product/Service

3. Contracting Agency/Customer

4. Contract Number

5. Contract Dollar Value

6. Period of Performance

7. Verified, up-to-date name, address, FAX, and telephone number of the contracting officer

8. Comments regarding compliance with contract terms and conditions. The Government will use information submitted by the offeror and other sources such as other Federal Government offices, state and municipal offices, and commercial sources, to assess performance. If no Past

Performance is available the offeror may not be evaluated favorably or unfavorably on past performance: the offeror will receive a neutral rating.

(b) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner.

If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

(d) Documents submitted in response to this solicitation must be fully responsive to and consistent with the solicitation. Failure to do so may result in a proposal being eliminated from consideration.

3. PART III– TECHNICAL PROPOSAL (ONLY THE OFFEROR WHO RECEIVES A LETTER OF

INTENT TO AWARD (LOIA) WILL BE REQUIRED TO COMPLETE THIS SECTION) - Submit

1 copy.

(a) Submit a candidate resume for each of the positions, demonstrating they meet the requirements of the education, licensing, and experience qualifications set forth in the attached Performance Work Statement

(Attachment 1). Offerors submitting more than one resume for any given position will only have the first resume submitted reviewed for the technical capability evaluation. All other Resumes will not be reviewed.

(b) Offerors shall submit a Letter of Intent from the candidates indicating that they are ready, willing, and able to perform services in accordance with the Performance Work Statement no later than the performance start date of 1 October 2016. The Letter of Intent from the candidate shall be included in the review for technical acceptability.

(C) Documents submitted in response to this RFP must be consistent with the following:

1. Requirements of the solicitation (CLINs and PWS) and government standards and regulations pertaining to the PWS.

2. FAR 52.212-2, Evaluation – Commercial Items, of this solicitation.

3. If a Part in a proposal exceeds the specified page limit cited in the Part Content, the excessive pages will not be evaluated.

4. Proposal Submissions: The proposal can be sent as an email attachment, and must be addressed to both points of contact below. Additionally, the proposal can be mailed to:

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDA TO 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(d) BASIS FOR CONTRACT AWARD:

This is a competitive selection, in which competing offeror’s price, past performance, and technical capability will be evaluated. Technical evaluation will be conducted based on an acceptable/unacceptable basis only after an offeror sent a letter of intent to award as set forth below. The evaluation process shall proceed as follows:

1. PRICE – Initially, the proposals will be ranked according to their total proposed price, inclusive of options, as identified in the Pricing Schedule. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. The offeror’s Price proposal will be evaluated, using one or more of the techniques defined in FAR

15.404, in order to determine if it is reasonable. For a price to be reasonable, it must represent a price to the

Government that a prudent person would pay in the conduct of competitive business.

2. PAST PERFORMANCE – Next, the past performance of the lowest priced offeror will be evaluated. If this evaluation results in a past performance rating of “Substantial Confidence,” the past performance evaluations of the other offerors will be suspended and the lowest priced offeror will be determined to be the “apparent best value.” If a “Substantial Confidence” rating is not achieved, then the next lowest offeror will be evaluated. The process will continue until an offer is rated Substantial Confidence or all reasonably priced proposals are evaluated.

The Contracting Officer shall seek recent and relevant past performance information on the offeror’s ability to successfully provide qualified staff based on (1) past performance evaluation questionnaires (Attachment 4)

(completed by the references provided by the offeror) and (2) data independently obtained from other

Government and commercial sources. Relevant performance includes medical healthcare services similar in scope to the requirements of the PWS conducted within the last five years. Relevant contracts include those contracts that showcase the offeror’s ability to staff positions similar to those required in the PWS. The purpose of the past performance evaluation is to allow the Government to assess the offeror’s ability to perform the effort described in the RFP, based on the offeror’s demonstrated present and past performance.

(A) Recent past performance information includes contracts performed and/or being performed for any customer within the last three (3) years from the issuance date of the solicitation.

(B) The assessment process will result in an overall performance confidence assessment rating of Substantial

Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined below. Past performance regarding predecessor companies, key personnel who have relevant experience, or sub- contractors that will perform major or critical aspects of the requirement will not be considered as highly as past performance information for the principal offeror. Offerors with no relevant past or present performance history or the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating “Unknown Confidence”, meaning the rating is treated neither favorably nor unfavorably. Past performance relevancy will be scored as follows:

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant

Confidence levels are defined as follows:

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence

Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

(f) PRICE/PAST PERFORMANCE TRADE-OFF – If the lowest priced offer is not rated Substantial

Confidence, the Source Selection Authority will make an integrated assessment best value award decision using

Price and the Past Performance Confidence Rating.

(g) LETTER OF INTENT TO AWARD – The offeror whose proposal is determined the best value to the government will be provided with a Letter of Intent to Award (LOIA). This offeror will be afforded 10 calendar days to provide a candidate resume and letter of intent for each of the positions, demonstrating they meet the requirements of the education, licensing, and experience qualifications set forth in the attached Performance Work

Statement (Attachment 1).

(g) TECHNICAL CAPABILITY –The Government then will conduct a technical evaluation of ONE resume for each of the positions, provided by the apparent best-value offeror along with ensuring a letter of intent has been signed and received from the candidate. If more than ONE resume is submitted for a candidate, then the first resume in the proposal will be the only one evaluated. Other resumes will NOT be considered. The information provided in the resume will be evaluated as acceptable/unacceptable based on the Table, below.

The Government will perform a competency interview if the technical capability is deemed acceptable. Any interview conducted will be evaluated on a “Go/No Go” basis. Candidates proposed by the offeror must be available for interview within 48 hours after the request. If the proposed candidates are not available for interview or are not willing to interview, the offer will be evaluated as “No Go.” Offerors will not be permitted to substitute an alternate candidate prior to or at time of evaluation. The telephonic interviews will focus on the following areas:

Confirmation that the candidate possesses the qualifications as demonstrated on the resume provided Confirmation that the candidate understands the required duty schedule, place of performance and required start date of the contract Confirmation that the candidate is able to communicate effectively in English

If the results of the technical evaluation determine that both candidates are qualified for the respective positions, award shall be made to that offeror without further consideration of any other proposals.

If the offeror fails to provide an acceptable candidate by the required date, or is rated a “No-Go” during the competency interview, a withdrawal notice of the LOIA will be furnished. The offeror whose proposal was determined to be the next best value to the Government will then be issued a LOIA, and evaluation will proceed in the same manner as previously stated for the initial offer which received the LOIA. This process will proceed in order of ranking until a technically acceptable, and a “Go” interview competency interview is achieved. The highest initial rated proposal from the Past Performance and Price evaluation that is rated technically acceptable and rated a

“Go” in the competency interview will be awarded the contract.

(i) COMMUNICATIONS - Communications with offerors conducted to resolve minor or clerical errors will not constitute discussions, and the Contracting Officer reserves the right to award a contract without the opportunity for proposal revision.

The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (APR 2016)

ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (r) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except— http://www.acquisition.gov/

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the

United States.

(b)

(1) Annual Representations and Certifications. Any changes provided by the offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications posted on the SAMwebsite.

(2) The offeror has completed the annual representations and certifications electronically via the SAM website accessed through https://www.acquisition.gov. After reviewing the SAM database information, the offeror verifies by submission of this offer that the representation and certifications currently posted electronically at FAR

52.212-3, Offeror Representations and Certifications—Commercial Items, have been entered or updated in the last

12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard applicable to the NAICS code referenced for this solicitation), as of the date of this offer and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ___ . [Offeror to identify the applicable paragraphs at

(c) through (q) of this provision that the offeror has completed for the purposes of this solicitation only, if any.
