52.202-1 DEFINITIONS (NOV 2013)
When a solicitation provision or contract clause uses a word or term that is defined in the Federal Acquisition Regulation (FAR), the word or term has the same meaning as the definition in FAR 2.101 in effect at the time the solicitation was issued, unless--
(a) The solicitation, or amended solicitation, provides a different definition;
(b) The contracting parties agree to a different definition;
(c) The part, subpart, or section of the FAR where the provision or clause is prescribed provides a different meaning; or
(d) The word or term is defined in FAR Part 31, for use in the cost principles and procedures.

52.203-3 GRATUITIES (APR 1984)
(a) The right of the Contractor to proceed may be terminated by written notice if, after notice and hearing, the agency head or a designee determines that the Contractor, its agent, or another representative--
(1) Offered or gave a gratuity (e.g., an entertainment or gift) to an officer, official, or employee of the Government;
and
(2) Intended, by the gratuity, to obtain a contract or favorable treatment under a contract.
(b) The facts supporting this determination may be reviewed by any court having lawful jurisdiction.
(c) If this contract is terminated under paragraph (a) of this clause, the Government is entitled--
(1) To pursue the same remedies as in a breach of the contract; and
(2) In addition to any other damages provided by law, to exemplary damages of not less than 3 nor more than 10 times the cost incurred by the Contractor in giving gratuities to the person concerned, as determined by the agency head or a designee. (This subparagraph (c)(2) is applicable only if this contract uses money appropriated to the Department of Defense.)
(d) The rights and remedies of the Government provided in this clause shall not be exclusive and are in addition to any other rights and remedies provided by law or under this contract.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall--

5352.201-9101 OMBUDSMAN (April 2014)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. 5352.204-9000 NOTIFICATION OF GOVERNMENT SECURITY ACTIVITY AND VISITOR GROUP
SECURITY AGREEMENTS (MAR 2012)
This contract contains a DD Form 254, DOD Contract Security Classification Specification, and requires performance at a government location in the U.S. or overseas. Prior to beginning operations involving classified information on an installation identified on the DD Form 254, the contractor shall take the following actions:
(a) At least thirty days prior to beginning operations, notify the Information Protection Office shown in the distribution block of the DD Form 254 as to:
(1) The name, address, and telephone number of this contract company’s representative and designated alternate in the U.S. or overseas area, as appropriate;
(2) The contract number and military contracting command;
(3) The highest classification category of defense information to which contractor employees will have access;
(4) The Air Force installations in the U.S. (in overseas areas, identify only the APO number(s)) where the contract work will be performed;
(5) The date contractor operations will begin on base in the U.S. or in the overseas area;
(6) The estimated completion date of operations on base in the U.S. or in the overseas area; and,
(7) Any changes to information previously provided under this clause.
This requirement is in addition to visit request procedures contained in DOD 5220.22-M, National Industrial Security Program Operating Manual.
(b) Prior to beginning operations involving classified information on an installation identified on the DD Form 254 where the contractor is not required to have a facility security clearance, the contractor shall enter into a Visitor Group Security Agreement (or understanding) with the installation commander to ensure that the contractor’s security procedures are properly integrated with those of the installation. As a minimum, the agreement shall identify the security actions that will be performed:
(1) By the installation for the contractor, such as providing storage and classified reproduction facilities, guard services, security forms, security inspections under DOD 5220.22-M, classified mail services, security badges, visitor control, and investigating security incidents; and
(2) Jointly by the contractor and the installation, such as packaging and addressing classified transmittals, security checks, internal security controls, and implementing emergency procedures to protect classified material.
5352.215-9000 FACILITY CLEARANCE (MAY 1996)
The offeror must possess, or acquire prior to award of a contract, a facility clearance equal to the highest classification stated on the Contract Security Classification Specification (DD Form 254) attached to this solicitation.
5352.223-9000 ELIMINATION OF USE OF CLASS I OZONE DEPLETING SUBSTANCES (ODSs) (APR 2003)
(a) Contractors shall not:
(1) Provide any service or product with any specification, standard, drawing, or other document that requires the use of a Class I ODS in the test, operation, or maintenance of any system, subsystem, item, component, or process; or
(2) Provide any specification, standard, drawing, or other document that establishes a test, operation, or maintenance requirement that can only be met by use of a Class I ODS as part of this contract/order.
[Note: This prohibition does not apply to manufacturing.]
(b) For the purposes of Air Force policy, the following products that are pure (i.e., they meet the relevant product specification identified in AFI 32-7086) are Class I ODSs:
(1) Halons: 1011, 1202, 1211, 1301, and 2402;
(2) Chlorofluorocarbons (CFCs): CFC-11, CFC-12, CFC-13, CFC-111, CFC-112, CFC-113, CFC-114, CFC-115, CFC-211, CFC-212, CFC-213, CFC-214, CFC-215, CFC-216, and CFC-217, and the blends R-500, R-501, R-502, and R-503; and
(3) Carbon Tetrachloride, Methyl Chloroform, and Methyl Bromide.

5352.223-9001 HEALTH AND SAFETY ON GOVERNMENT INSTALLATIONS (NOV 2012)
(a) In performing work under this contract on a Government installation, the contractor shall:
(1) Take all reasonable steps and precautions to prevent accidents and preserve the health and safety of contractor and Government personnel performing or in any way coming in contact with the performance of this contract; and
(2) Take such additional immediate precautions as the contracting officer may reasonably require for health and safety purposes.
(b) The contracting officer may, by written order, direct Air Force Occupational Safety and Health (AFOSH) Standards and/or health/safety standards as may be required in the performance of this contract and any adjustments resulting from such direction will be in accordance with the Changes clause of this contract.
(c) Any violation of these health and safety rules and requirements, unless promptly corrected as directed by the contracting officer, shall be grounds for termination of this contract in accordance with the Default clause of this contract.
5352.242-9000 CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (NOV 2012)
(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.
(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or Security Forces for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver’s license, current vehicle registration, valid vehicle insurance certificate to obtain a vehicle pass.
(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.
(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Integrated Defense, and AFI 31-501, Personnel Security Program Management citing the appropriate paragraphs as applicable.
(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.
(f) Failure to comply with these requirements may result in withholding of final payment.

5352.242-9001 COMMON ACCESS CARDS (CACs) FOR CONTRACTOR PERSONNEL
(NOV 2012)
(a) For installation(s)/location(s) cited in the contract, contractors shall ensure Common Access Cards (CACs) are obtained by all contract or subcontract personnel who meet one or both of the following criteria:
(1) Require logical access to Department of Defense computer networks and systems in either:
(i) the unclassified environment; or
(ii) the classified environment where authorized by governing security directives.
(2) Perform work, which requires the use of a CAC for installation entry control or physical access to facilities and buildings.
(b) Contractors and their personnel shall use the following procedures to obtain CACs:
(1) Contractors shall provide a listing of personnel who require a CAC to the contracting officer. The government will provide the contractor instruction on how to complete the Contractor Verification System (CVS) application and then notify the contractor when approved.
(2) Contractor personnel shall obtain a CAC from the nearest Real Time Automated Personnel Identification Documentation System (RAPIDS) Issuing Facility (typically the local Military Personnel Flight (MPF)).
(c) While visiting or performing work on installation(s)/location(s), contractor personnel shall wear or prominently display the CAC as required by the governing local policy.
(d) During the performance period of the contract, the contractor shall:
(1) Within 7 working days of any changes to the listing of the contract personnel authorized a CAC, provide an updated listing to the contracting officer who will provide the updated listing to the authorizing government official;
(2) Return CACs in accordance with local policy/directives within 7 working days of a change in status for contractor personnel who no longer require logical or physical access;
(3) Return CACs in accordance with local policy/directives within 7 working days following a CACs expiration date; and
(4) Report lost or stolen CACs in accordance with local policy/directives.
(e) Within 7 working days following completion/termination of the contract, the contractor shall return all CACs issued to their personnel to the issuing office or the location specified by local policy/directives.
(f) Failure to comply with these requirements may result in withholding of final payment.

Addendum to FAR 52.212-1 Instructions to Offeror -- Commercial Items (Jun 2008)
Addendum to 52.212-1(c), Period for Acceptance of Offer. The paragraph is tailored as follows:
The offeror agrees to hold the prices in its offer firm until time of award or completion of any protests unless otherwise withdrawn.
A.
(i) To assure timely and equitable evaluation of proposal, offeror must follow the instructions contained herein. Offeror is required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being ineligible for award. Offeror must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Complete the necessary fill-ins and certifications in provisions included in the RFP.
(ii) The response shall consist of two separate parts; Part I – Technical Proposal and Part II – Price Proposal. One electronic copy must be provided. For the electronic copy, indicate volume number and title, and use separate files to permit rapid location of information. The electronic copy of the proposal shall be submitted in a format readable by Microsoft (MS) Office suite of applications. A complete response to this solicitation shall consist of one electronic copy submitted by e-mail to jeremy.vasquez@us.af.mil and lee.mutschler@us.af.mil no later than the required proposal due date. Your email submission must be checked and determined to be “virus free” prior to submission.
(iii) This acquisition does not require certified cost or pricing data, however to determine a fair and reasonable price, submission of “other than certified cost or pricing data”, as defined in FAR 2.101, is required. Irrespective of Government’s preference, offeror must include, at a minimum, appropriate data on the prices at which the same item/services or similar items/services have previously been sold under comparable terms and conditions to both Government and commercial customers. Data may include history of sales to non-governmental and governmental entities, cost data, information on labor costs, material costs, or any other information that justifies price as fair and reasonable. The format for submission of other than certified cost or pricing data may be submitted in the offeror’s own format.
An offeror who does not comply with the requirement to submit other than certified cost or pricing data may be ineligible for award.
B.
Specific Instructions:
1. PART I – TECHNICAL PROPOSAL – Limited to no more than 10 pages. Submit one electronic copy.
In addition to the agreement to comply with all minimum performance requirements stated in the solicitation, a written technical proposal shall be submitted addressing the requirements of the RFP (CLINs & PWS) and Government standards and regulations pertaining to the PWS. The written technical proposal shall include a draft implementation plan that describes:
a) Approach to field User Defined Operation Picture (UDOP) NIPR/SIPR capability In Accordance With (IAW) PWS milestones
b) Approach to field web-enabled capabilities IAW PWS milestones
c) Approach to deliver and install integrated software on Government based hosting environment

b) Insert proposed unit price and total amount in the first line of each Contract Line Item Number (CLIN) in the SF 1449 CONTINUATION SHEET.
c) The extended amounts must equal the whole dollar unit price multiplied by the number of units (i.e., (12) months). All unit and total dollar amounts provided shall be rounded to the nearest dollar.
d) Include supporting data to substantiate the reasonableness of the proposed CLIN prices as instructed in section (A)(iii) above.
e) If utilizing previously agreed upon GSA pricing, identify that GSA contract. The Government is requesting discounts to GSA rates.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government anticipates award of a contract resulting from this RFP if the offer conforms to the RFP requirements, is considered technically acceptable. Failure to meet a requirement may result in an offer being determined unacceptable for award.

To result in an awardable contract, the offeror’s proposal must demonstrate the ability to satisfy all minimum technical requirements as set forth in the attached PWS, and conform to all required terms and conditions. The Technical Proposal should include all information you want the Government to consider/evaluate, regarding capability of your company to perform the required tasks.
(d) By submission of your proposal, the offeror accedes to all RFP requirements including: terms and conditions and representations and certifications. You shall clearly identify any exception to the RFP terms and conditions and provide complete accompanying rationale. The Government reserves the right to cancel this solicitation, with no obligation to the offeror by the Government.
In accordance with the instructions at 52.212-1, evaluation shall proceed as follows:
A. Technical Acceptability. The Government will evaluate the technical acceptability on a pass/fail basis, assigning ratings of Acceptable or Unacceptable as defined below. An overall factor-level rating will be assigned.
i. Acceptable – The proposal meets all the minimum mandatory requirements in the solicitation as identified in the PWS.
ii. Unacceptable – Fails to meet all the minimum mandatory requirements in the solicitation as identified in the PWS.
B. Price Evaluation. The offeror’s price proposal will be evaluated to determine completeness and reasonableness as defined below.
i. Completeness. The offeror’s price and other supporting information will be evaluated to ensure continuity and traceability of prices to the proposed technical proposal and between initial proposals and any revisions thereto. The review will determine the adequacy of the offeror’s proposal in addressing and fulfilling the solicitation requirements.
ii. Reasonableness. The proposal will be reviewed to determine the reasonableness of price and the offeror’s understanding of and ability to perform the requirement.
C. Past Performance. Although past performance will not be used as an evaluation factor, the offeror’s past performance will be reviewed to determine the offeror’s responsibility. The Government reserves the right to obtain information relative to present and past performance on its own.
D. General Considerations. The proposal must comply in all material respects with the requirement of law, regulations, and conditions set forth in the solicitation. To be eligible for award, the offeror must be determined responsible as defined in Federal Acquisition Regulation (FAR) 9.104-1.
(e) A written notice of award or acceptance of an offer, mailed, or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
