Single Source Justification (Simplified Acquisition)

Section A: General Contract Information

Section B: Description of the Supplies/Services Required

763 SCONS received a requirement from the HQ AMC/A3TA to provide product updates and maintenance to the Air Force C-37A/ Gulfstream V (G-V) Graphical Flight Simulator (GFS). The acquisition of the GFS from Flight Safety International (FSI) was completed in 2009 with delivery to the 89th Airlift Wing, Andrews Air Force Base. It was done in coordination with the 316th Contracting Squadron (now the 11th Wing). The GFS was acquired as a sole-sourced purchase order with FSI. The GFS has software that is proprietary to FSI, and thus FSI holds all proprietary rights to the GFS. As such, they are the only contractor that can conduct maintenance and updates on the GFS. The product has not been serviced or updated since its installation. The GFS is not functioning normally and is in need of updates and maintenance immediately.

An initial product update and five years of maintenance on the GFS will be provided at Joint Base (JB) Andrews. This initial update will include upgrading existing monitors, server, and video cards. It will also provide an updated software load and updated NAV/Charts database. Travel to JB Andrews for the initial update will also be included. After the initial update, yearly maintenance will be conducted at JB Andrews, as required. The Period of Performance (PoP) is anticipated to begin 21 September 2015. The base year of maintenance will end 20 Sept 16, but be followed by four, one-year option periods. The total estimated value for this requirement is and will be funded utilizing FY15 Operation & Maintenance funding.

Section C: Justification for Soliciting from a Single Source

Pursuant to FAR 13.106-1 (b) (1) (i), Contracting officers may solicit from one source if the contracting officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization). FAR 13.501 (a) (1) (i) requires this determination to be in writing and approved at the appropriate level. The GFS was acquired on a sole source basis from Flight Safety International in 2009. The simulator has not been serviced or updated since its installation. The GFS is not functioning properly and is in need of updates and maintenance immediately. FSI is the manufacturer of the simulator and they retained all proprietary rights to the software used to operate the simulator. No other company has or can obtain the rights to this software. Only FSI has the software updates necessary and possess the technical knowledge and capability needed to access the source code for purposes of software maintain. In addition, FSI has a working relationship with the aircraft manufacturer Gulfstream Aerospace which affords them insight into the operation of the aircraft.

Section D: Efforts to Obtain Competition

Based on proprietary rights and the fact that FSI has not granted authorization to outside companies to perform maintenance on their software, FSI is the only source that can meet this requirement. An Internet search was conducted and found no capable sources due to the proprietary rights of this requirement. FSI is the only known source capable of satisfying this requirement.

FSI was contacted to obtain information regarding other vendors and/or authorized resellers that are capable of providing maintenance and support of the GFS software. FSI responded stating that FSI is the sole source provider for this software which was developed at the expense of FSI and that they own all proprietary data rights. Further explanation stated that "FlightSafety developed aircraft systems software specifically for the G550 Trainer. Unlike other manufactures, FlightSafety utilizes OEM data to develop software unique to the configuration that is being built.

The hydraulic and engine models, flight model and electrical model are not generic but were created only for the G550. This means that any non-recurring effort has already been expended and will not be required in the manufacture of this G550 GFS. In addition, FlightSafety's unique software suite that is included in the G550 GFS, FSI SIMNT and FSI IOS, were developed using FlightSafety funds and can only be provided by FlightSafety."

Single Source Justification (Simplified Acquisition)

A combined synopsis and solicitation will be posted to FedBizOpps (FBO), in accordance with (IAW) FAR 5.204, demonstrating the Government's intent to solicit as a sole source. The approved J&A will be posted on FBO IAW FAR 13.501(a)(1)(iii) within 14 days after contract award. The solicitation will also be posted to FBO. The notice of award will be synopsized IAW FAR 5.201 and 5.203.

Section E: Steps to Preclude Future Single Source Awards

763 SCONS will continue to perform market research to determine if purchasing upgrades and maintenance from FSI continues to be the most advantageous method of acquisition for this requirement. If future market research determines that acquisition of a new GFS system is a cost effective alternative for the Government, a competitive acquisition will be pursued. However, a replacement system would also utilize a proprietary software component.

Section F: Contracting Officer's Determination

I have determined, in accordance with FAR 13.106-1(b)(1), that the circumstances of this contract action deem only a single source is reasonably available.
