ADDENDUM TO FAR 52.212-2

FAR 52.212-2, EVALUATION – COMMERCIAL ITEMS (OCT 2014), applies to this acquisition, in addition to the following ADDENDUM. FAR 52.212-2(a) is tailored to read as follows:

(a) Basis for Contract Award. The Government intends to award one Firm Fixed Price contract utilizing a combination of procedures using FAR Part 12 and FAR Part 13.5. Award will be made to the technically acceptable

Quoter with lowest evaluated price is deemed responsible in accordance with FAR 9.104 and whose quote conforms to the solicitation requirements. A best value determination will be based on a Lowest Price Technically Acceptable approach. For this RFQ, best value means award will be made to the responsible vendor, whose products are technically acceptable, quotes the lowest price, and has an acceptable performance record.

(i) Technical Evaluation. If the Government receives three (3) or fewer quotes, all quotes will be evaluated for

Technical Acceptability. If the Government receives three (3) or more quotes the Government will only select the three (3) lowest priced quotes and then evaluate them for Technical Acceptability. The Government reserves the right to evaluate additional proposals for Technical Acceptability if in the Government’s best interest. If additional proposals are evaluated for Technical Acceptability, they will be selected in the order of total evaluated price. If submitting a quote for an equal item, quoter must provide detailed product literature and state how their products meets each of the governments technical requirements so the Government can determine if the quoted item can meet the Governments needs. To be eligible for award, a quotation must meet all technical requirements, conform to all required terms and conditions, and provide all information required.

(ii) Quote Clarity. The quote shall be clear, concise and shall include sufficient detail for effective evaluation of the Quoters technical capabilities.

(iii) Acceptability Ratings. The evaluation factors listed below will be evaluated and receive one of the following ratings:

(1) Acceptable – The quote clearly meets the minimum requirements of the solicitation.

(2) Unacceptable – The quote does not clearly meet the minimum requirements of the solicitation.

(iv) Evaluation Factors. Only technically acceptable quotes are eligible for award. The Government will evaluate the quotes for technical acceptability on an Acceptable/Unacceptable basis. For the quotes to be rated as “Acceptable”, all technical sub factors must be rated acceptable. If any technical sub factor is rated

“Unacceptable”, the overall quote will be rated as “Unacceptable”. The quotes will be evaluated for the following technical factors subfactors:

(1) Technical SubFactor #1 - CLIN 0001: Manikins must, at a minimum, contain the following Salient

Characteristics.

This task trainer will be the same length as existing whole leg lower manikins (life-size, approx. 40”L

X 14”W X 12”H) and will have the following targeted skills/features:

Boney prominence 'landmarks' for the greater trochanters (junctional tourniquet landmarks).

An amputated leg only a few inches long so that a conventional limb tourniquet cannot be used to force students to apply a junctional tourniquet.

A groin wound in one inguinal crease for wound packing and/or junctional tourniquet application.

A calf wound capable of being packed with hemostatic gauze, low on one leg requiring students to apply a conventional tourniquet 2-3 inches above the wound but below the knee joint.

Realistic, resilient, and water resistant

Specially formulated synthetic tissue with unparalleled realism and durability providing lifelike visual and tactile stimuli

Joints are totally enclosed in silicone for both realism and durability and allow natural bend without folding, kinking or stretching

Easy to clean and maintain

(2) Technical SubFactor #2 - Performance/Operating Conditions: The unit is designed for rugged classroom use in the Defense Combat Medic Training (DCMT) program. This manikin is a non-powered task trainer that will allow the students to train on all hemorrhage control skills on one task trainer that is more realistic and will allow us to train multiple skills at the same time. Must have silicone skin as it is more realistic to human skin and will allow the students better practice at locating anatomical landmarks. Must meet the rigorous requirements of military training needs such as training for Tactical Combat Casualty Care/Care Under Fire and Tactical Field Care (Medics, Corpsmen) and

Combat Lifesaver.

(3) Technical SubFactor #3 - Warranty: The contractor shall provide a limited warranty for the manikin hardware and skin for a period of at least one year. The hardware and skin shall be free of all defects in material and workmanship under normal instructional use under warranty.

(v) Price Evaluation – The Government will conduct a complete price analysis of the lowest priced technically

“Acceptable” quote, to determine if proposed prices are fair and reasonable. All quoted prices will be evaluated for reasonableness, which may be determined based on prices submitted by competition, historical pricing, current market conditions, comparison to the Independent Government Estimate and/or other price analysis techniques. The quoted price shall include all items listed on schedule to include shipping to be eligible for consideration for award. The quote must accurately cover all items listed in the schedule.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties with the exception of administrative changes, such as changes in the paying office, appropriations data, etc., which may be changed unilaterally by the Government.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian

Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a

Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than

$10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the

Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR

EXECUTIVE ORDERS—COMMERCIAL ITEMS (DEVIATION 2013-O0019) (JAN 2018)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes https://www.acquisition.gov/ clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)

(1) Notwithstanding the requirements of any other clause in this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

(i) 52.203-13, Contractor Code of Business Ethics and Conduct (Oct 2015) (41 U.S.C. 3509).

(ii) 52.219-8, Utilization of Small Business Concerns (Oct 2014) (15 U.S.C. 637(d)(2) and (3)), in all subcontracts that offer further subcontracting opportunities. This contact is funded with “6B” Medical/Dental Stock Funds. To creast an invoice via WAWF, select “Create

New Document”. Vendors should be loading the invoices in WAWF only by selecting “INVOICE” as the invoice/document type.

THE USE OF ANY OTHER OPTION WILL DELAY PAYMENT.

All 6B Stock Fund medical receipts should be loade into the Defense Medical Logistics Standadrd Support

(DMLSS) system by the custome at the base; therefore, receipts should not be received in WAWF. If the customer requests a copy of the invoice, this can be accomplished via email directly to the customer.

(a) Definitions. As used in this clause--

Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area

WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and

Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall--

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training

Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.

(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data

Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

(4) Payment request and supporting documentation. The Contractor shall ensure a payment request includes appropriate contract line item and subline item descriptions of the work performed or supplies delivered, unit price/cost per unit, fee (if applicable), and all relevant back-up documentation, as defined in DFARS Appendix F, (e.g. timesheets) in support of each payment request.

5352.201-9101 OMBUDSMAN (JUN 2016)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).
