Justification and Approval (J&A) for Other Than Full and Open Competition

I. Agency and Contracting Activity.
Department of the Air Force, 316th Contracting Squadron (DoDAAC FA2860), 1349 Lutman Dr, Joint Base Andrews, MD 20762.
II.Nature and/or description of the action being approved.
A follow-on, firm-fixed-priced contract awarded on a sole source basis to ADB Safegate Americas LLC that includes a base and four option years.
III. Description of supplies/services required to meet agency needs (including the estimated value).
An airfield lighting control and monitoring system, that comes with testing, inspection, maintenance, and upgrade services, costing an estimated (including all options), with a PoP starting on 14 Sep 21 and ending in 13 Sep 26. This requirement calls for the contractor to provide all management, tools, supplies, equipment and labor necessary to perform annual inspections and preventative maintenance of all components associated with hard and software of the ADB system.
This soul source requirement will satisfy the specific need for an ADB licensed technician to perform all the maintenance and upgrade services. Without proper maintenance, the Joint Base Andrews airport would become inoperable and would cause mission failure.
IV. Statutory authority permitting other than full and open competition.
FAR 6.302-1(a)(2)(iii)(A) "Substantial duplication of cost to the Government that is not expected to be recovered through competition" and 6.302-1 "Only one responsible source and no other supplies or services will satisfy agency requirements."
V. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above (applicability of authority).
The trademarked software and maintenance tools used to preserve the airfield lighting control and monitoring system are not interchangeable with other manufacturers. The duplication cost to the government of replacing this existing infrastructure would be so substantial that it is not expected to be recovered through competition. There is a need for ADB licensed technicians to maintain this high visibility system. No other company can provide technicians that are trained and licensed to perform upgrade and maintenance services on this system except for ADB Airfield Solutions LLC.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under
FAR 5.202 applies.
Sources sought was posted IAW DFARS PGI 206.303-2(b)(i). 3 Vendors responded stating their interest. None were deemed acceptable because they all require the government to purchase their unique equipment in order to perform this service, or come with duplication costs to the government that way too substantial. Publication of contract action was not made citing FAR 5.202(A)(13)(i) as an exemption.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
An independent government estimate for this requirement was provided by the . Negotiations with the contractor will be performed to ensure the government obtains a fair and reasonable price. The anticipated costs of the follow-on contract are reasonable compared to the preceding contract.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
An examination of acquisition history was done and experience with the marketplace from end-users under previous acquisitions was relied upon.
IX. Any other facts supporting the use of Other Than Full and Open Competition.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
Due to the high duplication costs, there are no actions that can be taken to overcome barriers to competition. This is a soul source award to the original equipment manufacturer (OEM).
