NOTICE TO THE GOVERNMENT
In the event the Contractor anticipates difficulty in meeting performance requirements, complying with the contract delivery schedule or date, or whenever the Contractor has knowledge that any actual or potential situation may delay or threaten to delay the timely performance of this contract, the Contractor shall immediately notify the Contracting Officer and the COR, in writing, giving pertinent details. This notification shall be informational only and shall not be construed as a waiver by the Government of any performance requirements or delivery schedule.
PAYMENT FOR UNAUTHORIZED WORK
No payments will be made for any unauthorized supplies, services, or for any unauthorized changes to the work specified herein. This includes any services performed by the Contractor of their own volition or at the request of an individual other than a duly appointed CO. Only a duly appointed CO is authorized to change the specifications, terms, and conditions under this effort.

SUPERVISION OF CONTRACTOR EMPLOYEES
1. Personnel assigned to render services under this task order shall at all times be employees of the contractor.
2. Government personnel may provide technical direction and guidance but will not supervise contractor employees.
3. Contractor personnel may not represent themselves as Government employees nor act on behalf of the Government.

52.212-2 -- Evaluation -- Commercial Items (Oct 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1. Technical capability
2. Past performance
3. Price
Technical and past performances, when combined, are more important than price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

QUOTATION PREPARATION AND SUBMISSION INSTRUCTIONS
Contractors are directed to provide the following as part of their quotation:
1. Technical Solution Prepare in accordance with the technical requirements of the SOW (and attachments) and the contractual requirements of this RFQ. (Volume 1)
Not-to-Exceed 25 pages
2. Past Performance Provide all recent (within 3 years) and relevant (similar in scope and magnitude) past performance. Provide, at a minimum, the contract number, value, period of performance, awarding agency or business POC, and explain the relevance to this project (if it is not readily apparent). (Volume 2)

3. Price Quotation Provide a firm-fixed price solution to the maximum extent practicable, in accordance with the requirements of this RFQ and the SOW. (Volume 3)

Quotes shall be submitted to the Contracting Officer and Contract Specialist electronically, via email, at adam_lowery@fws.gov, no later than 2:00PM EST, January 30, 2015.
Hard copies will not be accepted.
FORMATTING
Times New Roman 12 should be used to the maximum extent practicable. Tables, charts, and pictures are highly discouraged unless they are a key element of the technical solution.
PERIOD OF PERFORMANCE
The anticipated period of performance is for 12 months from the date of award.
