A. PROPOSAL SUBMISSION (SECTION L).

1. PROPOSAL SUBMISSION REQUIREMENTS.

a. The Government intends to make an award without discussions, but reserves the right to hold discussion, if needed.

b. Each volume shall be submitted electronically to the DoD SAFE Site at https://safe.apps.mil/. The “official” copy of the proposal will be the submittal to the DoD SAFE site. Once the files have been received, the contractor will receive a confirmation email from either the contracting officer or contract specialist that includes the number of files retrieved from the DoD SAFE Site. Additionally, as noted below, a second electronic copy will be sent to the contracting officer and contract specialist listed below;

however, if a proposal is not received from the DoD SAFE Site, then the copy received via email will not be evaluated and the offeror deemed non-responsive to this solicitation and ineligible for award.

c. NOTE: Non-DoD Personal Identity Verification (PIV) certificates or External Certificate Authority (ECA) are not currently supported on the DoD Safe site. Common Access Card users should select their SIGNATURE certificate issued through the DoD email Certificate Authority (CA) or select the AUTHENTICATION PIV certificate issued by the DoD Identifier (ID) Certificate Authority (CA) in order to connect. For contractors that do not have a CAC, you will be able to use DoD Safe Site as a “Guest”. “Guests” (i.e. PIV holders, users with .com and .edu emails) can send files, but only if solicited by CAC users. In order to submit a proposal, a “Guest” must send an email to the contracting officer and contract specialist BEFORE the due date of proposal and request a drop off link. The contractor will receive and email from NoReplyto@mail.mil with a link to upload the documentation the contractor will receive an automated generated email that states your documents have been received. Note that it is the responsibility of the offeror to ensure that it can use the DoD SAFE Site and that its proposal is submitted on time and with all information needed to be responsive to this solicitation; failure to do so will result in an offeror deemed non-responsive to this solicitation and ineligible for award.

d. Each paragraph shall be single spaced and shall be separated by at least one blank line. A standard, 12-point minimum font size shall be used; Times New Roman fonts are required. Charts, Tables or graphs may use a reduced font size no less than 8-point and may be produced in landscape mode. Double sided pages may be used, but each side counts as one page. Any portion of the proposal that is changed (as a result of negotiations or proposal revisions) shall be annotated and dated. Each volume shall be clearly labeled with its title and a copy number (e.g., copy 1 of 2).

2. PROPOSAL FILES.

a. Format. The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and RFP solicitation number in the header and/or footer. A Table of Contents should be created using the Table of Content feature in MS Word. MS Word (doc) files shall use the following page setup parameters:

Margins – Top, Bottom, Left, Right – 1”;

Gutter – 0”;

From Edge – Header, Footer 0.5”;

Page Size, Width – 8.5”; and Page Size, Height – 11”.

b. File Packaging.

The electronic copy received via DoD SAFE Site will be considered the official proposal.

All electronic data proposal submissions shall be Microsoft Office 2013 compatible or Adobe Acrobat Pro DC and virus free. If files contain links, the links must be intact and maintained through all revisions. The narrative portions shall be in Microsoft Word (MS Office 2013 for Windows) or Adobe Acrobat DC; the price data shall be in Microsoft Excel only (MS Office 2013 for Windows) with all links and formulas intact and shall be maintained throughout all revisions. DO NOT SUBMIT SPREADSHEETS IN ADOBE ACROBAT®, WORD PROCESSING, or OTHER PICTURE FILE FORMAT.

INDIVIDUAL ELECTRONIC FILE SIZES SHALL NOT EXCEED 300MB (excludes Cost Spreadsheets). If a virus is detected by the Government, it will result in rejection of the proposal. Macros, movies or sound files shall not be used in any part of the proposal.

Do not submit “zipped” files. It is pertinent that all field/files in the pricing proposal remain “UNLOCKED, NON-PASSWORD/READ/WRITE PROTECTED AND/OR UNPROTECTED”. Do not include “pivot tables” in spreadsheets. The Spreadsheets containing cost data shall contain all formulas used in developing the proposal. In addition, offerors shall adhere to all instructions contained in the Cost Proposal Worksheet. It is the contractor’s responsibility to assure files can be accessed on a Windows® Based Operating System. The electronic spreadsheet files (workbooks) shall be submitted in a Microsoft (MS) Excel compatible format and include all formulas, functions, macros, computations, or equations used to compute the proposed amounts.

Electronic links are only permissible within the Cost Volume. If files contain links, the links must be intact and maintained through all revisions. The offeror shall not include in the Excel spreadsheets pivot tables and shall not include cell references to data or files which are not included in the Cost Volume. For each workbook, all rows, columns, cells and worksheets are to be visible. Do not include zero height/zero width rows/columns in worksheets.

c. Content Requirement. All information shall be confined to the appropriate file. The offeror shall confine submissions to essential matters, sufficient to define the proposal in a concise manner, to permit a complete and accurate evaluation of each proposal. Each file of the proposal shall consist of a Table of Contents, Summary Section, and the Narrative discussion. The Summary Section shall contain a brief abstract of the file.

Proprietary information shall be clearly marked. Note that the Government evaluation team will neither look for nor evaluate information in other proposal volumes for information that is required to be in a particular volume (e.g., review the Management Volume for proposal information that is required in the Technical volume); it is an offeror’s responsibility to ensure responsive proposal information is in the correct proposal volume within the allotted page limitation for each volume.

(1) VOLUME I - GENERAL INFORMATION. This volume shall be organized into the following sections.

(a) TAB 1: Executive Summary.

The Executive Summary shall provide an overview and synopsis of the proposal and should be an aid to understanding the organization, content, and interrelationship of the proposal material. The executive summary shall consist of the following sections.

(i) Section 1, Team Structure. Provide a brief summary of the proposed team structure, to include whether the team is being proposed under a single prime contractor or joint venture arrangement. If a joint venture (JV) arrangement is being proposed, clearly identify each JV participant, the lead member of the JV, the legal structure of the JV (e.g., formal or informal, populated or unpopulated, etc.), and whether the JV has performed other Government contracts or is newly formed. Include a copy of the legal JV agreement signed by an authorized officer from each JV member. The JV agreement is excluded from the page count for this tab. This section shall further identify all proposed major and minor subcontractors, including the business size (e.g., large business, small business, veteran-owned small business, etc.) of each based on the NAICS code assigned to this solicitation. The offeror and all JV team members (formal and informal) shall disclose the status of ownership (e.g., US owned or foreign owned) and identify all immediate parent, intermediate parent, and ultimate parent companies. If applicable, the offeror shall identify or provide copies of the security measures that have been put in place to mitigate or negate foreign ownership, control or influence (FOCI).

Information is to be formatted at a summary level.

(ii) Section 2, Team Capabilities. Provide a brief summary of the proposed team members’ corporate capabilities and experiences. Identify how the identified capabilities/experiences are relevant to the solicitation requirements and how they will enhance successful contract performance.

(iii) Section 3, Offeror Information and Proposal Points of Contact. Identify the offeror’s full name, address, CAGE Code, and DUNS number. If the offeror is an unpopulated joint-venture, provide the information for each joint venture participant. Provide the names, telephone numbers, and e-mail addresses of the individuals designated to be the proposed prime contractor’s primary and alternate points of contact regarding this proposal. Also provide the same point of contact information for the cognizant Administrative Contracting Officer (ACO) and Defense Contract Audit Agency (DCAA) auditor for the proposed prime contractor and each proposed major subcontractor.

(b) TAB 2: SF 33, Solicitation Documents and Certification/Representation.

This tab shall provide a fully completed Standard Form 33 (Items 12 through 18) and solicitation documents that include Section K Representations, Certifications, and Other Statements of Offerors (Section K), Contract Security Classification Specification (DD Form 254), as well as all other RFP sections/clauses requiring “fill-ins” by the offeror (Section B is excluded, the Government will complete Section B at time of contract award); signed acknowledgements of all issued RFP amendments. Also, include Section K, DD Form 254 and other applicable fill-ins for major subcontractors or team members. See FAR 4.102 regarding contractor signature requirements.

(c) TAB 3: RFP Exceptions and Deviations.

This tab shall clearly identify all exceptions taken to the solicitation by the offeror or its major subcontractors, and any portion of the proposal that deviates from a term or condition of the RFP.

(d) TAB 4: Data Right Assertions.

Identify and assert any restrictions or limitations on the Government's use, release, or disclosure of technical data or computer software pertaining to this proposal submission in accordance with the instructions provided below. The assertions shall be submitted by the prime offeror and each of its proposed subcontractors. Each section of the instructions below shall be addressed separately and shall follow the formats prescribed by the regulations cited therein. The assertions shall be dated and signed by an official authorized to contractually obligate the offeror (i.e., prime offeror or subcontractor, as applicable). If no assertions are made, state “None.”

INSTRUCTIONS FOR ASSERTIONS REGARDING DATA RIGHTS AND

INTELLECTUAL PROPERTY

Noncommercial Technical Data, Computer Software, and Computer Software Documentation: The offeror shall provide the information required by DFARS 252.227-7017 and 252.227-7028, in the formats specified therein. Indicate whether development was accomplished exclusively or partially at private expense. Provide evidence of private expense, such as IR&D account numbers. Indicate whether the item, component, or process or the software will be further developed with Government funding. If so, indicate whether (and explain how) the new development is segregable from the original. If a contract is issued as a result of this solicitation, the associated data rights assertions will become an attachment to the contract and shall be updated as circumstances change.

Commercial Technical Data: DFARS 252.227-7015 applies to all commercial technical data to be delivered or furnished pursuant to this contract. The proposal shall include a list titled “Commercial Technical Data--Government Use Restrictions.”

The list shall provide the following information regarding all commercial technical data that the offeror, its subcontractors, and suppliers intend to deliver with other than unrestricted rights: (1) identification of the data and the item, component, or process to which it pertains; (2) basis for asserting restrictions; (3) rights asserted; (4) entity asserting restrictions; and (5) terms under which the Government, if necessary, can acquire additional rights pursuant to a Special License Agreement. For each entry citing asserted rights other than the standard license rights per DFARS 252.227-7015, the offeror shall provide a complete description of the asserted rights and attach copies of any applicable licenses. The list shall be signed and dated by an official authorized to contractually obligate the offeror. If there is no information to be included in the list, the offeror shall enter "None" as the body of the list. If a contract is issued as a result of this solicitation, the list will become an attachment to the contract and shall be updated as circumstances change.

Commercial Computer Software and Computer Software Documentation: The proposal shall include a list, titled “Commercial Computer Software and Computer Software Documentation--Identification and Licensing,” providing information on all commercial computer software (including and specifically identifying Open Source Software) to be delivered or furnished under the contract. The list shall provide the following information: (1) identification of the software, including title and version number; (2) purpose/proposed use; (3) applicable license and maintenance fees; (4) whether the license can be transferred to the Government or other Government contractors and whether it will satisfy the ultimate user’s needs; (5) copy of the license applicable to the Government. For Open Source Software, also identify if the software has been or will be modified, and, if so, by whom; and, whether such modification occurred or will occur by incorporating it into any third party software (if so, identify).

The list shall be signed and dated by an official authorized to contractually obligate the offeror. If there is no information to be included in the list, the offeror shall enter "None" as the body of the list. If a contract is issued as a result of this solicitation, the list will become an attachment to the contract and shall be updated as circumstances change.

Background Inventions: The proposal shall include a list, titled “Background Inventions--Identification and Licensing,” providing information concerning all background inventions. A “background invention” is any invention, other than a subject invention, that is covered by any patent or pending patent application in which the offeror, its subcontractors or suppliers (1) have any right, title, or interest; and (2) propose to incorporate into any items, components, or processes (ICP) to be developed or delivered, or that will be described or disclosed in any technical data, computer software, or computer software documentation to be developed or delivered, under the contract. For each background invention, the list shall identify: (1) the invention, by serial number, title, and date of the patent application or issued patent; (2) the ICP, technical data, computer software, or computer software documentation that will incorporate or disclose the invention; (3) the nature of the offeror's right, title, or interest in the invention; and (4) whether the offeror is willing to sell to the Government a license to practice the invention, and if so, a complete description of the terms of such proposed license. The list shall be signed and dated by an official authorized to contractually obligate the offeror. If there is no information to be included in the list, the offeror shall enter "None" as the body of the list. If a contract is issued as a result of this solicitation, the List will become an attachment to the contract and shall be updated as circumstances change.

Explanation of Impact on Proposed Effort: The offeror shall provide a detailed explanation of how each of the asserted data rights restrictions, and any proposed option(s) for additional data rights, affect the proposed effort and the Government's ability to use, modify, reproduce, release, perform, display or disclose the resulting technical data and computer software for Government purposes (as defined in DFARS 252.227-7013(a)(12) and 252.227-7014(a)(11)).

(e) TAB 5: Abbreviation/Acronym Listing.

This tab shall provide a listing defining all abbreviations and acronyms used within the proposal.

(f) TAB 6: Table of Contents.

This tab shall provide a table of contents for the overall proposal. The table shall be delineated by proposal volume and tabs within each volume.

(2) VOLUME II - TECHNICAL. This volume shall be organized into the following sections.

(a) TAB 1: Technical Approach.

(i) Section 1, Technical Solutions. Provide a detailed description of the planned technical solutions for accomplishing each performance requirement of SimCtr PWS Sections 2.0 – 2.1.5, to include all subsections. The proposal shall address the offeror’s identification of critical support requirements associated with the technical objectives of the PWS, and the detailed proposed technical solutions (methodologies, processes, and procedures) for accomplishing those requirements.

(ii) Section 2, Labor Resource Mix. Subject to the table below, based upon the Direct Productive Person Hours (DPPHs) and corresponding Full Time Equivalency, identify the labor resource mix (Government labor categories [GLCs] and hours per GLC) upon which the technical approach is based. The resource mix shall be presented in spreadsheet format (e.g., MS Excel), delineated by separate worksheets for the base effort labor CLIN and each labor option CLIN, and a total summary inclusive of the base labor effort and all labor options. The resource mix shall be further delineated by the prime offeror, each major subcontractor, and each minor subcontractor. Total labor hours proposed (inclusive of the prime offeror and all major/minor subcontractors) for the base effort CLIN and each option CLIN must equal the total level-of-effort specified in the solicitation for each of those CLINs, and must be consistent with the labor resource mix presented in Volume V (Cost/Price), Tab 2, Section 3. Each worksheet shall further include a column that identifies the percentage that each GLC’s allocate hours represent relative to the total proposed labor hours for the specific CLIN worksheet (i.e., base effort CLIN/worksheet, option CLINs/worksheets, or summary worksheet). For informational purposes, the Government’s estimated labor resources mix is provided below. The estimated DPPHs stated in the table below shall be used for proposal purposes unless otherwise noted in the table.

1 The estimated total DPPHs for this effort (Base Period [Year 1-3], Option Period 1 [Year 4], and Option Period 2 [Year 5]) is 338,000 DPPHs as broken out below (note that the estimated DPPHs are for proposal purposes only):

• Estimated Base Period (Year 1-3), 202,800 DPPHs (127,920 DPPHs for base labor support and 74,880 DPPHs for optional surge labor support);

• Estimated Option Period 1 (Year 4), 67,600 DPPHs (42,640 DPPHs for base labor support and 24,960 DPPHs for optional surge labor support); and

• Estimated Option Year 2 (Year 5), 67,600 DPPHs (42,640 DPPHs for base labor support and 24,960 DPPHs for optional surge labor support).

2 The estimated allocation of DPPHs among GLCs for the base labor support in the Base Period (Year 1-3) (CLIN 0001) and the two option periods (Option Period 1 and Option Period 2) (CLINs 1001 and 2001) is at the offeror's discretion (i.e., the labor mix may deviate from the above; however, if the offeror deviates from the estimated DPPH GLC mix to accommodate its technical approach, then it must explain and justify any deviation relative to its proposed technical approach); note that an offeror’s total hours proposed must equal the total DPPHs for the entire effort, as well as the Base Period and Option Period 1 and Optional Period 2, respectively, as stated in Note 1 above.

Additionally, the offeror must ensure that its GLC DPPH allocation is both consistent with its proposed technical solutions and sufficient for accomplishing the PWS requirements. These hours were estimated using a 1980 hour man-year basis with an additional 5% to account for reasonably anticipated peek staffing levels taking into account shifts in mission priorities.

3 The proposed allocation of labor hours among labor GLCs for the optional surge labor support options (CLINs 0002, 1002, and 2002) shall neither deviate from the total allotted DPPHs as stated in Note 1 nor the DPPHs per GLC as specified above. Overall, approximately 40% (with variations among individual labor categories) of the Base Period and two Option Periods (Option Period 1 and Option Period 2) is the anticipated level of hours needed to accommodate the optional surge labor support. Note too that any proposed Project Manager and Media Library DPPHs shall be only proposed as part of the base labor support as those GLCs traditionally have been filled by one full-time equivalent and shall not increase under the optional surge labor support.

(iii) Section 3, Labor Category Crosswalk. Based upon the DPPHs and corresponding Full Time Equivalency, identify the offeror’s proposed internal labor categories that comprise the GLCs, and provide a crosswalk that clearly correlates the offeror’s internal labor categories to the GLCs in terms of the duties/responsibilities, education level, and years of experience of the applicable positions. If the offeror proposes internal labor categories that cannot be reasonably mapped to the GLCs, then the proposal shall identify the category titles and their qualification requirements (i.e., duties/responsibilities, education levels, clearance level and years of experience). The information provided in this section must be consistent with the crosswalk information provided in Volume V (Cost/Price), Tab 2, Section

2. The labor category crosswalk information is excluded from the page limitation for this volume.

(b) TAB 2: Key Personnel.

Provide one (1) resume for each of the key personnel labor categories identified below (a total of 4 resumes). Resumes shall be restricted to three

(3) pages per individual (12 total pages) and are included in the page limitation for this volume.

KEY PERSONNEL CATEGORIES:

Program Manager;

System Admin/Analyst Lead;

Network Admin/Analyst Lead; and Security Lead.

The minimum qualifications for each labor category will be in Attachment 01 Simulation Center Labor Category Descriptions to the RFP. All resumes shall include the following information:

• NAME OF INDIVIDUAL AND CURRENT EMPLOYER;

• SECURITY CLEARANCE LEVEL AND DATE GRANTED;

• INFORMATION ASSURANCE (IA) CERTIFICATION LEVEL AND

DATE GRANTED;

• EDUCATION/TRAINING; and

• EXPERIENCE.

(iii) VOLUME III – MANAGEMENT. This volume shall be organized into the following

(a) TAB 1: Personnel Systems.

(i) Section 1, Recruitment and Retention. Describe the corporate mechanisms

(practices, policies, procedures, and tools) applicable to all employees that will be employed by the prime offeror and major subcontractors to recruit, retain, and replenish (when necessary) a sufficient number of qualified personnel with the requisite knowledge, skills, education, and experience to ensure successful accomplishment of the proposed technical and management approaches throughout the life of the contract. As a minimum, the plan shall address recruitment and hiring practices, termination policies and procedures, employee development tools, and compensation policies.

(ii) Section 2, Total Professional Employee Compensation Plan. Provide a copy of the Total Professional Employee Compensation Plan for the prime offeror and all major subcontractors. See FAR 52.222-46 for the minimum information required to be submitted for evaluation. If the JV is a formal "populated" JV, the managing partner's compensation plan may be submitted to meet the cited requirement. For formal “unpopulated” JVs and informal JVs, compensation plans for all members of the JV must be submitted. The formal compensation plan is not included the page limitation for this volume.

The plan must reflect a clear understanding of contract requirements, the ability to provide uninterrupted high-quality work, and the capability to obtain and keep qualified professional personnel to meet mission objectives.

(b) TAB 2: Management Control System.

Describe the proposed management structure in terms of its ability to control of all technical, schedule, and cost aspects of contract performance. The description shall include a discussion of the roles and responsibilities of the proposed program manager (PM), and how the PM’s authorities will be used within the structure to ensure the efficient direction and control of contract work requirements, the early identification and resolution of performance issues, and the timely assessment, control and reporting of the entire team’s technical, schedule, and cost performance.

(c) TAB 3: Transition Plan.

(i) Section 1, Transition Approach. Identify and provide the approach for the primary tasks that the offeror will perform to ensure a seamless assumption of all PWS requirements within the first 30 calendar days of contract performance and with minimal impact to on-going SimCtr support activities/schedules. Discuss specific activities and projected milestones/timelines for each transition task, and identify any transition support that will be required from the Government as well as the out-going contractor. Also identify any aspects that present potential risks to a successful transition, and discuss the actions that will be taken to eliminate or mitigate those risks.

(ii) Section 2, Transition Staffing. Identify the labor mix (labor categories and labor hours per category) that the offeror will employ to implement the transition approach and the rationale therefore.

(iv) VOLUME III - COST/PRICE. This volume shall be organized into the following

(a) TAB 1: Executive Summary.

Unless stated otherwise, the following information shall be provided by the prime offeror and each major subcontractor.

(i) Section 1, Proposal Summary. Provide a summary of the total overall cost/price proposal by cost element, to include all direct and indirect labor costs, fixed fee/profit on labor, direct and indirect material/ODC/travel costs, and cost of money (if applicable). For the prime offeror only, also provide a cost element summary delineated by each CLIN of the solicitation.

(ii) Section 2, Team Support Allocation. For the prime offeror only, provide a summary matrix depicting the planned level of support and total proposed cost/price (inclusive of all direct and indirect costs, and fixed fee/profit) for the prime offeror and each proposed major and minor subcontractor. Proposed subcontractor costs/prices shall include prime pass-through costs. The planned level of support shall be expressed as total labor hours allocated to the prime offeror and each major and minor subcontractor, as well as the percentage each represents of the total labor hours proposed for the entire effort. The information provided in this part must be consistent with the planned level of support presented in Volume II, Technical.

(iii) Section 3, Status of Systems.

Identify the adequacy/approval status of the offeror’s Accounting System.

Identify the audit report number and date of audit report/determination, and provide a copy of the audit report as an attachment to the cost/price proposal.

Confirm if any changes have been made to the accounting system since the issuance of the audit report and whether such changes have been reviewed by DCAA. Note that major subcontractors may submit a copy of the audit report directly to the Government. Further note that the lack of an adequate accounting system will render the prime offeror ineligible for award, and that cost-reimbursement subcontracts cannot be issued to any subcontractors whose accounting system has not been determined adequate by DCAA. If any proposed subcontractor’s accounting system has been deemed inadequate or has not been reviewed, the prime offeror must ensure that the subcontractor is proposed on other than a cost-reimbursement basis or must adequately explain how the subcontractor's accounting system will be approved prior to an award to that subcontractor.

The offeror shall also identify the adequacy/approval status of its purchasing, estimating, and material requirements planning system and/or material management and accounting system (MMAS), if applicable. Identify the dates of ACO approval and provide copies of the audit report(s) reflecting approval.

Confirm if any changes have been made to the any of these systems since the issuance of the report and whether such changes have been reviewed by the ACO. Discuss whether any aspect of the proposal is inconsistent with the offeror’s disclosed practices, and, if so, an explanation; and whether the proposal is consistent with the offeror’s established estimating and accounting principles and procedures and FAR Part 31, Cost Principles, and, if not, an explanation.

(b) TAB 2: Basis of Estimate (BOE). The offeror shall fully describe its basis for all proposed direct and indirect costs, pass-through charges, and profits/fees applicable to this solicitation. The offeror shall furnish the supporting information described below for each proposed cost element, consistent with its cost accounting system. Unless otherwise indicated, the BOE shall include the following information for the prime offeror and all proposed major subcontractors.

(i) Section 1, General Information. Identify the offeror’s financial fiscal year and basis for man-year calculations (e.g., 2080, less hours for vacation, less hours for holidays, less hours for sick leave). If the costs presented in the remaining sections of this tab do not compute to the amounts reflected in the Section B of the prime offeror’s completed offer (reference Volume I, Tab 2), then the prime offeror must provide an explanation of the differences. If any such differences are not adequately explained, the amounts reflected in the completed offer will be considered as the proposed cost.

(ii) Section 2, Labor Categories. Identify the offeror’s proposed internal labor categories that comprise the GLC’s defined in Attachment 01 of this solicitation. Provide a crosswalk that clearly correlates the offeror’s internal labor categories to the GLCs in terms of the duties/responsibilities, education level, and years of experience of the applicable positions. If the offeror proposes internal labor categories that cannot be reasonably mapped to the Government categories, the proposal shall identify the category titles and their qualification requirements (i.e., duties/responsibilities, education levels, and years of experience). The information provided in this section must be consistent with the crosswalk information provided in Volume II (Technical), Tab 1, Section 3.

(iii) Section 3, Labor Hours. Identify the labor resource mix (GLCs and hours per

GLC) upon which the labor portion of the cost/price proposal is based. The resource mix shall be presented in spreadsheet format (e.g., MS Excel), delineated by separate worksheets for the base effort labor CLIN and each labor option CLIN, and a total summary inclusive of the base labor effort and all labor options. For the prime offeror only, the resource mix shall be further delineated by the prime offeror, each major subcontractor, and each minor subcontractor. Total labor hours proposed (inclusive of the prime offeror and all major/minor subcontractors) for the base effort CLIN and each option CLIN must equal the total hours specified in the solicitation for each of those CLINs, and must be consistent with the labor resource mix presented in Volume II (Technical), Tab 1, Section 2. Each worksheet shall include a column that identifies the percentage that each GLC’s allocate hours represent relative to the total proposed labor hours for the specific CLIN worksheet (i.e., base effort CLIN/worksheet, option CLINs/worksheets, or summary worksheet).

Further, the prime offeror shall include a column calculating the Full Time Equivalency (FTE) for each labor category on all labor CLINS (i.e., Base/Option and Surge), and indicate the basis (e.g., 1980, 2040, etc.) used to calculate the FTEs.

(iv) Section 4, Direct Labor Rates. Identify the base labor rates, by GLC and by contract year, upon which the cost/price proposal is based and provide the information described below. The proposed rates shall be based on the projected contract start date specified in the RFP, and the performance periods established in Section F of the solicitation. The level of detail and clarity of the information provided will have a direct reflection on the Government’s ability to adequately understand and assess the offeror’s proposed costs/prices.

• Describe the assumptions made in developing the proposed direct labor rates, the rationale for the assumptions, and the impacts of the assumptions;

• Describe the rationale employed for development of the rates. Identify whether a particular index, wage survey, or similar source was used as the basis for the rates, and discuss the rationale for selecting the source;

• Describe the rate build-up for all proposed direct labor rates. If derivative rates/factors were used in the development of direct labor rates, discuss how they were developed and applied;

• If proposed direct labor rates are based on FPRA or FPRR, identify the cognizant Government office and date of the agreement, and provide a copy of the agreement or recommendation or based on the contractor’s current FPRP. Also provide the proposal submitted to DCMA and/or

DCAA;

• If proposed direct labor rates are based on labor/wage surveys or indices, provide the applicable pages from the proposed surveys and show which rate was used (i.e. 50th percentile, median, etc.), as well as, a mapping of the survey labor category to the GLC. If the base labor rate for any given labor category is a composite rate for multiple internal labor categories, then disclose the rate build up and source information. Offerors shall discuss how the labor survey relates to the firm’s internal labor rates.

Offerors shall provide the supporting documentation that is cross-walked to the internal labor categories. Note that the Government highly discourages using surveys that allow personnel to enter data with no restrictions (e.g. Salary.com);

• If direct labor rates are not based on FPRA, FPRR, or labor/wage survey, identify what the rates are based on and how they were compiled. Provide sufficient data to substantiate the proposed rates (i.e., records, documents, and other types of factual cost information) and that will permit the Government to substantiate the offeror’s proposed cost rates and factors. This information shall, at a minimum, include current/historical/projected cost data (e.g., payroll and/or other financial records) required to support the computation of proposed direct labor rates. If direct labor rates are based on payroll records, provide payroll data directly from the offeror’s accounting system (not just a listing of rates) related to proposed base labor rates. Also, specify if the proposed direct labor rates have been audited by DCAA;

• If the build-up of direct labor rates are based on other than the contract year specified by the solicitation, identify the allocation of the accounting year(s) to the rates proposed and provision of the computational data (via spreadsheet) that illustrates this allocation;

• Identify the escalation applied to direct labor rates throughout the life of the anticipated contract and discuss the basis for the selected escalation factor(s). Describe the method by which the escalation factor(s) were applied to the proposed labor rates. Offerors are advised that failure to escalate direct labor rates may be determined unrealistic and deemed a significant proposal risk;

• Discuss the relationship of proposed direct labor rates to the offeror’s accounting system/practices. Provide sufficient information to permit the

Government to contact the firm’s DCAA auditor to discuss the direct rates proposed; and

• Identify the basis of any conclusions (and convincing information to support such conclusions/assertions) that the labor rates proposed are sufficient to attract and retain the caliber of personnel required to successfully satisfy the requirements of the PWS. Discuss any proposed direct labor rates that may appear significantly lower than the normal industry compensation for the same or similar categories of labor, identifying what incentive(s) the offeror will provide to ensure sufficiently qualified personnel are obtained and retained.

(v) Section 5, Indirect Rates. Identify the indirect rates applied in the proposal (by contract year) to direct labor, material, ODC, and travel costs. The proposed rates shall be based on the projected contract start date specified in the RFP, and the performance periods established in Section F of the solicitation. If proposed indirect rates include cost for facilities and related cost, the offeror shall state so and provide an explanation. The offeror shall clearly explain the basis and application of the proposed rates, as well as discuss the basis for any changes in rates from year-to-year. The level of detail and clarity of the information provided will have a direct reflection on the Government’s ability to adequately understand and assess the offeror’s proposed costs/prices.

Provide the information specified below for the proposed rates, to include Program Management Overhead (PMO) rates if applicable.

• Disclose whether the rates are based on a FPRA or FPRR. If so, identify the cognizant Government office and date of the agreement, and provide a copy of the agreement or recommendation;

• If rates are not based on a FPRA or FPRR, discuss the current and/or historical cost data (including projected expense pools and allocation bases, e.g., Schedules B, C, D, E, and F of company’s Incurred Cost Submission) upon which the proposed rates are based as well as a detailed breakdown of the computation for each indirect rate proposed (e.g., current contractor forward pricing proposal indirect rate forecast, budget, or plan). Specify if the rates have been audited by DCAA;

• Identify any DCAA approved provisional billing rates for the current year and for the past three contractor fiscal years, if applicable. State whether award of this contract will materially affect any current approved provisional billing rates and, if so, show calculations demonstrating the differences between the current provisional billing rates and the rates proposed for this effort. Ensure the cognizant DCAA office has a copy of the proposed rates;

• Identify final year end indirect rates or audited final indirect rates for the past three contractor fiscal years;

• Provide documentation to support the incurred pool and base dollars as well as the indirect rates (Sections B, C, D, E, and F of the incurred cost submission);

• If a comparison of this procurement’s proposed rates to prior year rates is not applicable, so state and provide the reason for differences. If the difference between former year and current year rates may appear excessive, provide rationale for differences;

• If Facilities Capital Cost of Money (FCCM) is proposed as an allowable cost, submit Form CASB-CMF and a DD Form 1861-1 for each Cost Accounting Period applicable to this proposal (see FAR 31.205-10).

Ensure calculations are based on the latest Treasury Rate (rates are updated every January and July) and that the percent distribution of Land, Building and Equipment is included;

• If interdivisional transfers of cost are applicable, then provide the same information provided above relating to the interdivisional transfer cost; and

• If a PMO factor is proposed in lieu of pricing labor categories that comprise the PMO, identify the labor categories included in the PMO rate and discuss how the rate was developed and how it will be applied. If conditions are attached to the labor categories within the PMO rates (i.e., they may be proposed separate from PMO under certain circumstances) provide a clear explanation of when they will be proposed outside of

PMO).

(vi) Section 6, Pass-Through Charges. For the prime offeror only, identify the proposed pass through costs and effective rate applied to fully-burdened subcontractor/team member labor costs and the basis thereof (see FAR 52.215-22 and 52.215-23). For the purpose of this solicitation and resultant contract performance, “pass through charges” refers to charges to the Government by the prime contractor that is for indirect costs and/or profit on labor work performed by a subcontractor/team member (other than charges for the direct costs of managing subcontracts and applicable indirect costs and profit based on such costs). The Government recognizes the necessity for prime contractors to recoup costs associated with the indirect processing, oversight and management of subcontract efforts; however, such charges must provide added value (i.e., benefit) to the Government and must not be excessive. In this section, the offeror shall identify its pass-through rate to be applied to all subcontract effort under the resultant contract. The offeror shall further disclose the specific elements/factors that form the basis for the proposed pass-through rate.

(vii) Section 7, Fixed-Fee. Identify the overall fixed fee proposed, both as a percentage of the total cost and expressed in monetary terms, and discuss the basis thereof. Discuss how the proposed fixed fee or fixed fee rate was applied to both prime contractor and subcontractor labor costs. If fee-on-fee is proposed, discuss the rationale for and method of proposing such. Fixed fee shall be assessed to ensure the proposed amount does not exceed 15 percent of the contract’s estimated cost, excluding fee, as prescribed by FAR 15.404-4(c)(4)(i)(A). The proposal of a fixed fee exceeding 15 percent may render the offeror ineligible for award.

(viii) Section 8, Minor Subcontract Labor. This portion of the proposal shall include the following information.

Section 8a: For each proposed minor subcontractor, identify the GLCs that the subcontractor is proposed to perform and provide the subcontractor’s fully burdened labor rate (inclusive of estimated direct labor costs, indirect labor costs, and subcontractor fixed fee) for each of those GLCs.

Section 8b: Describe how the prime offeror conducted cost or price analysis of proposed minor subcontract rates/costs pursuant to the requirements of FAR 15.404-3(b)(1) and (2), and in accordance with the offeror’s standard purchasing system processes and procedures. Identify the specific cost or price analyses techniques employed and provide the results of the analyses to include the reasonableness of proposed rates and adherence to solicitation terms and conditions.

(ix) Section 9, Material, ODC, and Travel. The Government contemplates that non-labor resources may be required to successfully satisfy the requirements of this contract effort. As such, Section B of the solicitation includes CLINs for material, ODC, and travel/DBA. These CLINs will be funded at the discretion of the Government and expenditures therefore will be reimbursed to the contractor on a cost-reimbursement, no fee basis. For proposal evaluation purposes, the prime offeror shall apply the applicable indirect rates described in Section 5 to the following material, ODC, and travel/DBA estimates to calculate the total amounts proposed for these non-labor cost elements (he offeror shall use the dollar amounts below in its proposal, which will become not-to-exceed dollar amounts in the resulting contract).

(x) Section 10, Facilities Capital Cost of Money (FCCM). If the offeror proposes FCCM as an allowable cost, submit Form CASB-CMF and a DD Form 1861-1 for each Cost Accounting Period applicable to this proposal (see FAR 31.205- 10). The offeror shall provide the basis and detailed calculation of facilities capital cost of money. Ensure that calculations are based on the latest Treasury Rate (rates are updated January and July of each year) and that you have included percent distribution of Land, Building, and Equipment.

(xi) Section 11, Request for Rate Information. The prime offeror and all major subcontractors shall include the form, specified in the RFP, for the prime offeror, each interdivisional, and each proposed major subcontractor.

(xii) Section 12, Limitation on Subcontracting Calculations. This acquisition is set-aside for 8(a) participants. Therefore, in accordance with DARS Tracking Number: 2020-O0008, Revision 2, dated November 6, 2020, issued by the Office of the Under Secretary of Defense (Acquisition and Sustainment), FAR 52.219-14, Limitations on Subcontracting (MAR 2020) (DEVIATION 2020- O0008) (Revision 2), is used in lieu of FAR 52.219-14, Limitations on Subcontracting (see https://www.acq.osd.mil/dpap/policy/policyvault/USA002296-20-DPC.pdf).

The noted Under Secretary of Defense deviation applies to all eligible 8(a) firms to include 8(a) joint venture entities. See Section I for full text requirements of FAR 52.219-14, Limitations on Subcontracting (MAR 2020) (DEVIATION 2020-O0008) (Revision 2). By submission of an offer in response to this solicitation, the contractor agrees to the requirements of FAR 52.219-14, Limitations on Subcontracting (MAR 2020) (DEVIATION 2020- O0008) (Revision 2). Firms that cannot meet the requirements of FAR 52.219-14, Limitations on Subcontracting (MAR 2020) (DEVIATION 2020- O0008) (Revision 2), should not propose to this solicitation request.

(c) TAB 3: Substantiating Cost Data.

The offeror shall provide any records, documents, and other types of factual cost information that formed the basis for the cost estimate and that will permit the Government to substantiate the offeror’s proposed cost rates and factors. This information shall, at a minimum, include current/historical/projected cost data related to proposed direct and indirect expense rates upon which the proposed rates were based (e.g., FPRPs, FPRAs, FPRRs, payroll records, financial records substantiating projected expenses and expense pools, etc.). Also provide any documents required to support the computation of proposed direct and indirect rates/factors. If labor rates are based on payroll records, provide payroll data directly from the offeror’s accounting system (not just a listing of rates) related to proposed base labor rates. If rates are based on survey information, provide the applicable pages from the survey and indicate the rates used.
