(DEVIATION 2015-02) (FEB 2015)
(a) The Contractor shall not require employees or subcontractors seeking to report fraud, waste, or abuse to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such waste, fraud, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.
(b) The contractor shall notify employees that the prohibitions and restrictions of any internal confidentiality agreements covered by this clause are no longer in effect.
(c) The prohibition in paragraph (a) of this clause does not contravene requirements applicable to Standard Form 312, Form
4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information.
(d)(1) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Resolution Appropriations Act, 2015 (Pub. L. 113-235), use of funds appropriated (or otherwise made available) under that or any other Act may be prohibited, if the Government determines that the Contractor is not in compliance with the provisions of this clause.
(2) The Government may seek any available remedies in the event the Contractor fails to comply with the provisions of this clause.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

The contractor shall -
a. Ship all equipment and material provided under this contract via air ride van service. The van must be enclosed to keep out wind, rain, snow, dirt, etc., and have a roller based bottom to facilitate the loading and unloading of the switchboards. The contractor must also ensure the van is equipped with adequate auxiliary appliances such as overhead cranes, tailgate lifts, or internal winches to aid in loading and unloading heavy equipment.
b. Pack and mark the shipment to comply with the following:
(1) Prepare and pack all materials and articles to protect them from dirt, rust, corrosion, or other damage during transit.
(2) Be responsible for any and all equipment damage caused by improper preparation, packing, or loading for shipment.
(3) Coordinate the equipment packing with the appliances provided in the air ride van to ensure efficient loading and unloading capability. As a minimum, provide eye-bolts, lugs, or other lifting devices to facilitate handling heavy or bulky parts of equipment with a crane, and mount all switchboard sections on skids. Where parts are boxed or crated and it is unsafe to attach slings to the box or crate, the parts shall project through the box or crate so that attachment with a sling can readily be made.
(4) Clearly mark or attach instructions for handling and lifting the equipment on all parts, boxes, and crates.
(5) Box or bundle any articles or materials that might easily be lost and clearly mark them with part numbers (or the CLIN they are associated with) for easy identification.
c. Ensure the shipper assists with the unloading of the equipment and material from the van to the unloading platform
(whether elevated or at ground level) using the above mentioned auxiliary appliances.
d. Prepare and distribute commercial bills of lading (with a copy to the Contracting Officer's Representative).
e. Furnish a delivery schedule to the Contracting Officer and the Contracting Officer's Representative.
f. Pay all shipping charges to the specified point of delivery.
g. Ship complete units only unless directed otherwise by the Contracting Officer.
h. Additional instructions:
(1) All pieces that comprise a complete unit (CLIN) shall be packed in the same container, to the maximum extent practicable. If more than one container is required for each unit, each container shall be marked "Box 1 of 2, Box 2 of 2," etc.
(2) Items that are comprised of more than one piece per unit shall be pre-assembled where possible or all pieces that make up a single unit shall be packaged together, to the maximum extent possible.
(3) Each individual container shall be marked with the contract number, contract line item number, and a brief description of each item as found in Section B of the contract.
(4) Items not properly packaged and labeled may be returned to the contractor for repackaging and re-labeling, at no additional expense to the Government.
WES-E-1001 DELAYED ACCEPTANCE (WAPA, JAN 2008)
Acceptance of all work and/or materials under this contract (including reports, if any) shall be accomplished by the Contracting Officer, or his or her duly designated representative. The Government requires up to SIXTY (60) calendar days from the date of receipt to perform final acceptance of delivered units.
WES-F-1001 ADVANCE SHIPPING NOTIFICATION REQUIRED (WAPA, MAR 2008)
a. Contract line items 0001 thru 0014 must be delivered on one of the following weekdays Monday through Thursday excluding Government holidays, between the hours of 08:00a.m. to 2:00p.m. or at a day and time agreed upon by the Government representative(s) named below.
b. The Government representative must receive advance notification of the intended shipment at least fourteen (14) days prior to delivery and again 48 hours prior to delivery prior to shipment. The contractor shall provide the day and time of delivery, identify the shipper, and provide the telephone number of the shipper's office. Delivery notification is critical because many of Western's delivery locations are unmanned stations located in remote areas that do not have receiving docks or unloading equipment. Proper notification will ensure that Western personnel are on site and have the equipment necessary to unload the shipment.
c. If the contractor fails to make the required advance notification, the Government may not be able to receive the equipment.
Any additional costs incurred by the Government to properly receive and/or relocate the equipment that are caused by the contractor's failure to provide sufficient advance notification will be charged to the contractor under the terms of this contract.

(APR 2012) DEVATION
(a) In accordance with sections 504 and 505, Division B, Title V of the Consolidated Appropriations Act, 2012 (Pub.L. 112-74) (the Act), none of the funds made available by the Act may be used to enter into a contract with any corporation that—
(1) Was convicted (or had an officer or agent of such corporation acting on behalf of the corporation convicted) of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless the agency has considered suspension or debarment of the corporation, or such officer or agent, and made a determination that this further action is not necessary to protect the interests of the Government;
(2) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless the agency has considered suspension or debarment of the corporation and made a determination that this further action is not necessary to protect the interests of the Government.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

Service-disabled veteran-owned small business concern-

(ii) It is, is not a HUBZone joint venture that complies with the requirements of 13 CFR Part 126, and the representation in paragraph (c)(10)(i) of this provision is accurate for each HUBZone small business concern participating in the HUBZone joint venture. (d) Representations required to implement provisions of Executive Order 11246-

(i) It has, has not participated in a previous contract or subcontract subject to the Equal Opportunity clause of this solicitation; and
(ii) It has, has not filed all required compliance reports.
(2) Affirmative Action Compliance. The offeror represents that-
(i) It has developed and has on file, has not developed and does not have on file, at each establishment, affirmative action programs required by rules and regulations of the Secretary of Labor (41 CFR parts 60-1 and 60-2), or
(ii) It has not previously had contracts subject to the written affirmative action programs requirement of the rules and regulations of the Secretary of Labor.
(e) Certification Regarding Payments to Influence Federal Transactions (31 U.S.C. 1352). (Applies only if the contract is expected to exceed $150,000.) By submission of its offer, the offeror certifies to the best of its knowledge and belief that no Federal appropriated funds have been paid or will be paid to any person for influencing or attempting to influence an officer or employee of any agency, a Member of Congress, an officer or employee of Congress or an employee of a Member of Congress on his or her behalf in connection with the award of any resultant contract. If any registrants under the Lobbying
Disclosure Act of 1995 have made a lobbying contact on behalf of the offeror with respect to this contract, the offeror shall complete and submit, with its offer, OMB Standard Form LLL, Disclosure of Lobbying Activities, to provide the name of the registrants. The offeror need not report regularly employed officers or employees of the offeror to whom payments of reasonable compensation were made.
