Combined Synopsis/Solicitation
AB 201 Replacement ECUs
Air Base 201, Agadez, Niger
This is a combined solicitation/synopsis for commercial items prepared in accordance with the format in the Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
This solicitation is issued as a Request for Quote (RFQ), solicitation number FA5422-21-Q-1005, in accordance with FAR Parts 12 and 13, and is in accordance with provisions and clauses effective in Federal
Acquisition Circular (FAC) 2021-05, effective 10 March 2021.
The North American Industry Classification System (NAICS) number is 333415, Air-Conditioning and
Warm Air Heating Equipment and Commercial and Industrial Refrigeration Equipment
Manufacturing, and the small business size standard is $16.5M. The proposed acquisition is set aside to Local Trade Area in Niger, Africa, IAW FAR 13.104(b). All local trade area businesses are encouraged to participate by submitting proposals.
Required items: This is a Brand Name Only requirement for the procurement of standalone Alaska Structures 5-Ton ECUs (AK-ECU-5T) in accordance with the below specifications for use at AB 201 in Agadez, Niger. Item shall be brand new.

INFORMATION MUST BE DETAILED ENOUGH TO ALLOW THE GOVERNMENT TO MAKE A
TECHNICALLY ACCEPTABLE DETERMINATION.

A. Offerors shall comply with all instructions contained in FAR 52.212-1, Instructions to Offerors
– Commercial Items.
a. FAR 52.212-1 Addendum
i. In order to be determined responsive to this combined synopsis/solicitation, offerors shall have an active registration in SAM.gov and submit the following documentation via email to the points of contact listed in paragraph I of this document:
1. Technical Information (may be combined with price)
a. The offeror’s technical proposal shall address/acknowledge each aspect of the requirement.
2. Price Quote (may be combined with technical information)
a. The offeror’s quote shall include a unit cost for the requested item.
b. The offeror’s price quote shall include delivery.
3. Representations and Certifications as requested in FAR 52.212-3
4. A document containing the responses to all fill in provisions/clauses (may be submitted as one document).
5. Acknowledgement of any and all amendments to this solicitation
B. IAW FAR 52.212-2 – Evaluation – Commercial Items. The Government will award a contract, resulting from this solicitation, to the responsible offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Price fairness, reasonableness, and balance
(ii) Technical capability of the item offered to meet the Government requirement;
Offerors’ registration in SAM.gov will be verified and a review will be conducted to ensure that all aspects of the solicitation have been addressed. Failure to have an active registration in
SAM.gov or failure to acknowledge/propose to all requirements of the solicitation as well as any amendments to the solicitation will result in the offer being labeled as non-responsive and not considered for this agreement. Offers will then be ordered by total evaluated price, starting with the lowest-priced vendor. The lowest-priced offer will then be evaluated on technical acceptability. If the offer is found to be unacceptable, evaluations will continue with the next low offeror. Once an offer is found to be acceptable across all factors, evaluations will conclude 1.
1 Further evaluation of other offers submitted may be conducted to the extent necessary to determine that the price of the awardee is fair and reasonable, based on adequate price competition.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in an agreement without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
C. Offerors shall remit a completed copy of the REPRESENTATIONS AND CERTIFICATIONS
IAW FAR 52.212-3, following the instructions as provided in the clause.
D. By offer submission in response to this synopsis/solicitation, the offeror agrees to comply with all terms and conditions IAW FAR 52.212-4 – Contract Terms and Conditions – Commercial
Items.
E. By offer submission in response to this synopsis/solicitation, the offeror agrees to comply with all terms and conditions IAW FAR 52.212-5 – Contract Terms and Conditions Required to Implement Statutes or Executive Orders – Commercial Items. Additionally, offerors shall comply with all items as indicated by an “X” within FAR 52.212-5 – Contract Terms and Conditions Required to Implement Statues or Executive Orders – Commercial Items.
F. By offer submission in response to this synopsis/solicitation, the offeror agrees to comply with all terms and conditions listed in Attachment 2 – Applicable Clauses and Provisions. The contractor MUST fill in all applicable fill in clauses; failure to do so may result in the offeror’s proposal being deemed non-responsive to the solicitation and not further considered for award.
G. Offerors shall submit their technical and price proposal (can be combined), providing unit prices along with a grand total. THE GOVERNMENT WILL NOT ACCEPT INCOMPLETE QUOTES.
H. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer. If an offer does not comply with every requirement, that offer will not be technically acceptable, and therefore will not be considered. Once an offer has been determined to be technically acceptable, and in compliance with all directions in this solicitation, the Government will award to the offeror with the lowest evaluated price.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215- 2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

(DEVIATION 2015-O0016) (SEP 2015)
(a) The Contractor shall—
(1) Exercise due diligence to ensure that none of the funds, including supplies and services, received under this contract are provided directly or indirectly (including through subcontracts) to a person or entity who is actively opposing United States or Coalition forces involved in a contingency operation in which members of the Armed Forces are actively engaged in hostilities;
(2) Check the list of prohibited/restricted sources in the System for Award Management at www.sam.gov
(i) Prior to subcontract award; and
(ii) At least on a monthly basis; and
(3) Terminate or void in whole or in part any subcontract with a person or entity listed in SAM as a prohibited or restricted source pursuant to subtitle E of Title VIII of the NDAA for FY 2015, unless the Contracting Officer provides to the Contractor written approval of the Head of the Contracting Activity to continue the subcontract.
(b) The Head of the Contracting Activity has the authority to—
(1) Terminate this contract for default, in whole or in part, if the Head of the Contracting Activity determines in writing that the contractor failed to exercise due diligence as required by paragraph (a) of this clause;
or
(2)(i) Void this contract, in whole or in part, if the Head of the Contracting Activity determines in writing that any funds received under this contract have been provided directly or indirectly to a person or entity who is actively opposing United States or Coalition forces involved in a contingency operation in which members of the Armed Forces are actively engaged in hostilities.
(ii) When voided in whole or in part, a contract is unenforceable as contrary to public policy, either in its entirety or with regard to a segregable task or effort under the contract, respectively.

Invoices submitted in accordance with the terms and conditions of this contract shall be exclusive of all taxes or duties for which relief is available.
252.232-7006 -- Wide Area Workflow Payment Instructions (MAY 2013)
(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:
(1) Document type. The Contractor shall use the following document type(s).

(4) Payment request and supporting documentation. The Contractor shall ensure a payment request includes appropriate contract line item and subline item descriptions of the work performed or supplies delivered, unit price/cost per unit, fee (if applicable), and all relevant back-up documentation, as defined in DFARS Appendix F, (e.g. timesheets) in support of each payment request.

5352.201-9101 OMBUDSMAN (OCT 2019)
(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).
