(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215- 2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.
If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

SSU-01 CONTRACTING OFFICER’S REPRESENTATIVE AUG 2022
(a) Definition. “Contracting Officer’s Representative (COR)” means an individual designated in by the Contracting Officer as authorized personnel responsible for the technical aspects of the contract and serves as technical liaison with the contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.
(b) Per FAR Subpart 1.602-2(d): The Contracting Officer (CO) determines that this contract requires a Contracting Officer Representative (COR).The Contracting Officer Representative (COR) is:
“TBD at time of award.”
(c) Upon award, the COR will receive a copy of the written designation, specifying the extent of the COR’s authority on behalf of the CO.
(d) Limitations. The COR is not authorized to make any commitments or changes that will affect price, quality, quantity, delivery, or any other term or condition of the contract. Any contractor request for changes shall be referred to the CO directly or through the COR. No such changes shall be made without the express written prior authorization of the CO.

SSU-02 UNAUTHORIZED COMMITMENTS SEP 2023
(a) Definitions.
Contracting Officer means a person with the authority to enter into, administer, and/or terminate contracts and make related determination and findings.
Ratification means the act of approving an unauthorized commitment by an official who has the authority to do so.
Unauthorized Commitment (UAC) means an agreement that is not binding solely because the Government representative who made it lacked the authority to enter into that agreement on behalf of the Government.
(b) Policy.
The Government is not bound by agreements with, or contractual commitments made to, prospective contractors by individuals who do not have delegated contracting authority. Unauthorized commitments do not follow the appropriate process for the expenditure of Government funds. Consequently, the Government may not be able to ratify certain actions, putting a contractor at risk for taking direction from a Federal official other than the contracting officer (see FAR 1.602-1) Government employees responsible for unauthorized commitments are subject to disciplinary action. Contractors perform at their own risk when accepting direction from unauthorized officials. Failure to follow statutory and regulatory processes for the expenditure of Government funds is a very serious matter.
(c) Procedure.
Any agreement, modification, or change to a contractual agreement made by a government personnel who lack authority will be deemed an unauthorized commitment. The Government is not liable to the Contractor or under the terms of the contract, financially or otherwise – unless the unauthorized commitment successfully passes the ratification process.
The ratification process does not have any lead time, nor does the Government make any promise that an unauthorized commitment will be ratified and, therefore, the Contractor would be paid. The Contractor proceeds at its own risk if any of the terms of the contract are altered, changed, or modified without the written concurrence by a Contracting Officer.

FY 2024
DESCRIPTION/SPECIFICATION/WORK STATEMENT
SCOPE: This full-service contract to include ONE (1) preventative maintenance inspection on the Hamilton Medical ventilators (Hamilton C1, C6 and MR1) and their attachment modules which are located in the Respiratory Therapy dept. of Northern Navajo Medical Center (NNMC) facility. Upon award with in the Fiscal Year 2024.
HOURS OF WORK: Work performed under this contract shall be during normal working hours, 8:00am - 4:30pm, Monday through Friday, weekend coverage is not required.
SCHEDULING OF PREVENTATIVE MAINTENANCE: The preventative maintenance inspections shall be performed during the specified month or as designated by the Contracting Officer’s Representative (COR). The COR must be notified five (5) working days in advance for mutual scheduling of each preventative maintenance inspection. The equipment will be made available to the contractor at the pre-arranged time and period.
PREVENTATIVE MAINTENANCE INSPECTIONS: The preventative maintenance on air exchange, and trace gas analysis tests other mechanical parts inspections shall include cleaning, interior and exterior, lubrication, calibration and replacement of all parts required such as bellows and oxygen sensors to ensure proper operation and to return the instrument to the condition and performance level specified by the equipment manufacturer. The preventative maintenance procedure must be at least equivalent in scope to that provided in the manufacturer’s service manual for the given inspection frequency and age.
CALIBRATION: The calibration shall be performed using verifiable calibrated (within one year) test equipment on air exchange and trace gas analysis tests to adjust the device to operate within manufacturers specifications to assure proper operation. Adjust equipments and its modules to a performance level as for the device when new.
REPAIR/EMERGENCY SERVICE: All cost related to equipment repair service will be covered under this contract. Consultation service will be available via telephone on a 24-hour, 7-day per week basis. Only requests for repair service initiated by the COR or the Authorized Hospital Representative will be accepted.
PARTS: Parts such as BELLOWS, Oxygen sensor and/or other accessories known as consumables are included.
Attachment A- Performance Work Statement
PARTS EXCLUSION: Supplies (and complete accessory assemblies) are excluded from contract coverage. Parts determined by mutual agreement of the contractor’s field engineer and the COR to have been damaged by accident, abuse or acts of nature are also excluded from the contract cost. All required parts and related cost not covered by the conditions of the contract shall be furnished and installed only after receiving authorization from the Contracting Officer, and covered by issuance of a separate purchase order, prior to installation of said parts.
CONSULTATION: Contractor shall provide consultation to the equipment users and Biomedical Engineering Technicians to include: use, calibration, care, procedures, technical assistance, problem troubleshooting, supply and replacement of user replaceable parts and expendables. The consultation shall be provided by the contractor’s technician during on-site visits as well as via telephone.
MODIFICATIONS AND UPDATES: Contractor shall notify the Contracting Officer’s Representative (COR) of all manufacturers recommended modifications and updates to the equipment covered by the contract. All modifications & updates must be authorized by the COR; determination will be made for cost coverage as part of the contract or for payment by separate purchase order. All modifications authorized must be completed within 60 days of the contractor receipt of the authorization.
CHECKING-IN: Contractor, upon entering the facility and before performing any work must physically check-in with the COR, and will be informed of any additional check-in requirements of the facility. Upon completion of the work and prior to leaving the facility, the contractor must again see the COR, to get their signature on the service report and to leave a legible, photo copy of the service report with him or her; this constitutes “acceptance” by the COR and is required for payment.
SERVICE REPORTS: The service report becomes part of the permanent equipment history file; it shall indicate the preventive maintenance and calibration procedure used, manufacturer’s modifications and updates completed, description of all work performed including number of man hours, all parts replaced with part number or nomenclature. The service report should also indicate recommendations for future modifications, updates, parts replacement, operator instruction or procedural changes.
GENERAL: Contractor / Field Engineer, upon arrival at the facility, shall have all tools, test equipment, parts and manpower required for completion of the scheduled preventive maintenance inspection and/or repair service. At the completion of each preventive maintenance or repair visit, the equipment shall be calibrated and fully operational.
CONTRACTS: Contractor shall provide to the Contracting Officer’s Representative (COR), the name of the service personnel who will be working on the equipment as well as the name of the person responsible for contract administration. Telephone numbers for service calls and contract administration shall also be provided to the Contracting Officer’s Representative (COR). If applicable, the contractor shall provide the correct customer/account/reference numbers for each equipment location.
CONTRACT MONITORING: The Contracting Officer’s Representative (COR) will monitor by review of the information provided with the bids, evaluation of actual work performed, response, timeliness, checking-in, service reports, general compliance with contract specifications and technical requirements.
EQUIPMENT EVALUATION/INSPECTION: Prior to submitting the bids the contractor is responsible for pre-inspection of all anesthesia equipment listed below.
