(r) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C.
1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 18 U.S.C.
431 relating to officials not to benefit; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C. chapter 87, Kickbacks; 10 U.S.C. 2409 relating to whistleblower protections; 49 U.S.C. 40118, Fly American; and 41 U.S.C. chapter 21 relating to procurement integrity.
1052.201-70 CONTRACTING OFFICER’S REPRESENTATIVE (COR) APPOINTMENT AND AUTHORITY
(APR 2015)
(a) The COR(s) are named on the award form. Should a change to the COR(s) be necessary in the future, they will be named on the modification SF-30.
(b) Performance of work under this contract is subject to the technical direction of the COR identified above, or a representative designated in writing. The term “technical direction” includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, and/or fills in details and otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.
(c) Technical direction must be within the scope of the contract specification(s)/work statement. The COR does not have authority to issue technical direction that:
(1) Constitutes a change of assignment or additional work outside the contract specification(s)/work statement;
(2) Constitutes a change as defined in the clause entitled “Changes”;
(3) In any manner causes an increase or decrease in the contract price, or the time required for contract performance;
(4) Changes any of the terms, conditions, or specification(s)/work statement of the contract;
(5) Interferes with the contractor's right to perform under the terms and conditions of the contract; or
(6) Directs, supervises or otherwise controls the actions of the contractor's employees.
(d) Technical direction may be oral or in writing. The COR must confirm oral direction in writing within five workdays, with a copy to the Contracting Officer.
(e) The Contractor shall proceed promptly with performance resulting from the technical direction issued by the
COR. If, in the opinion of the contractor, any direction of the COR or the designated representative falls within the limitations of (c) above, the contractor shall immediately notify the Contracting Officer no later than the beginning of the next Government work day.

(f) Failure of the Contractor and the Contracting Officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the clause entitled “Disputes.”
1052.210-70 CONTRACTOR PUBLICITY (APR 2015)
The Contractor, or any entity or representative acting on behalf of the Contractor, shall not refer to the supplies or services furnished pursuant to the provisions of this contract in any news release or commercial advertising, or in connection with any news release or commercial advertising, without first obtaining explicit written consent to do so from the Contracting Officer. Should any reference to such supplies or services appear in any news release or commercial advertising issued by or on behalf of the Contractor without the required consent, the Government shall consider institution of all remedies available under applicable law, including 31 U.S.C. 333, and this contract. Further, any violation of this clause may be considered during the evaluation of past performance.
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.
LAPSE FUNDING
In the event of a lapse funding resulting in a government shutdown, the status of Fiscal Year funding and any necessary action required of the Contractor will be made available at the following website:

1052.232-39 UNENFORCEABILITY OF UNAUTHORIZED OBLIGATIONS (APRIL 2018) (DEVIATION
00002)
(a) Definition. As used in this clause-
"Commercial supplier agreements" means terms and conditions customarily offered to the public by vendors of supplies or services that meet the definition of commercial item set forth in FAR 2.101 and intended to create a binding legal obligation on the end user. Commercial supplier agreements (CSA) are particularly common in information technology acquisitions, including acquisitions of commercial computer software and commercial technical data, but they may apply to any supply or service. The term applies-
(1) Regardless of the format or style of the document. For example, a CSA may be styled as standard terms of sale or lease, Terms of Service (TOS), End User License Agreement (EULA), or another similar legal instrument or agreement, and may be presented as part of an offer or quotation responding to a solicitation;
(2) Regardless of the media or delivery mechanism used. For example, a CSA may be presented as one or more paper documents or may appear on a computer or other electronic device screen during a purchase, software installation, other product delivery, registration for a service, or another transaction.
(b) Except as stated in paragraph (c) of this clause, when any supply or service acquired under this contract is subject to any CSA, that includes any language, provision, or clause requiring the Government to pay any future fees, penalties, interest, legal costs or to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(1) Any such language, provision, or clause is unenforceable against the Government.

(2) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the CSA. If the CSA is invoked through an "I agree" click box or other comparable mechanism (e.g., "click-wrap" or "browse-wrap" agreements), execution does not bind the Government or any Government authorized end user to such clause.
(3) Any such language, provision, or clause is deemed to be stricken from the CSA.
(c) Paragraph (b) of this clause does not apply to indemnification or any other payment by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
52.232-40 PROVIDING ACCELERATED PAYMENTS TO SMALL BUSINESS SUBCONTRACTORS (DEC
2013)
(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.
(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment
Act.
(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial items.
1052.232-7003 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (APR 2015)
(a) Definitions. As used in this clause—
(1) “Payment request” means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR 32.905(b), "Content of Invoices" and the applicable Payment clause included in this contract.
(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Invoice Processing Platform (IPP). Information regarding IPP, including IPP Customer Support is available at www.ipp.gov or any successor site.
(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with Treasury procedures.
(d) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting
Officer’s written authorization with each payment request.

OVERPAYMENTS
In accordance with 52.212-4 section (i) 5 Overpayments: Accounts Receivable Conversion of Check Payments to electronic funds transfer (EFT): If the Contractor sends the Government a check to remedy duplicate contract financing or an overpayment by the government, it will be converted into an EFT. This means the Government will copy the check and use the account information on it to electronically debit the Contractor's account for the amount of the check. The debit from the Contractor's account will usually occur within 24 hours and will be shown on the regular account statement.

The Contractor will not receive the original check back. The Government shall destroy the Contractor's original check, but will keep a copy of it. If the EFT cannot be processed for technical reasons, the Contractor authorizes the Government to process the copy in place of the original check.
MARKING OF SHIPMENTS
The Contractor shall ensure the contract number is clearly visible on all shipping/service documents, containers, and invoices.
1052.242-70 POSTAWARD CONFERENCE (JAN 2017)
(a) A postaward conference will be held with the successful offeror.
(b) The postaward conference will be held in person. The Contracting Officer or authorized designee will provide the Contractor with the date, time and location as well as agenda for the postaward conference.
Alternate I (JAN 2017) If the Contractor is not required to attend the postaward conference in person, but will attend via an alternate method (e.g. telephone and video conferencing), substitute paragraph (b) with the following:
(b) The postaward conference will be held via [insert, e.g. telephone, video conferencing, or other method]. The Contracting Officer or authorized designee will provide the Contractor with the date and time along with other pertinent information, including the agenda for the postaward conference.

(d) Comptroller General Examination of Record. (2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.
Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

UNITED STATES CONSUMER PRODUCT SAFETY COMMISSION (CPSC)
BATTERY MANAGEMENT SYSTEM AUTOMATIC TEST EQUIPMENT
STATEMENT OF WORK (SOW)
A. Description The Contractor shall design and build an automatic test equipment (ATE) system to evaluate battery management system (BMS) operation using independently-controllable cell simulators in the place of the electrochemical cells in accordance with the requirements set forth in section D – Description of Work.
B. Objective In direct support of the Early Consultation Initiative (ECI) program tri-national project on power banks and as a part of the High Energy Density Batteries project, US Consumer Product Safety Commission (CPSC) staff will procure an automated test system to evaluate BMSs using electronically-simulated batteries, including for multi-cell configurations. Under the ECI program, in cooperation with Health Canada and Profeco (Mexico), ES staff will conduct testing to assess the safety of power banks with capacities up to 10000 mAh. The testing program will include assessment of the power bank’s electronic control circuit capabilities to protect the lithium-ion cells during normal operation (charging and discharging) as well as abnormal conditions (e.g., excessive cell temperatures, overloads and short circuits) of the power bank. Staff seeks to acquire a programmable, automated system that can assess BMS operation without having to use the power bank’s electrochemical cell(s).
CPSC staff requires an integrated automated and programmable test system to facilitate evaluation of BMSs with functionality that includes individual cell monitoring and balancing, temperature monitoring and fault testing.
Staff needs the capability of testing products with single cells like cellular telephones and power banks and multi-cell batteries like e-bikes and e-scooters, which may have a 42 V battery (20 cells - 10 parallel pairs connected in series). In addition, the test system shall be modularly upgradeable so that it can be expanded to evolve with possible future testing needs for higher voltage systems such as off-highway vehicles or residential energy storage systems.
C. Contract Type This is a firm-fixed price contract.
D. Description of Work Independently, and not as an agent of the Government, the Contractor shall design, build, test and deliver a BMS ATE with the specifications and requirements detailed in Items D.1 through D.10.
1. The base system shall include integrated instrumentation and control hardware with software with a user interface to permit the test operator to set the test parameters and run a test or series of tests to evaluate a BMS with a system-supplied programmable DC input power source and an electronically-simulated cell or battery.
a. Cell Simulation for up to 24 individual cells in series o Individual control of each cell, rated 5 V, 500 mA o System shall be capable of being expanded for a total of up to 200 cells (1000 V)
b. Cell Temperature Simulation o Resistance or +/- 10V outputs

2. The Contractor shall augment the base system with a fault testing module for simulation of individual or multiple cell failures

3. The contractor shall also provide an automated test interface with a software development tool including a developer’s license to allow staff to develop scripts to automate common tasks, including the following low-level test sequences.

c. Set resistance outputs for individual cells
d. Monitor BMS analog outputs
e. Set analog output values (simulated current or temperature) to the BMS
f. Set and monitor BMS discrete outputs, if needed
4. The fully integrated system, as described in Items D.1 through D.3, shall include the following physical features
a. Portable (can be readily moved on casters or wheels) rack-mounted system not to exceed a height of 7 feet 10 inches o Must contain 35% empty space to allow expandability of Power for system
b. Cord-and-plug connected, 120 VAC 60 Hz single phase, maximum 20 amps
c. Accessibility - connection/connectors to connect UUT and system must all be on the front of the rack
5. The system shall include the following cables:
a. Minimum cable length 6 feet
b. Individually labeled for intended use
c. Cables must be sized to carry the maximum available voltage/current for its intended use
6. The Contractor shall prepare documentation, including specifications and basic user instructions for the equipment described in Items D.1 through D.3, and shall provide it at the same time as delivery of the equipment.

20850 in a reliable means to assure that it is undamaged during transit

Within 45 days of delivery to NPTEC, the Contractor shall provide one day of training at the National Product Testing and Evaluation Center in Rockville, MD or virtually, if social distancing and/or travel limitations prevent physical presence, for up to 10 staff to educate the staff on the basic operations and features of the system (all travel and training expenses included).
9. For up to 6 months after delivery to NPTEC, the Contractor shall provide up to 10 hours of additional support by telephone and/or videoconferencing to assist in the set-up and troubleshooting of the system, including but not limited to the following:
o Assistance in the integration of specific scenarios into test sequences o User interface development for specific UUT needs o Custom software interfaces o Development of UUT test harnesses
10. The Contractor shall provide monthly reports on the progress of the construction of the system to the
CPSC Project Officer as detailed in Section E.1.
E. Reporting Requirements The Contractor shall submit the following reports to the Contracting Officer’s Representative:
1. Monthly Progress Reports
a. Content – the reports shall contain the following:
1) Status of the project
2) New developments
3) Problems
4) Proposed solutions
b. The reports shall be e-mailed to: _______________* or mailed to the following address:

2. Operator’s Instructions
a. Content – the instructions shall be a technical document to describe to a user how to conduct basic measurements using the system
b. The operator’s instructions shall be furnished in electronic format and may be e-mailed to:

F. Period of Performance The contract performance period shall begin on the effective date of this contract and continue for 345 days.
G. Delivery or Performance The following deliverable items for this contract shall be performed or delivered in accordance with the following schedule:

H. Government-Furnished Materials
1. All materials/equipment required in the performance of this contract shall be furnished by the Contractor.
I. Withholding of Contract Payment Notwithstanding any other payment provision of this contract, failure of the Contractor to submit required reports when due, or failure to perform or deliver required work, supplies, services or failure to complete the percentage of work claimed, will result in the withholding of payments under this contract unless such failure arises out of causes beyond the control, and without the fault or negligence of, the Contractor. The Government must promptly notify the Contractor of its intention to withhold payment of any invoice or voucher submitted.
KEY PERSONNEL REPLACEMENT PROCESS
Key personnel may, with the consent of the contracting parties, be amended from time to time during the course of the contract to add or remove key personnel. A formal modification is only required when the key personnel mailto:atrotta@cpsc.gov mailto:atrotta@cpsc.gov are specifically named in the contract. This process only applies to the extent that the contract does not otherwise specify notice or personnel replacement obligations.
Government Request The Government may require replacement of key personnel in the instance of non-performance, misconduct, or alleged misconduct whose continued use under a contract is contrary to the best interests of the Government.
Circumstances that support a request for replacement include but are not limited to performance that is inconsistent with the contract performance work statement (PWS), terms and conditions, or violations of Federal laws, regulations, or agency conduct standards. The Contracting Officer’s Representative (COR) will give written notice to the Contractor of the need for substitution, including the circumstances surrounding the request for replacement. In accordance with FAR Part 1.602-2(b), the Contracting Officer (CO) will ensure the Contractor receives impartial, fair, and equitable treatment; however, the CO is not required to investigate or validate allegations or wait until a final resolution of the circumstances surrounding the request for replacement before requiring substitution of key personnel.
Within twenty four (24) hours of receiving notice, the Contractor shall respond to the Government’s request to replace key personnel and provide key personnel replacement resume(s) to the COR(s).
