PART I - SUPPLIES OR SERVICES AND PRICES/COSTS
1.0 LINE ITEM DESCRIPTION
In accordance with this contract, the Contractor shall provide all management, personnel, materials, labor, equipment and facilities, except as specified herein to be furnished by the Government, and shall do all that which is necessary to satisfy the requirements listed in Part II- Performance Work Statement.
1.1 Pricing
The offeror is required to propose a fully burdened fixed price for the CLIN structure.
The fully burdened cost applies to all direct labor hours, which includes labor performed by all personnel actually engaged in the direct performance of work required under this contract. All prices must be fully loaded, including but not limited to, items such as overhead, local travel, etc.
Task orders will be issued on a firm fixed price basis utilizing the hourly rate provided below.

The following category is not subject to the Service Contract Act:
1. Project Management Services;
1.2 Travel
The cost of local travel, meal, and/or incidental expenses cost will not be reimbursed for Contractor performance in any task order. The Government will reimburse the Contractor for non-local travel in accordance with the Federal Travel Regulation (FTR) for travel that consists of a one day trip to and from location to have fingerprints and other security forms completed. The travel cost will be reimbursed at cost. Contractor shall provide receipts for all travel expenses. No reimbursement for other direct costs.

PART II – SPECIFICATION/ WORK STATEMENT/
PERFORMANCE WORK STATEMENT
2.0 SCOPE
The contractor will provide all labor, management, and supervision required to provide the specified temporary services listed in Section 1.1, Pricing, to the OCC on a nationwide basis. This will be an indefinite delivery, indefinite quantity type contract in which the contractor shall provide service in accordance with this Performance Work Statement (PWS).
2.1 BACKGROUND
The OCC is a non-appropriated federal financial regulatory agency with approximately 2,850 permanent employees in 100 cities nationwide. OCC employees are located in offices throughout the contiguous United States with the majority of employees located in Washington, DC. The OCC also has five employees located in London, England.
The OCC was established in 1863 as a bureau of the U. S. Department of Treasury. The Comptroller is the chief executive of the OCC. The President appoints the Comptroller for a five-year term with the advice and consent of the Senate. The Comptroller also serves as a director of the Federal Deposit Insurance Corporation (FDIC) and a director of the Neighborhood Reinvestment Corporation.
The OCC has locations in approximately 74 locations through out the United States. The OCC's nationwide staff of examiners conducts on-site reviews of national banks and provides sustained supervision of bank operations. The agency issues rules, legal interpretations, and corporate decisions concerning banking, bank investments, bank community development activities, and other aspects of bank operations.
2.2 PERFORMANCE REQUIREMENTS
This is a non-personal services contract to provide temporary services nationwide for the OCC. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn, is responsible to the Government.
Description of Services The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform provide temporary services as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.
Labor Categories Duties and Responsibilities Executive Secretarial Support Services
Includes, but is not limited to, the duties listed below:
· Prepares correspondence, reports, and materials
· Schedules travel arrangements
· Maintains Office and Managers’ calendars
· Meet and greet customers and visitors
· Setup and coordinate meetings and conferences
· Answer telephones and handle in appropriate manner with proper protocol
· Perform advanced clerical duties which include photocopying, faxing, mailing and filing
· Sign for UPS/Fed Ex/Overnight packages
· Distribute mail
· Maintain Mail log system
· Coordinate project-based work
· Knowledge of Microsoft Office
· Computer literate with the ability to learn new software applications.
· Professional verbal and written communication skills and the ability to type 60 wpm
· Attention to detail, excellent organizational skills
· Discretion with confidential information
Administrative Support Services
Includes, but is not limited to, the duties listed below. This position includes receptionists, file clerk, secretary, or administrative assistant.
· Answer telephone calls, including taking accurate messages and referring question from bankers who have general inquiries for division staff.
· Copy, distribute, and file documents.
· Arrange meetings for staff members, including dealing courteously and effectively with senior agency managers and their staff, senior managers of other government agencies and their staff, and out-side individuals.
· Arrange for necessary conference rooms and equipment for meetings.
· Create and edit documents using Microsoft Office and HTML;
· Create and edit spreadsheets using Excel;
· Scan documents and file on OCC's electronic library;
· Create and edit presentations using PowerPoint software;
Data Entry Support
· Work is routine and repetitive. Works from various standardized source documents which have been coded and require little or no selecting, coding or interpreting of data to be entered.
Project Management Services
· Coordination and completion of projects. Oversees all aspects of projects. Sets deadlines, assigns responsibilities, and monitors and summarizes progress of project. Prepares and submits reports, when necessary. May require a bachelor's degree and 2 -4 years of experience in the field or in a related area.
Legal Clerk
· Consults prescribed sources of information for facts relating to matters of interest to the program. Reviews documents to extract selected data and information relating to specific items; Reviews and summarizes information in prescribed format on case precedent and decisions. Searches and extracts legal referenced in libraries and computer data banks. Attends hearings or court appearances to become informed on administrative and/or court procedures and the status of cases, and where necessary, assists in the presentation of charts and other visual information.
File Clerk
Includes, but is not limited to, the duties listed below:
· Files correspondence, cards, invoices, receipts, and other records in alphabetical or numerical order or according to the filing system used.
· Locates and removes material from files as requested.
· Creates new files as necessary
· Answers questions related to records and files
· Eliminates outdated or unnecessary materials, destroying them or transferring them to inactive storage facilities
· Assign and record or stamp identification numbers or codes in order to index materials for filing
· Keeps record of materials filed or removed, using logbooks or related software
· Tracks materials removed from files in order to ensure that borrowed files are returned
· Scan or read incoming materials in order to determine how and where they should be filed
· Answers phones
Receptionist
Includes, but is not limited to, the duties listed below:
· Attend to visitors and deal with inquiries on the phone and face to face. Supply information regarding the organization to the general public, clients, and customers.
· Answer telephone, screen and direct calls
· Take and relay messages
· Provide information to callers
· Greet persons entering organization
· Direct persons to correct destination
· Deal with queries from the public and customers
· Ensures knowledge of staff movements in and out of organization
· General administrative and clerical support
· Prepare letters and documents
· Receive and sort mail and deliveries
· Tidy and maintain the reception area
Mail Clerk
· Codes and files documents. Opens mail, runs mail through metering machines and calculates and posts charges to accounts. Delivers mail to OCC employees in specific building(s)
Paralegal Support
· Reviews case materials to become familiar with questions under consideration; searches for and summarizes relevant articles in trade magazines, law reviews, published studies, financial reports, and similar materials for use of attorneys in the preparation of opinions, briefs, and other legal documents.
Editor/Technical Writer
· Develops, writes, and edits material for reports, manuals, briefs, proposals, instruction, books, catalogs, and related technical and administrative publications concerned with work methods and procedures, and installation, operation and maintenance of machinery and other equipment.
Hours of Operation and Coverage
The contractor shall provide the support services to the Office requesting the service in accordance with the hours of operation as requested by the requesting office. The requesting office will coordinate with the Contracting Officer's Technical Representative and the Contractor to establish the appropriate hours of coverage required, which will be provided in the task order when it is issued.
Minimum Qualifications The contractor shall ensure each of its provided temporary services employee shall at minimum:
· Pass security clearance
· Pass a credit check (minimum credit score of 550)
· Be a United States Citizen
· Have a high school diploma or equivalent
· Operate facsimile, photocopy, and other office equipment
· Use a computer and learn OCC designated software for electronic mail, word processing, spreadsheet preparation and inventory file tracking
· Work well in a team environment, read and follow instructions explicitly, and prioritize work
· Have good oral and written communication skills
· Pay attention to detail information
· Be literate, well groomed and courteous
· Be alcohol and drug-free
· Have the ability to lift at least 50 pounds
· Be capable of interacting effectively with external customers and OCC staff at every level The Contractor shall not employ persons for work on this contract if such employees are considered by the Contracting Officer to be a potential threat to the health, safety, security, general well-being or operational mission of the installation and its population.
Personnel
Resumes are required for all personnel assigned under this contract. The Contractor shall:
· Provide a resume for review only for Administrative Support Services, Data Entry Support, File Clerk, Receptionist, and Mail Clerk task orders within two (2) business days of request
· For all other labor categories, provide a resume for review only within five (5) business days of request.
· Maintain an OCC security approved contractor(s) not specifically assigned to a task order to be used for absences of one day or more and quick departures for Washington, DC located task orders.
· The Contractor shall submit a thirty (30) day written notification to the COTR of the potential loss of personnel along with the resume of the potential replacement for assignments that last longer than 30 days.
2.3 DELIVERABLES
1) Qualified temporary support services personnel
2.4 POST-AWARD MEETING
The OCC will have a post-award meeting within fifteen days after contract award. The post-award meeting will be held at OCC Headquarters in Washington, DC and will also serve as the kick-off meeting, which will include a discussion of schedule for the completion of this requirement and any other pertinent information that the contractor will need to in order to meet the performance requirements of this contract.
2.5 GOVERNMENT FURNISHED INFORMATION
For performance of work under this contract, the Government will provide all information required to perform the requisite task.
2.6 GOVERNMENT FURNISHED PROPERTY
For performance of work under this contract, the OCC will provide sufficient office space, assess to the local network for email and office supplies, furniture, access to telephone lines, printers, fax machines, copiers and other similar type facilities for personnel while working on-site. Long distance telephone access shall be limited to OCC business use only.
2.7 MANAGEMENT PLAN
The Contractor's Management Plan details the process for obtaining personnel to provide the professional services as requested by the COTR to satisfy services required at any OCC Office. The final management plan will be negotiated after contract award and be fully operational within 30 days of contract award. When approved by the COTR, the management plan shall be incorporated into the contract and Contractor shall operate under the management plan. The management plan shall include at least the following elements: a performance measurements plan and a communications plan. The management plan shall promote excellence in all functional areas of the contract. The specifics of the plan may be changed periodically through negotiation and contract modification to establish parameters that are fair and optimally helpful to the performance of this contract.
The plan shall include strategies to avoid the following:
Loss of time in filling a required support position; or
Loss of time in obtaining a replacement when the assigned individual is absent from the office.
The contractor shall establish a remedy plan for not having contractor support within the timeframe required.
2.8 QUALITY ASSURANCE
The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
2.9 CONSTRAINTS
1. An individual employee of a support company may work at any office of the OCC for up to 120 workdays in a 24-month period. The 24 month period begins on the first day of assignment.
The OCC may make an exception for an individual to work up to a maximum of 240 workdays in a 24-month period only when the Director of the appropriate business unit submits a written determination to the Contracting Officer stating that using the services of the same individual for the same situation will prevent significant delay.
2. Hours of Operation: The contractor is responsible for conducting business, between the hours specified in the task order Monday thru Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. For other than firm fixed price contracts, the contractor will not be reimbursed when the government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.
3. OFFICE OF PERSONNEL MANAGEMENT (OPM) REGULATIONS ON THE USE OF PRIVATE SECTOR TEMPORARIES Conditions for use:
An agency may use private sector temporary help when one of the following short-term situations exists:
1) An employee is absent for a temporary period because of a personal need including emergency, accident, illness, parental or family responsibilities or mandatory jury service.
2) An agency must carry out work for a temporary period that cannot be delayed in the judgment of the agency because of a critical need.
These services shall not be used:
1) In lieu of the regular recruitment and hiring procedures under the civil service laws for permanent appointment in the competitive civil service.
2) To displace a Federal employee.
3) To circumvent controls on employment levels.
4) In lieu of appointing a surplus or displaced Federal employee as required by 5 CFR part 330, subpart F (Agency Career Transition Assistance Plan for Displaced Employees)
TIME LIMITATIONS:
An agency may use a temporary help service firm(s) in a single situation, as defined in 5 CFR part 300.504, initially for no more than 120 workdays. Provided the situation continues to exist beyond the initial 120 workdays, the agency may extend its use of temporary help services up to the maximum limit of 240 workdays. An individual employee of any temporary help firm may work up to a maximum of 240 workdays only when the agency has determined that using the services of the same individual for the same situation will prevent significant delay.
Facility Closure: Federal agencies should not pay temporary employees for services not rendered. Example of this would be if the Federal Facility which the temporary employee is scheduled is closed, i.e. bad weather, executive leave granted, etc.

2.10 PERFORMANCE REQUIREMENTS SUMMARY
The contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement. These thresholds are critical to mission success.

PART III - OTHER CONTRACTUAL TERMS AND CONDITIONS
Type of Contract
This is a performance based IDIQ contract, with firm fixed price task orders.
3.0 Administrative Clauses
PERIOD OF PERFORMANCE:
The Period of Performance of this contract shall be from October 1, 2010 through September 30, 2011. There are four one-year option periods.
1052.215-8002 (OCC) KEY PERSONNEL
(a) The Contractor has assigned to this contract the following key personnel to the identified positions/functions:

(b) During the period of contract performance, the Contractor shall not substitute key personnel identified above unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the CO and COTR within 1 working day after the occurrence of any of these events and provide the information required by paragraph (c) below at least 10 working days prior to making any permanent substitutions.
(c) The Contractor shall provide a detailed explanation of the circumstances necessitating any proposed substitution, provide resumes for the proposed substitutes, and provide any additional information requested by the CO. Proposed substitutes must possess qualifications comparable or superior to the original key person, as well as satisfying any minimum standards. The CO will notify the Contractor within 5 working days after receipt of all required information of the decision regarding acceptability of substitutions. This clause will be modified by the Contracting Officer to reflect any approved changes of key personnel.
(d) This individual shall be responsible for the overall management, quality, and coordination of this contract and shall act as the central point of contact with the OCC. The individual must have a minimum of three years of management experience in the industry.

POST AWARD ORIENTATION CONFERENCE
Post-award orientation conference will be scheduled immediately following contract award and will be coordinated by the Contracting Officer. The purpose of the conference will be to familiarize the Contractor with the contract administration procedures, contract clarifications, contract requirements, and expectations. The conference will be structured to achieve a clear and mutual understanding of all contractual administrative requirements and to identify any potential problem areas.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 1 day of contract end date.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 1 day of contract end date; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 15 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

1052.201-8000 (OCC) CONTRACTING OFFICER'S TECHNICAL REPRESENTATIVE (COTR) DESIGNATION AND AUTHORITY (NOV 2008)
(a) The contracting officer's technical representative will be identified via separate letter to the contractor.
(b) Performance of work under this contract must be subject to the technical direction of the COTR identified above, or a representative designated in writing. The term "technical direction" includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, fills in details and otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.
(c) Technical direction must be within the scope of the specification(s)/work statement. The COTR does not have authority to issue technical direction that:
(1) constitutes a change of assignment or additional work outside the specification(s)/work statement;
(2) constitutes a change as defined in the clause entitled "Changes";
(3) in any manner causes an increase or decrease in the contract price, or the time required for contract performance;
(4) changes any of the terms, conditions, or specification(s)/work statement of the contract;
(5) interferes with the contractor's right to perform under the terms and conditions of the contract; or,
(6) directs, supervises or otherwise controls the actions of the contractor's employees.
(d) Technical direction may be oral or in writing. The COTR shall confirm oral direction in writing within five work days, with a copy to the contracting officer.
(e) The contractor shall proceed promptly with performance resulting from the technical direction issued by the COTR. If, in the opinion of the contractor, any direction of the COTR, or his/her designee, falls within the limitations in (c), above, the contractor shall immediately notify the contracting officer no later than the beginning of the next Government work day.
(f) Failure of the contractor and the contracting officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the clause entitled "Disputes".

1052.204-8001 (OCC) IDENTITY VERIFICATION OF CONTRACTOR PERSONNEL (OCT 2008)
(a) The contractor shall comply with agency personal identity verification of contractor procedures identified in the contract that implement Homeland Security Presidential Directive 12 (HSPD-12), Office of Management and Budget (OMB) guidance M-05-24, as amended, and Federal Information Processing Standards Publication (FIPS PUB) Number 201, as amended.
(b) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine physical access to federally-controlled facility and/or routine access to federally-controlled information system.

1052.204-8002 (OCC) REQUIRED CENTRAL CONTRACTOR REGISTRATION (NOV 2009)
The Office of the Comptroller of the Currency (OCC) uses the Central Contractor Registration database as its database for contractor information. Accordingly, the following requirements apply to this contract.
(a) Definitions. As used in this clause –
(1) "Central Contractor Registration (CCR) database" means the primary Government repository for contractor information require or the conduct of business with the Government.
(2) "Data Universal Number System (DUNS) number" means the 9-digit number assigned by Dun and Bradstreet Information Services to identify unique business entities.
(3) "Data Universal Numbering System+4 (DUNS+4) number" means the DUNS number assigned by Dun and Bradstreet plus a 4-digit suffix that may be assigned by a parent (controlling) business concern. This 4-digit suffix may be assigned at the discretion of the parent business concern for such purposes as identifying sub-units or affiliates of the parent business concern.
(4) "Registered in the CCR database" means that all mandatory information, including the DUNS number or the DUNS+4, if applicable, is in the CCR database; the DUNS number has been validated; and all edits have been successfully completed.
(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee must be registered in the CCR database prior to award, during performance, and through final payment of any contract resulting from this solicitation, except for awards to foreign vendors for work to be performed outside the United States.
(2) The offeror shall provide its DUNS or, if applicable, its DUNS+4 number with its offer, which will be used by the Contracting Officer to verify that the offeror is registered in the CCR database.
(3) Failure to register in the CCR database will make an offeror ineligible for award of an OCC contract.
(4) Contractors will be registered in the CCR database within 48 hours after receipt of a complete and accurate application via the Internet. However, registration of an applicant submitting an application through a method other than the Internet may take up to 30 days. Therefore, offerors that are not registered should consider applying for registration immediately upon receipt of this solicitation.
(b) The Contractor is responsible for the accuracy and completeness of the data within the CCR, and for any liability resulting from the Government's reliance on inaccurate or incomplete data. To remain registered in the CCR database after the initial registration, the Contractor is required to confirm on an annual basis that its information in the CCR database is accurate and complete.

1052.212-8001 (OCC) SUPPLEMENTAL INVOICING REQUIREMENTS – Commercial Item (OCT 2008)
In addition to the invoicing requirements specified in clause 52.212-4, Contract Terms and Conditions--Commercial Items, of this contract, the following special invoicing requirements also apply to the submission of invoices.
(a)(i) The contractor shall submit invoices in a format that replicates the line item (CLIN) and subline item (subCLIN) structure of the contract or, in the case of an order against a contract, the CLIN and subCLIN structure of the order. Each invoice shall provide, by CLIN and subCLIN, the line item number, description, quantity being invoiced, unit of measure, unit price, and current invoiced amount. Each invoice shall sequence CLINs and subCLINs in the same order in which they appear in the contract or order and shall be totaled at the bottom of the invoice.
(ii) If the contract allows for the submission of partial or periodic invoices, the contractor shall include an additional column, titled “Cumulative Amount,” to the right of the “Current Invoiced Amount” column. In the “Cumulative Amount” column, the contractor shall enter the total amount that has been billed for each contract line item and subline item through the end of the current invoice period.
(iii) The contractor shall submit invoices that conform to the requirements listed in subparagraphs (a)(i) and (ii) above. The contractor shall not deviate from this format without the expressed, written permission of the contracting officer. To further clarify the guidance provided in these paragraphs, a sample, generic invoice accompanies this clause.
(b) The contractor shall identify the point of contact (POC) or contracting officer’s technical representative (COTR) for this contract on the face sheet of all invoices submitted under the contract. The POC or COTR is identified in (b)(ii) below. The contractor shall precede the POC or COTR’s name with either a “POC” or “COTR” label, as appropriate (e.g., “POC: John E. Doe”).
(c) The contractor shall submit an original and two copies of each invoice. The contractor shall submit the original and all copies of the invoice at the same time. Submission shall be as follows:
