SOLE SOURCE JUSTIFICATION UNDER SIMPLIFIED PROCEDURES FOR CERTAIN COMMERCIAL

ITEMS IN ACCORDANCE WITH FAR 13.5

1. Contracting Activity: Department of Veterans Affairs, Veterans Integrated Services Network (VISN) 10, Louis Stokes Cleveland Veterans Affairs Medical Center (CLE VAMC) Network Contracting Office (NCO) 10.

2. Nature and/or Description of the Action Being Processed: Network Contract Office (NCO) 10 intends to award a new, firm fixed price, brand name purchase order for Hill Rom/Baxter Centrella beds. This procurement is in accordance with FAR 13.5 Simplified Procedures for Certain Commercial Items and specifically FAR 13.501, Special Documentation Requirements, where acquisitions conducted under Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6, but still require a justification using the format of FAR 6.303 2.

3. Description of Supplies/Services Required to Meet the Agency’s Needs: The CLE VAMC requires a total replacement for its operating fleet of hospital beds and mattresses used in the Acute Care (Medical Surgical) and Community Living Center/Long Term Care (CLC unit CT2) inpatient units. The aging and outdated fleet at the CLE VAMC is nearing end of lifecycle and many of the assets are beyond economical repair. The CLE VAMC requires a modern hospital bed and mattress system that is designed to optimize patient safety and satisfaction through advanced technology for fall prevention, pressure injury reduction, increased comfort, improved communication, and patient convenience features. The CLE VAMC requires a hospital bed system that is purposefully designed with a platform that is fully compatible with our existing Hill Rom systems that will give our clinical team members the technology needed to address the changing needs of our patients and the evolving needs of our facility to ensure we are providing the highest level of care.

4. Statutory Authority Permitting Restricted Competition: FAR 13.5 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106 1(b)(2) for restricting competition on this procurement.

Competition is restricted on this procurement for the reason below:

( X ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): Per FAR 11.105 Items peculiar to one manufacturer and 12.4 Unique Requirements Regarding Terms and Conditions for Commercial Items, Hill Rom Company/Baxter is uniquely qualified to provide beds based on the following:

There is only one potential source or brand name that will meet the needs of the CLE VAMC. Hill Rom Company/Baxter is the original equipment manufacturer (OEM) of the Centrella bed and owns all proprietary technology for this highly specialized equipment, components, and ability to integrate with major existing systems currently used at the CLE VAMC. Hill Rom Company/Baxter is a leading global provider of medical technologies and programs focusing on improving clinical and economic outcomes. By standardizing the Centrella bed, the Cleveland VA Medical Center will be able operate more efficiently across the hospital.

The Centrella bed contains highly specialized EarlySense® technology for contact free continuous monitoring solutions across the care continuum such as contact free heart rate and respiratory rate sensing and analytics technology. This state of the art technology solution alerts clinicians and care givers to potential patient deterioration events much earlier than traditional monitoring methods, enabling interdisciplinary care teams to intervene and avoid negative outcomes more effectively. The Centrella beds advanced technology has been proven to prevent adverse events, including code blue events which are a result of cardiac or respiratory arrests, preventable intensive care unit (ICU) transfers, patient falls, pressure injuries and hospital readmissions. This highly specialized technology leverages artificial intelligence (AI) and data analytics to provide actional health insights and improve clinical outcomes. The Centrella Smart beds EarlySense® and ReadyConnect® technology is transforming inpatient care by integrating advanced sensing and analytics into the bed, offering a complete patient safety platform to assist direct care providers in

The advanced technology features of the Centrella bed and integration with the existing Hill Rom Company/Baxter Navicare® and ReadyConnect® nurse call system features ensures that timely and effective clinical intervention is achieved for each patient. The Centrella beds advanced technology and integration with the existing Hill Rom Company/Baxter Nurse Call systems provides safe, data drive care, with the potential to save lives and significant costs for the CLE VAMC.

Accordingly, Hill Rom Company/Baxter is the only firm capable of providing the supplies and services described in Section III above without the Veteran’s Health Administration experiencing unacceptable delays in fulfilling its requirements.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: A Sources Sought Notice, RFI 36C25024Q0439, was posted on FBO from March 18, 2024 through March 22, 2024 with the following responses:

This product intended use in for an operating/surgical procedure patient care environment. The Cleveland VAMC needs Medical Surgical inpatient hospital beds. The design, specifications and purpose of this product would be totally inappropriate for a Medical Surgical inpatient care setting.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The anticipated cost will be considered fair and reasonable based on competitive quotations or offers. The determination of price fairness and reasonableness will be made IAW FAR 13.106 3(a)(1).

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: As described in Section 6 above, market research, in accordance with FAR Part 10, was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties.

A Sources Sought Notice, VetCert, DSBS, SAM, OEM, MSPV, Interagency Contract Directory, GSA, FSS, FPDS, ECAT, BIC and FDA were reviewed with the following results:

A Sources Sought Notice, RFI 36C25024Q0439, was posted on FBO from March 18, 2024, through March 22, 2024, with the following responses: Please see section 6.

In accordance with January 9, 2023, advisory for VetCert usage, VetCert was queried, as required, using NAICS 339113. The search provided 917 results. The SDVOSB and VOSB vendors in the market research were contacted to see if they can provide or are able to provide comparable equipment with Disorb Systems, Inc., and The Janz Corporation available to provide the equipment requested. https://veterans.certify.sba.gov/

A search was conducted in Small Business Administration (SBA) Dynamic Small Business Search (DSBS) SBA SBA Search Results under NAICS CODE 339113 and key word “Centrella” which resulted in no results.

A search was conducted on SAM SAM.gov | Search using key word “Centrella” which resulted with no results.

The OEM, Hill Rom Company/Baxter, was contacted to receive a list of authorized distributors, with a concentration on SDVOSB and VOSB authorized distributors. The OEM contact, Christy Frederick, stated that they have two open market distributors, The Janz Corporation and Disorb Systems Inc.

A search was conducted on National Strategic Source Listing Medical/Surgical Prime Vendor (MSPV) Program Office of Procurement, Acquisition and Logistics (OPAL) (va.gov) using key word “Centrella” which resulted in no results.

A search was conducted on the Interagency Contract Directory Interagency Contract Directory Portal with key word “Centrella” which resulted in no results.

A search was conducted on GSA eLibrary for GSA and FSS Search Results (gsaadvantage.gov) with key word “Centrella” which resulted with Hill Rom Company, 36F79721D0160 (ends:

Apr 30, 2026) as the only source.

A search was conducted in Federal Procurement Data System (FPDS) FPDS NG ezSearch with key word “Centrella” with several results showing Disorb Systems, Inc., Hill Rom, Inc.

and The Janz Corporation.

IAWMBMemorandumM 19 13 Category Management: Making Smarter Use of Common Contract Solutions and Practices, this requirement cannot be satisfied through Best in Class contracting (BIC).

A search was conducted in The U.S. Food & Drug Administration (FDA) Search | FDA with key word “Centrella” which resulted in no results.

There are no Buy American Act (BAA) and a Trade Agreement Act (TAA) issue to be concerned with. This system is currently made in America.

The NMR does apply to this procurement. The SBA does not have a waiver for NAICS code 33913. Due to having no small business manufacturers, the VA and SBA Rule of Two cannot be met. This will be competed unrestricted.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition: The CLE VAMC has implemented the Hill Rom Company/Baxter Nurse Call platform with Hill Rom Company/Baxter bed system integration in all inpatient care units. The existing Hill Rom Company/Baxter hardware and software do not interface well with their competitors’ products due to technological differences and intellectual property. Implementing a product made by another manufacturer other than Hill Rom Company/Baxter would disrupt streamlined clinical workflows and other automated features which could lead to potential hard to our patients and would be considered a major safety risk. The existing nurse call and bed system integration using Hill Rom Company/Baxter products has been a major financial and technology investment by the CLE VAMC that has been customized and configured to

The Hill Rom Company/Baxter product line is the lone source that can meet the needs of our Veterans in regard to purchasing a bed system that has the ability to support the changing needs of our healthcare facility so that we can deliver elevated care to our veterans.

FITARA is not required, it is not IT related.
