2. This solicitation is for a one year with four-option year’s firm-fixed price for SEM Microscope general services and maintenance contract. Quoted price shall include all costs necessary to provide services at the address as noted in SOW. Please use the price schedule (next page) for micrscopes.

2. Scope of Work: The Contractor shall provide all labor, equipment, tools, supervision and other items or services necessary to perform general maintenance and repars as defined in the Statement of Work (SOW).
A) Hours of Operation. No work will be performed on Federal holidays without prior approval of the Contracting Officer (CO).

1) All contractors shall have a valid picture identification such as a driver’s license or a state identification card.
2) All vehicles shall have proper insurance and registration for all vehicles entering the facility grounds.
3) All contractors working at the facility shall remain in the area of the project.
Anyone found outside of the designated work area will be removed from the facility and not allowed to return.
4) No guns, firearms, ammunition and/or weapons of any kind are permitted on site, regardless of the permitting authority or where the item(s) is stored, secured or carried.

3. Safety and Security Requirements
a. In accordance with the USDA regulations, a Background Investigation is required prior to starting work under this contract, as well as maintaining it throughout the duration of the contract. Prior to start of work, the CONTRACTOR shall provide only fully qualified and properly cleared employees for the work to be performed under this SOW. The contractor shall, through their own internal background investigation protocol and pre-employment investigation, ensure that each employee submitted for a background investigation is reasonably expected to receive a favorable adjudication of their respective investigations and training.
b. The USDA, APHIS will pay for the required background investigations. The government shall have and exercise full and complete control over granting, denying, withholding, or termination the background investigation clearance for employees.
c. All contractor personnel that will have access to the APHIS facilities will be required to have a Background Investigation (BI) with no less than favorably adjudicated returned results. Once approved and working at the facilities, contractor personnel shall not be removed or diverted from the site without prior notification to the designated COR. The COR will work with HR Classification to determine the level of background investigation for those prime and subcontractor employees consistent with those position sensitivity designations in the Homeland Security Presidential Directive (HSPD) 12. The level of background investigation required will depend upon the work of the position. It is estimated the type of BI’s required for the various personnel will be one of the following: National Agency Check with Inquiries (NACI), Minimum Background Investigation (MBI), or Limited Background Investigation (LBI) either a Public Trust, High Risk or a Public Trust, Moderate Risk - Minimum Background Investigation. The APHIS Security staff will advise the contractor on the appropriate type of BI required under this contract.
d. The contractor shall not employ persons for work on this contract if such employee is considered by the contracting officer to be a potential threat to health, safety, general well-being or operational mission of USDA and its employees. If the contracting officer finds a prospective employee to be unsuitable for his or her assigned duties, the contractor will be advised

(1) Contractors shall comply with the personal identity verification (PIV) policies and procedures established by the AGAR Advisory No. 81, Revision 03 dated July 19, 2010 – Common Identification Standard for Contractors. In addition, procedures to be followed by contractors and contractor employees are specified in the Departmental Regulation and Departmental Manual (DM) 4620-

(2) All applicable contractor employees requiring routine, long term (the aggregate of 6 months or more) physical access to Federally-controlled facilities or routine access to Federally-controlled information systems must go through the identify proofing, registration, and e-verify process, and have a successful background investigation conducted by OPM. The level of investigation required is dependent on the duties and may require a low-risk non-sensitive National Agency Check with (Written) Inquiries, an Office of Personnel Management (OPM) Public Trust or an OPM National Security background investigation to serve on the contract. E-Verify is an electronic system which checks employee information obtained from the Employment Eligibility Verification form (I-9 form) against records maintained by both the Department of Homeland Security (DHS) and the Social Security Administration (SSA). If the information input matches the DHS and SSA records, an ‘employment authorized’ message will be received. However, any discrepancy between the information input and the records at DHS and SSA will result in an alert being issued. The alert is called a Notice of Tentative Non-Confirmation (TNC) and further action is required. All background investigations or clearances must be done one week prior to commencing work. Where this is not practical and the prime or subcontractor requires intermittent access to federally controlled facilities or are under the aggregate 180 day limit, a temporary guest ID badge will be issued and/or such laborer may be under constant supervision and their access to areas or data may be more restricted. Laborers who will NOT have routine unaccompanied physical access to a Federally-controlled facility and/or routine unaccompanied access to a Federally-controlled information system may be excluded from coverage by AGAR Advisory 81 based on the LincPass Distribution Risk Assessment. The LincPass Distribution Risk Assessment will be conducted by a USDA Sponsor for laborer’s (Contracting Officer’s Representative, or other Government designated program/project officers) as part of the PIV II registration, identity proofing, and credential issuance procedures. Examples of probable exclusion are couriers, express mail and package or other delivery persons.

(3) The Contractor shall provide to the USDA PIV Sponsor and the Personnel Security Specialist listed below, a list of all contractor and subcontractor employees full name, job title, employer (prime or subcontractor), contract number, performance period and/or the days employee is expected to be on-site for base year and each period of performance, if applicable, and information on OPM’s background investigation or clearance conducted by the prime or subcontractor and that contractor employees pass the background check.
(4) The Contractor shall take full responsibility to ensure that prime and subcontractor employees who require routine, long-term physical access to federally controlled facilities and logical access to Federally controlled information systems except for "national security systems" as defined by 44 U.S.C. 3542(b)(2), are required to complete and submit HRO 1197, Contractor Supplement and the AD-1197, Request for USDA Identification (ID) Badge, along with copies of two identity source documents (one being a photo ID) and two completed fingerprint cards (FD-258 attached), to the following. You can obtain these forms and further guidance from the Personnel Security Specialist who oversees the investigation process for contractors:

(5) The Security Specialist will validate the level of background investigation required of the employee’s position, and initiate them into OPM’s secure on-line e-QIP portal and will provide further instructions by means of email for completing the electronic questionnaire.

4. Key Control. The Contractor will be issued keys and/or security access codes by the
Government for office access. No keys shall be duplicated unless authorized in writing by the COR. The supervisor shall issue keys to Contractor employees and be responsible for their return.
The Contractor shall report the occurrence of a lost key immediately to the COR. The Contractor shall prohibit the use of keys and access codes issued by the Government by any persons other than the Contractor’s employees. The Contractor’s employees shall

5. Employee Conduct
All work under this contract shall be performed in a skillful and workman like manner.
The Contracting Officer may, in writing, require the Contractor to remove from the work any employee the Contracting Officer deems incompetent, careless, or otherwise objectionable, or for theft, possession and/or removal of materials, supplies, equipment, or any Government-owned property.
The Contractor shall prohibit his/her employees from disturbing papers on desks, opening desk drawers or cabinets, or using telephones or office equipment provided for official Government use.
The Contractor will not be allowed to have any persons (family members or otherwise) on the premises to either work or accompany the Contractor or his/her employees during any performance of the contract.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-
