SAM Announcement: Combined Synopsis Solicitation Notice

DESCRIPTION: THIS IS A COMBINED SYNOPSIS/SOLICITATION FOR

COMMERCIAL ITEMS PREPARED IN ACCORDANCE WITH THE FORMAT IN

FEDERAL ACQUISITION REGULATION (FAR) SUBPART 12.6-STREAMLINED

PROCEDURES FOR EVALUATION AND SOLICITATION FOR COMMERCIAL

ITEMS -AS SUPPLEMENTED WITH ADDITIONAL INFORMATION INCLUDED IN

THIS NOTICE. THIS ANNOUNCEMENT CONSTITUTES THE ONLY

SOLICITATION; PROPOSALS ARE BEING REQUESTED, AND A WRITTEN

SOLICITATION DOCUMENT WILL NOT BE ISSUED.

This solicitation is Request for Proposal (RFP) 140D0422R0046. The solicitation document and incorporated provisions and clauses are those in effect through the Federal Acquisition Circular (FAC) 2024-03, effective 02/23/2024. The requirement is 100% set-aside for small businesses. The associated North American Industrial Classification System (NAICS) code for this procurement is 513210 Software Publishers. An individual waiver of Nonmanufacturer Rule was obtained from the Small Business Administration for this solicitation. Vendors with less 500 employees are considered to meet the size standard for this requirement.

This acquisition is for the Department of the Interior (DOI), Office of the Chief Information Officer (OCIO) to establish a single-award indefinite-delivery indefinite quantity (IDIQ) contract to procure brand name only Adobe products and related services.

The Acquisition Service Directorate (AQD) under DOI Interior Business Center (IBC) is issuing this brand name only RFP to solicit Authorized Adobe resellers that are capable of offering products under DOI Adobe ETLA to enter into an IDIQ contract with a period of performance of a 12-month Base Period and two (2) 12-month Option Period. AQD will conduct this acquisition in accordance with the authority of Part 15 under the Federal Acquisition Regulation (FAR), in conjunction with Part 12 and Part 19. If you are interested in this acquisition, you may participate by submitting your response in accordance with the requirements and instructions contained herein. See RFP Section 4 for Proposal Submission Instructions and Section 5 for Evaluation of Responses. AQD will be responsible for the solicitation and resultant contract administration.

This particular brand name product, and features are essential to the Government’s requirements, and market research indicates other companies’ similar products, or products lacking this particular feature, do not meet, or cannot be modified to meet, the agency’s needs. The brand name justification approved in accordance with FAR 6.303 is found in Attachment 3 of this

RFP.

SECTION 1 – GENERAL INFORMATION

1. Requirement Overview This competitive requirement is being issued by the DOI, IBC, AQD on behalf of the DOI, OCIO for the purpose of entering into a single-award IDIQ contract. Offerors participating in this RFP must be an authorized reseller of both Adobe’s Digital Media and Digital Experience products. AQD will conduct this acquisition using the acquisition procedures found at FAR Part 15, in conjunction with Part 12 and Part 19.

2. Small Business Set Aside This solicitation is being issued as a small business set-aside. The NAICS Code assigned to this requirement is 513210 Software Publishers. The Product Service Code is DA10 IT and Telecom, Business Application/Application Development Software as A Service.

3. Source Selection Process

Source selection will be conducted utilizing a Lowest Price Technically Acceptable (LPTA) selection process.

5. Period of Performance

The period of performance will be a 12-month base year and two (2) 12-month option years.

IDIQ Period of Performance (Ordering Period) Base Period: 6/17/2024 - 6/16/2025 Option Period 1: 6/17/2025 - 6/16/2026 Option Period 2: 6/17/2026 - 6/16/2027

The ordering period above is tentatively established and subject to change. Period of performance at the delivery order level will be specified in each individual order.

All orders under the IDIQ will be Firm-Fixed Price (FFP).

SECTION 2 - IDIQ TERMS AND CONDITIONS

The resultant IDIQ will establish an ordering mechanism in accordance with FAR 16.505.

Under this IDIQ, the IDIQ Holder shall perform the requirement as specified in the SOW included as Attachment 1 – Statement of Work.

Ordering from the IDIQ will occur in a decentralized manner at the DOI Bureau or Office level.

All Orders placed against this IDIQ are subject to the terms and conditions of this IDIQ master contract. License terms and conditions applicable to products and services acquired under this IDIQ are defined in the License Agreement that will be proposed by the awardee. Accordingly, in the event of any conflict under this IDIQ and any attachments or referenced documents, the terms and conditions within the Schedule of Supplies/Services and SOW supersede all other license agreements/attachments that were part of the Vendor’s submission.

Flow Down of Clauses

All applicable contact clauses shall flow down to the IDIQ Orders. Additional clauses may apply at the IDIQ Order level and shall be incorporated to IDIQ Orders, as required.

IDIQ Contract Period of Performance/Ordering Period

The Period of Performance of this IDIQ contract, which will also be referred to as the Ordering Period, will be twelve (12) months from the date of IDIQ contract award with two (2) 12-month option periods.

The period of performance of each order will be specified at the order level. Any orders issued against the IDIQ shall not extend beyond 12 months after the last date of Option Period Two Period of Performance. Each Order’s terms shall be consistent with the funding appropriation being obligated.

Type of Orders

This IDIQ contract will allow only Firm Fixed Price (FFP) orders.

IDIQ Pricing

DOI Bureaus and Offices shall request additional discounts at the IDIQ Order level.

IDIQ Orders for products and services shall be priced using the pricing table established in the IDIQ at the time of the IDIQ award and shall be applicable to the Order’s anticipated period of performance.

The IDIQ Contract Holder can voluntarily reduce offered prices at any time by giving written notice to the IDIQ level Contracting Officer (CO). When in effect, the new price list shall be made available to all future ordering.

IDIQ Estimated Ceiling

The Government anticipates the total ceiling of the volume of purchases under the entire IDIQ program will be approximately $58M over the life of the IDIQ. However, the Government is obligated only to the extent of authorized Orders placed against this IDIQ.

Funding Obligation

No funding obligation will be made on the IDIQ contract, since each individual order placed against this IDIQ contract will obligate funds. However, funding obligation in the amount of $100.00 is provided as a minimum guaranteed amount covered by this IDIQ contract.

Immediately after the first order is issued against the contract, the funds will be de-obligated by contract modification. This IDIQ contract does not obligate any additional funds.

IDIQ Administration

The IDIQ administration will be accomplished by a warranted AQD CO, and the Program Official assigned by DOI. IDIQ order administration is the responsibility of each Ordering Officer and an assigned technical representative.

IDIQ Ordering Procedures

IDIQ orders and their administration will be performed by duly appointed COs assigned by DOI Bureaus and Offices within their warrant authority. The order-level CO shall award and administer orders in accordance with the DOI internal ordering procedures that will be established immediately after the IDIQ award, and the procedures outlined in FAR 16.505(a) Ordering from Single-award IDIQ contract. Delivery orders are subject to the terms and conditions of the IDIQ contract.

Inspection and Acceptance

Inspection and acceptance of products and services shall be performed by a duly authorized Government representative identified in the IDIQ Orders in accordance with the Inspection and Acceptance clauses in the IDIQ and as further defined in the IDIQ Orders.

All deliverables shall be inspected for content, completeness, accuracy, and conformance to the IDIQ Order requirements by the Contracting Officer’s Representative (COR) or as detailed in individual Order. Inspection may include validation of information or software through the use of automated tools for the deliverables, as specified in the Order.

The Government requires a period not to exceed 30 calendar days after receipt of final deliverable items for inspection and acceptance or rejection unless otherwise specified in the IDIQ Order. Lack of timely Government response shall not be construed as Government acceptance of deliverables.

Branding

The IDIQ Holder shall comply with the requirements of any DOI Branding and Marking policies. As a matter of law, Federal criminal statutes prohibit unauthorized uses of the DOI Seal. In addition, DOI policy prohibits granting authorization for certain commercial uses of the Seal. It is permissible to reference DOI in materials if the reference is limited to true, factual statements. The words DOI and/or the Department of the Interior should appear in the same color, font, and size as the rest of the text in the document. Moreover, such references shall not imply in any way an endorsement of a product, company, or technology.

Requests to use the DOI seal shall be submitted using DOI Official Seal Usage Approval, available from the COR. The comments section should be used to describe why use of the seal is being requested, and how it shall be used. Completed forms should be sent via e-mail to the COR and the CO.

Advertisements, Publicizing Awards and News Releases

All press releases or announcements about agency programs, projects, and contract awards shall be provided to the DOI for review and concurrence. Under no circumstances shall the IDIQ Holder, or anyone acting on behalf of the IDIQ Holder, refer to the supplies, services, or equipment furnished pursuant to the provisions of the IDIQ in any publicity news release or commercial advertising without first providing the language to DOI for review and concurrence.

The IDIQ Holder agrees not to refer to awards in commercial advertising in such a manner as to state or imply that the product or service provided is endorsed or preferred by the Federal Government or is considered by the Government to be superior to other products or services.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. 52.203-3 - Gratuities (Apr 1984)

(a) The right of the Contractor to proceed may be terminated by written notice if, after notice and hearing, the agency head or a designee determines that the Contractor, its agent, or another representative-

(1) Offered or gave a gratuity (e.g., an entertainment or gift) to an officer, official, or employee of the Government; and

(2) Intended, by the gratuity, to obtain a contract or favorable treatment under a contract.

(b) The facts supporting this determination may be reviewed by any court having lawful jurisdiction.

(c) If this contract is terminated under paragraph (a) of this clause, the Government is entitled-

(1) To pursue the same remedies as in a breach of the contract; and

(2) In addition to any other damages provided by law, to exemplary damages of not less than 3 nor more than 10 times the cost incurred by the Contractor in giving gratuities to the person concerned, as determined by the agency head or a designee. (This paragraph (c)(2) is applicable only if this contract uses money appropriated to the Department of Defense.)

(d) The rights and remedies of the Government provided in this clause shall not be exclusive and are in addition to any other rights and remedies provided by law or under this contract.

52.216-18 - Ordering (Aug 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 06/17/2024 through 06/16/2027 for the Base Year Ordering Period and a respective 12-month ordering period for each of the Option Years.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 - Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $100.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $15,000,000.00;

(2) Any order for a combination of items in excess of $15,000,000.00; or

(3) A series of orders from the same ordering office within 3 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216- 21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 30 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 - Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period;

52.217-9 Option to Extend the Term of the Contract. (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 7days of contract expiration provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years

52.219-14 Limitations on Subcontracting (DEVIATION OCT 2022)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that—

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to—

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(4) Orders expected to exceed the simplified acquisition threshold and that are—

(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405- 5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to small business concerns under multiple-award contracts as described in 19.504(c)(1)(ii);

(5) Orders, regardless of dollar value, that are—

(i) Set aside in accordance with subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to concerns that qualify for the programs described in subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 19.504(c)(1)(ii); and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees to the following requirements in the performance of a contract assigned a North American Industry Classification System (NAICS) code applicable to this contract:

(1) Services (except construction). It will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding certain other direct costs and certain work performed outside the United States (see paragraph (e)(1)(i)), to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded.

When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract.

(i) The following services may be excluded from the 50 percent limitation:

(A) Other direct costs, to the extent they are not the principal purpose of the acquisition and small business concerns do not provide the service. Examples include airline travel, work performed by a transportation or disposal entity under a contract assigned the environmental remediation NAICS code (562910), cloud computing services, or mass media purchases.

(B) Work performed outside the United States on awards made pursuant to the Foreign Assistance Act of 1961, or work performed outside the United States required to be performed by a local contractor.

(2) Supplies (other than procurement from a nonmanufacturer of such supplies). It will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract.

(3) General construction. It will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 85 percent subcontract amount that cannot be exceeded.

(4) Construction by special trade contractors. It will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause – __ By the end of the base term of the contract and then by the end of each subsequent option period; or __ By the end of the performance period for each order issued under the contract.

(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.

(g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph (e) of this clause will be performed by the aggregate of the joint venture participants.

(1) In a joint venture comprised of a small business protégé and its mentor approved by the Small Business Administration, the small business protégé shall perform at least 40 percent of

52.222-29 - Notification Of Visa Denial (Apr 2015)

(a) Definitions. As used in this clause- Gender identity has the meaning given by the Department of Labor’s Office of Federal

Contract Compliance Programs, and is found at http://www.dol.gov/ofccp/LGBT/LGBT_FAQs.html.

Sexual orientation has the meaning given by the Department of Labor’s Office of Federal Contract Compliance Programs, and is found at http://www.dol.gov/ofccp/LGBT/LGBT_FAQs.html.

(b) Requirement to notify.

(1) It is a violation of Executive Order 11246 for a Contractor to refuse to employ any applicant or not to assign any person hired in the United States, Puerto Rico, the Northern Mariana Islands, American Samoa, Guam, the U.S. Virgin Islands, or Wake Island, on the basis that the individual's race, color, religion, sex, sexual orientation, gender identity, or national origin is not compatible with the policies of the country where or for whom the work will be performed (41 CFR 60-1.10).

(2) The Contractor shall notify the U.S. Department of State, Assistant Secretary, Bureau of Political-Military Affairs (PM), 2201 C Street NW, Room 6212, Washington, DC 20520, and the U.S. Department of Labor, Deputy Assistant Secretary for Federal Contract Compliance, when it has knowledge of any employee or potential employee being denied an entry visa to a country where this contract will be performed, and it believes the denial is attributable to the race, color, religion, sex, sexual orientation, gender identity, or national origin of the employee or potential employee.

52.227-1 Authorization and Consent (Jun 2020)

(a) The Government authorizes and consents to all use and manufacture, in performing this contract or any subcontract at any tier, of any invention described in and covered by a United States patent-

(1) Embodied in the structure or composition of any article the delivery of which is accepted by the Government under this contract; or

However, omission of this clause from any subcontract, including those at or below the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, does not affect this authorization and consent.

52.237-3 - Continuity of Services (Jan 1991)

(a) The Contractor recognizes that the services under this contract are vital to the Government and must be continued without interruption and that, upon contract expiration, a successor, either the Government or another contractor, may continue them. The Contractor agrees to-

(1) Furnish phase-in training; and

(2) Exercise its best efforts and cooperation to effect an orderly and efficient transition to a successor.

(b) The Contractor shall, upon the Contracting Officer’s written notice, (1) furnish phase-in, phase-out services for up to 90 days after this contract expires and (2) negotiate in good faith a plan with a successor to determine the nature and extent of phase-in, phase-out services required.

The plan shall specify a training program and a date for transferring responsibilities for each division of work described in the plan, and shall be subject to the Contracting Officer’s approval.

The Contractor shall provide sufficient experienced personnel during the phase-in, phase-out period to ensure that the services called for by this contract are maintained at the required level of proficiency.

(c) The Contractor shall allow as many personnel as practicable to remain on the job to help the successor maintain the continuity and consistency of the services required by this contract. The Contractor also shall disclose necessary personnel records and allow the successor to conduct on-site interviews with these employees. If selected employees are agreeable to the change, the Contractor shall release them at a mutually agreeable date and negotiate transfer of their earned fringe benefits to the successor.

(d) The Contractor shall be reimbursed for all reasonable phase-in, phase-out costs (i.e., costs incurred within the agreed period after contract expiration that result from phase-in, phase-out operations) and a fee (profit) not to exceed a pro rata portion of…
