COMBINED SYNOPSIS AND SOLICITATION

Procurement Overview: This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6 – Streamlined Procedures for Evaluation and Solicitation for Commercial Items, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested and a separate written solicitation will not be issued.

This solicitation is also issued under the authority and in accordance with FAR Part 13– Simplified Acquisition Procedures.

Project Description: The U.S. Department of the Interior (DOI), Bureau of Safety and Environmental Enforcement (BSEE), on behalf of the Bureau of Ocean and Energy Management (BOEM) has a requirement for “MATHWORKS MATLAB SOFTWARE RENEWAL”. The estimated period of performance for this requirement is 09/01/2023 to 08/31/2024.

Solicitation: This procurement is being issued as a Request for Quotation (RFQ). The RFQ number associated with this procurement is 140M0123Q0053. This solicitation document and incorporated clauses and provisions are those through effect of Federal Acquisition Circular 2023-04 effective 06/02/2023.

Contract Type: A Firm Fixed Price Purchase Order will be issued as a result of this solicitation.

PSC/NAICS/Small Business Standards/Set-Aside The Product Service Code (PSC) associated with this procurement is DA10- IT and Telecom - Business Application/Application Development Software As A Service.

The North American Industrial Classification Systems (NAICS) code is 513210, Software Publishers, with a small business size standard of $47M. This procurement will be conducted as unrestricted on a sole source basis.

This acquisition is being conducted in accordance with FAR Part 13 – Simplified Acquisition Procedures. SECTION 2

STATEMENT OF WORK

2.1 PURPOSE

The Bureau of Ocean Energy Management (BOEM), within the Department of the Interior (DOI), is responsible for the development and management of U.S. Outer Continental Shelf (OCS) energy and mineral resources in an environmentally and economically responsible way.

Within BOEM, the Center for Marine Acoustics (CMA) are tasked with providing expert analysis of underwater acoustics issues as they relate to the mission and unique responsibilities in the OCS through comprehensive environmental analysis and sound technical review.

BOEM needs data analytic capability to analyze acoustic data and conduct environmental acoustic predictions in support of BOEM’s missions. The software must be programmable to permit BOEM staff to develop new analyses and interpret date and present results using novel techniques. The software must be designed for numerical analysis, including signal processing, geographic information, and environmental modeling. To meet BOEM’s requirements, calculations must be possible in the software environment as well as an ability to develop stand-alone executables. Graphical output of the analyses must be configurable and publication quality high-resolution.

2.2 REQUIREMENT DETAILS

The vendor will provide the CMA with software and licenses for the functional and technical disciplines outlined below:

Software Platform

• Applications compatible with Windows 10x+.

• A dynamic building of queries on any or all characteristics listed.

• Continuous maintenance and software customer support with new program builds.

• Additional software capabilities to include: signal processing, parallel processing, mapping, executable compiling, and statistical analysis

2.3 AUTHORIZED RESELLER

All equipment, installation, maintenance, warranty and services associated with the software shall be provided by the OEM or authorized reseller, such that the warranty and service are provided and maintained by the OEM.

TERMS AND CONDITIONS

3.1 DESCRIPTION OF REQUIREMENT/TYPE OF ORDER

A Firm-Fixed-Price (FFP) Purchase Order shall be issued under the authority of the Department of the Interior, Bureau of Safety and Environmental Enforcement (BSEE) for the effort identified in Section 2, Statement of Work.

The products must be delivered within 30 days of award.

3.5 INVOICING REQUIREMENT

One invoice, after acceptance of all deliverables by the Government may be submitted through the Invoicing Processing Platform (IPP), in accordance with the instructions provided in Section

3.5.1 below.

3.5.1 Invoice Submission Instructions

DOI-AAAP-0028 Electronic Invoicing and Payment Requirements – Invoice Processing Platform (IPP)(APR 2013)

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Internet Payment Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice: None_______________

The Contractor must use the IPP website to register, access, and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in CCR) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone 866-973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

3.6 DIAR 1452.201-70 AUTHORITIES AND DELEGATIONS (SEP 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the

COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

3.7 INTERNET PROTOCOL VERSION 6 (JUN 2012)

(a) Any system hardware, software, firmware and/or networked component (voice, video or data) developed, procured, or acquired in support and/or performance of this contract shall be capable of transmitting, receiving, processing, forwarding and storing digital information across system boundaries utilizing system packets that are formatted in accordance with commercial standards of Internet Protocol (IP) version 6 (IPv6) as set forth in the USGv6 Profile (NIST Special Publication 500-267) and corresponding declarations of conformance defined in the USGv6 Test Program. In addition, this system shall maintain interoperability with IPv4 systems and provide at least the same level of performance and reliability capabilities of IPv4 products.

(b) Specifically, any new IP product or system developed, acquired, or produced must:

(1) Interoperate with both IPv6 and IPv4 systems and products, and

(2) Have available contractor/vendor IPv6 technical support for development and implementation and fielded product management.

(c) As IPv6 evolves, the Contractor commits to upgrading or providing an appropriate migration path for each item developed, delivered or utilized at no additional cost to the Government. The Contractor shall retrofit all non-IPv6 capable equipment, as defined above, that is fielded under this contract with IPv6 capable equipment, at no additional cost to the Government.

(d) The contractor shall provide technical support for both IPv4 and IPv6.

(e) Any system or software must be able to operate on networks supporting IPv4, IPv6 or one that supports both.

(f) Any product whose non-compliance is discovered and made known to the Contractor within one year after acceptance shall be upgraded, modified or replaced to bring it into compliance at no additional cost to the Government.

3.8 CONTRACTOR’S TECHNICAL QUOTATION

The Contractor’s technical quotation may be incorporated by reference into the purchase order.

Any inconsistencies or in the event of a discrepancy or conflict between the terms and conditions of the purchase order and the Contractor’s quotation arise, the purchase order terms and conditions shall take precedence.

QUOTATION PREPARATION INSTRUCTIONS

4.1 QUOTATION PREPARATION

A quotation shall be considered for award when the offer is received by the due date and time established herein as per the instructions provided in Sections 4.2 and 4.6 below.

4.2 QUOTATIONS SUBMISSIONS

The offeror shall quote a pricing structure in accordance with Sections 1 and 2 of this Request for Quotation (RFQ). The quotation shall provide the pricing to meet the requirements of this

RFQ.

In addition, the quotation submission shall:

include verification of authorized reseller status with OEM/Original Service Provider if submitting an equivalent item, provide information verifying the abilities/characteristics/features of the equal products in accordance with FAR 52.211-6 state that the offer is valid for 30 days

4.3 ASSUMPTIONS, CONDITIONS, OR EXCEPTIONS

The offeror must submit, under separate cover, all (if any) assumptions, conditions, or exceptions with any of the terms and conditions, and/or price/cost of this RFQ. If not noted in this volume of your quote, it will be assumed that the offeror proposes no assumptions for award, and agrees to comply with all of the terms and conditions as set forth herein in this RFQ. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the offeror’s quote.

This RFQ in no way obligates the Government to issue or award orders. The Government will not be responsible for any costs incurred by responding to this RFQ or subsequent orders. You may participate by submitting your response in accordance with the instructions contained herein.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

SECTION 5

EVALUATION OF QUOTATIONS

5.1 GENERAL INSTRUCTIONS

Quotations submitted in response to this RFQ shall be received by the due date and time specified in the RFQ.

5.2 BASIS FOR AWARD

Award will be made to the responsible offeror whose quotation, in conforming to this RFQ, provides the Lowest Price Technically Acceptable (LPTA) offer to the Government. The evaluation will be performed on the basis of the lowest evaluated price of quotes, meeting or exceeding the acceptability standards for non-cost factors. The LPTA source selection process will not involve tradeoffs between technical and cost details. Quotation/s received will be evaluated for acceptability or unacceptability, but not ranked using the non-cost/price factors.

The Government will first evaluate the total proposed prices. Thereafter, the Government will evaluate the non-price factors of the lowest overall priced quote. If the lowest priced quote is determined to be rated as Acceptable, the Government may award to that contractor without further evaluation of the remaining quotes. If the lowest price quote is determined to be rated Unacceptable, then the Government may evaluate the next lowest price quote, and so forth and so on, until the Government reaches the lowest price quote that is determined to be rated as Acceptable. The Government reserves the right to evaluate all quotes should it be desired or determined to be in the best interest of the Government.

The Government also reserves the right not to make an award as a result of this competition if, in the opinion of the Government, none of the submissions would provide satisfactory performance at a price that is considered fair and reasonable.

5.3 EVALUATION CRITERIA

(a) The Government will award a purchase order to the responsible Offeror whose quotation, in conforming to this Request for Quotation, is determined to be the Lowest Price Technically Acceptable offer to the Government as follows:

1. Price. The Offeror is expected to propose a fair and reasonable price in accordance with the information provided in this RFQ.

2. Technical Acceptability. Technical acceptability will be evaluated by determining whether the Offeror’s quotation meets or exceeds the technical requirements and quantities listed in Section 2 of this RFQ.

(b) Offeror shall be an Original Equipment Manufacturer (OEM) authorized dealer, authorized distributor or authorized reseller for the proposed equipment/software/maintenance/support such that OEM warranty and service are provided and maintained by the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

(c) The Government will evaluate offers on the basis of information furnished by the offeror and will not be responsible for locating or obtaining any information not identified in the offer.

5.4 AWARD

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, will result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after unless a written notice of withdrawal is received before award.
