COMBINED SYNOPSIS AND SOLICITATION
Procurement Overview: This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6 – Streamlined Procedures for Evaluation and Solicitation for Commercial Items, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested and a separate written solicitation will not be issued.
This solicitation is also issued under the authority and in accordance with FAR 13 – Simplified Acquisition Procedures.
Project Description: The U.S. Department of the Interior (DOI), Bureau of Safety and Environmental Enforcement (BSEE), on behalf of the Bureau of Ocean and Energy Management (BOEM) has a requirement for “@Risk Pro Concurrent Network Subscription Service for the Gulf of Mexico Region.” This is a brand name only requirement. The estimated period of performance for this requirement is twelve (12) months.
Solicitation: This procurement is being issued as a Request for Quotation (RFQ). The RFQ number associated with this procurement is 140M0121Q0038. This solicitation document and incorporated clauses and provisions are those through effect of Federal Acquisition Circular 2021-04 effective 1/19/21.
Contract Type: A Firm Fixed Price Purchase Order will be issued as a result of this solicitation.
PSC/NAICS/Small Business Standards/Set-Aside The Product Service Code (PSC) associated with this procurement is DA10- IT and Telecom – Business Application/Application Development Software As A Service. The North American Industrial Classification Systems (NAICS) code is 511210, Software Publishers, with a small business size standard of $41.5 million. Additionally, this solicitation is being issued as a total small business set-aside.

Per FAR 4.1102 and 52.204-7(b)(1), contractors must be registered in SAM at the time an offer or quotation is submitted in order to comply with the annual representations and certifications requirements.

PRICING
1.1 GENERAL
This acquisition is conducted under the authority of the Federal Acquisition Regulation (FAR) Part 12- Acquisition of Commercial Items in conjunction with FAR Part 13 - Simplified Procedures for Certain Commercial Items. The North American Industrial Classification Systems (NAICS) code is 511210, Software Publishers, with a small business size standard of $41.5 million.
The Bureau of Safety and Environmental Enforcement (BSEE), on behalf of the Bureau of Ocean and Energy Management (BOEM) intends to award a Firm Fixed Price Purchase Order for “@Risk Pro Concurrent Network Subscription Service for both the Gulf of Mexico and Pacific Regions,” as specified under Section 2, Statement of Work.
This solicitation is being conducted as a Total Small Business Set-Aside. This requirement is a brand name only requirement.

STATEMENT OF WORK
BOEM's @Risk Pro Concurrent Network Subscription Service
2.1 BACKGROUND
The U.S. Department of the Interior, Bureau of Safety and Environmental Enforcement (BSEE), on behalf of the Bureau of Ocean Energy Management (BOEM), seeks to procure a subscription for support and maintenance for Palisade Company, Inc.’s @Risk Software. BOEM has utilized this software application for approximately 15 years in order to assess petroleum systems elements and hydrocarbon potential in the outer continental shelf of the United States. BOEM seeks to continue to use this software in order to leverage and maximize existing technical expertise, workflow training, and their extensive software investment.
The Gulf of Mexico Region requires establishing and revising geologic risk element distribution curves in support of our 2026 National Assessment geologic play and prospect remapping and risking initiative. This subscription for support and maintenance shall improve the quality of the geologic interpretations and shall allow for easy identification of target areas for leasing and assess potential impacts from future leasing programs.
2.2 SCOPE
This @Risk subscription shall include support, upgrades, trouble-shooting, technical support, and maintenance.
2.3 DELIVERABLES
Deliverable products shall be submitted to the addresses shown below in accordance with the schedule provided in the table below. All days are calendar days unless otherwise noted.

COMMERCIAL ITEMS TERMS AND CONDITIONS
3.1 TYPE OF ORDER
The Bureau of Safety and Environmental Enforcement (BSEE), anticipates a Firm Fixed Price (FFP) Purchase Order.
3.2 PERIOD OF PERFORMANCE/DELIVERABLE DATE
This order includes a twelve (12) month period of performance from October 1, 2022 – September 30, 2023.
3.3 DELIVERY LOCATION
The delivery location is at BSEE’s Sterling, Virginia office located at 45600 Woodland Road, Sterling, VA 20166.

3.5 INVOICING REQUIREMENTS
Invoices shall be submitted after acceptance of deliverables by the Government, and in accordance with the instructions provided in Section 3.5.1 below. In addition, the Contractor shall submit invoices utilizing the CLIN structure contained in Section 1.2.
3.5.1 DOI-AAAP-00028, ELECTRONIC INVOICING AND PAYMENT
REQUIREMENTS – INVOICE PROCESSING PLATFORM (IPP) (APR 2013)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.
Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice: Documentation required by FAR 32.905(b)
The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the contract award date, but no more than 3 - 5 business days of the contract award date.
Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.
If the Contractor is unable to comply with the requirement to use IPP tor submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.
3.6 DIAR 1452.201-70 AUTHORITIES AND DELEGATIONS (SEP 2011)
(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the Contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government.
(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the
COR.
(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.
3.7 INTERNET PROTOCOL VERSION 6 (JUNE 2012)
1. Any system hardware, software, firmware and/or networked component (voice, video or data) developed, procured, or acquired in support and/or performance of this contract shall be capable of transmitting, receiving, processing, forwarding and storing digital information across system boundaries utilizing system packets that are formatted in accordance with commercial standards of Internet Protocol (IP) version 6 (IPv6) as set forth in the USGv6 Profile (NIST Special Publication 500-267) and corresponding declarations of conformance defined in the USGv6 Test Program. In addition, this system shall maintain interoperability with IPv4 systems and provide at least the same level of performance and reliability capabilities of IPv4 products.
2. Specifically, any new IP product or system developed, acquired, or produced must:
1. Interoperate with both IPv6 and IPv4 systems and products, and
2. Have available contractor/vendor IPv6 technical support for development and implementation and fielded product management.
3. As IPv6 evolves, the Contractor commits to upgrading or providing an appropriate migration path for each item developed, delivered or utilized at no additional cost to the Government. The Contractor shall retrofit all non-IPv6 capable equipment, as defined above, that is fielded under this contract with IPv6 capable equipment, at no additional cost to the Government.
4. The contractor shall provide technical support for both IPv4 and IPv6.
5. Any system or software must be able to operate on networks supporting IPv4, IPv6 or one that supports both.
6. Any product whose non-compliance is discovered and made known to the Contractor within one year after acceptance shall be upgraded, modified or replaced to bring it into compliance at no additional cost to the Government.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 3.9.2 SECTION 508 OF THE REHABILITATION ACT
Section 508 of the Rehabilitation Act of 1973 (found at 29 U.S.C. 794d) applies to this acquisition. Section 508 of the Rehabilitation Act of 1973 (found at 29 U.S.C. 794d) requires access to and use of information by individuals with disabilities. A deliverable such as electronic reports (ex: PDF files) to be placed on the web (either on the agency's web server of the company's), video footage, or other electronic data such as CD-ROMs to be distributed, are subject to Section 508 guidelines. Simplified, this means that PDF files need to be formatted so that they are "readable" by assistive technology devices such as screen readers. Video footage must be closed captioned. CD-ROMs which contain HTML, PDF, or word processor files must be accessible.
3.10 CONTRACTOR’S QUOTE
The Contractor’s quote may be incorporated by reference into the purchase order. Any inconsistencies or in event of a conflict between terms and conditions of the purchase order and the contractor’s quote shall be resolved by giving precedence to the terms and conditions of the purchase order.

QUOTATION SUBMISSION INSTRUCTIONS
4.1 SUBMISSION OF QUESTIONS
All questions regarding this RFQ must be submitted via email to Darren Ho at Darren.Ho@bsee.gov no later than 12:00 P.M. Eastern Time on July 21, 2022. You MUST include the RFQ No. 140M0122Q0033 in the email subject line. TELEPHONE INQUIRIES ARE STRONGLY DISCOURAGED. Please be advised that the Government reserves the right to transmit those questions and answers of a common interest to all prospective Quoters.
Should any request for clarification be received after the date stated above, the Government reserves the right not to provide an answer. If, however, in the Government’s opinion the request cites an issue of importance, the Government may provide a written response.
4.2 QUOTATION SUBMISSION INSTRUCTIONS AND DUE DATE
Quotations must be submitted electronically via email to the Contracting Officer, Darren Ho, at Darren.Ho@bsee.gov with the subject line, “RFQ No. 140M0122Q0033,” no later than 11:00AM Eastern Time, July 18, 2022. The offeror is responsible for ensuring the Contracting Officer receives the quotation and all attachments by the specified due date. Any submissions received after the date and time specified herein may NOT be considered for award. The failure to submit any of the information requested in this RFQ may lead to the rejection of your quotation without further consideration.
This RFQ in no way obligates the Government to issue an award. The Government will not be responsible for any costs incurred by responding to this RFQ.
4.3 QUOTATION PREPARATION INSTRUCTIONS
Quotes must be submitted in one volume given the nature of the requirement.
Quotations shall include a statement that the offeror’s quotation is valid for a minimum of sixty
(60) calendar days from the RFQ due date and time for quotations.
4.3.1 Technical and Price Volume
(a) The Technical and Price Volume shall contain price information.
(b) The Technical and Price Volume is limited in length to twenty (20) pages. A cover, cover letter, table of contents, and tab dividers are excluded from the page limitation. Any pages in excess of these limitations will not be evaluated. Your submission may use any font, and will use pitch size 12, single spaced.
(c) The Technical and Price Volume must state in detail how the offeror intends to comply with the work requirements in the Statement of Work (SOW), not merely that the offeror intends to do
so. Quotations that offer less than the total required effort will not be considered for award.
The offeror shall quote a pricing structure in accordance with Sections 1 and 2 of this Request for Quotation (RFQ).
4.3.2 Assumptions, Conditions, and/or Exceptions
Offerors shall highlight any assumptions, conditions, or exceptions to clauses or provisions or requirements that conflict with their quote. This information will be reviewed by the Government. Any terms and conditions that are considered unacceptable by the Government and cannot be resolved may result in the Offeror being removed from consideration. Conflicting provisions will be considered as exceptions to the terms and conditions of this RFQ. Any exception taken to the terms and conditions of the solicitation may adversely impact its evaluation rating. If assumptions, conditions, or exceptions are not noted in a separately titled section of your quote, it will be assumed that the Offeror proposes no assumptions, and agrees to comply with all of the terms and conditions as set forth herein in this RFQ. It is not the responsibility of the Government to seek out and identify assumptions, conditions, or exceptions buried within the Offeror’s quote.

SECTION 5
EVALUATION OF QUOTATIONS
5.1 GENERAL INSTRUCTIONS
Quotations shall be prepared and submitted in accordance with the instructions contained in Section 4 of this RFQ. Each submission will be evaluated against the evaluation factors.
5.2 BASIS FOR AWARD
Award will be made to the responsible offeror whose quotation, in conforming to this RFQ, provides the Lowest Price Technically Acceptable (LPTA) offer to the Government. The evaluation will be performed on the basis of the lowest evaluated price of quotes, meeting or exceeding the acceptability standards for non-cost factors. The LPTA source selection process will not involve tradeoffs between technical and cost details. Quotation/s received will be evaluated for acceptability or unacceptability, but not ranked using the non-cost/price factors.
The Government will first evaluate the total proposed prices. Thereafter, the Government will evaluate the non-price factors of the lowest overall priced quote. If the lowest priced quote is determined to be rated as Acceptable, the Government may award to that contractor without further evaluation of the remaining quotes. If the lowest price quote is determined to be rated Unacceptable, then the Government may evaluate the next lowest price quote, and so forth and so on, until the Government reaches the lowest price quote that is determined to be rated as Acceptable. The Government reserves the right to evaluate all quotes should it be desired or determined to be in the best interest of the Government.
The Government also reserves the right not to make an award as a result of this competition if, in the opinion of the Government, none of the submissions would provide satisfactory performance at a price that is considered fair and reasonable.
The Government anticipates awarding a Firm Fixed Price type contract with a twelve (12) month period of performance.
5.3 EVALUATION CRITERIA
(a) The Government will award a purchase order to the responsible Offeror whose quotation, in conforming to this Request for Quotation, is determined to be the Lowest Price Technically Acceptable offer to the Government as follows:
1. Price. The Offeror is expected to propose a fair and reasonable price in accordance with the information provided in this RFQ.
2. Technical Acceptability. Technical acceptability will be evaluated by determining whether the Offeror’s quotation meets or exceeds the technical requirements and quantities listed in Section 2 of this RFQ.
5.4 AWARD WITHOUT COMMUNICATIONS OR CLARIFICATIONS
The Government reserves the right to award without communications or clarifications, so it is in the best interest of each offeror to include its most favorable terms in the initial submission.
However, the Government reserves the right to conduct communications or clarification and to permit offerors to revise their submissions.
Any exceptions or deviations by the Contractor to the terms and conditions stated in this RFQ for inclusion in the resulting award may make the quotation unacceptable for award with or without communications or clarifications.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
Forced or indentured child labor means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following:
ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
Inverted domestic corporation, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
Manufactured end product means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Reasonable inquiry has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
