(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.

If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form.

This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and

(d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

FAR 52.216-18 Ordering (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from date of award through 14 September 2028.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered “issued” when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

FAR 52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $200.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of $10,000.00;

(2) Any order for a combination of items in excess of $50,000; or

(3) A series of orders from the same ordering office within 3 days that together call for quantities exceeding the limitation in paragraph (b)(1) or

(2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

FAR 52.216-21 Requirements (OCT 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government’s requirements do not result in orders in the quantities described as "estimated" or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) The estimated quantities are not the total requirements of the Government activity specified in the Schedule, but are estimates of requirements in excess of the quantities that the activity may itself furnish within its own capabilities. Except as this contract otherwise provides, the Government shall order from the Contractor all of that activity's requirements for supplies and services specified in the Schedule that exceed the quantities that the activity may itself furnish within its own capabilities.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after the performance of all service requirements on all orders outstanding at the end of the last ordering period of the contract.

FAR 52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days of contract expiration.

(a)The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. (b)If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c)The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

AGAR 452.204-70 Modification for Contract Closeout (DEVIATION JUL 2022)

Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR 13:

(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation.

The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP procedures.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

AGAR 452.237-74 Key Personnel (FEB 1988)

(a) The Contractor shall assign to this contract the following key personnel: Contract Manager, Quality Control Representative, and Supervisor.

(b) During the first 90 days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer.

Proposed substitutes should have comparable qualifications to those of the persons being replaced. Personal Identity Verification of Contractor Employees

(a) The contractor shall comply with the personal identity verification (PIV) policies and procedures established by the Department of Agriculture (USDA) Directives 4620-002 series.

(b) Should the results of the PIV process require the exclusion of a contractor's employee; the Contracting Officer will notify the contractor in writing.

(c) The contractor must appoint a representative to manage compliance with the PIV policies established by the USDA Directives 4620-002 series and to maintain a list of employees eligible for a USDA LincPass required for performance of the work.

(d) The responsibility of maintaining a sufficient workforce remains with the contractor. Contractor employees may be barred by the Government from performance of work should they be found ineligible or to have lost eligibility for a USDA LincPass. Failure to maintain a sufficient workforce of employees eligible for a USDA LincPass may be grounds for termination of the contract.

(e) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine unaccompanied physical access to a Federally-controlled facility and/or routine unaccompanied access to a Federally-controlled information system.

(f) The PIV Sponsor for this contract is a designated program point of contact, which in most cases is the COR, unless otherwise specified in this contract. The PIV Sponsor will be available to receive contractor identity information from * (hours and days) to * (hours and days) at * (office address for registration). The Government will notify the contractor if there is a change in the PIV Sponsor, the office address, or the office hours for registration; however, it is the contractor's responsibility to meet all aspects of paragraphs (c), (d), and (e).

DESCRIPTION OF REQUIREMENT

This requirement is for janitorial services in support of the United States Department of Agriculture (USDA) – United States Forest Service (USFS), Deschutes National Forest (DES) Miller Street Compound (MSC).

The Contractor shall provide all personnel, equipment, supplies/materials, supervision, management, tools, facilities, transportation, and other incidentals and non-personal services necessary to perform janitorial services in accordance with (IAW) this contract, Performance Work Statement (PWS), its attachments, and all federal, state, and local laws and regulations.

1. Introduction This requirement is for janitorial services in support of the United States Department of Agriculture (USDA) – United States Forest Service (USFS), Deschutes National Forest (DES) Miller Street Compound (MSC).

1.1 Background

The MSC is comprised of 6 separately identified areas: Communication Shop, Auto Maintenance Shop, Road Crew Office, Fire Office & Training Room, Fire Restroom (A), & Fire Restroom (B). The buildings were constructed between 1934 – 1980 with periods of remodeling completed over the years. The facilities are located on a single contiguous property that is gravel.

The Communication Shop hosts 2 year-round employees. The building provides administrative support, radio maintenance, and houses communication equipment. The Auto Maint. Shop hosts 6 year-round employees, 2 seasonal employees, and approximately 400 visitors per year. The building supports administrative efforts offers a wide range of services that include fleet vehicle maintenance and vehicle repair. The Road Crew Office hosts 6 year-round employees, 6 seasonal employees, and approximately 30 visitors per year. The building serves as a maintenance dispatch and storage facility for road construction and material handling efforts. The Fire Building, which includes the Fire Office & Training Room, Fire Restroom (A), and Fire Restroom (B), hosts 35 year-round employees, 45 seasonal employees, and approximately 50 visitors per year. The building provides administrative support, offers training facilities, fire dispatch, and collective meeting ground.

1.2 Scope

The purpose of this service contract is to provide and maintain a clean, attractive workplace that presents a professional appearance, an appearance that enhances public relations, and continuous cleaning services year-round.

2. General Information

This section describes the general requirements for this effort. The following sub-sections provide details of various considerations on this effort.

2.1 Description of Services

The Contractor shall provide all personnel, equipment, supplies/materials, supervision, management, tools, facilities, transportation, and other incidentals and non-personal services necessary to perform janitorial services in accordance with (IAW) this Performance Work Statement (PWS), its attachments, and all federal, state, and local laws and regulations.

2.2 Place of Performance

Services shall be performed at the MSC located at 80 S.E Miller Street Bend, OR 99702.

2.3 Period of Performance (POP)

The period of performance for this contract shall be 1 Base Period of 12-months and 4 Option Years of 12-months each.

2.4 General Facility Information

The MSC is open year around with peak usage between May thru October. Services will be required throughout the year at varying levels. The level of effort required by the contractor, task(s), quantity, frequency, and period of performance shall be specified on each CLIN and Task Order.

The Communication Shop is located in building 2015. It has 2 offices which are utilized on a daily basis. It is a single level building with 5 windows, 2 doors w/ windows, 2 occupied desks, and 1 unoccupied desk. It is an estimated 1,183 square feet and is comprised of the following configuration:

The above description is a general description for each building, it is not a limitation of what is to be cleaned but merely provided to support a better understanding of the requirement. The Government is not responsible for any error or variation in the square footage listed, nor will the Contractor, because of any error or variation in the square footage listed, be relieved of his/her responsibility to carry out the contract in accordance with the true intent and meaning of the specifications. There shall be no additional cost to the Government based solely on an error or variation in the square footage or other similar miscalculation. The descriptions above are the areas intended to be covered by the resultant contract.

NOTE: Space will be assigned, at the Auto Maint. Shop and Fire Restroom (B) for the storage of cleaning supplies and equipment, which will be used in the performance this contract. The Government shall not be responsible in any way for damage or loss of parts or equipment.

2.5 Hours of Operation

2.5.1 Government Hours of Operation

The Government's regular working hours are Monday through Friday from 8:00 AM to 5:00 PM, except federal holidays or when the government installation is closed due to local or national emergencies, administrative closings, or similar government directed closings.

2.5.2 Contractor Hours of Operation

The Contractor shall be responsible for conducting business after 5:00 PM and before 6:00 AM, on any day of the week Monday thru Sunday unless otherwise specified. The Contractor shall at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the government installation is not closed due to federal observed holidays (unless specified otherwise), local or national emergencies, administrative closings, or similar government directed closings.

2.5.3 Unforeseen Closures

2.5.4 Inclement Weather Delay

The Contractor shall notify the COR and CO within (4) four hours if unsafe weather conditions threaten or suspends continued performance. The Contractor shall resume performance when conditions are deemed safe by the Contractor, local authorities, or CO confirmation.

2.6 Federal Observed Holidays

The Contractor shall not be required to perform services on recognized Federal observed holidays.

When a federal holiday occurs on a Saturday, federal employees are normally granted the previous Friday as the holiday observance. When a federal holiday occurs on a Sunday, federal employees are normally granted the following Monday as the holiday observance. If a holiday falls on a scheduled Contractor workday, the following or proceeding workday will be used to schedule the work to be accomplished. Below is the list of recognized federal holidays:

2.7 Contract Type

The Government shall award a Firm-Fixed Price (FFP) Requirements Contract. Service quantities specified in the Schedule of Items are estimates only and are not awarded by this contract.

Performance shall be made only as authorized by Task Orders issued IAW the Ordering clause.

Subject to any limitations in the Order Limitations Clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies and/or services specified in the Schedule of Items and called for by orders issued IAW the Ordering Clause. Note: Task Orders will be issued at the rates specified in the Schedule of Items.

2.8 Non-Personal Services

This is a non-personal services contract. The Government shall neither supervise contractor employees nor control the method by which the contractor performs the required tasks. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's responsibility to notify the Contracting Officer immediately.

2.9 Government & Contractor Key Personnel

Government Key Personnel: The following government personnel are considered key personnel:

2.9.1 Contracting Officer (CO)

The CO is the only person with the authority to: enter into, administer, and/or terminate contracts, make related determinations and findings on behalf of the government, and legally bind the government. The CO shall ensure that the contractor receives impartial, fair, and equitable treatment under this contract. The CO shall determine and document the final assessment of the contractor's performance in the government’s past performance tracking system.

2.9.2 Contracting Officer’s Representative (COR)

A COR may be designated to this contract to monitor all technical aspects and assist in contract administration.
