52.204-4500 INSTALLATION ACCESS REQUIREMENTS (JAN 31 2012)

The contractor shall be responsible for ensuring full compliance with all installation access procedures. Installation access includes, but is not limited to, obtaining applicable installation passes and inspections for vehicles and personnel. Contractor employees may also be subject to background security checks/clearances in order to obtain credentials for passes. Some installations are using programs, such as RAPIDGate, which may result in a cost to the contractor. Any costs associated with such programs or with obtaining passes, will not be reimbursed separately and should be included in the contractor's proposed pricing for the product or services being acquired.

CONTRACT TERMS AND CONDITIONS – COMMERCIAL ITEMS

I. CHANGES: [(Reference Paragraph (c)]

a. Unilateral Modifications

The Government may issue unilateral written administrative modifications that do not affect the substantive rights of the parties. Examples of administrative modifications are corrections in the payment office address, changes to the accounting and appropriation data, or addition of funds.

b. Bilateral Modifications

Items may be added to or deleted from this contract at the option of the Government. Any replacement or additional items must be added to this contract prior to any service being performed on it. Addition and/or deletions of items will be accomplished by bilateral modification. Services performed outside the dates or scope of this contract will not be reimbursed by the Government.

II. INVOICES: [(Reference Paragraph (g)]

If, at any time during the performance of this contract, the company name changes or assets involving this service are sold to another company, the contract administration office must be notified prior to change of name or closing of sale to ensure actions required by the Federal Acquisition Regulation Part 42.12 are completed. Failure to notify this office in advance of the change may result in delay of payment.

The Contractor shall submit a monthly invoice upon completion of each service month as specified in the contract

b. Electronic Invoicing:

The Department of Defense has mandated the use of the electronic invoicing and receiving system called Wide Area WorkFlow (WAWF), as addressed in clause 252.232-7006.

52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR

EXECUTIVE ORDERS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION 2018-

O0021) (NOV 2021)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(b)(1) Notwithstanding the requirements of any other clauses of this contract, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (b) (1) in a subcontract for commercial products or commercial services. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

(i) 52.203-13, Contractor Code of Business Ethics and Conduct (NOV 2021) (41 U.S.C. 3509).

(ii) 52.203-19, Prohibition on Requiring Certain Internal Confidentiality Agreements or Statements (JAN 2017) (section 743 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor prior to the end of the contract period.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor at least 30 days prior to expiration of the current contract period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

52.219-6 NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (DEVIATION 2020-O0008) (OCT 2020)

(a) Definition. Small business concern, as used in this clause--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the size standards in this solicitation.

(2) Affiliates, as used in paragraph (a)(1) of this clause, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. (a) Definitions. As used in this clause—

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

COMMISSARY

Great Lakes NTC, Commissary is located at 2630 Greenbay Rd. Bldg. 3451 Great Lakes, Il 60088-3303

GENERAL: The contractor shall provide all personnel, labor, supervision, equipment, tools, parts, transportation, and other items necessary to perform snow, ice removal and salt treatment for the location covered by this contract. Services will be for approximately 144,600 square feet total consisting of: the rear receiving area lot 6,000 square feet, a side parking lot for employees 32,500 square feet, side walk area on side of store 3,000 square feet, front access road 3,000 square feet, truck rear access road 4,000 square feet, street in front of store 9,375 square feet, customer sidewalk in front of store 16,225 square feet, store front customer parking lot 10,500 square feet and an , additional 60,000 square feet of store front parking area that includes Click2Go service parking.

During periods of snowfall when the rate of accumulation is less than 1" per hour, the Contractor shall remove all snow and ice to expose paved or concrete surfaces. During periods of snowfall when the rate of accumulation is greater than 1" per hour, the Contractor shall continuously remove snow as necessary, to preclude an accumulation of no more than 1" on paved/concrete surfaces or the grassy area leading from the loading dock.

The Contractor shall apply snow/ice removal materials commercially recognized as safe for paved/concrete surfaces, as required to assist in the removal/build-up of snow and ice accumulation such as Premiere Ice Melter, Superior Sno-N-Ice Melter or Ice Away.

NOTIFICATION: Within 10 days of contract award, the contractor shall provide the Store Director with a point of contact and phone number to receive service calls and to resolve customer service and invoicing/billing issues.

The contractor’s representative shall coordinate with the Store Director for services under this contract.

PERSONNEL: This is a service contract and shall require contractor employees to identify themselves as contractor personnel by introducing themselves, or being introduced as contractor personnel, and displaying distinguishing badges or other visible identification for meeting with Government personnel. The contract requires contractor personnel to appropriately identify themselves as contractor employees in telephone conversations and in formal and informal written correspondence.

WORK SCHEDULE: Day and time of all work performed under this contract will be in accordance with the Contract Line Item (CLIN) schedule and will prevent interference with normal commissary operations.

COMPLIANCE WITH ENVIORNMENTAL PROTECTION AGENCY (EPA) AND ASSOCIATED FEES:

The contractor shall comply with all applicable EPA guidelines and procedures during the performance of this contract. The contractor shall, without additional effort by or cost to the Government, maintain and acquire all permits in accordance with local, state, and federal regulations applicable to snow removal and the application ice/snow melting chemicals. The Government will assume no liability or responsibility for the Contractor’s compliance or noncompliance with such responsibilities.

VEHICLES and EQUIPMENT: The contractor shall provide all vehicles and equipment required to fulfill the requirement. Vehicles shall be in operable condition and meet all local, state and federal safety requirements.

BASE ACCESS: See FAR Clause 52.204-4500 in the Solicitation.

INCLEMENT WEATHER SCHEDULE: The contractor shall clean the designated lots and access roads during the periods specified in the contract. In the event of severe inclement weather, the contractor shall notify the Store Director/ or designated representative, in advance that a cleaning is not possible and ask for an exception to the cleaning schedule. When exceptions are granted, the contractor shall accomplish the cleaning within 2 hours after the severe weather has terminated. Rescheduling to provide make-up lot cleanings shall not be a basis for a claim by the contractor for additional compensation.

AVAILABILITY OF UTILITIES: Water and electricity are available at the job site and may be utilized by the contractor at no cost, in quantities necessary to perform work required. Contractor shall be responsible for all temporary connections and for disconnection of same upon completion of work.

SERVICE/DELIVERY TICKETS: When work is completed, contractor must leave a service/delivery ticket and shall obtain a signature, from only an authorized store representative, on service ticket before departing or by sending a copy later that day to the store POC if work is completed before store opening. Authorized personnel will be determined by the Store Director.

If this contract is covered by the EO the contractor must pay all workers in any classification listed on this wage determination at least $10.95 per hour (or the applicable wage rate listed on this wage determination if it is higher) for all hours spent performing on the contract in calendar year 2021. The EO minimum wage rate will be adjusted annually.
