TIME FOR COMPLETION AND OPTION TO EXTEND THE CONTRACT TERM

Performance under this contract will be for a twelve month period from the contract effective date. At the Option of the Government, availability of funding, and Contractor performance, this contract may be extended for four separate 12 month periods, by Contracting Officer given written notice of extension to the Contractor prior to the expiration date of this contract.

Parties agree that upon issuance of modification exercising an option year, the following changes will be made to the contract.

(1) The Scope of Work will remain unchanged.

(2) The Time for Completion will be extended by 12 months for each option extension.

(3) Rates may be increased in accordance Supplies/Services & Prices/Costs subject to 52.222-41 Service Contract Act.

Contractor shall provide all services including labor, materials, supplies, supervision, tools, equipment, transportation and insurance necessary to provide service/repair, preventative and remedial maintenance, technical support, data programming, software/equipment upgrades with a two hour mandatory emergency response due to critical nature of the building and laboratory equipment being controlled by the Direct Management Systems for Security, Controls, Monitoring and Dialer Systems located at the USDA Appalachian Fruit Research Station in Kearneysville, WV. The Contractor shall be capable to service, program, test, repair, calibrate and provide the necessary manufacture parts and vital components for the following equipment and software programs: Invensys Building Automation System (I/A), T.A.C. Integration Data Software, Struxureware Software, Schneider Control Equipment, RACO Verbatim Remote Alarm Dialing System (Series VSS). These systems make up the Direct Management System that controls and monitors building operations and critical scientific research equipment containing irreplaceable research materials.

1. SCOPE OF WORK The contractor shall provide all services including labor, materials, supplies, supervision, tools, equipment, transportation, and insurance necessary to provide preventative and remedial maintenance, technical support, data programming, software upgrades, equipment upgrades, two hour mandatory emergency response and non-emergency response for repair, service, and manufacturer parts for the Appalachian Fruit Research Station Direct Management Systems for Security, Controls, Monitoring, and Dialer Systems located at the USDA, Agricultural Research Service, in Kearneysville, WV. The Contractor shall be able to service, test, repair, calibrate and provide the necessary manufacture parts and vital components for the following equipment and software programs: Invensys Building Automation System (I/A), T.A.C. Integration Data Software, Struxure Software, Schneider Control Equipment, RACO Verbatim Remote Alarm Dialing System (Series VSS).

2. CONTRACTOR REQUIREMENTS The contractor shall provide trained and qualified building management system certified service personnel to provide repairs and maintenance on the equipment and software. Quality of service and repair work provided shall meet or exceed Manufacturer recommended maintenance and service work standards.

3. CONTRACTOR RESPONSE TIME Contractor shall be capable of responding to all repair and emergency calls as required when notified by designated Location personnel. The Contractor is required to respond to emergency situations within two (2) hours of being notified of equipment failure. All non-emergency calls shall be responded to within twelve

(24) hours of notification.

4. MANAGEMENT Contractor shall manage total work effort associated with the control of personnel providing services required to assure fully adequate/timely completion of services.

Included in this function will be a full range of management duties including, but not limited to, planning, scheduling, and quality control. Contractor shall only provide trained/ qualified personnel supported by necessary management expertise to assure the performance of work in accordance with sound and efficient commercial business practices. Contractor shall maintain an adequate qualified workforce to complete work in accordance with specified schedule and quality standards specified herein.

5. WORK SCHEDULE The Contractor shall perform preventative maintenance, general service calls, and non-emergencies during normal hours of operation , from 7:30-4:30, Monday through Friday) with the exception of official federal holidays (New Years Day, Martin Luther King Day, Presidents Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veteran’s Day, Thanksgiving, and Christmas).

Emergency Services, if required, will be requested on an as needed basis by the Technical POC and may be required to be performed before, during, and after normal hours of operation, to include Saturdays, Sundays, or holidays.)

6. CONTRACTOR PERSONNEL ATTIRE, IDENTIFICATION, BUILDING ENTRY

Appropriate attire and identification shall be worn at all times by contractor employees.

Contractor identification that clearly identifies the Contractor employees name shall be worn and visible at all times. All Contractor personnel accomplishing work under this contract shall register their arrival and departure times in the Location Visitor’s Log.

Persons entering USDA Government buildings may be subject to a mandatory questionnaire and face covering requirements while performing services in accordance with Attachment A.

7. CONTRACTOR CONDUCT Contractor personnel shall not eat, drink, or smoke while performing their duties. All buildings are smoke free. Smoking shall only be permitted in outside designated smoking areas. Contractor employees shall not use government office spaces for personal use during contract performance.

8. LOSS OR DAMAGE The Contractor shall be liable for any loss or damage to any Government property caused by negligence, theft, or willful misconduct of the Contractor, his agents, servants, and employees, and shall indemnify and save the Government harmless against all actions, proceedings, claims, demands, costs, damages, and expenses, including attorney’s fees, by reason of any suit or action brought for any actual or alleged injury to or resulting from the performance of contract. The Contractor shall submit a full written report to the Technical POC and Contract Administrator within 24 hours following the occurrence of such damage, loss, or injury. If due to fault, neglect, or dishonesty of the Contractor, his agents, servants, or employees, loss or damage to Government property is incurred during the performance of this contract, the Contractor shall be responsible for same. The Government, at its option, may in lieu of repayment, require the Contractor to replace, at his own expense, all such property as directed by the Contracting Officer. Until the property is repaired or replaced, the Contractor shall furnish similar, adequate replacement property and/or equipment at no charge to the Government.

1.1 Scope:

1.1-1 The objective is to obtain a maintenance program, technical support, programming, and emergency / non-emergency repair service in accordance with the specification guidelines, terms and manufacture’s recommendations for the Appalachian Fruit Research Station (direct management systems) security/controls/monitoring/dialer systems.

1.1-2 The quality of service required in this document shall meet or exceed each manufacture’s guidelines, Technical POC requirements and contract requirements.

1.1-3 The Contractor shall be capable of service, test, repair, calibrate and provide the necessary manufacture’s parts and vital components for the following equipment and software programs:

1.1-3.1 Invensys Building Automation System (I/A) 1.1-3.2 T.A.C. Integration Data Software 1.1-1.1-3.3 Struxure Software 1.1-3.4 Schneider Control Equipment 1.1-3.5 RACO Verbatim Remote Alarm Dialing System (Series VSS)

2.0 Service Requirements:

2.0-1 The equipment Service Technician and the Computer Technician shall be a building management system certified provider for services and repair to specified equipment and systems.

2.0-1.1 The Service Technician shall perform inspections, testing, calibration, adjustments, field analysis, equipment installation, annual preventative maintenance programs and service repairs to the direct management systems equipment, related vital components, and/or computer programs.

2.0-1.2 The Computer Technician shall perform inspections, testing, equipment installation, calibration, software installation, upgrades adjustment, service repairs and provided technical support (internet/phone) to the direct management systems, related vital components and computer programs.

2.0-2 The contractor shall follow manufacturer guidelines and/or obtain professional advice (manufacturer consultation) for direct management systems / related components to ensure manufacturer recommendations / Technical POC requirements are followed for continuous operation.

2.0-2.1 The Contractor shall supply only manufacturer software and/or associated physical apparatus directly involved in the performance of the facilities direct management systems.

2.0-2.2 The Contractor shall supply all material and/or software programs within twenty-four

(24) hours of being notified by the Technical POC .

2.0-3 The Contractor shall keep all equipment, related components and the surrounding area clean, orderly and dry at all times to comply with the station and/or OHSA safety regulations.

2.0-4 The Contractors’ and/or representative shall make the Technical POC aware of any problems, repairs, safety issues, upgrades, equipment replacements and/or programming issues to the facility direct management systems.

2.0-4.1 The Contractor and/or representative shall receive authorization from the Technical POC before making any repairs, upgrades, equipment replacement and/or adjustment to any of the facility direct management systems and/or related components.

2.0-4.2 The Contractor shall ensure the facility security systems are working properly and continuously to maintain multiple security levels at the facility.

2.0-4.3 The Contractor shall check all security points, alarm points, dialer points and/or specific trouble points as requested by the Technical POC during preventative maintenance schedule service.

3.0 Schedule:

3.0-1 The Contractor shall perform bi-monthly routine preventative maintenance and remedial maintenance by the 15th of each month during September, November, January, March, May and July.

3.0-2 The Contractor shall respond to Service Calls as following:

3.0-2.1 Emergency Service; an unexpected, serious occurrence or situation urgently requiring prompt action within two (2) hours of being notified.

3.0-2.2 Non-Emergencies; unexpected occurrence requiring attention within twenty-four (24) hours of being notified.

3.0-2.3 Service Upgrades; service requested for replacement or upgrades to any of the direct management systems or equipment shall be completed within the agreed upon schedule approved by the Technical POC and Contracting Officer.

ATTACHMENT A

Persons entering USDA Government buildings may be subject to the following mandatory questionnaire and face covering requirements while performing services.

VISITOR HEALTH AND TRAVEL QUESTIONNAIRE – The following questions will be asked:

1. Have you, someone living in your household, someone with you have been in close or frequent contact with, or someone you are caring for been diagnosed with COVID-19 (Coronavirus) or had any contact with a confirmed case of COVID-19?

2. In the last 14 days, have you or someone living in your household, or someone with you have been in close or frequent contact with, or someone you are caring for traveled outside the United States?

3. Do you currently have, or have you had within the last 24 hours, any cold or flu symptoms, including a fever greater than 100.4, shortness of breath, body aches or muscle pain, coughing, sore throat, new loss of taste or smell, or nausea, vomiting, or diarrhea?

• If the visitor answers “Yes” to any of these questions, the visitor will be denied entry to the USDA facility. The Security Officer will contact the USDA point of contact to notify them of the visitor’s status.

• If the visitor answers “No” to all questions, the visitor will be allowed to enter the facility under normal procedures.

MANDATORY USE OF FACE COVERINGS

• Face coverings are to be used by all contractors partaking in any in-person human interactions. This includes, but is not limited to, when employees enter and exit the building, perform work tasks within building, walk in the hallways, enter bathrooms, and attend in person meetings.

• All contractor personnel are required to wear a face covering unless certain tasks must be performed without a face covering. Prior to proceeding, contractor personnel must notify and obtain approval from the USDA Technical Point of Contact.

• USDA will provide face coverings to contractors upon request. Otherwise contractors should wear their own face covering.

The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are resolved.

(2) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
