PERFORMANCE WORK STATEMENT (PWS)
Lodi Fish and Wildlife Office (LFWO) Research Vessel Trawler Acquisition Consultation Services
Part 1
General Information
1. GENERAL: This is a non-personnel services: Contractor shall provide services of a Naval Architect or approved equal to advise LFWO on the design, assessment of bids, monitoring of build, and water test of a 40’-45’ research vessel trawler. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.
1.1 Description of Services/Introduction: The contractor shall provide all personnel, supervision, and other items and non-personal services necessary to perform consultation services as defined in this Performance Work Statement (PWS) except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.
1.2 Background: The LFWO is seeking to acquire a research vessel trawler similar in design to our current R/V Confluence. This trawler is needed to support U.S. Fish and Wildlife Service’s (USFWS) contractual obligations for biological sampling and monitoring of the California Delta and San Francisco Estuary by the Lodi Fish and Wildlife Office (LFWO). There is currently only one vessel in our fleet capable of performing the required sampling operations at our Chipps Island site as part of our Delta Juvenile Fish Monitoring Program. A second trawler is needed to increase resiliency and reduce the number of missed sampling days as R/V Confluence is approximately 17 years old.
1.3 Objectives:
1.3.1 Advise LFWO on the specifications and design of a vessel to meet our sampling objectives prior to submitting a solicitation for shipyard bids via SAM.gov.
1.3.2 Assist LFWO in the evaluation and assessment of shipyard bids received.
1.3.3 Monitor and inspect the build progress of the trawler in conjunction with LFWO personnel.
1.3.4 Perform sea trials with shipyard and LFWO personnel.
1.4 Scope: Contractor shall provide all personnel, equipment, software, and perform all necessary services to accomplish the objectives listed above. The contractor will use specifications from R/V Confluence and LFWO in the design of the trawler.
1.5 Period of Performance: 2 Years (subject to award date) Anticipate award by 7/26/24
1.6 General Information
1.6.1 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract.
1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.6.3 Recognized Holidays: Contractor is not required to perform services on holidays.

1.6.4 Hours of Operation: N/A
1.6.5 Place of Performance: The work to be performed under this contract will be performed at a variety of locations. Design and assessment can be done remotely. Monitoring, inspecting and sea trials will be done at or near the shipyard selected, which may require travel and overnight stays.
1.6.6 Type of Contract: The government will award a Firm-Fixed Price Contract

1.6.7.1 Physical Security: The contractor shall be responsible for safeguarding all government equipment, information and property provided for contractor use.

1.6.10 Contracting Officer Representative (COR): The (COR) will be identified by separate letter.
The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies;
coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

DEFINITIONS & ACRONYMS
2. DEFINITIONS AND ACRONYMS:
2.1. DEFINITIONS:
2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.
2.1.2. CONTRACTING OFFICER. A person with authority to enter, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note:
The only individual who can legally bind the government.
2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor if that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.
2.1.5. DELIVERABLE. Anything that can be physically delivered but may include non-manufactured things such as meeting minutes or reports.
2.1.6. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.7. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.8. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.
2.1.9. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.
2.1.10. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.
2.1.11. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

3. GOVERNMENT FURNISHED ITEMS AND SERVICES:

3.4 Equipment: R/V Confluence available for inspection, if applicable.
3.5 Materials: R/V Confluence specifications, LFWO trawler desired specifications, photos, shipyard bids (once received), and any other documents required by consultant to better fulfill this contract’s objectives.
PART 4
CONTRACTOR FURNISHED ITEMS AND SERVICES
4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:
4.1 General: The Contractor shall furnish all personnel, supplies, equipment, software and services required to perform work under this contract that are not listed under Section 3 of this
PWS.
4.2 Secret Facility Clearance: Not Applicable
4.3. Material: The Contractor shall furnish materials, supplies, and equipment necessary to meet the requirements under this PWS. The Contractor will provide LFWO with all designs, drawings, and any other documents used or created during this contract.
4.4. Equipment: The Contractor shall furnish any equipment required by the Naval Architect or approved equal to perform their consultation services.
PART 5
SPECIFIC TASKS
5. Specific Tasks:
5.1. Advise and Prepare Technical Specifications of Trawler. The contractor shall provide a Naval Architect or approved equal to advise LFWO in the design of a 40’-45’ research vessel trawler.
Contractor will prepare a technical specification to provide to shipyards as part LFWO solicitation. Contractor will use R/V Confluence specifications along with LFWO desired specifications in the design of the technical specifications.
5.2. Evaluate Shipyard Bids. The Contractor shall assist in the evaluation of bids received for the building of the trawler. Contractor will assist LFWO in the selection of a bid that best meets specifications, durability, performance, and competitive pricing. Final selection will be the responsibility of LFWO.
5.3 Monitor and Inspect Trawler Build. The Contractor will provide LFWO representation during construction and monitor all shipyard/LFWO correspondence and provide technical feedback.
The Contractor shall provide a Naval Architect or approved equal to travel to selected shipyard to monitor and inspect the building process at regular intervals with LFWO personnel.
Appropriate intervals will be identified in consultation with Naval Architect or approved equal and the chosen shipyard.
5.4 Dock and Sea Trials. The Contractor shall travel to the shipyard and perform all necessary tests and sea trials with LFWO personnel and builder personnel providing technical feedback.
Location and body of water will be chosen based on shipyard location and in consultation with shipyard, LFWO, and consultant.

Performance Requirements Summary The contractor service requirements are summarized into performance objectives that relate directly to mission essential items. The performance threshold briefly describes the minimum acceptable levels of service required for each requirement. These thresholds are critical to mission success.

The contractor will meet with LFWO, review LFWO desired specifications, current R/V Confluence specifications, and complete technical specifications and design to be provided to LFWO for solicitation of builders.

The contractor shall assist LFWO in evaluating bids received for building of trawler.
The contractor shall identify bids that best meet specifications, performance, durability, resiliency and competitive pricing (in that order).

The contractor shall monitor build progress and represent LFWO’s interests. Inspect boat at intervals to be determined by contractor, LFWO, and shipyard.
The contractor shall monitor all correspondence between LFWO and shipyard. The contractor will provide technical feedback throughout the build process. The contractor will provide a Naval Architect or approved equivalent to travel to shipyard at specified intervals with LFWO personnel to inspect progress and identify any potential problems.

The contractor shall perform dock and sea trials with shipyard and LFWO personnel at a location to be determined once shipyard contract has been awarded.
The contractor shall provide feedback during testing and identify potential problems to be fixed by shipyard prior to delivery to LFWO.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. For the purposes of this provision and the Freedom of Information Act (5 U.S.C. 552), the following terms shall have the meaning set forth below:
(1) "Trade Secret" means an unpatented, secret, commercially valuable plan, appliance, formula, or process, which is used for making, preparing, compounding, treating or processing articles or materials which are trade commodities.
(2) "Confidential commercial or financial information" means any business information (other than trade secrets) which is exempt from the mandatory disclosure requirement of the Freedom of Information Act, 5 U.S.C. 552. Exemptions from mandatory disclosure which may be applicable to business information contained in proposals include exemption (4), which covers "commercial and financial information obtained from a person and privileged or confidential," and exemption (9), which covers "geological and geophysical information, including maps, concerning wells."
(b) If the offeror, or its subcontractor(s), believes that the proposal contains trade secrets or confidential commercial or financial information exempt from disclosure under the Freedom of Information Act, (5 U.S.C. 552), the cover page of each copy of the proposal shall be marked with the following legend:
"The information specifically identified on pages ______ of this proposal constitutes trade secrets or confidential commercial and financial information which the offeror believes to be exempt from disclosure under the Freedom of Information Act. The offeror requests that this information not be disclosed to the public, except as may be required by law. The offeror also requests that this information not be used in whole or part by the government for any purpose other than to evaluate the proposal, except that if a contract is awarded to the offeror as a result of or in connection with the submission of the proposal, the Government shall have the right to use the information to the extent provided in the contract."
(c) The offeror shall also specifically identify trade secret information and confidential commercial and financial information on the pages of the proposal on which it appears and shall mark each such page with the following legend:
"This page contains trade secrets or confidential commercial and financial information which the offeror believes to be exempt from disclosure under the Freedom of Information Act and which is subject to the legend contained on the cover page of this proposal."
(d) Information in a proposal identified by an offeror as trade secret information or confidential commercial and financial information shall be used by the Government only for the purpose of evaluating the proposal, except that (i) if a contract is awarded to the offeror as a result of or in connection with submission of the proposal, the Government shall have the right to use the information as provided in the contract, and (ii) if the same information is obtained from another source without restriction it may be used without restriction.
(e) If a request under the Freedom of Information Act seeks access to information in a proposal identified as trade secret information or confidential commercial and financial information, full consideration will be given to the offeror's view that the information constitutes trade secrets or confidential commercial or financial information. The offeror will also be promptly notified of the request and given an opportunity to provide additional evidence and argument in support of its position, unless administratively unfeasible to do so. If it is determined that information claimed by the offeror to be trade secret information or confidential commercial or financial information is not exempt from disclosure under the Freedom of Information Act, the offeror will be notified of this determination prior to disclosure of the information.
(f) The Government assumes no liability for the disclosure or use of information contained in a proposal if not marked in accordance with paragraphs (b) and (c) of this provision. If a request under the Freedom of Information Act is made for information in a proposal not marked in accordance with paragraphs (b) and (c) of this provision, the offeror concerned shall be promptly notified of the request and given an opportunity to provide its position to the Government.
However, failure of an offeror to mark information contained in a proposal as trade secret information or confidential commercial or financial information will be treated by the Government as evidence that the information is not exempt from disclosure under the Freedom of Information Act, absent a showing that the failure to mark was due to unusual or extenuating circumstances, such as a showing that the offeror had intended to mark, but that markings were omitted from the offeror's proposal due to clerical error.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i)The basis of award is the lowest price determined fair and reasonable and award will be made to a responsible source pursuant to FAR subpart 9.1 (ii) Technical meet requirements of the Performance Works Statement (PWS) (iii) Complete and return Attachment 3, Past Experience and References Form
Technical and past performance, when combined, are Are approximately equal to cost or price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS-COMMERCIAL PRODUCTS AND

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision—
Covered telecommunications equipment or services has the meaning provided in the clause 52.204- 25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR

Program.
Forced or indentured child labor means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror.
Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3)of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
Service-disabled veteran-owned small business (SDVOSB) concern means a small business concern—
(1)
