(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller
General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.
Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the
Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

Addendum to FAR 52.212-5 Contract Terms and Conditions Required to Implement Statutes or
Executive Orders—Commercial Items
AGAR 452.209 – 71 ASSURANCE REGARDING FELONY CONVICTION OR TAX
DELINQUENT STATUS FOR CORPORATE APPLICANTS, ALTERNATE 1 (FEB 2012)
(a) This award is subject to the provisions contained in the Consolidated Appropriations Act, 2012
(P.L. No. 112-74), Division E, Sections 433 and 434 regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –
(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and
(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.
(b) If the awardee fails to comply with these provisions, the Forest Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 433 or 434.

DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
Janitorial services shall be performed as indicated below at the Summit Ranger District Office of the
Stanislaus National Forest. The Contractor shall furnish all equipment, labor, supplies (except as noted in Section C.3.A.), supervision, transportation, and incidentals necessary to perform the work described.
NOTE: Appointments to examine the work areas may be made by contacting Karen Uhri at 209-965-
3434 extension 5337or Laurie Greeno at extension 5312. Quotations will be considered non-responsive if the offeror has not viewed the buildings prior to offer submission.
Location and Inspection of Work Areas: The buildings to be maintained are located on State Highway
108 at the intersection with Pinecrest Lake Road, Pinecrest, California approximately thirty miles east of
Sonora, CA. The buildings on the administrative site to be serviced are as follows:
1. Main Office, Building #2007. Approximately 2800 sq.ft., two bathrooms and one small kitchen area inside; including outside public sidewalks, two public bathrooms and water fountain.
2. Recreation Office in Warehouse Building #2217. Approximately 312 sq.ft., one bathroom.
3. Wilderness Building #1005. Approximately 1440 sq.ft., two bathrooms, one kitchen area.
4. Resource Building #1308. Approximately 3088 sq.ft., three bathrooms, one kitchen area.
5. Trails Building #1013. Approximately 1204 sq.ft., two bathrooms, one kitchen area.
6. Conference Room and two adjacent offices #2011. Approximately 800 sq.ft.
7. Suppression Building #1011. Aproximately 1200 sq. feet, one bathroom, one kitchen area.
8. Fire and Fuels Building #1012. Approximately 1300 sq.ft., two bathrooms, one kitchen area.
9. New Fire Building (no number yet). Approximately 1300 sq. ft., two bathrooms, one kitchen area.

Supplies and Equipment:
Government Furnished Property: The Government shall provide the following: Hand soap, paper towels, toilet tissue, toilet and urinal deodorant, plastic trash bags and keys as needed.
Note: All building entrance doors have electronic locks installed. The codes for the locks are changed once per year.
Contractor Furnished Property: All tools, equipment, supplies (except as noted above), materials, and supervision necessary for the successful performance of the contract; including, but not limited to floor finish, furniture polish, glass cleaner, mops, floor brushes, vacuum cleaner, disinfectants and soap
(except hand soap), ladders, etc.
Personal Conduct: Due to the nature of the duties under this contract, the Contractor will, to some extent represent the Forest Service to the public. He/She will be expected to keep himself/herself neat at all times and to conduct himself/herself in a manner which will not bring discredit to the Forest Service.
Failure to conduct himself/herself or those in his/her employ to conduct themselves in a satisfactory manner may be grounds for default of this contract.
Schedule of Duties: A record of work actually performed will be indicated on a form provided by the
Forest Service. The record will show the duties to be performed once each week, once each month, etc., shall be completed for each building and submitted to the COR each month.
General: This contract will cover performance of janitorial services in:
1. Main Office
2. Recreation Office
3. Wilderness Building
4. Resource Building
5. Trails Building
6. Conference Room and Adjacent Rooms
7. Suppression Building
8. Fire and Fuels Building
9. New Fire Building
Weekly Duties: To be performed once per week (52 times per year) on day/days to be mutually determined by the Contracting Officer's Representative and the Contractor. Work may be performed at any time of day by the Contractor except in the Main Office. Work in the Main Office shall be performed during non-office hours.
1. Thoroughly vacuum all carpeted areas in buildings. This includes but is not limited to halls, stairs, reception areas, offices, under desks, in corners, and around edges of carpets.
2. Sweep door mats and outside porches at entrance and exit doors. Sweep main office entrance walk and front sidewalk.
3. Sweep and wet mop until clean all hard surface floors in all buildings with an appropriate cleaner for the type floor to be cleaned. Remove black heel marks.
4. Empty waste baskets into the disposal bins provided next to the recreation office. Replace plastic trash can liners.
5. Clean, polish and disinfect all drinking fountains, wash basins, kitchen sinks and counters, toilets, urinals, showers and tub/shower combinations. Remove chemical deposits in urinal and toilets. This will require scrubbing with a brush.
6. Replenish paper towels, liquid or powdered soap in dispensers, and toilet paper as required. These supplies will be furnished by the Forest Service.
7. Spot clean carpets as needed.
8. In the Main Office reception area, wash all vestibule windows (including door windows), and clean counter. Dust window sills and wipe finger smudges from doors and light switches.
9. Turn off lights in all rooms before leaving, except as needed for night-light. The exterior is on photocell. The only night-light to be left on is the one at the intersection of the halls in the Main Office.
All others should be off.
10. Before leaving any building, check all windows and entrance doors, making sure they are closed and locked.
Monthly Duties: To be performed once per month on a date to be mutually determined by the
Contracting Officer's Representative and the Contractor.
1. Interior high dusting and cobweb removal including space between window and storm window.
2. Dust mini-blinds and around windows.
3. Dust and wipe down window sills and baseboards.
4. Remove spots, smudges and finger marks from around doors, on the doors, and around switch plates.
5. Wash bathroom walls and partitions.
6. Check toilet and urinal deodorant blocks in bathroom and replace as needed.
7. Take recycle materials to CalSierra Recyclers. Recycle materials consist of office paper located at recycle boxes in each office at the printer site.
Semi-Annual Duties: To be performed twice per year on days to be mutually determined by the
Contracting Officer's Representative and the Contractor.
1. Clean all exterior glass inside and out, and wash screens. Replace and secure screens. If inclement weather prevents the washing of the exterior surface of windows, such work shall be performed immediately following the inclement weather period. It is preferred that this work be done in April and
October.
2. Wash all miniblinds and venetian blinds.
3. Wax all hard surface floors.
Annual Duties: To be performed once per year on a day mutually determined by the Contracting
Officer’s Representative and the Contractor.
1. Clean carpeting in all buildings. This work will require coordination with the Contracting Officers
Representative so that, if necessary, office furniture can be moved prior to cleaning.
INFORMAL VISITS
The Contracting Officer (CO) and/or his/her appointed representative (COR) shall visit the work areas to observe the Contractor’s work and progress. The CO/COR will use the Weekly Log to determine which items have been completed satisfactorily by using the back side of the Weekly Log (Exhibit 2) to determine which items have been completed satisfactorily.
STANDARD OF QUALITY
All work under this contract shall be performed in a thorough and complete workmanlike manner.
BASIS OF PAYMENT
Payments will be made monthly after satisfactory completion of the months work and upon receipt of a properly prepared invoice. Payment will not be made for any week which no regular work is performed.

FAR 52.212-2 Evaluation – Commercial Items (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Non-price factors, when combined, are equal in importance when compared to price. The offeror shall complete and return the attached Experience Questionnaire.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Winter Shutdown When winter weather sets in and the continuation of work is impractical, the Contracting Officer may authorize a total suspension until such time as work can proceed. During the period of total suspension, the calendar days elapsed will not be charged against the contract time.

Pre-work Pre-work conference. Before work begins on service contracts, a pre-work conference is normally held to discuss the contract--especially the specifications, labor provisions, plan of work, and selected standard clauses.
The pre-work meeting should be attended by an officer of the firm or someone designated in writing to act on behalf of the firm. The pre-work meeting may be waived at the discretion of the Contracting Officer.
Notice to Proceed.

Any adjustments to the anticipated completion date will be noted in the award letter.
Payment

Contract Release.
Before final payment will be made the Contractor shall sign a release of all claims against the Government arising by virtue of this contract, other than claims, in stated amounts, that the Contractor has specifically excepted from the operation of the release. A release may also be required of the assignee if the Contractor's claim to amounts payable under this contract has been assigned under the Assignment of Claims Act of 1940
(31 U.S.C. 3727 and 41 U.S.C. 15).

ALL OCCUPATIONS LISTED ABOVE RECEIVE THE FOLLOWING BENEFITS:
HEALTH & WELFARE: $3.81 per hour or $152.40 per week or $660.40 per month
VACATION: 2 weeks paid vacation after 1 year of service with a contractor or successor; 3 weeks after 5 years, and 4 weeks after 15 years. Length of service includes the whole span of continuous service with the present contractor or successor, wherever employed, and with the predecessor contractors in the performance of similar work at the same Federal facility. THE OCCUPATIONS WHICH HAVE NUMBERED FOOTNOTES IN PARENTHESES RECEIVE THE

1) COMPUTER EMPLOYEES: Under the SCA at section 8(b), this wage determination does not apply to any employee who individually qualifies as a bona fide executive, administrative, or professional employee as defined in 29 C.F.R. Part 541. Because most Computer System Analysts and Computer Programmers who are compensated at a rate not less than $27.63 (or on a salary or fee basis at a rate not less than $455 per week) an hour would likely qualify as exempt computer professionals, (29 C.F.R. 541.
400) wage rates may not be listed on this wage determination for all occupations within those job families. In addition, because this wage determination may not list a wage rate for some or all occupations within those job families if the survey data indicates that the prevailing wage rate for the occupation equals or exceeds
$27.63 per hour conformances may be necessary for certain nonexempt employees. For example, if an individual employee is nonexempt but nevertheless performs duties within the scope of one of the Computer Systems Analyst or Computer Programmer occupations for which this wage determination does not specify an SCA wage rate, then the wage rate for that employee must be conformed in accordance with the conformance procedures described in the conformance note included on this wage determination.
Additionally, because job titles vary widely and change quickly in the computer industry, job titles are not determinative of the application of the computer professional exemption. Therefore, the exemption applies only to computer employees who satisfy the compensation requirements and whose primary duty consists of:
(1) The application of systems analysis techniques and procedures, including consulting with users, to determine hardware, software or system functional specifications;
(2) The design, development, documentation, analysis, creation, testing or modification of computer systems or programs, including prototypes, based on and related to user or system design specifications;
(3) The design, documentation, testing, creation or modification of computer programs related to machine operating systems; or
(4) A combination of the aforementioned duties, the performance of which requires the same level of skills. (29 C.F.R. 541.400).
2) AIR TRAFFIC CONTROLLERS AND WEATHER OBSERVERS - NIGHT PAY & SUNDAY PAY: If you work at night as part of a regular tour of duty, you will earn a night differential and receive an additional 10% of basic pay for any hours worked between 6pm and 6am.
If you are a full-time employed (40 hours a week) and Sunday is part of your regularly scheduled workweek, you are paid at your rate of basic pay plus a Sunday premium of 25% of your basic rate for each hour of Sunday work which is not overtime
(i.e. occasional work on Sunday outside the normal tour of duty is considered overtime work).
HAZARDOUS PAY DIFFERENTIAL: An 8 percent differential is applicable to employees employed in a position that represents a high degree of hazard when working with or in close proximity to ordinance, explosives, and incendiary materials. This includes work such as screening, blending, dying, mixing, and pressing of sensitive ordance, explosives, and pyrotechnic compositions such as lead azide, black powder and photoflash powder. All dry-house activities involving propellants or explosives.
Demilitarization, modification, renovation, demolition, and maintenance operations on sensitive ordnance, explosives and incendiary materials. All operations involving regrading and cleaning of artillery ranges.
A 4 percent differential is applicable to employees employed in a position that represents a low degree of hazard when working with, or in close proximity to ordance, (or employees possibly adjacent to) explosives and incendiary materials which involves potential injury such as laceration of hands, face, or arms of the employee engaged in the operation, irritation of the skin, minor burns and the like; minimal damage to immediate or adjacent work area or equipment being used.
All operations involving, unloading, storage, and hauling of ordance, explosive, and incendiary ordnance material other than small arms ammunition. These differentials are only applicable to work that has been specifically designated by the agency for ordance, explosives, and incendiary material differential pay.
** UNIFORM ALLOWANCE **
If employees are required to wear uniforms in the performance of this contract
(either by the terms of the Government contract, by the employer, by the state or local law, etc.), the cost of furnishing such uniforms and maintaining (by laundering or dry cleaning) such uniforms is an expense that may not be borne by an employee where such cost reduces the hourly rate below that required by the wage determination. The Department of Labor will accept payment in accordance with the following standards as compliance:
The contractor or subcontractor is required to furnish all employees with an adequate number of uniforms without cost or to reimburse employees for the actual cost of the uniforms. In addition, where uniform cleaning and maintenance is made the responsibility of the employee, all contractors and subcontractors subject to this wage determination shall (in the absence of a bona fide collective bargaining agreement providing for a different amount, or the furnishing of contrary affirmative proof as to the actual cost), reimburse all employees for such cleaning and maintenance at a rate of $3.35 per week (or $.67 cents per day). However, in those instances where the uniforms furnished are made of "wash and wear" materials, may be routinely washed and dried with other personal garments, and do not require any special treatment such as dry cleaning, daily washing, or commercial laundering in order to meet the cleanliness or appearance standards set by the terms of the Government contract, by the contractor, by law, or by the nature of the work, there is no requirement that employees be reimbursed for uniform maintenance costs.

REQUEST FOR AUTHORIZATION OF ADDITIONAL CLASSIFICATION AND WAGE RATE {Standard
Form
1444 (SF 1444)}
Conformance Process:
The contracting officer shall require that any class of service employee which is not listed herein and which is to be employed under the contract (i.e., the work to be performed is not performed by any classification listed in the wage determination), be classified by the contractor so as to provide a reasonable relationship (i.e., appropriate level of skill comparison) between such unlisted classifications and the classifications listed in the wage determination. Such conformed classes of employees shall be paid the monetary wages and furnished the fringe benefits as are determined. Such conforming process shall be initiated by the contractor prior to the performance of contract work by such unlisted class(es) of employees. The conformed classification, wage rate, and/or fringe benefits shall be retroactive to the commencement date of the contract. {See Section 4.6 (C)(vi)}
When multiple wage determinations are included in a contract, a separate SF 1444 should be prepared for each wage determination to which a class(es) is to be conformed.
The process for preparing a conformance request is as follows:
1) When preparing the bid, the contractor identifies the need for a conformed occupation(s) and computes a proposed rate(s).
2) After contract award, the contractor prepares a written report listing in order proposed classification title(s), a Federal grade equivalency (FGE) for each proposed classification(s), job description(s), and rationale for proposed wage rate(s), including information regarding the agreement or disagreement of the authorized representative of the employees involved, or where there is no authorized representative, the employees themselves. This report should be submitted to the contracting officer no later than 30 days after such unlisted class(es) of employees performs any contract work.
3) The contracting officer reviews the proposed action and promptly submits a report of the action, together with the agency's recommendations and pertinent information including the position of the contractor and the employees, to the Wage and Hour Division, Employment Standards Administration, U.S. Department of Labor, for review. (See section 4.6(b)(2) of Regulations 29 CFR Part 4).
4) Within 30 days of receipt, the Wage and Hour Division approves, modifies, or disapproves the action via transmittal to the agency contracting officer, or notifies the contracting officer that additional time will be required to process the request.
5) The contracting officer transmits the Wage and Hour decision to the contractor.
6) The contractor informs the affected employees.
Information required by the Regulations must be submitted on SF 1444 or bond paper.
When preparing a conformance request, the "Service Contract Act Directory of
Occupations" (the Directory) should be used to compare job definitions to insure that duties requested are not performed by a classification already listed in the wage determination. Remember, it is not the job title, but the required tasks that determine whether a class is included in an established wage determination.
Conformances may not be used to artificially split, combine, or subdivide classifications listed in the wage determination.

Instructions on Submitting an Offer
Offers which add to or otherwise change the terms and conditions of the solicitation will be rejected, unless there is a statement on the schedule allowing otherwise.
As a minimum, responses by hard copy or FAX copy (no e-mails), shall include the signed Standard Form 1449, the Schedule of Items, the Capability Information sheet (or similar document showing experience, past performance, and current obligations).
The contractor is required fill out and submit AGAR 452.209 – 70 Representation by Corporations
Regarding an Unpaid Delinquent Tax Liability or a Felony Conviction (Deviation 2012-1) Alternate 1
(FEB 2012) with their offer. (This provision is on the last page(s) of this main document.)
The contractor may also include a document more directly addressing the evaluation criteria, which are stated on in the next section.
If the contractor does not have a current profile in the Online Representations and Certification
Application (ORCA) at http://orca.bpn.gov/, then the contractor must fill out and submit FAR 52.212-3
Offeror Representations and Certifications – Commercial Items (the last few pages of the solicitation) as well. (Submitting this hardcopy does not exempt the contractor from registering at the ORCA website in order to qualify for award.)

Amendments
It is the contractor’s responsibility to monitor the Federal Business Opportunities (www.fbo.gov) website for amendments. If there are any amendments that require signature, the offeror should, if required, sign and send the first page (Standard Form 30) as acknowledgement, as well as follow any revised instructions in the amendment.
Online Registrations
Contractor MUST be registered in the System for Award Management (SAM) (formerly known as Central
Contractor Registration (CCR) and Online Representations and Certifications Application (ORCA)) before award can be made.
Contractors are strongly encouraged to register in this database before submission of an offer so that they will be qualified for award. When awarding a contract if the contracting officer determines that a prospective contractor is not registered, the contracting officer may proceed to award to the next otherwise successful registered offeror. Also, the CO must be kept informed, even after award, if there are changes to the CCR profile so that the Agency may request a refreshed profile with the changed information.
E-mail offers are not authorized. The contractor may submit a hardcopy or send an offer via facsimile.
