CONTRACT CLAUSES
ADDENDUM TO FAR 52.212-4:
FAR 52.217-9 Option to Extend the Term of the Contract (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days before the contract expires; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract.
If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.204-7 Central Contractor Registration (Apr 2008)
(a) Definitions. As used in this clause—
“Central Contractor Registration (CCR) database” means the primary Government repository for Contractor information required for the conduct of business with the Government.
“Data Universal Numbering System (DUNS) number” means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities.
“Data Universal Numbering System+4 (DUNS+4) number” means the DUNS number means the number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at Subpart 32.11) for the same concern.
“Registered in the CCR database” means that—
(1) The Contractor has entered all mandatory information, including the DUNS number or the DUNS+4 number, into the CCR database; and
(2) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS), and has marked the record “Active”. The Contractor will be required to provide consent for TIN validation to the Government as a part of the CCR registration process.
(b) (1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.
(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS+4” followed by the DUNS or DUNS+4 number that identifies the offeror’s name and address exactly as stated in the offer. The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the CCR database.
(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.
(1) An offeror may obtain a DUNS number—

(d) If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.
(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering.
Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.
(f) The Contractor is responsible for the accuracy and completeness of the data within the CCR database, and for any liability resulting from the Government’s reliance on inaccurate or incomplete data. To remain registered in the CCR database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the CCR database to ensure it is current, accurate and complete. Updating information in the CCR does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(g) (1) (i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to:
(A) Change the name in the CCR database;
(B) Comply with the requirements of Subpart 42.12 of the FAR;
(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.
(ii) If the Contractor fails to comply with the requirements of paragraph (g)(1)(i) of this clause, or fails to perform the agreement at paragraph (g)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the CCR information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.
(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the CCR record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the CCR database. Information provided to the Contractor’s CCR record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of payment” paragraph of the EFT clause of this contract.

CONTRACT DOCUMENTS, EXHIBITS OR ATTACHMENTS
SCOPE OF CONTRACT
Janitorial services shall be performed as indicated below at the Trimmer Ranger Station on the Sierra National Forest.
LOCATION AND DESCRIPTION
The Trimmer Ranger Station Administrative office is located at 34849 Maxon Road, Sanger, California, 93657- 9152. Access to the site is contained on the attached area map.
CONTRACT PERIOD
The contract period is March 1, 2011 through December 31, 2011 with four optional one-year periods.
HOURS OF WORK
Services shall be performed as described between the hours of 4:30 pm and 6:00 am, Monday through Friday.
No time restrictions on Saturdays, Sundays, or Holidays. Exact days/times shall be established with the Contracting Officer’s Representative at time of award.
SUPPLIES AND EQUIPMENT
Government-Furnished Property: The Government shall deliver to the Contractor the following government-furnished property as needed: Toilet tissue, paper towels, waste baskets, hand soap, fluorescent tubes, waste basket liners, light bulbs, toilet seat covers.
Contractor-Furnished Property: The Contractor shall furnish all tools, floor finish, furniture polish, glass cleaner, mops, floor brushes, vacuum cleaner, disinfectants and soap (except hand soap), ladders, etc., necessary for the successful performance of the contract.
PRE-WORK CONFERENCE
Prior to commencement of work, the Contracting Officer will arrange a meeting with the Contractor at a mutually agreeable time. The Contractor and the Contracting Officer and/or their authorized representatives will attend the meeting to discuss work schedules, the scope of the contract, responsibilities of both parties, and to promote a better understanding between the Contractor and Forest Service personnel.
SUPERVISION
Before work starts, the Contractor shall designate in writing a person to be acting during Contractor’s absence from the work site. The Contractor shall list the extent of authority his representative will have on the job. The Contractor or the acting authorized representative shall receive orders and instructions from the Contracting Officer’s Representative and shall take such action as is required to keep the job in progress under the terms of the contract. Ensure all doors entered are re-locked. Notify Inspector of interior doors that are found unlocked.
WORK STANDARDS AND CONDUCT
All work under this contract shall be performed in a skillful and professional manner. The Contracting Officer may, in writing, require the Contractor to remove from the work any employee the Contracting Officer deems incompetent, careless, or otherwise objectionable or of questionable character or for theft, possession and/or removal of materials, supplies, equipment, or any Government owned property.
The Contractor shall be responsible for maintaining satisfactory standards of employee competency, conduct, appearance, and integrity and shall be responsible for taking such disciplinary action with respect to the employees as may be necessary.
The Contractor shall prohibit the employees from disturbing papers on desks, opening desk drawers or cabinets, or using telephones, computer terminals or office equipment provided for official Government use, except as authorized elsewhere in this contract.
DEFINITIONS
Wash: Scrub and polish with cleaning agent all surfaces and remove mineral deposits caused by water.
Dust: Remove dust from entire area mentioned with dust cloth. If dirt is stuck to object, wash it off.
Clean: Remove dirt, impurities, soils, and stains.
Floor Cleaning: “Floors shall be cleaned” means washed or scrubbed free of all material stuck to or lying on the floor and keep floor from streaks.
Carpet Cleaning: Remove all papers, gum or any other objects from the rug; spot clean.
Vacuum Carpet: All carpeted areas from wall to wall, under desks, bookcases and tables, around file cabinets.
Move chairs and vacuum area where chair usually sits.
JANITORIAL SERVICES – GENERAL
Contractor shall check the janitors designated mail box in the administrative office for messages upon arrival each work day.
Contractor shall complete the Janitorial Daily Log of Work form (attached) on a daily basis.
As Government-furnished supplies are needed, the Contractor shall complete the Janitorial Supplies Needed form (attached).
ROUTINE SERVICES: The following duties shall be performed twice weekly:
• Vacuum all carpeted floors.
• Gather all waste paper/trash in trash bins and place for disposal in government bins.
• Wash and clean restroom fixtures, sinks, and mirrors.
• Sweep and wet mop all linoleum floors with a water deodorant/disinfectant solution.
• Wash and sanitize toilet bowls, toilet seats, and urinals with water disinfectant, deodorant solutions.
• Refill toilet tissue, paper towel, and hand soap dispensers in restrooms.
• Clean kitchen area in conference room.
• Wash, clean, and polish reception area desks and counters.
• Clean and wash entryway windows.
• Dust mini blinds in all offices.
• Dust desks, tables, telephones, and counters. Areas to be cleaned will be cleared of work materials by employees.
• Wash counters and appliances in the kitchen area.
• Wash, clean, and polish water fountains.
• Damp wash telephones with disinfectant solution.
MONTHLY SERVICES: The following duties shall be performed once each month:
• Dust all Venetian blinds in all offices.
• Dust all air duct grills.
• Linoleum floors shall be cleaned and waxed to a high luster.
• Clean and polish tops of desks and cabinets with furniture polish. Desks with glass tops will be cleaned with window polish. Desktops and cabinets to be cleaned and polished will be cleared of work materials by employees.
• Dust window ledges and moldings.
• Wash and clean toilet stall walls inside and out, and restroom walls with disinfectant.
• Clean cobwebs from windows, walls, and ceilings.
• Dust and clean fire extinguisher glass cases.
SEMI-ANNUAL SERVICES: The following duties shall be accomplished twice per year – once in November or December and once during May or June:
• All windows shall be washed on the inside and outside. All window screens shall be removed and wet wiped.
• All metal hardware throughout the building shall be cleaned (example: doorknobs, air vents, door frames, light switches, etc.)
• Dust/wash fluorescent light fixture grillwork.

SOLICITATION PROVISIONS
FAR 52.212-2 Evaluation – Commercial Items (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

FAR 52.212-3 Offeror Representations and Certifications -- Commercial Items (Jan 2011)
An offeror shall complete only paragraphs (b) of this provision if the offeror has completed the annual representations and certificates electronically at http://orca.bpn.gov . If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (o) of this provision.
(a) Definitions. As used in this provision--
“Emerging small business” means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
