CONTINUATION OF STANDARD FORM 1449
1. Continuation of Blocks 19 through 24 (Schedule of Services):
BASIC SERVICES – Provide all management, supervision, and labor (except as otherwise specified herein); and plan, schedule, and coordinate as necessary to ensure effective performance of all required services. The Contractor shall be fully responsible for providing Welding Instruction Services (2 instructors) at:
Mingo Job Corp Center 4253 State Highway T Puxico, MO 63960-9585
Contractor personnel will perform all work required in the Performance Work Statement (PWS) for the amounts agreed to in the Schedule of Items starting on page 1, working during normal business hours at the Center, excluding Federal holidays. Specific days and hours of duty shall be agreed to through coordination with Center personnel.
When Contractor personnel are on vacation, sick leave, or any other leave, qualified substitute personnel shall be provided by the Contractor.

(c) Changes (tailored). Changes in the terms and conditions of this contract may be made only by written agreement of the parties. NOTE: Modifications to exercise contract options may be issued unilaterally at the Government’s sole discretion in accordance with the terms of FAR clauses 52.217-8 or 52.217-9 listed below.

2. FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor at any time prior to expiration of the current contract period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years and 6 months.

3. AGAR 452.204-71 Personal Identity Verification of Contractor Personnel (OCT 2007)
(a) The contractor shall comply with the personal identity verification (PIV) policies and procedures established by the Department of Agriculture (USDA) Directives 4620-002 series.

(b) Should the results of the PIV process require the exclusion of a contractor's employee; the contracting officer will notify the contractor in writing.
(c) The contractor must appoint a representative to manage compliance with the PIV policies established by the USDA Directives 4620-002 series and to maintain a list of employees eligible for a USDA LincPass required for performance of the work.
(d) The responsibility of maintaining a sufficient workforce remains with the contractor. Contractor employees may be barred by the Government from performance of work should they be found ineligible or to have lost eligibility for a USDA LincPass. Failure to maintain a sufficient workforce of employees eligible for a USDA LincPass may be grounds for termination of the contract.
(e) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine unaccompanied physical access to a Federally-controlled facility and/or routine unaccompanied access to a Federally-controlled information system.
(f) The PIV Sponsor for this contract is a designated program point of contact, which in most cases is the COR\COTR, unless otherwise specified in this contract. The PIV Sponsor will be available to receive contractor identity information from Monday to Friday during business hours at the Cass Job Corps Center. The Government will notify the contractor if there is a change in the PIV Sponsor, the office address, or the office hours for registration; however, it is the contractor's responsibility to meet all aspects of paragraphs (c), (d), and (e).
4. AGAR 452.209–71 Assurance Regarding Felony Conviction or Tax Delinquent Status for Corporate Applicants—Alternate I (FEB 2012)
(a) This award is subject to the provisions contained in sections 433 and 434 of the Consolidated Appropriations Act, 2012 (P.L. No. 112-74), Division E, as amended and/or subsequently enacted, regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –
(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and
(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.
(b) If the awardee fails to comply with these provisions, the Forest Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 433 or 434, amended and/or subsequently enacted.

5. AGAR 452.237-74 Key Personnel (FEB 1988)
(a) The Contractor shall assign to this contract the following key personnel: Welding Instructor(s)

(b) During the first ninety days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within fifteen calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial ninety-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least fifteen days prior to making any permanent substitutions.
(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

111 – GENERAL
A. The primary purpose of the project is the training and placement of Students involved in Welding Program/Placement at the Mingo Civilian Conservation Center 4253 State Hwy T, Puxico Missouri.
B. The Welding Instructor(s) will reinforce and support the Center’s Career Development Services System (CDSS) plan throughout a student’s tenure in their program. At all times instructors will teach and model good employability skills and work habits. Instruction in, and the discussion of customer service will be included in daily tasks and assignments. Instructors will consistently teach the impact of actions and behaviors on employability so that students will come to view themselves as desirable candidates in today’s workforce.
C. The Training Contractor shall furnish the following:
1. Qualified personnel necessary to train and place students in the trade of Welding.
2. Instructor(s) must be certified as follows Arc Welder, Flux Core Arc Welder, Gas Metal Arc Welder, Certified in Aluminum and Stainless Steel Tig welding. Instructor(s) must have the verbal and written communication skills to effectively interact with students at the job corps center and demonstrate a desire to work with young people in an educational setting. Previous teaching experience is preferred. Instructor must meet Minimum Qualification per Exhibit 5.3 of the Policy Requirement Handbook (PRH) which states: Certified, licensed or accredited in the state in which the center is located, or accredited by a professional trade organization.
3. The Contractors Training Instructor may be assigned work projects on Center through work orders which are applicable to student Training Achievement Records (TAR’s). This shall be done for the benefit of the students and the Center Maintenance Plan shall gain quality training experience by assisting with Center related maintenance repair work orders. Work Orders shall be assigned through the Vocational Office or Designee.
4. Instructor must have the interest, desire, experience and ability to work effectively with the unemployed and disadvantaged youth from various economic and social backgrounds without regard to race, creed, color, sex or National Origin.
112 – TRAINING OBJECTIVES
A. The Contractor will design the Welding Program to provide an individual rate of progression/through demonstrated proficiency of each trainee by means of approved Department of Labor Training Achievement Records (TAR). The contractor will be responsible for development of the Student Activity Guide (SAG) materials.
B. Training will be designed to permit a trainee to acquire as a minimum those skills necessary to become employable as a Welding Completer/Trainee. The training program will be designed to provide opportunity for all students enrolled to complete training achievement records to the required skill level. Training achievement records shall be used in the Welding Program.
C. Those trainees selected by the Center Director and Instructor may receive additional training by the Welding Instructor to assure sufficient proficiency to pass the tests for job entry level as specified by prospective employers.
120 – GOVERNMENT FURNISHED PROPERTY
The Government shall deliver to the contractor the following listed materials, supplies, property or services (hereinafter referred to as “Government-furnished property”) at the places and times specified below. The Contractor shall be liable for all loss or damage of such delivered government furnished property until completion and final acceptance of work required under this contract.
The Government will furnish the necessary space for the equipment and utilities for operation of the equipment.
