Commodity Sampling and Weighing Services

Notes to Contractors:

1. This solicitation is for the establishment one or more Blanket Purchase Agreements (BPA’S).

2. ANY QUESTIONS PERTAINING TO THIS REQUEST FOR QUOTE (RFQ) SHALL BE DIRECTED TO CORINNE NYGREN, BY EMAIL TO corinne.m.nygren@aphis.usda.gov.

3. ALL CONTRACTORS MUST BE REGISTERED IN THE SYSTEM FOR AWARD MANAGEMENT (SAM) PRIOR TO AWARD OF THE BLANKET PURCHASE AGREEMENT. Go to www.sam.gov to register. If already registered, please make sure that your registration is up to date, that you have completed all FAR representations and certifications, and that you're registered under the NAICS code used for this solicitation.

6. Interested vendors shall submit the following in order to be considered for award of a Blanket Purchase Agreement:

· Completed pricing schedule.

· The information requested in FAR provision 52.212-2 Evaluation—Commercial Items in order to facilitate the Government’s evaluation of technical capability and past performance.

· A completed copy of the provisions at FAR 52.212-3, Offeror Representations and Certifications-Commercial Items OR confirmation that this has been completed on-line in the SAM database. The confirmation can be in the form of a statement included with the quote. If providing a statement of confirmation please provide your DUNS and tax ID number for verification purposes.

· A completed copy of the provision 452.209 –70 - Representation by Corporations Regarding an Unpaid Delinquent Tax Liability or a Felony Conviction

7. This solicitation is 100% small business set-aside.

PRICING SCHEDULE:

Rate shall be a firm fixed hourly rate for Federal pulse, graded and non-graded non-processed commodity sampling and weighing services at the location(s) quoted. Pricing shall include all costs associated with providing the service.

SCHEDULE NOTES:

· This procurement includes multiple BPA award. Task orders for services under the BPA's will be competed amongst the awardees. The award decision to use a particular BPA will be made based on location where the service is required, price, experience and past performance and ability to receive and hold a license.

· The vendor's price shall be an all-inclusive rate and include all costs necessary to perform the specified services at the various facility locations indicated in the Statement of Work. Contractors must indicate the facilities they wish to have included in the BPA, only the locations listed on the pricing schedule will be considered for inclusion in the BPA if awarded.

· The USDA GIPSA shall make every attempt possible to find local personnel that are near the site where services are requested so that travel costs are avoidable, however, in order to properly staff the various sites where services are required the contractors may need to travel. If travel is required, travel costs will be reimbursed at the rates provided in the Federal Travel or Joint Federal Travel Regulations. Travel must be in accordance with Federal Government Travel Regulations and all costs shall be subject to the restrictions of the Federal Travel Regulations. · Contractor’s must provide receipts for applicable travel related expenses per the Federal Travel Regulations. Mileage will only be paid if travel is over 25 miles one way.

1. DETAILS OF SOLICITATION

1.1 DESCRIPTION OF AGREEMENT: This is a solicitation to establish one or more Blanket Purchase Agreements (BPAs). Pursuant to Federal Acquisition Regulation (FAR) 13.303, Blanket Purchase Agreements, the Contractor agrees to the following terms of a BPA EXCLUSIVELY WITH UNITED STATES DEPARTMENT OF AGRICULTURE (USDA), ANIMAL PLANT HEALTH INSPECTION SERVICE (APHIS) and Grain Inspection, Packers and Stockyards Administration (GIPSA).

Contractor shall provide processed commodity inspection sampling and weighing services under the authority of the Agriculture Marketing Act (AMA) in the geographical area serviced by the Federal Grain Inspection Services (FGIS) field office. These areas include pulse facilities in the following areas: North Dakota, Minnesota, Montana, South Dakota, and the following areas of Idaho: Magic Valley, Treasure Valley, Kendrick, L-C Valley, Evergreen.

Work shall be done in accordance with the specifications when requested by the Contracting Officer or those individuals authorized to make call orders under the BPA.

1.2 TERM OF AGREEMENT: The effective period of this BPA is from date award through twelve months.

1.3 EXTENT OF OBLIGATION: The Government is obligated only to the extent of authorized call orders actually placed against this BPA. Due to the nature of the requirement, it's not possible at the time of award to accurately estimate quantities. There is no minimum guarantee under this BPA.

1.3.1 Review for compliance to new statutes or directives shall be completed, at least annually, before the anniversary of the BPA’s effective date. Any revisions to the BPA, as a result of this review, shall be accomplished by a bi-lateral modification.

1.3.2 This agreement may be unilaterally terminated at any time by either party with thirty days written notice and may be rewritten or revised at the option of the Contracting Officer.

1.3.3 The Contracting Officer for the USDA, GIPSA in Minneapolis, Minnesota acting on behalf of the USDA, APHIS has sole authority to enter into, administer, modify or terminate this BPA.

1.3.4 Purchases after the specified period or exceeding the aggregate total dollar limitation shall not be authorized, nor considered an obligation.

1.3.5 Call orders made under this BPA will include, by reference, the terms and conditions set out in this BPA.

1.4 PRICING: The prices to the Government for all services under this BPA shall be as low as, or lower, than those charged the supplier’s most favored customer for comparable services under similar terms and conditions.

Call orders are estimated overall at 1,300-1,400 hours of service annually for the Grand Forks Field Office requirements and 250-300 hours annually for the Moscow, ID field office requirements. Under no circumstances shall calls exceed $150,000.00. Estimated hours at each location may vary. If more than BPA is awarded, the decision to use a particular BPA will be made based on location, price, and service need.

1.5 PURCHASE LIMITATION: Each Call Order placed by individuals authorized under this BPA shall not exceed $150,000. BPA Ceiling: Combined Call Orders must not exceed $150,000.00 per BPA per BPA year.

1.6 LIMITATIONS OF INDIVIDUALS AUTHORIZED TO PLACE CALL ORDERS AND DOLLAR AMOUNT: Calls under this agreement are only authorized by the following USDA Personnel and USDA Contracting officer.

1.6.1 Orders under the BPA will be issued based on hourly requirements for a given service location and shall detail the BPA Pricing Schedule item and quantity being ordered.

1.6.2 All calls by USDA purchasers shall be tracked and reported to the contracting officer at least quarterly. This information shall be sent to corinne.m.nygren@aphis.usda.gov.

1.6.3 Due to Federal Acquisition Regulations and 5 USC 3109 regarding temporary services, a contractor cannot work more than a 6 month period under this BPA.

1.7 RECEIPT AND ACCEPTANCE OF PURCHASES: Receipt of purchases shall be indicated by signature and date on the appropriate form by the authorized Government representative. This shall be subject to acceptance by the assigned receiver when compared to the documentation of the original call.

1.8

INVOICES:

The USDA, APHIS uses the Invoice Processing Platform (IPP) for electronic submission and tracking of invoices and payment information to its suppliers of goods and services. Invoices shall be submitted electronically to the IPP invoicing system. The contractor may register at https://ipp.gov .

Invoice shall be submitted in accordance with FAR 52.212-4 (g).

Each invoice shall provide the following minimum information:

(i) Name of contractor.

(ii) BPA number

(iii) BPA call number

(iv) Date(s) of services rendered.

(v) Itemized list of services furnished.

(vi) Quantity and unit price, and extension of each item.

(vii) Breakdown of travel expenses if applicable

1.9 DELIVERY: All items will be FOB Destination.

2.0 SPECIFICATIONS

Statements of Work

To Assist the U.S. Department of Agriculture, Grain Inspection, Packers and Stockyards Administration, Federal Grain Inspection Service

In Providing Commodity Inspection and Weighing Services

2.1

INTRODUCTION

The U.S. Department of Agriculture (USDA), Grain Inspection, Packers and Stockyards Administration (GIPSA), facilitates the marketing of U.S. grain and related agricultural products through the establishment of standards for quality assessments, and regulation of handling practices. GIPSA’s Federal Grain Inspection Service (FGIS) administers the official commodity inspection and weighing program under the authority of the Agricultural Marketing Act of 1946 (AMA), as amended.

The AMA authorizes the Secretary of Agriculture to contract with private firms, institutions, and individuals for the purpose of performing specified inspection services. FGIS will use this contracting authority to supplement its workforce by contracting with private firms, institutions, and individuals to sample or weigh bulk and bagged pulses or processed commodities when requested by FGIS to help respond to unpredictable workloads.

2.2 SEE THE ATTACHED STATEMENTS OF WORK for the following GIPSA Field Offices:

· Grand Forks, ND Field Office and surrounding locations, including other states such as Minnesota, Montana and South Dakota

· Moscow, Idaho and surrounding locations in Idaho 2.3

PERFORMANCE

The Contractor shall provide the service when calls are placed against the BPA by the individuals authorized to request services during the contract period of performance.

The Government and Official Agencies are obligated only to the extent of authorized purchases made under the BPA.

2.4

BASIS FOR PAYMENT

Contractual services are based on the hourly rate with a guaranteed 2-hour minimum payment per call out.

b.

The hourly rate is uniform for all services covered by the contract, whether services are performed singly or combined.

c.

The service hours begin when the contractor arrives at the service location, but not before the call out time, and end when they leave the service location. However, if the contractor is traveling to a location more than 25 miles, the hourly rate will be paid for travel time.

d.

There is no special hourly rate for overtime, night differential or holidays.

e.

Payment for partial service hours is based on one-fourth of the hourly rate for each quarter hour worked.

f.

The number of hours requested to work is not guaranteed.

g.

Invoices are to be entered by the sampler in IPP.gov. A copy of the invoice must be sent to the ordering field office.

h.

To whom fees are assessed.

Fees for official services including additional fees will be assessed to and paid by GIPSA for the service.

Form FGIS-992, Services Performed Report, must be completed and sent to FGIS each time called to a service location to perform a service. If, upon arrival, there is no work (including standby time), the service location call out and departure times and the phrase 2-hour minimum must be shown in the Comments of Sampler block. If there are fewer than 2 hours of work performed (including standby time), the service location departure time and the phrase 2-hour minimum must be shown in the block.

2.5

PUBLIC RELATIONS

It is essential for all employees of the Contractor, and their licensed subcontractors, to display a positive image of USDA-GIPSA by ensuring that their employees maintain favorable relations with the processed commodity plant or mill and associated staff. Personnel must be courteous in their dealings with facility management. All personnel working for the Contractor must carry identification at all times documenting employment by the Contractor. Work must be performed with due care, taking precautions against damage to property and interference with vehicular or pedestrian traffic. The Contractor must protect against damage to all USDA-GIPSA, commodity loading facility, and associated property.

2.6

QUALITY ASSURANCE

a.

The government will evaluate the Contractor's performance under this contract. Nonperformance or substandard task performance will be documented when it occurs.

b.

The Government will monitor quality control procedures Contractor's performance under this contract. Nonperformance or substandard task performance will be documented when it under this contract as required.

2.7

CONTRACTOR LIABILITY

The Contractor is liable for any damages, losses, or injuries to people, property, and animals, which occur as a result, directly or indirectly, from work performed by the Contractor’s employees and licensed subcontractors while under contract with USDA-GIPSA. The Contractor must immediately notify FGIS and the Contracting Officer, of any damages, losses, or injuries occurring during the performance of any contract with USDA.

3.0 WAGE RATES

The Service Contract Act applies to this contract unless the work under this BPA is being performed by a person employed in a bona fide executive, administrative or professional capacity as these terms are defined in Part 541 of Title 29 . If the BPA is awarded to an individual whose primary duty is management of the enterprise in which he or she is employed or of a customarily recognized department or subdivision thereof the Service Contract Act (SCA) would not apply. The contractor should refer to FAR clause 52.222-41 for information on whether the SCA is applicable.

The Department of Labor Service Contract Act (SCA) does apply, the contractor will be responsible for obtaining the proper wage determination for the location where the work will be performed. The SCA wage determinations can be found at: http://www.wdol.gov/. Please contact the contracting officer if you need assistance in obtaining the wage determination. The contractor should specific in their quote if the SCA applies.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. AGAR 452.209 – 71 ASSURANCE REGARDING FELONY CONVICTION OR TAX DELINQUENT STATUS FOR CORPORATE APPLICANTS

(a) This award is subject to the provisions contained in the Agriculture, Rural Development, Food and Drug Administration, and Related Agencies Appropriations Act, 2012, P.L. No. 112-55, Division A, Sections 738 and 739 regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –

(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and

(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal or State law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these Attachment 1 AGAR Advisory 104 Attachment 1, AGAR Advisory 104 Page 4 of 4 convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.

(b) If the awardee fails to comply with these provisions, USDA may terminate this contract for default and may recover any funds the awardee has received in violation of sections 738 or 739.

52.212-3 Offeror Representations and Certifications—Commercial Items. (a) Definitions. As used in this provision-

“Forced or indentured child labor” means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except-

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”-

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”-

(1) Means a small business concern-

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that-

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by-

“Subsidiary” means an entity in which more than 50 percent of the entity is owned-

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern-

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern-

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
