AGAR 452.209-71 Assurance Regarding Felony Conviction or Tax Delinquent Status for Corporate Applicants (FEB 2012) Alternate I (FEB 2012)

(a) This award is subject to the provisions contained in sections 433 and 434 of the Consolidated Appropriations Act, 2012 (P.L. No. 112-74), Division E, as amended and/or subsequently enacted, regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –

(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and

(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.

(b) If the awardee fails to comply with these provisions, the Forest Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 433 or 434, amended and/or subsequently enacted.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Purity and Germination: Vendor will be responsible for verifying seed purity, and germination. Zero presence of prohibited and restricted noxious weeds on the national noxious weed list and for the states of Nevada, Idaho, Utah, Oregon, and California will be the contract standard, also no filler material (non-seed material) will be allowed. Additionally, the seed must not contain cheatgrass/downy brome (Bromus tectorum) or ventenata grass (Ventenata dubia).

Standards: Seeds provided by the Vendor in response to this RFQ must meet the following standards:

• Pure Live Seed (PLS): All seeds must be offered on a PLS basis.

• Seed age: All seed offered must be no older than 3 years from harvest.

• Germination rate: Not less than 80% for all grass species. Higher germination rates will be preferred.

Applicable Laws: All laws pertaining to selling and transporting of seed or to noxious weeds are in effect. The Federal Seed Act (7 U.S.C. Sections 1551 – 161 0) applies to all acquisitions of seed. State of Idaho laws for which the seed is to be supplied are also applicable.

Certified Seed Requirements: All seed will meet the criteria for certified seed as regulated by the Association of Certified Seed Agencies (AOSCA).

Packaging and Marketing: All packaging of seed will comply with all Interstate Commerce Commission regulations. Seed will be packaged in bags no larger than 100 pounds. All bags are to be tagged individually in accordance with the Federal Seed Act, and marked with the following information:

In addition, The Federal Seed Act and State laws also require specific information to be listed on each bag.

Inspection and Acceptance: The Government has the right to inspect and test all seed called for by the contract. The Contractor shall provide copies of certified tests for purity, germination, and noxious weeds completed by seed vendor on seed prior to shipping. Samples of seed will be tested at a certified laboratory for the Forest Service to have the purity, and germination certified.

No seed will be accepted until all tests have been completed by the Forest Service. The Contractor is responsible for seed, and clean-up of staging area(s) until seed has been accepted for application.

Testing for noxious weeds both prohibited and restricted will be completed prior to any application on National Forest Lands. Zero percent tolerance of noxious weeds will be the acceptable level of quality assurance. All seed will be rejected if any samples tested produce a positive response to noxious weeds. Noxious weeds to be tested for can be obtained from the “State Noxious – Weed Seed Requirements Recognized in the Administration of the Federal Seed Act”. Also refer to the “North American Weed Free Forage Program” for the noxious weed and undesirable plant species list.

Bromus tectorum commonly referred to as “cheat grass” will also be part of the testing procedure. All seed will be rejected if any samples produce a positive result exceeding 0%. The entire lot of seed will be rejected if samples exceed the threshold for acceptance.

Testing Procedures: The seed laboratory must be a member of the Association of Official Seed Analysts (AOSA). Contractor must verify labs standing with this organization prior to submitting tests to Forest Service. All testing procedures will follow AOSA protocol. The number of bags to be tested for each lot will be X, plus 10% not to exceed X bags per lot. Random sampling of bags will be conducted from different areas throughout the bag. Seed probes will be used to procure samples. Tests will include purity, germination, viability test, an “All State Noxious Seed Exam” and cheat grass test. All tests must have been completed within X months of order date.

Forest Service Testing Procedures: All seed testing will be completed by a third party and a member of the AOSA. Testing procedures will follow AOSA protocol with samples mailed or hand delivered to seed lab. The Forest Service will test X bags per lot to verify Contractor results.
