Contractor is required to certify of the following Not Separately Priced (NSP) Contract Line Items (CLIN) with every invoice. Submit certification on the Invoice Certification form, found under Attachments.

CLIN 0001 Certifications – Not Separately Priced (NSP). This contract contains contract subline items 1A, 1B, 1C, 2, and 3 that are Not Separately Priced (NSP) that means that the unit price for each subline item is included in the unit price of CLIN 0001. The certifications required by CLIN 0001, shall be submitted as supporting documentation for each invoice submitted for work accomplished under the basic CLIN 0001. Acceptance of the contractor's certification by the Government does not waive or limit any rights or remedies of the Government as provided for by the contract, as stated in the contract terms and conditions or as otherwise provided for by law. Each certification reflects a material condition of the contract.

CLIN 0002 Service Contract Act (SCA) and Contract Work Hours and Safety Standards Act (CWHSSA)– Certification with Invoice Submission:

“The contractor recognizes that the SCA and CWHSSA are material conditions of this contract, and in addition to other remedies provided by this contract or penalties as prescribe by law, the Government may terminate the contract for violations of those laws. Recognizing the preceding, the contractor hereby certifies that the attached invoice reflects full compliance with the SCA and CWHSSA.

CLIN 0003 Section 274A of the Immigration and Nationality Act – Certification with Invoice Submission:

“As present by Forest Service Acquisition Regulations (FSAR) Chapter 22 and the text included under the contract provisions, the contractor recognizes that compliance with Section 274A of the Immigration and Nationality Act is a material condition of the contract and that for violations of Section 274A, the Government may terminate the contract in addition to other contractual remedies or penalties prescribed by law. Recognizing the preceding, the contractor hereby

CLIN 0004 Worker Camp conditions – Certification with Invoice Submission:

“The contractor hereby certifies that the on-site, place of performance camp requirements of this contract have been met. The contractor recognizes that compliance with worker camp conditions per the contract terms is a material condition of the contract and that for violations of camp requirements and conditions, the Government may terminate the contract in addition to other contractual remedies or penalties prescribed by law. Recognizing the preceding, the contractor hereby certifies that the attached invoice reflects full compliance with on-site, place of performance worker camp requirements.

452.215-73 Post Award Conference (NOV 1996) A post award or pre-work conference with the successful offeror is required. It will be scheduled within reasonable time after award and prior to the issuing of a Notice to Proceed.

Addendum to AGAR 452.215-73 - At the conference the contractor shall provide the government a copy of Hire Agreements, and copies of H-2B Temporary Employment Certificates, in accordance with FSAR Chapter 22.

452.236-72 Use of Premises (NOV 1996)

(a) Before any camp, quarry, borrow pit, storage, detour, or bypass site, other than shown on the drawings, is opened or operated on USDA land or lands administered by the USDA, the Contractor shall obtain written permission from the Contracting Officer. A camp is interpreted to include a campsite or trailer parking area of any employee working on the project for the Contractor.

(b) Unless excepted elsewhere in the contract, the Contractor shall (i) provide and maintain sanitation facilities for the work force at the site and (ii) dispose of solid waste in accordance with applicable Federal, State and local regulations.

452.236-73 Archaeological or Historic Sites (FEB 1988) If a previously unidentified archaeological or historic site(s) is encountered, the Contractor shall discontinue work in the general area of the site(s) and notify the Contracting Officer immediately.

452.236-74 Control of Erosion, Sedimentation, and Pollution (NOV 1996)

(a) Operations shall be scheduled and conducted to minimize erosion of soils and to prevent silting and muddying of streams, rivers, irrigation systems, and impoundments (lakes, reservoirs, etc.).

(b) Pollutants such as fuels, lubricants, bitumens, raw sewage, and other harmful materials shall not be discharged on the ground; into or nearby rivers, streams, or impoundments; or into natural or man-made channels.

Wash water or waste from concrete or aggregate operations shall not be allowed to enter live streams prior to treatment by filtration, settling, or other means sufficient to reduce the sediment content to not more than that of the stream into which it is discharged.

(c) Mechanized equipment shall not be operated in flowing streams without written approval by the Contracting Officer.

452.236-77 Emergency Response (NOV 1996)

(a) Contractor's Responsibility for Fire Fighting. (1) The Contractor, under the provisions of FAR clause 52.236-9, PROTECTION OF EXISTING VEGETATION, STRUCTURES, EQUIPMENT, UTILITIES, AND IMPROVEMENTS, shall immediately extinguish all fires on the work site other than those fires in use as a part of the work. (2) The Contractor may be held liable for all damages and for all costs incurred by the Government for labor, subsistence, equipment, supplies, and transportation deemed necessary to control or suppress a fire set or caused by the Contractor or the Contractor's agents or employees.

(b) Contractor's Responsibility for Notification in Case of Fire. The Contractor shall immediately notify the Government of any fires sighted on or in the vicinity of the work site.

(c) Contractor's Responsibility for Responding to Emergencies. When directed by the Contracting Officer, the Contractor shall allow the Government to temporarily use employees and equipment from the work site for emergency work (anticipated to be restricted to fire fighting). An equitable adjustment for the temporary use of employees and equipment will be made under the CHANGES clause, FAR 52.243-4.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. Pre-Quotation Conference: The Government contemplates hosting a pre-quotation conference by telephone on Tuesday, May 10, 2016 at 11:00am Alaska Daylight Time. The contracting officer and program manager will describe the project for the benefit of interested parties, and will answer questions as time and circumstances allow. Any interested party who wants to dial in should send a one-page email to the contracting officer at crpowell@fs.fed.us by noon on Friday, May 6, 2016. This email should show the solicitation number and project name, express interest in the call, and provide a return email address so the contracting officer can provide the dial-in information. This email should also list any questions the interested party might have, so that the contracting officer and program manager can prepare the answers to share at the conference.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The following technical factors shall be used to evaluate offers:

1. Relevant Experience:

i) Must have at least two (2) years of pre-commercial thinning experience.

ii) Pre-commercial thinning experience in Southeast Alaska is preferred.

2. Capacity:

i) Capacity to successfully pre-commercial thin and prune the required number of acres within the required period of performance specified.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 Offeror Representations and Certifications—Commercial Items (Mar 2016) The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . (a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).

Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
