Justification and Approval (J&A) for Other Than Full and Open Competition

I. Agency and Contracting Activity.

Air Force District of Washington 1500 West Perimeter Rd, Ste 5750 Joint Base Andrews, MD 20762

II. Nature and/or description of the action being approved.

This is a Justification for Other Than Full and Open Competition for a new Firm-Fixed-Price (FFP) single award Indefinite Delivery, Indefinite Quantity (IDIQ) Contract. The period of performance for the IDIQ will be a base period of one year with four one year options for a total period of performance of sixty months.

III. Description of supplies/services required to meet agency needs (including the estimated value).

Prosci, Inc. will provide 5,000 licenses that will provide access to ECM training (online and in-person), assessment tools, and ECM toolkits. The licenses are required to manage the substantial digital transformation occurring in the AF/A1 Community. Services will include leadership training on establishing/implementing an ECM Program in multiple locations to reach targeted Total Force audiences.

It will create a solid foundation of an additional 90 Certified Practitioners and 30 Master Trainers to saturate the A1 community by continuing to provide training and change management expertise within the A1 Community in perpetuity. The Master Trainers have the capacity to train 2700 Practitioners over the life of the contract and 540 per year after that. In addition, all Master Trainers will be training Senior Leaders, Supervisors and Front Line Employees within their organizations as required by their leadership to manage current and future change initiatives. All Training will follow the Prosci Awareness, Desire, Knowledge, Ability and Reinforcement (ADKAR) methodology and provide lifetime ECM licensing for AF/A1 for the initial instructional materials and toolkits. Updates will be provided at no additional cost to the Government for three (3) years. In addition, all training materials, tool kits, strategic communications and video production will be USAF specific and branded with the USAF logo. The maximum dollar value of the total estimated orders is . The period of performance is estimated to be 15 July 2020 - 14 July 2025.

IV. Statutory authority permitting other than full and open competition.

10 U.S.C. 2304(c)(1) as implemented by FAR 6.302-1 Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements and required by FAR 6.303-2(b)(4).

V. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above (applicability of authority).

AF/A1 has realized the need for a standardized ECM program (see AF Policy Memorandum for the AF/A1 Community dated 20 February 2020) and thus created the AF ECM Working Group (WG) to identify the appropriate change management methodology to standardize across the directorate. One criteria the AF ECM WG identified as a must have for the methodology was an approach that had been scientifically validated. The ADKAR methodology, a product of Prosci, Inc, was determined to be an appropriately scientifically validated change management method that was already in use by AF/A1. Unlike other change management models, Prosci's ADKAR methodology is highly specialized from its roots in engineering principles that are reinforced through empirical research and extensive benchmarking of their change management practices worldwide. Prosci, Inc. is the only provider of their proprietary ADKAR

AF/A1 has previously obtained certification for more than 40 personnel in the ADKAR methodology utilizing the Federal Aviation Authority's Prosci contract (DTFAWA-15-C-00054). The Air Force has invested more than twenty years of training in the ADKAR method of change management with each individual currently certified requiring more than 6 months of training for certification. The cost of training these personnel has amounted to In addition to the direct financial cost, AF/A1 has invested a cumulative twenty years of training on the certification of these personnel that would need to be re-accomplished with the implementation of another methodology and cannot be recouped. Therefore, award to any other source for an alternate enterprise change management model would result in substantial duplication of cost to the Government that is not expected to be recovered through competition and the disruption would result in unacceptable delays in fulfilling the agency's requirements.

Prosci is currently the change management partner for many other federal government organizations including the Department of Veteran's Affairs, the Defense Commissary Agencies, the Department of Homeland Security, the Federal Aviation Authority, and the Internal Revenue Service. The Federal Aviation Authority's award was also accompanied by a sole source J&A that also cited duplication of costs as a driving need to sole source.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under

FAR 5.202 applies.

A Request for Information (RFI)/Sources Sought was synopsized on beta.SAM.gov Contract Opportunities to identify potential sources. The RFI was posted on 16 Mar 2020 and closed 23 Mar 2020 with no responses. The RFI informed any interested party of the Air Force's need for Prosci Complete Site License agreements and the reason that they are needed. Also in the RFI, was a breakdown of the elements of the licenses that needed to be included in any potential solution.

An announcement of an intention to award a sole source contract to Prosci Inc. was posted on beta.SAM.gov on 30 Jun 2020.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer anticipates the price to Government will be fair and reasonable. The Contracting Officer will review the contractor's price lists and any price reductions offered. Additionally, when determining fair and reasonable pricing the Contracting Officer may base the statement on comparison of the proposed price with prices found reasonable on previous purchases and the Independent Government Cost Estimate IAW FAR 15.404-1(b)(2)(ii), (iv) and (v). A complete analysis of the contractor's prices will be performed in accordance with applicable FAR provisions. Commercial price lists, procurement history and other available pricing information will be reviewed. A determination of fair and reasonable pricing as required by statute and regulation will be made by the Contracting Officer.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

Initial market research was conducted in pursuant to FAR Part 10 with other AF ECM partners such as Booze Allen Hamilton and MAGA Designs. Both agreed they could not provide lifetime licensing, train-the-trainer training, certify practitioners, or provide consulting support consistent with the ADKAR

March 2020 FOR OFFICIAL USE ONLY Page 4 of 4 methodology without subcontracting with Prosci. Currently Prosci does not license its proprietary ADKAR methodology and change management tools to any other firm.

As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by synopsis of the proposed acquisition, advising industry of the pending acquisition and soliciting inquiries from interested parties.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

None.

X. List of any sources that expressed, in writing, an interest in the acquisition.

None.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

The Air Force will continue to monitor the market for contractors skilled in the ADKAR change management methodology and creation of possible partner programs with Prosci Inc. An annual review of the contract will be conducted to determine if the contract still represents the best value. Prior to exercise of any options, the facts and circumstances contributing to the nature of this procurement will be validated to ensure that the basis for this justification still exists.
