Representation by Corporations Regarding an Unpaid Delinquent Tax Liability or a Felony Conviction Under Any Federal Law (Class Deviation) (March 2015)
(1) In accordance with Sections 744 and 745 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), none of the funds made available by the Consolidated and Further Continuing Appropriations Act, 2015 funding may be used to enter into a contract with any corporation that-
(a) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where an awarding agency is aware of the conviction, unless the agency has considered suspension or debarment of the corporation and has made a determination that this further action is not necessary to protect the interests of the Government, or
(b) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless the agency has considered suspension or debarment of the corporation and made a determination that this further action is not necessary to protect the interests of the Government.

(a) In accordance with Section 523 of Division B, Consolidated and Further Continuing Appropriations Act, 2015, (Pub. L. 113-235) none of the funds made available by the Act may be used to enter into a contract in an amount greater than $5,000,000 unless the prospective contractor certifies in writing to the U.S. Consolidated and Further Continuing that, to the best of its knowledge and belief, the contractor has filed all Federal tax returns required during the three years preceding the certification, has not been convicted of a criminal offense under the Internal Revenue Code of 1986, and has not, more than 90 days prior to certification, been notified of any unpaid Federal tax assessment for which the liability remains unsatisfied, unless the assessment is the subject of an installment agreement or offer in compromise that has been approved by the Internal Revenue Service and is not in default, or the assessment is the subject of a non-frivolous administrative or judicial proceeding.

STATEMENT OF WORK
OBJECTIVE
To contract maintenance assistance to perform general labor to assist with maintenance and repairs to the TSMRI waste treatment system and upgrades to the seawater and freshwater circulation systems of the Auke Bay Laboratory facilities in Juneau Alaska. The successful contractor will be expected to provide general maintenance assistance on facilities. Position will involve operation of government vehicles, forklifts, and other equipment.
SCOPE OF WORK
The individual contractor will be required will average 30 hours per week at the ABL facilities in Juneau, Alaska.
SPECIFIC TASKS
The contractor will be providing journeyman level labor to assist the facilities and science staff at the Auke Bay Laboratory Facilities. Duties to include but are not limited to:
· Independently plan, schedule, and perform projects in multiple trade areas.
· Repairs, replacement, and/or new installation of seawater and/or domestic plumbing systems and associated components, building support systems, wet lab aquaria systems, laboratory equipment and support systems, freezers, plumbing, electrical, hydraulic, carpentry, and HVAC systems.
· Repairs to docks, floats, piers, dock handling equipment, seawater influent and effluent piping, hatchery equipment, and hatchery weir collection systems.
· Journey-level operation of heavy equipment for site preparation and site improvements. Equipment includes: Wheel loaders, skid-steer loaders, forklifts, cranes, and boom trucks.
· Trails, grounds, lawn and landscape maintenance and repair.
· Direct coordination with ABL scientists, contractors, and tenants
· Assistance to facilities maintenance personnel while conducting basic plumbing, electrical, and carpentry repair tasks.
Place and Period of Performance Primary Place of Work: Juneau, Alaska. The successful contractor will be working outdoors in winter weather conditions and should prepare and dress appropriately.
Period of Performance: The period of performance for this order will be from the Date of Award through May 30, 2017.
MINIMUM QUALIFICATIONS
The successful candidate must possess the following minimum qualifications:
· The successful contractor will be able to document previous experience performing general labor related to the specific tasks listed above.
· The successful contractor will be required to maintain their own cell phone service at their expense.
· The successful contractor will have a valid State of Alaska driver’s license prior to commencing work under this contract.
· Able to provide 3 references if requested.
Contractor Provided The contractor shall provide adequate boots, rain gear (bibs and hooded coat), gloves, and warm clothing, and other personal items necessary for participation in field activities.
Government Provided Auke Bay Laboratories will provide the following necessary for all functions of this contract: computer for data QA task, survey gear and equipment, sampling equipment, and documentation for the standard operating procedures and related protocols. The contractor will be provided with personal flotation device (float coat).
GENERAL CONDITIONS
Equipment and Materials Government will provide computer and equipment necessary to perform all functions of this Contract, all of the sampling equipment, materials for preservation of the specimens collected, standard operating protocols for collection and data collection for specimens and transportation containers for gear and samples.
Licensing The contractor shall be licensed by the State of Alaska and have a valid driver’s license.
Damage The Government will not be responsible in any way for damage occasioned by fire, theft, accident or otherwise, to the Contractor's personal belongings brought into the facilities provided by the Government.
Insurance Coverage The contractor will be responsible for providing their own workman's compensation and health insurance. The government will not be responsible for providing insurance. The contractor must show proof of workman's compensation insurance if requested by either the COR (Contracting Officer's Representative), or Contracting Officer. If the contractor will be performing work on a vessel or in the field or field camp, the government takes no responsibility in event of injury. If the contractor has not obtained workman's compensation insurance, the government takes no responsibility in event of injury. This is solely the responsibility of the Contractor.
Contractor Use of Government Vehicles The government does not "insure" its vehicles for use by anyone who simply has permission to use them. Only federal employees on official business will have protection under the Federal Tort Claims Act (FTCA) for liability purposes. The government is not liable for any civil 5 injuries, or their remedies, of independent contractors.
The Contractors is authorized to use any government vehicle in the performance of authorized work as specified in the statement of work and within its period of performance. Use of any government vehicle for other than performance of Government work is strictly prohibited.
Government vehicles and property will be covered in the event of an accident while performing official work. The Government, however, will not be responsible for the contractor. The contractor is solely responsible for their own health, workmen's compensation and unemployment insurance as well as applicable social security, local, state, and federal taxes. Contractor should still maintain (and ready to present evidence of if requested) their own liability insurance.
If a government contractor has liability insurance, then they can operate government vehicles while performing the contracted work so long as it is included in the contract/purchase order. This liability insurance should include insurance covering the operation of all motor vehicles used in connection with performing the contract. The contractor will be responsible for the actions of its employees and/or themselves, including the negligent operation of government vehicles. All contractors that are allowed to operate government vehicles must maintain and be ready to present evidence of the liability insurance if requested.
Performance of Work
1. The services shall be carried on in such a manner that there will be maximum coordination between the Contractor and the Government POC.
2. The Contractor shall comply with all building regulations while on the premises.
3. The Contractor shall comply with all federal regulations while working with the Government and when obtaining services on behalf of the government.
4. Hours of work will be agreed upon with the Facility Manager.
Workmanship The work involved in this order must be performed accurately, on a timely basis and must closely follow established protocols as provided.
IT Requirements This order will not require assignment of a permanent user account, access to DOC data or systems. This contractor will have access to and use Government hardware, application software, system software, or sensitive data as needed. This service will be performed on federal government's premises for less than 300 calendar days. IT security consideration and controls will be put in place before commencement of service.
Government Responsibility The COR or her designee shall be available during normal working hours to provide guidance to the Contractor in performance of the contract tasks.
COR Designation At the time of Award the Government may assign a Contracting Officer's Representative (COR) who will inspect and accept services rendered in this contract on behalf of the Government. In the event that the COR is not available, the Chief Scientist, will be the technical point of contact for questions and clarifications. The responsibilities and limitations of the COR are as follows:
The COR is responsible for the technical aspects of the project and technical liaison with the Contractor. The COR is also responsible for the final acceptance of all reports, and such other responsibilities as may be specified in this contract The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes, which affect the contract price, terms or conditions. Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the prior authorization of the Contracting Officer. The COR may designate an assistant COR to act for her by naming such assistant in writing and transmitting a copy of such designation through the Contracting Officer to the Contractor.
INVOICING
In compliance with the Prompt Payment Act, the Financial Management Division will pay an invoice in accordance with the terms set forth in the contracts with vendors if a "proper invoice" is received. A "proper invoice" has:
1. Name of the vendor and an invoice date
2. Purchase order number
3. Description, price and quantity of property and services actually delivered or rendered
4. Payment terms are “Net 30”.
5. Name, title, phone number, and complete mailing address of the responsible official to whom payment is to be made

PAYMENT TERMS
This order is net 30 days which means you will receive payment 30 days after a proper invoice is received. Do not expect early payment. If it has been longer than 30 days from the Contracting Officer’s receipt of the invoice, you may request information on when you can expect payment.
FEDERAL, STATE, AND LOCAL TAXES
Except as may be otherwise provided in this contract price includes all applicable federal, state, and local taxes and duties in effect on the date of this contract but does not include any taxes from which the Government the Contractor or this transaction is exempt. Upon request of the contractor, the Government shall furnish a tax exemption certificate or similar evidence of exemption with respect to any such tax not included in the contract price pursuant to this clause. For the purpose of this clause, the term "date of this contract" means the date of the contractor's quotation or, if no quotation, the date of this Purchase order.
Suspension of Work and Government Shut Down In the case of a Government Wide Shutdown, this contract/order may be subject to a stop-work order. A stop-work order may be issued by writing by the Contracting Officer or Government Official. In accordance with FAR 42.13 – Suspension of Work, Stop-Work Orders, and Government Delay of Work is also made a part of this Acquisition. NOAA will not make payments to contractors for products or services not obligated before the funding lapse.
If a contract or order has been issued and funded and productive work is possible then Contractor may continue to operate under your Contract during Laps. However, depending on the duration of a funding lapse, the absence of available Federal employee oversight may lead an agency to reconsider whether the contract or grant activity should continue to be performed. Federal employees will not be available to make timely payments to the contractor or grantee in accordance with the contract.
Award Criteria

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.
(a) Definitions. As used in this provision— “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern—
(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.

(i) Taxes are considered delinquent if both of the following criteria apply:
(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(ii) Examples.
(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
(i) Certification Regarding Knowledge of Child Labor for Listed End Products (Executive Order 13126).
