Performance Work Statement (PWS) TSMRI Heating, Ventilation, Freezer, Walk In Cooler, and Heat Pump/Chiller unit Preventive Maintenance & Repair Vision Statement

The refrigeration systems at the Ted Stevens Marine Research Institute provide heat for the facility and storage for a laboratory samples in our walk-in freezer and cooler rooms. The purpose of this PWS is to solicit services for maintenance and repair to maintain temperatures within the required operational bands, minimize refrigerant losses, and ensure that all refrigerants, oils, etc. will be handled in an environmentally sound manner in accordance with state and federal regulations while maintenance and repairs are conducted.

1 Introduction Ted Stevens Marine Research Institute’s primary sources of heat are two sea water sourced heat pump/chiller units, hereafter referred to as “heat pumps.” We have two walk in coolers and three walk in freezers for sample storage, and one package air conditioning unit for cooling the server room. The contractor shall provide all equipment, personnel, tools, materials, supervision, and other items and incidental services necessary to perform preventive maintenance and repairs to maintain the systems within design parameters as prescribed in the manufacturer’s maintenance manuals and technical bulletins and in keeping with good business practice in accordance with this Performance Work Statement (PWS). This service will be performed at the Ted Stevens Marine Research Institute, at 17109 Pt. Lena Loop Road, Juneau, Alaska.

1.1 Systems Overview

1.1.1. Heating, Ventilating and Air Conditioning HVAC: The HVAC system is comprised of numerous components including two chillers configured as heat pumps and two oil filed boilers for backup. Control of the units is through interface with the building automation system (BAS).

· The two Trane Rotary Chiller Units are model RTWD090F2A02A1C2. These units are sourced by seawater heat exchangers. Redundant condenser and evaporator loop circulation pumps are connected to provide water for both chillers. A separate pair of circulator pumps circulate the heated water through the facility. A third pair is utilized to circulate chilled water when needed.

· Boilers (B-101 & 102) The boilers are oil fired units manufactured by Burnham. The circulation system utilizes two circulation pumps connected in parallel to service either or both boilers as needed. The servicing of this equipment is outside the scope of this solicitation.

· Two McCray package rooftop units (AHU-201 & 202) are installed to service the office wing. The operation of the heating coil, supply and return fans, economizer, and mechanical cooler is controlled by the building automation system (BAS). Mechanical cooling is provided by these units when the outside air temperature is too warm to provide cooling.

· VAV units with heating coils are utilized to distribute heat and cooling within the Office Wing. The servicing of this equipment is outside the scope of this solicitation.

· Three Air Handler Units (AHU-101, 102, and 103) provide heat and fresh air circulation to the lab wing and lobby area. The servicing of this equipment is outside the scope of this solicitation.

· AHU-101 is the primary air handler for the lab wing. It provides 100% outside air with no recirculation within the lab. A heat recovery system is installed in GEF-101 to extract heat from the air prior to it being exhausted from the building. The operation of the heating coil, supply, and return fans is controlled by the building automation system (BAS).

· A heat recovery system is installed on the lab vent hoods and return air in the lab wing to extract heat from that air prior to it being exhausted from the building.

· The system can be configured so that the chillers can provide heat, boilers provide heat, or both provide heat through separate heating coils in the laboratory portion of the facility.

· Server Room Air Conditioner (ACU-201) The server room air conditioner is manufactured by Liebert. The unit is equipped for humidity control. The condenser coil for the Liebert unit is located on the roof of the office wing.

1.1.2. Refrigeration and Freezer:

· The two walk in cooler and freezer rooms within the lab wing are installed so that the access to the freezers are through the adjoining cooler room.

· A third freezer unit is installed outside behind the warehouse.

1.1.3. For a complete list of HVAC and freezer/cooler equipment, see Table 1. For equipment schedule and performance data, see Tables 1 and 2.

1.2 Scope

The contractor shall provide all personnel, equipment, tools, services, and supervision necessary to inspect, maintain and repair government owned Heating Ventilation and Air Conditioning (HVAC), and refrigeration equipment in the attached Table 1 – Equipment Schedules. These services are to be performed at the Ted Stevens Marine Research Institute at 17109 Point Lena Loop Road, Juneau, AK 99801. The contractor shall perform all service maintenance and repair tasks in accordance with the manufacturers’ recommendations as well as the standards and procedures defined in this contract. The contractor shall maintain a written preventative maintenance schedule before the start of the contract.

1.2.1. PREVENTATIVE MAINTENANCE:

1.2.1.1. The contractor shall furnish the necessary personnel, equipment, tools, supervision, and services to provide preventative maintenance for the equipment listed in Table 1 – Equipment Schedules.

1.2.1.2. Contractor shall inspect monthly, and ensure that the HVAC, and refrigeration equipment are operating and serviced according to the manufacturer’s recommendations.

1.2.1.3. The contractor shall ensure the HVAC and refrigeration equipment perform efficiently and are clean and are free of corrosion.

1.2.1.4. The contractor shall identify and repair leaks in the system as appropriate.

1.2.1.5. The contractor shall minimize disruptions and inconveniences to users and must coordinate all work with the facility manager or his representative.

1.2.1.6. The contractor shall not perform any repairs without prior approval by the contracting officer and facility manager.

1.2.1.7. All parts and materials are to be provided by the contractor for regularly scheduled preventative maintenance.

1.2.1.8. Repair parts and materials beyond those replaced as part of regularly scheduled maintenance will be pre-approved by the Facility Manager and charged to CLIN 0003.

1.2.1.9. If required, travel expenses shall be built into the monthly service call, and shall not be billed separately,

1.2.2. LIMITS OF LABOR PROVIDED: The contractor shall provide preventative maintenance labor for equipment shown in the equipment list (Table 1). Maintenance personnel shall be fully qualified and competent to provide the following:

· Provide ongoing preventative maintenance on the equipment list- Table 1

· Identify repairs needed.

· Report and document maintenance on equipment

From the Contractor’s home office, the Contractor shall:

· Provide quality control oversight and supervision on a monthly basis by maintaining direct communication with workers at site

· Update and maintain a written maintenance program for equipment on equipment list- Table 1

1.1.4. PROPERTY CONTROL: The contractor shall obtain approval of the facility manager or the contracting officer before removing any item from its existing location.

1.2.4. HVAC AND REFRIGERATION REPAIR:

1.2.4.1. The contractor shall start diagnosis and repairs to the HVAC or refrigeration equipment within 12 hours of identification of a problem, or being notified of repair service requirement.

1.2.4.2. The contractor shall notify the facility manager and contracting officer when any replacement part must be ordered that will delay repairs for more than 24 hours.

1.2.4.3. The contractor shall develop a repair plan within 48 hours of the expected delay if repair time may exceed seven days and submit this plan to the facility manager and contracting officer for approval.

1.2.4.4. The government shall not be billed for replacement parts and repairs until repairs are complete and the equipment is restored to proper operation.

1.2.4.5. All repairs are to be completed within thirty days of notification of repair service requirement.

1.2.4.6. The government will pay for the cost of repairs, but will not be billed for maintenance of equipment that is out of service.

1.2.4.7. Repair hours will be charged to line item 0002 of the contract. Work in excess of eight hours per day will be billed at the agreed upon rate in line item 0002 unless overtime hours are authorized by the facility manager. Overtime will be billed at 1.5 times the hourly rate quoted in line item 0002.

1.2.4.8. Travel expenses, if required, will be billed to line item 0003, must be approved in writing, and shall not be in excess of the prevailing government per diem rate for Juneau, AK.

1.2.5. REPORTING: The contractor representative shall provide comprehensive monthly service written reports to the facility manager. The report shall document all pertinent pressures, temperatures, voltages, fluid levels, and test levels. The report shall contain any uncorrected deficiencies noted at inspection, and the time frame to complete the repairs. Reports shall be in writing and be provided within three (3) days following the end of the month.

1.3. EMPLOYEES:

1.3.1. CERTIFICATIONS: The contractor shall be licensed to conduct HVAC work in the State of Alaska and have 5 years of experience in HVAC and refrigeration equipment service as detailed in serviceable items listed in Table 1 – Equipment Schedules. The contractor’s onsite worker should be trained and certified for conducting maintenance and repair on HVAC and refrigeration equipment as detailed in serviceable items listed in Table 1 – Equipment Schedules. Equipment must be serviced and maintained by a manufacturers’ certified technician(s).

1.3.2. SECURITY OR ACCESS REQUIREMENT: The contractor shall comply with the Department of Commerce security background procedures and complete necessary background application prior to starting work.

1.4 QUALITY CONTROL: The contractor shall develop and maintain a written quality program to ensure services are performed in accordance with manufacturers’ recommendations as well as with commonly accepted commercial practices for HVAC, life support and plumbing maintenance and repair. The contractor shall develop and implement procedures to identify and prevent defective services from recurring.

1.4.1. QUALITY CONTROL PLAN: The contractor shall establish and maintain a Quality Control Program/Plan to ensure the requirements of the contract are achieved. Quality Control Plan should include reports required under section 1.2.5. One copy of the contractor's Quality Control Plan shall be furnished to the facility manager and contracting officer.

Be provided with the initial proposal (Note: identify if QC plan to be provided must be specific plan for this contract; a sample of a previously used similar quality control plan; or an outline of the items that will be included on the QC plan). Revisions or updates to the submitted quality control plan must be submitted in the same manner as the original plan.

1.4.2. PLAN CONTENTS: The Quality Control Plan should include areas to be inspected, inspection schedule, method of identifying and preventing deficiencies, and documentation. This plan should include a table listing the periodic maintenance to be performed during the period of performance, and should include monthly, quarterly, semiannual, and annual inspections and maintenance as appropriate for each piece of equipment listed in Table 1.

1.4.3. GOVERNMENT REVIEW: The Government will review the Contractor Quality Control Plan to determine if it is adequate. If the plan is found to be adequate, the Government will authorize the plan. If the plan is not adequate as submitted, the deficiencies will be identified to the contractor in writing. The contractor shall correct all identified deficiencies and submit a corrected Contractor Quality Control Plan within ten working days or contract start date, whichever is sooner. Contractor performed work which fails to conform to standards when the contracting officer performs quality assurance work will serve as an indicator that the contractor QC system is not adequate.

1.5. QUALITY ASSURANCE:

1.5.1. CONTRACTING OFFICERS TECHNICAL REPRESENTATIVE (COR): COR’s may be appointed to monitor contractor performance and have the right to inspect, accept and reject defective services. The name and telephone number of each COR under the contract will be furnished to the contractor in writing by the contracting officer.

1.5.2. GOVERNMENT MONITORING: The Government will monitor the contractor's performance under this contract using the method(s) of surveillance specified in the Performance Requirements Summary (PRS) monthly. All monitoring observations will be recorded by the government. When an observation indicates defective performance, the COR will request the contractor's representative to confirm defective work and perform corrective work.

1.6. PHYSICAL SECURITY: The contractor shall be responsible for safeguarding all Government property provided for contractor use in accordance with the Government Furnished Property clause, 52.245-4.

1.6.1. KEY CONTROL: The contractor shall establish and implement methods of ensuring that all keys issued to the contractor by the Government are not lost or misplaced and are not used by unauthorized persons. No keys issued the contractor by the Government shall be duplicated. The contractor shall develop procedures covering key control that shall be included in the quality control plan.

1.7. HOURS OR OPERATION:

1.7.1. NORMAL HOURS: The contractor shall maintain the following customer service hours:

Monday through Friday 7:00 am to 5:00 pm, however, performance of maintenance and repairs under this contract will not be precluded after normal hours.

1.7.1.1. RECOGNIZED HOLIDAYS: The contractor is not required to provide service on federal holidays. However, performance of maintenance and repairs under this contract will not be precluded on recognized federal holidays.

1.7.2. EMERGENCY SERVICES: Emergency services may be required outside the normal duty hours described above. The contractor's responsibilities for emergency support are described in Section C-5.

1.8. DOCUMENTATION AND RECORDS: All documentation, records and schedules as described in this PWS that are the responsibility of the contractor, are the property of the Government and shall be turned over to the Government upon completion or termination of the contract. All records are subject to the Freedom of Information and/or Privacy Acts and any requests for release of any records shall be handled accordingly.

1.9. Security The contractor shall apply for a security background check. The contractor can contact the Auke Bay Laboratories Security Officer Representative at (907) 789-6005 for instructions on how to request this check.

1.10 IT Requirements

This order will not require assignment of a permanent user account, access to DOC data or systems. This contractor will not have access to and will not use any Government hardware, application software, system software, or sensitive data.

1.11 Safety

Contractor Compliance: The contractor and its subcontractors shall comply with Public Law 91-596 (Occupational Safety and Health Act (OSHA)) and the Environmental, Safety, and Occupational Health (ESOH) (DODD 4715.1E). These requirements shall be incorporated into the contractor’s safety and health program.

Mishap Notification and Investigation: The contractor and its subcontractors (if applicable) shall promptly report pertinent facts regarding mishaps involving Government property damage or injury to Government personnel and to cooperate in any resulting safety investigation. The contractor shall notify (via telephone) the cognizant contracting officer, the contracting officer’s representative, and/or other applicable members within four (4) hours of all mishaps or incidents. The Government person notified by the contractor will in-turn notify the Safety office. Contractor notifications made after duty hours shall be reported to the appropriate installation Command Post. If requested by the cognizant contracting officer, the contracting officer’s representative, and/or the cognizant program manager, the contractor shall immediately secure the mishap scene/damaged property and impound pertinent maintenance and training records until released by the investigating safety office. If the Government investigates the mishap, the contractor and the subcontractors shall cooperate fully and assist the Government personnel until the investigation is completed.

1.12 Environmental Requirements

All work performed under the PWS will completed in accordance with Environmental Protection Agency (EPA) requirements for handling of refrigerants and hazardous materials (HAZMAT).

All provisions of the Clean Air Act (CAA) and Clean Water Act are to be followed with respect to the handling, disposal, and record keeping requirements for ozone depleting substances and other hazardous materials (HAZMAT) used in the performance of this contract.

All oils and solvents, or consumables contaminated with HAZMAT are to be removed from the premises and properly disposed of.

1.13 Quality

This section describes the Quality Control components for this effort. The following sub-sections provide details of various considerations on this effort.

1.13.1 Quality Control

The Contractor shall develop a Task/Delivery Order QCP and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The Contractors QCP is the means by which he assures himself that his work complies with the requirement of the contract.

The finalized QCP will include a Preventive Maintenance Checklist as described within this PWS that will be accepted by the Government at the time of the award of the Task/Delivery Order. The Contracting Officer may notify the Contractor of required modifications to the plan during the period of performance. The Contractor then shall coordinate suggested modifications and obtain acceptance of the plan by the Contracting Officer. Any modifications to the program during the period of performance shall be provided to the Contracting Officer for review no later than 10 working days prior to effective date of the change. The QCP shall be subject to the Governments review and approval. The Government may find the QCP "unacceptable" whenever the Contractors procedures do not accomplish quality control objective(s). The Contractor shall revise the QCP within 10 working days from receipt of notice that QCP is found "unacceptable."

1.13.2 Quality Assurance Surveillance Plan (QASP)

The Government shall monitor the Contractors performance under this Task/Delivery Order in accordance with the Governments QASP.

1.14 Deliverables

The contractor shall provide deliverables as described in subsequent task orders. Deliverables shall be specified by the government. Format and delivery schedule for deliverables shall be outlined in CDRLs and/or other means TBD.

2 General Requirements

2.1 Non-Personal Services

The Government shall neither supervise contractor employees nor control the method by which the contractor performs the required tasks. Under no circumstances shall the Government assign tasks to, or prepare work schedules for, individual contractor employees. It shall be the responsibility of the contractor to manage its employees and to guard against any actions that are of the nature of personal services, or give the perception of personal services. If the contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the contractor's responsibility to notify the Procuring Contracting Officer (PCO) immediately.

2.2 Business Relations

The contractor shall successfully integrate and coordinate all activity needed to execute the requirement. The contractor shall manage the timeliness, completeness, and quality of problem identification. The contractor shall provide corrective action plans, proposal submittals, timely identification of issues, and effective management of subcontractors. The contractor shall seek to ensure customer satisfaction and professional and ethical behavior of all contractor personnel.

2.3 Contract Administration and Management

The following subsections specify requirements for contract, management, and personnel administration.

2.3.1 Contract Management

The contractor shall establish clear organizational lines of authority and responsibility to ensure effective management of the resources assigned to the requirement. The contractor must maintain continuity between the support operations at TSMRI and the contractor's corporate offices.

2.3.2 Contract Administration

The contractor shall establish processes and assign appropriate resources to effectively administer the requirement. The contractor shall respond to Government requests for contractual actions in a timely fashion. The contractor shall have a single point of contact between the Government and Contractor personnel assigned to support contracts or task orders. The contractor shall assign work effort and maintaining proper and accurate time keeping records of personnel assigned to work on the requirement.

2.3.3 Personnel Administration

The contractor shall provide the following management and support as required. The contractor shall provide for employees during designated Government non-work days or other periods where Government offices are closed due to weather or security conditions. The contractor shall maintain the currency of their employees by providing initial and refresher training as required to meet the PWS requirements. The contractor shall make necessary travel arrangements for employees. The contractor shall provide necessary infrastructure to support contract tasks The contractor shall provide administrative support to employees in a timely fashion (time keeping, leave processing, pay, emergency needs).

2.4 Subcontract Management

The contractor shall be responsible for any subcontract management necessary to integrate work performed on this requirement and shall be responsible and accountable for subcontractor performance on this requirement. The prime contractor will manage work distribution to ensure there are no Organizational Conflict of Interest (OCI) considerations. Contractors may add subcontractors to their team after notification to the Procuring Contracting Officer (PCO) or Contracting Officer Representative (COR). Cross teaming may or may not be permitted.

2.5 Contractor Personnel, Disciplines, and Specialties

The contractor shall accomplish the assigned work by employing and utilizing qualified personnel with appropriate combinations of education, training, and experience. The contractor shall match personnel skills to the work or task with a minimum of under/over employment of resources. The contractor shall ensure the labor categories as defined in the Labor Categories document (see attachment), labor rates, and man-hours utilized in the performance of each Task Order (PWS line item) issued hereunder will be the minimum necessary to accomplish the task. The successful contractor must be properly certified refrigeration technician and be able to provide a valid business license and certification alone with a document a work history performing similar tasks within the last twelve months and provide references for that work performed. The successful contractor must be able to pass a security background check.

2.6 Period of Performance

Base Period: March 25, 2020 – March 1, 2021

3. Terms of the SOW:

The contractor will be responsible for the scheduling and coordination of work on the site. The contractor shall provide all labor, materials, tools, supplies, equipment, transportation, supervision, incidental engineering and management necessary to perform all tasks.

4. Performance Tasks The following section specifies the Performance Objectives and Performance Elements for the contract.

4.1. Task 1: Perform all preventative maintenance and inspection items required to ensure proper operation of government owned HVAC and refrigeration equipment following the guidance of the appropriate maintenance manuals and technical service bulletins as detailed in serviceable items listed in Table 1 – Equipment Schedules and Table 2 – Equipment Performance Data and associated support equipment. To provide labor, parts, and equipment necessary to perform repairs identified during preventative maintenance inspection. Estimates for all repairs not included as part of the preventive maintenance prescribed in the manuals and technical bulletins shall be submitted and approved prior to beginning repair work. Specialized equipment must be serviced and maintained by a manufacturers’ certified technician(s).

4.1.1. Standard: All preventative maintenance and inspection items recommended by the original manufacturers will be accomplished within the recommended periodicity. Any identified deficiencies will be documented for correction under Task 2.

4.1.2. Manuals and Technical Service Bulletins: The contractor will maintain a complete set of operations and maintenance (O&M) manuals (to be stored at the Ted Stevens Marine Research Institute) and technical service bulletins for the HVAC, life support and plumbing equipment and will be responsible for updates and revisions.

4.1.3. Maintenance Scheduling and Tracking Software: If maintenance scheduling and tracking is done utilizing vendor specific software, a printout from that software will be a required appendix to the monthly report. At the termination of this contract, an electronic “backup” copy of the data will be provided to the government.

4.2. Task 2: Correct any deficiencies discovered as a result of preventative maintenance or inspections, or deficiencies that occur during the course of normal operations. Specialized equipment must be serviced and maintained by a manufacturers’ certified technician(s).

4.2.1. Standard: The HVAC and refrigeration equipment will be returned to normal operation, and will operate within parameters defined by the operating manuals.

4.2.2. Government will be notified if repairs cannot be completed within twenty-four hours and given an estimate for repair completion. If not repairable due to lack of onsite parts or materials, a plan for repair including a list of parts or materials will be identified and forwarded to facility manager and contracting officer for approval within 48 hours of discovery of problem.

4.2.3. Parts will be ordered after authorization and will be installed within 24 hours of receipt. Repair parts and labor will not be billed until the repairs are complete and the system is operating normally.

4.2.4. Labor: Labor for repairs and maintenance to correct deficiencies or emergency repairs will be billed as “Maintenance Hours.”

4.2.5. Parts, Materials and Consumables: A list of parts, materials and consumables required to correct deficiencies will be provided to the Ted Stevens Marine Research Institute Facilities Manager prior to purchase.

4.2.5.1. Repair parts and consumables will be billed against Line Item 0003 after repairs are complete.

4.2.5.2. Contractor shall maintain an inventory of appropriate refrigerants and oils locally to allow the complete replacement of refrigerant for each unit, or 1 circuit per unit with respect to the heat pumps.

4.2.5.3. The contractor shall also ensure that they have adequate storage capacity to store the refrigerant charge for each unit in the event that the unit must be pumped down for repairs.

4.3. Task 3: All maintenance will completed in accordance with Environmental Protection Agency (EPA) requirements for handling of refrigerants and hazardous materials (HAZMAT).

4.3.1. Standard: All provisions of the Clean Air Act (CAA) and Clean Water Act are to be followed with respect to the handling, disposal, and record keeping requirements for ozone depleting substances and other hazardous materials (HAZMAT) used in the performance of this contract.

4.3.2. All oils and solvents, or consumables contaminated with HAZMAT are to be removed from the premises and properly disposed of.

4.4. Task 4: Conduct emergency repairs when required. Repairs shall start within 12 hours of notification. Contractor must provide contact information of personnel required to respond.

4.4.1. Contractor will have personnel onsite to begin diagnostics within 12 hours of emergency notification.

4.4.2. Government will be notified if repairs cannot be completed within forty-eight hours and given a plan for repair completion. If not repairable due to lack of onsite parts or materials, list of parts or materials will be identified and forwarded to facility manager for approval within forty-eight hours of discovery of problem.

4.4.3. Parts will be ordered after authorization and will be installed within 24 hours of receipt.

If the Contractor fails to respond to the emergency call within 12 hours, or if the emergency cannot be resolved within 24 hours due to non-responsiveness by the contractor, the Government may, by contract or otherwise, perform the repair and charge the cost to the Contractor.

The Contractor must notify the Government in writing if the repair cannot be resolved within 48 hours. The government has an option to perform the repair and charge the cost to the contractor if it cannot be resolved within 96 hours.

PAYMENT TERMS

Payment terms, per Prompt Payment Act, is Net 30 days unless otherwise awarded based on response that provides further discounts. The Government will make best efforts to pay Contractors within 15 days of receipt and acceptance of service and invoice. Do not expect earlier payment, without Discount terms. Partial Invoices will be accepted for services rendered, invoice should be based on percentage of job completion.

Federal, State, and Local Taxes Except as may be otherwise provided in this contract price includes all applicable federal, state, and local taxes and duties in effect on the date of this contract but does not include any taxes from which the Government the Contractor or this transaction is exempt. Upon request of the contractor, the Government shall furnish a tax exemption certificate or similar evidence of exemption with respect to any such tax not included in the contract price pursuant to this clause. For the purpose of this clause, the term "date of this contract" means the date of the contractor's quotation or, if no quotation, the date of this Purchase orders.

Suspension of Work In the case of a Government Wide Shutdown, this contract/order may be subject to a stop-work order. A stop-work order may be issued by writing by the Contracting Officer or Government Official. In accordance with FAR 42.13 – Suspension of Work, Stop-Work Orders, and Government Delay of Work is also made a part of this Acquisition. NOAA will not make payments to contractors for products or services not obligated before the funding lapse.

If a contract or order has been issued and funded and productive work is possible then Contractor may continue to operate under your Contract during Laps. However, depending on the duration of a funding lapse, the absence of available Federal employee oversight may lead an agency to reconsider whether the contract or grant activity should continue to be performed. Federal employees will not be available to make timely payments to the contractor or grantee in accordance with the contract.

AWARD CRITERIA

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Technical Capability to meet the Government requirement need, price, and past performance. Non-price factors are just as important as price.

52.212-2 EVALUATION-COMMERCIAL ITEMS (OCT 2014)

1. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Required Skills and Technical Capability to meet the Government requirement need, price, and past performance. No Price factors, when combined, are more important than price alone.

2. (b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

3. (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS-COMMERCIAL ITEMS (OCT 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision— “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
