B.1 CONTRACT TYPE
This is an Indefinite Delivery/Indefinite Quantity (IDIQ) type contract for scientific evaluation and analysis services. It consists of a base period of one year, with three (3) one-year option periods.
B.2 1352.216-75 MINIMUM AND MAXIMUM CONTRACT AMOUNTS (APR 2010)
During the term of the contract, the Government shall place orders totaling a minimum of $5,000.00. The amount of all orders shall not exceed $600,000.00.

B.3 1352.216-77 CEILING PRICE (APR 2010)
The ceiling price of this contract is $600,000.00. The contractor shall not make expenditures nor incur obligations in the performance of this contract which exceed the ceiling price specified herein, except at the contractor's own risk.
B.4 HOURLY LABOR RATES
The unit prices (hourly rates) entered on pages 2 through 5 shall reflect fully loaded hourly rates, which include costs of overhead, general and administrative costs, fringe benefits, and profit. The unit prices shall NOT include travel costs. The Government requires that the project manager's salary be included in the overhead base.
SECTION C
DESCRIPTION/SPECIFICATIONS/WORK STATEMENT
C.1 STATEMENT OF WORK/SPECIFICATIONS
The Contractor shall furnish the necessary personnel, material, equipment, services, and facilities (except as otherwise specified), to perform the following Statement of Work/Specifications.
C.2 STATEMENT OF WORK
QUANTITATIVE ANALYSIS AND SCIENTIFIC EVALUATION OF THE ENDANGERED HAWAIIAN SEAL
NOAA/NATIONAL MARINE FISHERIES SERVICE (NMFS) Pacific Islands Fisheries Science Center Protected Species Division
C.2.1 Statement of Work
Under the terms of this Statement of Work, the contractor shall complete a variety of tasks to assist the Hawaiian Monk Seal Research Program conduct field work, analyze and summarize data and report findings related to monk seal biology and ecology. Primarily analyses will pertain to demographic modeling though other projects will be undertaken.
C.2.2 Background
The Hawaiian monk seal population is heading towards extinction with numerous threats afflicting the species across its range. The Hawaiian Monk Seal Research Program at the PIFSC conducts research to understand monk seal ecology, the threats to the population, and develop techniques to aid in the species recovery. Much of the work involves monitoring and identifying individual seals to determine survival, reproductive success, and other factors important for modeling population trajectories. These analyses allow researchers and managers to develop intervention and management strategies to help mitigate threats, enhance survival, and minimize human-seal conflicts.
C.2.3 Description of Work and Services
The Contractor shall provide the following services to assist the Hawaiian Monk Seal Research Program in its mission described above:
1. Data Analysis: The contractor shall perform tasks associated with the compilation, statistical analysis, and interpretation of numerical data.
2. Simulation Modeling: A simulation model specific to the Hawaiian monk seal was developed through a collaborative effort between biologists with the Pacific Island Fisheries Science Center and researchers at Montana State University. The model is designed to represent the life history of the monk seal as realistically as possible, and to fully capture all of the uncertainties in demographic rates and system processes that influence the long-term dynamics of the population. It is intended as both an exploratory tool for management and a predictive tool to better understand the implications of current population trends and natural perturbations. To date, the model has been used to assist NMFS in a number of management decisions.
3. Technical Writing and Report Preparation: The contractor shall provide assistance (or take the lead) in preparing written reports. These shall include, but are not limited to, reports describing the results from the analyses undertaken in item 1 of this contract;
internal documents related to monk seal biology or management; documents intended for the public or outside agencies summarizing monk seal data or management; documents related to the revised Monk Seal Recovery Plan (or other materials useful to the Monk Seal Recovery Team); and other documents as requested. The contractor may be asked to produce plots, figures, tables or other visual aids to be used in presentations or reports in preparation by other personnel. The contractor shall provide assistance in summarizing data, providing simulation results of effects of proposed federal actions, justifying study design, or writing protocols to support permit applications or complete NEPA or other requirements that arise from the permit application process.
4. Study design of major program initiatives and program efficiency reviews: The contractor shall work the PIFSC staff and their partners to design research studies under the three main program initiatives (Population Assessment, Enhancement Activities, and Health Studies). The contractor shall work with PIFSC staff to determine the optimal deployment strategy to maintain the long term monk seal population data set but maximize cost-effectiveness.
5. Computer Programming/Software Development: The contractor shall develop computer programs and end-user software needed for monk seal data analysis or the monk seal research program. The contractor may also be asked to make recommendations for improving various aspects of the monk seal data collection and data management system.
6. Attendance at Meetings, Workshops, and Conferences: The contractor shall attend scientific or public meetings and make presentations as requested. These meetings shall include, but are not limited to, the annual Monk Seal Recovery Team meeting, formal review committees, and special topic meetings relevant to monk seal biology and/or management.
The contractor may be asked to travel to Honolulu to interact with members of the monk seal research team, or participate in special projects related to monk seal research and management.
7. Expert Consultation: The contractor shall provide expert consultation on issues pertaining to monk seal conservation as requested by the contracting office. This will frequently involve technical review and editing of scientific manuscripts, reports and other documents produced by PIFSC and its collaborators. This task also includes any services requested by the contracting office that are not adequately described by the other tasks outlined in this Statement of Work.
8. Field work: Assist the Hawaiian monk seal in field research studies in the main Hawaiian Islands or at Midway Atoll in the Northwestern Hawaiian Islands.
C.3 PROFESSIONAL/TECHNICAL LABOR CATEGORIES AND MINIMUM EDUCATION AND EXPERIENCE
REQUIREMENTS
Below are examples of the minimum education, experience and the duties required for contractor personnel under this statement of work. Duties will be listed in individual task orders.
1. PROJECT MANAGER
Education: Bachelor's degree, or higher, from an accredited college or university.
AND
Experience Required: Five (5) years of progressively responsible program management experience in a scientific environment, with emphasis on the scientific disciplines that will be required for this contract.
Duties: A Project Manager (PM) is required to be assigned to this contract, to be available during normal business hours of approximately 8:00 a.m. through 12:00 p.m.
Hawaiian Standard Time (HST). The individual shall be responsible for all aspects of project performance (i.e. technical, contractual, administrative and financial). The PM shall be the Contractor's primary administrative representative having full authority to act on matters pertaining to the performance of the services required under this contract.
The PM is the liaison between the Government Contracting Officer's Representative (COR) and the Contractor to assure successful completion of all awarded task orders. The PM is responsible for the supervision of all Contractor employees on all aspects of project activity, organization and assignment responsibilities, and is responsible for dealing with all personnel and administrative issues relating to Contractor employees.
The Contractor shall notify the COR at least 30 days in advance of a change to the PM.
The Contractor shall provide resumes of any proposed substitute to the CO for approval prior to any change or replacement of the PM in accordance with the key personnel clause.
Any proposed substitute PM shall have qualifications equal to or better than that of the originally approved PM for this contract.
2. INFORMATION SYSTEMS SPECIALIST
Education: PhD in Computer science/programming for demographic analyses of animal populations.
Experience: 5-7 years of experience.
Duties: Administers, develops, delivers, and supports information management systems and services. Carries out projects independently or as a full team member and works under general guidance and direction on project objectives, limits, work plans, and conclusions.
Assess accuracy and reliability of results and produces documentation using accepted standards and methodologies. Also acts as expert consultant when required on monk seal ecology and biology, and related areas. Attends meetings, workshops, and conferences as specified in individual task orders.
3. SCIENTIFIC TECHNICAL WRITER
Education: Bachelor's degree from an accredited college or university with a major in a related field of study with emphasis in biological or social sciences.
AND
Experience Required: One (1) or more years demonstrated experience in editing manuscripts, proofreading materials, and working with other professionals in clarifying information.
Duties: Edits, reviews, formats, and drafts scientific technical reports and papers as specified in individual task orders. Attends meetings, workshops, and conferences as specified in individual task orders.
4. FIELD RESEARCH TECHNICIAN
Experience/Education: An Associate's degree from an accredited college or university with a major in a related field of study with an emphasis in science and a minimum of two years' demonstrated experience related directly to each individual task order. A Bachelor's degree from an accredited college or university with a major clearly in a related field of study with emphasis in science may be substituted for experience.
Duties: Conducts daily research field activities according to established protocols.
Submits written progress reports on a regular basis. Attends meetings, workshops, and conferences as specified in individual task orders.

E.5 RESPONSIBILITY FOR INSPECTION AND ACCEPTANCE
Inspection and acceptance will normally be required for each task order. The Contracting Officer's Representative (COR) designated in Section G will be the Government official responsible for inspection and acceptance of all services delivered under the terms and conditions of this contract.
The Government reserves the right to perform any inspections necessary to ensure that the Contractor's services conform to the prescribed requirements.
E.6 ADDENDUM TO 52.246-4 – TASK ORDER INSPECTION AND ACCEPTANCE
The provisions of the Inspections and Acceptance clause as prescribed by FAR 52.246-4 are supplemented as follows: Inspection and acceptance of work identified will normally be required for each individual task order. The Contracting Officer's Representative (COR) will be the Government official responsible for the inspection and acceptance of all services delivered under the terms and conditions of the resulting contract and subsequent task order(s).

REPORTS VETERANS (SEP 2010)
Unless the Contractor is a State or local government agency, the Contractor shall report at least annually, as required by the Secretary of Labor, on—
(1) The total number of employees in the contractor’s workforce, by job category and hiring location, who are disabled veterans, other protected veterans, Armed Forces service medal veterans, and recently separated veterans.
(2) The total number of new employees hired during the period covered by the report, and of the total, the number of disabled veterans, other protected veterans, Armed Forces service medal veterans, and recently separated veterans; and
(3) The maximum number and minimum number of employees of the Contractor or subcontractor at each hiring location during the period covered by the report.
(c) The Contractor shall report the above items by completing the Form VETS-100A, entitled “Federal Contractor Veterans’ Employment Report (VETS-100A Report).”
(d) The Contractor shall submit VETS-100A Reports no later than September 30 of each year.

(ii) The actions that will be taken against employees for violations of this policy. Such actions may include, but are not limited to, removal from the contract, reduction in benefits, or termination of employment; and
(2) Take appropriate action, up to and including termination, against employees or subcontractors that violate the policy in paragraph (b) of this clause.
Notification. The Contractor shall inform the Contracting Officer immediately of—
(1) Any information it receives from any source (including host country law enforcement) that alleges a Contractor employee, subcontractor, or subcontractor employee has engaged in conduct that violates this policy; and
(2) Any actions taken against Contractor employees, subcontractors, or subcontractor employees pursuant to this clause.
52.222-54 EMPLOYMENT
ELIGIBILITY VERIFICATION

Enrollment and verification requirements.
(1) If the Contractor is not enrolled as a Federal Contractor in E-Verify at time of contract award, the Contractor shall—
(i) Enroll. Enroll as a Federal Contractor in the E-Verify program within 30 calendar days of contract award;
(ii) Verify all new employees. Within 90 calendar days of enrollment in the E-Verify program, begin to use E-Verify to initiate verification of employment eligibility of all new hires of the Contractor, who are working in the United States, whether or not assigned to the contract, within 3 business days after the date of hire (but see paragraph (b)(3) of this section); and
(iii) Verify employees assigned to the contract. For each employee assigned to the contract, initiate verification within 90 calendar days after date of enrollment or within 30 calendar days of the employee’s assignment to the contract, whichever date is later.
(2) If the Contractor is enrolled as a Federal Contractor in E- Verify at time of contract award, the Contractor shall use E-Verify to initiate verification of employment eligibility of—
(i) All new employees.
(A) Enrolled 90 calendar days or more. The Contractor shall initiate verification of all new hires of the Contractor, who are working in the United States, whether or not assigned to the contract, within 3 business days after the date of hire, or
(B) Enrolled less than 90 calendar days. Within 90 calendar days after enrollment as a Federal Contractor in E-Verify, the Contractor shall initiate verification of all new hires of the Contractor, who are working in the United States, whether or not assigned to the contract, within 3 business days after the date of hire, or
(ii) Employees assigned to the contract. For each employee assigned to the contract, the Contractor shall initiate verification within 90 calendar days after date of contract award or within 30 days after assignment to the contract, whichever date is later.
52.223-5 POLLUTION

52.223-6 DRUG-FREE
WORKPLACE (MAY 2001)
The Contractor, if other than an individual, shall—within 30 days after award, or as soon as possible for contracts of less than 30 days performance duration—
(1) Publish a statement notifying its employees that the unlawful manufacture, distribution, dispensing, possession, or use of a controlled substance is prohibited in the Contractor’s workplace and specifying the actions that will be taken against employees for violations of such prohibition;
(2) Establish an ongoing drug-free awareness program to inform such employees;
(3) Provide all employees engaged in performance of the contract with a copy of the statement required by this clause;
(4) Notify such employees in writing in the statement required by this clause that, as a condition of continued employment on this contract, the employee will—
(i) Abide by the terms of the statement; and
(ii) Notify the employer in writing of the employee’s conviction under a criminal drug statute for a violation occurring in the workplace no later than 5 days after such conviction;
(5) Notify the Contracting Officer in writing within 10 days after receiving notice from an employee or otherwise receiving actual notice of such conviction. The notice shall include the position title of the employee;
(6) Within 30 days after receiving notice of a conviction, take one of the following actions with respect to any employee who is convicted of a drug abuse violation occurring in the workplace:
(i) Taking appropriate personnel action against such employee, up to and including termination; or
(ii) Require such employee to satisfactorily participate in a drug abuse assistance or rehabilitation program approved for such purposes by a Federal, State, or local health, law enforcement, or other appropriate agency; and
(7) Make a good faith effort to maintain a drug-free workplace through implementation of this clause.
52.227-2 NOTICE AND

The Contractor shall report to the Contracting Officer, promptly and in reasonable written detail, each notice or claim of patent or copyright infringement based on the performance of this contract of which the Contractor has knowledge.
52.229-3 FEDERAL, STATE,
AND LOCAL TAXES (APR 2003)
The Contractor shall promptly notify the Contracting Officer of all matters relating to any Federal excise tax or duty that reasonably may be expected to result in either an increase or decrease in the contract price and shall take appropriate action as the Contracting Officer directs.
SECTION G
CONTRACT ADMINISTRATION DATA
G.1 1352.201-70 CONTRACTING OFFICER´S AUTHORITY (APR 2010)
The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer.
In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.
G.2 1352.201-72 CONTRACTING OFFICER´S REPRESENTATIVE (C0R) (APR 2010)
(a) TO BE DESIGNATED BY SEPARATE LETTER is hereby designated as the Contracting Officer´s Representative (COR). The COR may be changed at any time by the Government without prior notice to the contractor by a unilateral modification to the contract. The COR is located at:

(b) The responsibilities and limitations of the COR are as follows:
(1) The COR is responsible for the technical aspects of the contract and serves as technical liaison with the contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.
(2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions.
Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor.
G.3 1352.216-76 PLACEMENT OF ORDERS (APR 2010)
(a) The contractor shall provide goods and/or services under this contract only as directed in orders issued by authorized individuals. In accordance with FAR 16.505, each order will include:
(1) Date of order;
(2) Contract number and order number;
(3) Item number and description, quantity, and unit price or estimated cost or fee;
(4) Delivery or performance date;
(5) Place of delivery or performance (including consignee);
(6) Packaging, packing, and shipping instructions, if any;
(7) Accounting and appropriation data;
(8) Method of payment and payment office, if not specified in the contract;
(9) Any other pertinent information.
(b) In accordance with FAR 52.216-18, Ordering, the following individuals (or activities) are authorized to place orders against this contract:

(c) If multiple awards have been made, the contact information for the DOC task and delivery order ombudsman is N/A.
G.4 CONTRACT ADMINISTRATOR
The Contract Administrator will be designated by separate letter. All correspondence and inquiries concerning administration of this contract shall be addressed to the Contract Administrator.
G.5 INVOICING INSTRUCTIONS
A. In accordance with Clause FAR 52.232-25, Prompt Payment, the following information shall be included on all invoices submitted for payment under this contract:
1. Name and address of the Contractor;
2. Invoice date, number, and period of performance (The Contractor should date invoices as close as possible to the date of the mailing or transmission.);
3. Contract number;
4. Contract line item number and description, quantity, unit of measure, unit price, and extended price of supplies delivered or services performed;
5. Where applicable, shipping and payment terms;
6. Name (where practicable), title, phone number and mailing address of person to be notified in event of a defective invoice;
7. Specify billing period; and
8. Any other information or documentation required by other requirements of the contract.
B. Invoices shall be submitted with an original signature to the COTR for approval, i.e., a certification by a Contractor official authorized to bind the Contractor. Contracting Officer's Technical Representative (COTR) mailing address will be provided at award.
Invoices shall include appropriate receipts to support reimbursable travel expenses.
C. Invoices shall be submitted no more than once a month.
D. Payment addresses must reflect the mailing/billing information registered in the Central Contractor Registration (CCR) database to avoid processing delays.
E. A request for final payment must be accompanied by a release of claims. A Release of Claims form will be provided to the contractor upon.
F. The "Final" payment request will be rejected and returned to the Contractor if all items required under the contract have not been completed, submitted, approved, and accepted by the Government prior to the receipt of the request.
SECTION H
SPECIAL CONTRACT REQUIREMENTS
H.1 1352.208-70 RESTRICTIONS ON PRINTING AND DUPLICATING (APR 2010)
(a) The contractor is authorized to duplicate or copy production units provided the requirement does not exceed 5,000 production units of any one page or 25,000 production units in the aggregate of multiple pages. Such pages may not exceed a maximum image size of 10-3/4 by 14-1/4 inches. A "production unit" is one sheet, size 8-1/2 x 11 inches (215 x 280 mm), one side only, and one color ink. Production unit requirements are outlined in the Government Printing and Binding Regulations.
(b) This clause does not preclude writing, editing, preparation of manuscript copy, or preparation of related illustrative material as a part of this contract, or administrative duplicating/copying (for example, necessary forms and instructional materials used by the contractor to respond to the terms of the contract).
(c) Costs associated with printing, duplicating, or copying in excess of the limits in paragraph (a) of this clause are unallowable without prior written approval of the Contracting Officer. If the contractor has reason to believe that any activity required in fulfillment of the contract will necessitate any printing or substantial duplicating or copying, it shall immediately provide written notice to the Contracting Officer and request approval prior to proceeding with the activity. Requests will be processed by the Contracting Officer in accordance with FAR 8.802.
(d) The contractor shall include in each subcontract which may involve a requirement for any printing, duplicating, and copying in excess of the limits specified in paragraph (a) of this clause, a provision substantially the same as this clause, including this paragraph (d).
H.2 1352.209-72 RESTRICTIONS AGAINST DISCLOSURE (APR 2010)
(a) The contractor agrees, in the performance of this contract, to keep the information furnished by the Government or acquired/developed by the contractor in performance of the contract and designated by the Contracting Officer or Contracting Officer´s Representative, in the strictest confidence. The contractor also agrees not to publish or otherwise divulge such information, in whole or in part, in any manner or form, nor to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the contractor´s possession, to those employees needing such information to perform the work described herein, i.e., on a "need to know" basis. The contractor agrees to immediately notify the Contracting Officer in writing in the event that the contractor determines or has reason to suspect a breach of this requirement has occurred.
(b) The contractor agrees that it will not disclose any information described in subsection (a) to any person unless prior written approval is obtained from the Contracting Officer. The contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder.
H.3 1352.209-73 COMPLIANCE WITH THE LAWS (APR 2010)
The contractor shall comply with all applicable laws, rules and regulations which deal with or relate to performance in accord with the terms of the contract.
H.4 1352.209-74 ORGANIZATIONAL CONFLICT OF INTEREST (APR 2010)
(a) Purpose. The purpose of this clause is to ensure that the contractor and its subcontractors:
(1) Are not biased because of their financial, contractual, organizational, or other interests which relate to the work under this contract, and
(2) Do not obtain any unfair competitive advantage over other parties by virtue of their performance of this contract.
(b) Scope. The restrictions described herein shall apply to performance or participation by the contractor, its parents, affiliates, divisions and subsidiaries, and successors in interest (hereinafter collectively referred to as "contractor") in the activities covered by this clause as a prime contractor, subcontractor, co-sponsor, joint venture, consultant, or in any similar capacity.
For the purpose of this clause, affiliation occurs when a business concern is controlled by or has the power to control another or when a third party has the power to control both.
(c) Warrant and Disclosure. The warrant and disclosure requirements of this paragraph apply with full force to both the contractor and all subcontractors. The contractor warrants that, to the best of the contractor´s knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, and that the contractor has disclosed all relevant information regarding any actual or potential conflict. The contractor agrees it shall make an immediate and full disclosure, in writing, to the Contracting Officer of any potential or actual organizational conflict of interest or the existence of any facts that may cause a reasonably prudent person to question the contractor´s impartiality because of the appearance or existence of bias or an unfair competitive advantage. Such disclosure shall include a description of the actions the contractor has taken or proposes to take in order to avoid, neutralize, or mitigate any resulting conflict of interest.
(d) Remedies. The Contracting Officer may terminate this contract for convenience, in whole or in part, if the Contracting Officer deems such termination necessary to avoid, neutralize or mitigate an actual or apparent organizational conflict of interest. If the contractor fails to disclose facts pertaining to the existence of a potential or actual organizational conflict of interest or misrepresents relevant information to the Contracting Officer, the Government may terminate the contract for default, suspend or debar the contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.
(e) Subcontracts. The contractor shall include a clause substantially similar to this clause, including paragraphs (f) and (g), in any subcontract or consultant agreement at any tier expected to exceed the simplified acquisition threshold. The terms "contract," "contractor," and "Contracting Officer" shall be appropriately modified to preserve the Government´s rights.
(f) Prime Contractor Responsibilities. The contractor shall obtain from its subcontractors or consultants the disclosure required in FAR Part 9.507-1, and shall determine in writing whether the interests disclosed present an actual, or significant potential for, an organizational conflict of interest. The contractor shall identify and avoid, neutralize, or mitigate any subcontractor organizational conflict prior to award of the contract to the satisfaction of the Contracting Officer. If the subcontractor´s organizational conflict cannot be avoided, neutralized, or mitigated, the contractor must obtain the written approval of the Contracting Officer prior to entering into the subcontract. If the contractor becomes aware of a subcontractor´s potential or actual organizational conflict of interest after contract award, the contractor agrees that the Contractor may be required to eliminate the subcontractor from its team, at the contractor´s own risk.
(g) Waiver. The parties recognize that this clause has potential effects which will survive the performance of this contract and that it is impossible to foresee each circumstance to which it might be applied in the future. Accordingly, the contractor may at any time seek a waiver from the Head of the Contracting Activity by submitting such waiver request to the Contracting Officer, including a full written description of the requested waiver and the reasons in support thereof.
H.5 1352.216-74 TASK ORDERS (APR 2010)
(a) In task order contracts, all work shall be initiated only by issuance of fully executed task orders issued by the Contracting Officer. The work to be performed under these orders must be within the scope of the contract. The Government is only liable for labor hours and costs expended under the terms and conditions of this contract to the extent that a fully executed task order has been issued and covers the required work and costs. Charges for any work not authorized shall be disallowed.
(b) For each task order under the contract, the Contracting Office shall send a request for proposal to the contractor(s).
