COMBINED SYNOPSIS/SOLICITATION

SOUTHEAST ALASKA CETACEAN VESSEL CHARTER

i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice and in accordance with the simplified acquisition procedures authorized in FAR Part 13. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued.

The National Oceanic & Atmospheric Administration (NOAA) intends to award one firm-fixed-price contract to provide a vessel charter for up to six (6) NOAA biologists, both government and non-government, to investigate abundance, trends, and stock structure of cetaceans throughout the inland waters of Southeast Alaska, with an emphasis on the harbor porpoise as described in the Statement of Work. All responsible sources may submit a quotation which shall be considered by NOAA. The Government intends to select one Contractor;

however, the Government reserves the right to award no contract at all, depending on the quality of the proposals/quotes and prices submitted and the availability of funds.

(ii) This solicitation is issued as a request for quotation (RFQ). Written quotes on RFQ Number AB-133F-16-RQ-0239 shall be submitted on a Standard Form

(SF) 18.

(iii) The solicitation and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-86-2 dated February 1, 2016.

(iv) This procurement is 100% set-aside for small business concerns. The associated NAICS code is 483114. The small business size standard is 500 employees.

(v) This combined synopsis/solicitation is for purchase of the following commercial item supply:

Please note: Costs or expenses of any nature not described above (i.e. hotel stays, etc.) are not reimbursable by the Government. Expenses for these items must be built into the contractor’s proposed daily rate.

(vi) Description of requirements is as follows:

STATEMENT OF WORK/SPECIFICATIONS

The Contractor shall furnish the necessary personnel, material, equipment, services and facilities (except as otherwise specified) to perform the following Statement of Work/Specifications:

BACKGROUND

The National Oceanic and Atmospheric Administration (NOAA), Alaska Fisheries Science Center (AFSC), Marine Mammal Laboratory (MML) has conducted annual cetacean surveys within the inland waters of Southeast Alaska since 1991 with a research emphasis on harbor porpoise and killer whales. All major inland waters of Southeast Alaska surveyed during the course of this project include Stephen’s Passage, Lynn Canal, Icy Strait, Cross Sound, Chatham Strait, Sumner Strait, Clarence Strait, and Frederick Sound. As with previous surveys, they begin and end in Juneau or Ketchikan, Alaska. One or two, ten (10)-fourteen (14) day surveys per performance period are conducted July through September and could start as early as May for the option periods. The Government, in conjunction with the Contractor, will coordinate the exact schedule for the surveys during each period of performance.

SCOPE OF WORK

The vessel Captain shall have knowledge of and be able to perform "line-transect" surveys. This process allows data on both cetacean abundance and trends to be obtained by the scientific party. During line-transect operations, scientific observers rotate among three positions logging in all cetacean sightings, environmental conditions, and track line information.

Pre-determined track lines shall be followed and all positional information (i.e., waypoints) will be given to the vessel Captain prior to departure for entry into the ship’s GPS system. General search patterns shall require the vessel to operate at 9-10 knots (kts) during these surveys. During line-transect days, approximately 100-120 nautical miles a day shall be surveyed with coverage ranging from Juneau to Ketchikan. The number of line-transect days will vary for each survey ranging from at least 2 and up to 14 days, depending on the particular research focus of the survey. Some transiting may occur overnight to position the research vessel for survey effort for the following day.

The specific itinerary of the survey shall be flexible depending on both weather conditions and location of marine mammals. The exact start date will be determined by the Government in consultation with the Contractor.

Itinerary decision shall be coordinated with the chief scientist of this project.

On days when line-transect work is not required, the vessel may:

1) Remain in the same general area for periods up to three (3) days (e.g., harbor porpoise work.

2) Be required to follow killer whales.

Scientists will work from a skiff during this phase of the research. During harbor porpoise work, the vessel shall stay in close proximity (within 1 mile) or follow the skiff to ensure the safety of the researchers.

During the killer whale survey portion of this project a skiff will be deployed when killer whales are encountered. This will allow researchers to collect photo-identification photographs, biopsy samples, and conduct satellite tagging operations. When the scientific party is aboard the skiff, the vessel shall wait nearby or follow the scientific party and shall maintain regular radio communication with the scientific party.

In the event that sea conditions prohibit launching a skiff, attempts to photograph whales from the charter vessel will be made, as practicable. In addition to killer whales, the vessel shall be required to closely approach several species of whales, dolphins, and porpoises. Permits to conduct all phases of this research are obtained and held by the Chief Scientist.

Work day length will be determined each day by the Chief Scientist or designated alternate, in consultation with the vessel Master. A 12-hour work day is required each day; however, work day length may extend beyond the 12 hours depending upon the research that needs to be accomplished. The decision will be based on the type of activity, weather, sea state, and overall work progress. The Chief Scientist or designated alternate has final authority except for work stoppage resulting from uncontrollable situations such as unsafe weather and sea state conditions and other safety-of-life-at-sea considerations as determined by the vessel Master.

OBJECTIVE

Provide a vessel charter for up to six (6) NOAA biologists, both Government and non-government, to investigate abundance, trends, and stock structure of cetaceans throughout the inland waters of Southeast Alaska, with emphasis on harbor porpoise. That will also allow for continued long-term investigations on killer whales through photo-identification, biopsy sampling, and satellite tagging operations.

PERIOD OF PEROFORMANCE

BASE PERIOD

Period of Performance - July 1, 2016 through April 30, 2017

Survey One Base Period

1. All waters of Southeastern Alaska shall be surveyed covering major inland waterways from Juneau to Ketchikan.

2. The charter shall be for one, fourteen (14) day cruise. This survey shall begin on or about early July 2016 and operate for fourteen (14) days ending on or about mid July 2016, and leave from Juneau or Ketchikan, Alaska and return to Juneau or Ketchikan, Alaska.

3. Two days of line-transect work may occur during this survey.

Survey Two Base Period Option

1. All waters of Southeastern Alaska shall be surveyed covering major inland waterways from Juneau to Ketchikan.

2. The second survey shall begin on or about early September 2016 and operate ten (10) to fourteen (14) days ending on about mid-September 2016, and leave from Juneau or Ketchikan, Alaska and return to Juneau or Ketchikan, Alaska.

3. Two days of line-transect work may occur during this survey.

OPTION PERIOD I

Period of Performance: May 1, 2017 through April 30, 2018

Survey One Option Period I

1. All waters of Southeastern Alaska will be potentially surveyed covering major inland waterways from Juneau to Ketchikan.

2. The charter will be one, fourteen (14) day cruise. This survey shall take place between May through September 2017 and operate for fourteen

(14) days, leaving from and returning to Juneau or Ketchikan, Alaska.

3. Line-transect work may occur during this survey.

Survey Two Option Period I Option major inland waterways from Juneau to Ketchikan.

General Conditions

1. Working Conditions The vessel Captain shall provide safe, efficient working conditions and accommodations to the government personnel working on board. During the conduct of research, researchers will spend a considerable amount of time working in the wheelhouse. During working hours, vessel personnel will refrain from smoking and playing loud music. The Contractor, its agents, subcontractors, and employees, including the master and crew of the vessel, shall not harass, assault, oppose, impede, intimidate, interfere with, or make unwelcome advances toward any member of the government scientific party. Violation of the Contractor's obligations under this Special Provision may result in termination of the contract, at the discretion of the government, and in consequent liability of the Contractor to the government for any costs incurred. Violation of the Contractor's obligations under this Special Provision may result in the criminal and/or civil prosecution of the person involved by either the government or affected government personnel, as provided by applicable law.

2. Indemnification The Contractor indemnifies and holds harmless the Government, its agencies and instrumentalities, against all suits actions, claims, or demands (including, without limitation, suits, actions, claims, costs or demands resulting from death, personal injury and property damage) to which the Government, its agencies and instrumentalities, may be subject or put by reason of damage or injury (including death) to the property or person of anyone other than the government, its agencies, instrumentalities and personnel, arising or resulting in whole or in part from the fault, negligence, wrongful act or wrongful omission of the Contractor, or any subcontractor, his or their servants, agents or employees.

3. Mechanical breakdowns or nonperformance of vessel:

Mechanical breakdown or other nonperformance periods in excess of 24 hours during a specific cruise shall not be considered charter days and will not be reimbursable as charter days. Mechanical breakdown periods in excess of 48 hours may be grounds for termination of this contract.

4. Performance of Work

a. Within 30 days of award, the Contractor shall designate a project manager responsible for coordination and execution of the contract. The project manager shall serve as liaison between the Contractor and the NOAA representative for all work required under this contract.

b. The work shall be carried on in such a manner that there will be maximum coordination between the Contractor and the Government COR or

ACOR.

Vessel and Crew Specifications

Vessel and crew requirements under this charter shall be as follows:

Crew

1. Minimum crew of vessel shall consist of captain, engineer-mate, cook-mate and first mate or deck-hand. The captain shall have a minimum of five years' experience as a master of a vessel comparable in size to the vessel selected; preference may be given to captains with experience operating vessels in the inland waterways of Southeast Alaska. The engineer-mate must be qualified for independently taking over operations of the vessel in the event the captain is absent or becomes incapacitated. The cook-mate shall be experienced in preparing meals for ten or more people. The first mate shall be experienced in various activities in the deck and in launching and retrieving skiffs/inflatable boats.

2. At least one crewman shall be trained in CPR and emergency first aid.

Vessel

1. Minimum overall length of vessel of 90 feet, and maximum draft of 12 feet.

2. Minimum cruising speed of 9 to 10 knots.

3. An outside area suitable for observational work at a height above the water line of at least 15 feet. This area must be in close proximity to the wheelhouse and on the forward part of the vessel (aft-house vessels are not suitable).

4. Room for a scientific computer station inside the wheelhouse. Space is required for a laptop computer and a portable GPS unit (provided by the scientific party). Also required are an accessible AC outlet and the ability to route a GPS antenna to the computer station. Occasionally, observational work will be conducted inside the wheelhouse. Ideally the station would be situated to allow observations forward of the vessel while working at the computer station. It is important that conditions inside the wheelhouse permit observers to easily view waters directly in front of and abeam of the vessel.

5. Vessel shall be equipped with appropriate modern electronic navigational and communication equipment, including but not limited to: two all-weather radars (36 mile minimum range), VHF radio (one or more fixed

installation), synthesized 1-18 MHz SSB radio (one or more capable of communicating with AT&T High Seas Marine Operator), and GPS or Loran C navigational equipment (2 sets). A fax machine capable of obtaining weather information. All communication equipment shall be tested and tuned before the charter begins.

6. The vessel shall also have the following:

a. Wheelhouse or cockpit protected from the weather.

b. Capability for loading and off-loading the scientific party and a

22-foot rigid-hulled inflatable boat with outboard motor to and from the water (inflatable boat supplied by scientific party).

Total weight of 3,400 pounds. Loading and off-loading of the inflatable boat shall be with a crane extendable to 10' past the side of the vessel and capable of lifting up to 2 tons. The government inflatable boat must be stored on the deck after each use and cannot be towed behind the support vessel. It is mandatory that the government provide their own skiff which is configured properly for this research project.

c. Capability of loading and storing two, 55-gallon drums of gasoline for the NOAA skiff, to include pump.

d. A clean, flush deck area of a least 500 sq. ft. for storage and launching of inflatable boats. On deck work area(s) should be clear of running gear, equipment, and stowage.

e. Seawater deck hose for cleaning.

f. Potable fresh water supply adequate for vessel and personal use of up to ten people for about 14 days. If a water maker is not available then a minimum of 4,000 gallons is required.

g. Washer-dryer for personal laundry.

h. In addition to the inflatable boat supplied by the scientific party, a back-up skiff (minimum of 17-feet), supplied by the charter vessel, with an adequate outboard engine must be available for scientific use.

7. Accommodations for a scientific party of six which will include female scientists and possible foreign nationals. The scientific party shall be accommodated separately from the crew, in at least three bunk-rooms.

Suitable sanitary accommodations, including head and shower separated from the living quarters and within the ship, shall be available. Hot, fresh-water shower, shall be provided at least every second day for each member of the scientific party. Clean mattresses, covers, and bedding must be provided by the Contractor. Meals shall be provided by the Contractor at no additional cost and will include three meals per day (at designated hours), one of which may be a shore/skiff lunch for the scientific party.

Fresh fruits and vegetables are required. Vegetarian meals shall, if required, be provided for some of the scientific team members.

8. The vessel shall be equipped with Arctic-type survival suits for all vessel crewmen and the scientific team. Adequate dry storage space for all survival suits shall be provided.

9. The vessel shall carry an emergency trauma first aid kit and the vessel Captain shall provide to the Government a list of medical supplies carried on board the vessel prior to the commencement of the charter.

Government Responsibility

The COR and/or his/her designee, the Chief Scientist, will be available during normal working hours to provide guidance to the Contractor in performance of the contract tasks. Written manuals of standard operating procedures for analyses, data sets, are available for use by the Contractor.

The COR or Chief Scientist will regularly inspect the work of the Contractor, during performance and after completion, to ensure that acceptable procedures and standards of workmanship are being adhered to, and to avoid potential misunderstandings.

COR Designation

The Government’s COR will be assigned, and will inspect and accept services rendered in this contract on behalf of the Government. In the event that the COR is not available, the Chief Scientist, will be the technical point of contact for questions and clarifications.

The responsibilities and limitations of the COR are as follows:

The COR, or in their absence the Chief Scientist, is responsible for the technical aspects of the project and technical liaison with the Contractor.

The COR is also responsible for the final acceptance of all reports, and such other responsibilities as may be specified in this contract. The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes, which affect the contract price, terms or conditions.

Any Contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the prior authorization of the Contracting Officer. The COR may designate an assistant COR to act for him or her by naming such assistant in writing and transmitting a copy of such designation through the Contracting Officer to the Contractor.

(vii) Acceptance will take place aboard the contracted vessel.

(viii) Provisions

FAR 52.225-25 Prohibition on Contracting with Entities Engaging in Certain Activities or Transactions Relating to Iran—Representation and Certification (Oct 2015)

FAR 52.212-1, Instructions to Offerors -- Commercial Items (OCT 2015), and addenda apply to this acquisition.

ADDITIONAL INSTRUCTIONS TO OFFERORS

(a) Offerors shall submit all attachments with complete information which clearly and concisely relates to the evaluation criteria in CAR 1352.213-70 Evaluation Utilizing Simplified Acquisition Procedures (APR 2010), specifically addressing the following:

Factor 1 – Technical Capability (Attachments 1 and 2)

Demonstrated ability to meet vessel and crew requirements as specified in the Statement of Work.

Offerors shall provide sufficient detailed information which demonstrates their technical capability, proposed technical approach, and how they plan to meet the specified requirements, and supplement this data by filling out Attachments 1 and 2. Do not simply copy and paste, rephrase or restate SOW language for the technical response. Responses where this is evident will not be considered.

Factor 2 – Past Performance (Attachment 3)

The Government will conduct a performance assessment based on the quality of the past performance of the Contractor and any major subcontractors on similar contracts as it relates to the probability of successful accomplishment of the required effort. The Government will use its discretion to determine the sources of past performance information used in the evaluation. Information utilized will be obtained from the references listed in the quote, other customers known to the Government, and other sources that may have useful and relevant information. Information will also be considered regarding any significant subcontractors and key personnel, who may be referenced on Attachment 3.

Offerors shall distribute Attachment 3 to a minimum of three (3) customers, and provide a listing of those customers to NOAA in conjunction with their proposal. The list must contain the firms’ names, the representative to whom the form was provided, a telephone number of the contact and an email address. Offeror’s customers are requested to complete the Past Performance form and submit the form by email directly to the Contract Specialist noted below.

If an offeror does not have a history of similar or relevant past performance, or if it is not available, it should be noted as such in the quote.

NOTE: Upon completion of the form, the customer shall return it by email to:

Please Note: Any Exceptional, Marginal or Unsatisfactory rating assessed by the customer on individual elements or overall rating assigned on the past performance questionnaire, shall include an explanatory narrative to be provided in the remarks block. These narratives need not be lengthy, just adequately detailed to support evidence of the specific ratings noted above.

Failure to provide information supporting the assigned rating may result in a different rating being designated than that assigned by the customer.

Offerors shall make every effort to ensure that forms are received no later than the submission date stated in the solicitation for the proposal in order to be considered for evaluation of this factor. Questionnaires submitted directly by the offeror rather than by the customer may not be considered.

If an offeror does not have a history of relevant contract experience, or if past performance information is not available, the offeror will receive a neutral past performance rating.

Factor 3 – Price

Price quotes must generally adhere to the pricing structure established in the Schedule of Items. Each offeror's price quote must be based on the offeror's own technical quote, the Government's Statement of Work and other contractual requirements. If the prices to be used are based on a published price list or catalog, the quoter shall so state, and provide a copy of the document with its price quote. If the prices are to be based on established market prices, not otherwise published, or are prices applicable only to the proposed contract, the quoter shall so state.

In order to determine that offered prices are fair and reasonable, the Government reserves the right to request that the quoter provide cost breakdowns to support proposed prices. Information to support unit prices should include, but not be limited to, the following:

(A) Salary/wage information with associated payroll expenses, for personnel to be used in performance of the contract;

(B) Cost for equipment, supplies, and consumable materials;

(C) A breakout of related support costs, such as equipment maintenance, rental, transportation, etc;

(D) Overhead costs;

(E) General Administrative expenses; and

(F) Profit

NOTICE TO OFFERORS: Instructions for submitting quotations under this request for quote must be followed. Failure to provide all information to aid in the evaluation may be considered non-responsive. Offers that are non-responsive may be excluded from further evaluation and rejected without further notification to the offeror.

1. Quotes shall be fully executed and returned on the Standard Form (SF) 18 and any acknowledgements of solicitation amendments on the SF 30.

2. Submit quotations by email to Noah Nielsen, at noah.nielsen@noaa.gov, at or before the time specified in the solicitation. Electronic/email quotes should be compatible with Microsoft Suite or Adobe. The Government will not be responsible for any failure attributable to the transmission or receipt of the electronic information, including the missing of any deadlines that may be established by the process. It is the offeror’s responsibility to confirm receipt of any transmitted information.

3. In addition to the Contractor’s full technical and price proposal submissions, the Contractor shall also provide the following information:

a) Point of contact name, telephone, facsimile and E-mail address.

b) DUNS Number.

c) Acknowledgement of registration in the System for Award Management (SAM) database.

d) Identification of Authorized Negotiators, including name, telephone, facsimile and E-mail address.

e) Certification that Representations and Certifications have been executed by an individual authorized to legally bind the offering firm.

FAR 52.212-3 Offeror Representations and Certifications – Commercial Items (MAR 2016), applies to this acquisition and a completed copy must be included with the proposal submission.

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (q) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part

127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C.

395(b), applied in accordance with the rules and definitions of 6 U.S.C.

395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-

related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L.

110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran;

and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
