1.0 GENERAL
(a) The Offeror shall provide, in accordance with issued Task Orders, all management, supervision, labor, facilities, and materials necessary to perform non-personal application support services on an indefinite-delivery indefinite-quantity (ID/IQ) basis. Individual Task Orders may be awarded as fixed priced, labor hour, or time and materials (T&M). Task Orders will be issued in accordance with the procedures set forth in the ID/IQ contract.
(b) The labor categories requested herein are provided for guidance. Each Offeror must determine which categories would be appropriate for supporting multiple types of application support projects as detailed in Attachment 1. Offerors proposed rates will be for on-site work only.
(c) Per 52.216-22 “Indefinite Quantity,” the minimum for this ID/IQ contract shall be any quantity or combination of services equal to the amount(s) set-forth below.
Base year: $250,000.00
The maximum award amount for this ID/IQ contract (including options) shall be any services or supplies equal to $85,000,000.00.
2.0 LINE ITEM DESCRIPTION
The fully burdened hourly rates apply to all direct labor hours. Direct labor hours include all labor performed by personnel actually engaged in the direct performance of the work required under this contract and task orders. In accordance with FAR Part 52.212-4 ALT I, Other Direct Cost (ODCs), each individual task order issued against this contract will list separately the elements of other direct charges for that order or, if no reimbursement for other direct cost is provided, the order will state none. Maximum allowable amounts will be established in individual task orders. The cost of general purpose items required for the conduct of normal business operations will not be considered allowable ODCs in the performance of this contract.
Travel may be required in the performance of the contract. Travel requirements will be set forth in individual task orders. Reimbursement for travel shall be in accordance with the Federal Travel Regulations (FTR).
3.0 PRICE TABLE/LABOR/TASKS
The Offeror shall develop labor rates and prices for the Tasks for each of the Base and Option periods as detailed Attachment 2 and below.

If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. 5.2 - 52.216-22, Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period;
provided, that the Contractor shall not be required to make any deliveries under this contract after 30 days after the last day of the performance period.

5.3 - 52.216-18 Ordering (Oct 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from contract award through contract expiration.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

5.4 - 52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $500.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of 6,000,000.00;
(2) Any order for a combination of items in excess of $10,000,000.00; or
(3) A series of orders from the same ordering office within 5 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

5.5 - 52.217-8 Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.

5.6 - 52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 7 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.

(2) Except for novation agreements and advance payments, delegates to the Department of the Treasury Procurement Services Division the responsibility for administering the contract with complete authority to take any action on behalf of the Government under the terms and conditions of the contract; provided, however that the contracting agency shall give advance notice to the SBA before it issues a final notice terminating the right of the subcontractor to proceed with further performance, either in whole or in part, under the contract.
(3) That payments to be made under the contract will be made directly to the subcontractor by the contracting activity.
(4) To notify the Department of the Treasury Procurement Services Division Contracting Officer immediately upon notification by the subcontractor that the owner or owners upon whom 8(a) eligibility was based plan to relinquish ownership or control of the concern.
(5) That the subcontractor awarded a subcontract hereunder shall have the right of appeal from decisions of the cognizant Contracting Officer under the “Disputes” clause of the subcontract.
(b) The offeror/subcontractor agrees and acknowledges that it will, for and on behalf of the SBA, fulfill and perform all of the requirements of the contract.

5.8 - 52.219-18 Notification of Competition Limited to Eligible 8(a) Concerns (June 2003) –
(DEVIATION)
(a) Offers are solicited only from small business concerns expressly certified by the Small Business Administration (SBA) for participation in the SBA’s 8(a) Program and which meet the following criteria at the time of submission of offer—
(1) The Offeror is in conformance with the 8(a) support limitation set forth in its approved business plan; and
(2) The Offeror is in conformance with the Business Activity Targets set forth in its approved business plan or any remedial action directed by the SBA.
(b) By submission of its offer, the Offeror represents that it meets all of the criteria set forth in paragraph (a) of this clause.
(c) Any award resulting from this solicitation will be made directly by the contracting officer to the successful 8(a) offeror selected through the evaluation criteria set forth in this solicitation.
(d)(1) Agreement. A small business concern submitting an offer in its own name shall furnish, in performing the contract, only end items manufactured or produced by small business concerns in the United States or its outlying areas. If this procurement is processed under simplified acquisition procedures and the total amount of this contract does not exceed $25,000, a small business concern may furnish the product of any domestic firm. This paragraph does not apply to construction or service contracts.

5.11 Period of Performance (POP)
The period of performance for this contract is a base period of four (4) calendar months. The Base period for this effort is anticipated to start on June 1, 2010. In addition there will be option periods as follows:
a) Option Period 1: If exercised will extend the contract period of performance of the base period expiration date 12 months.
b) Option Period 2: If exercised will extend the contract period of performance of the option period 1expiration date 12 months.
c) Option Period 3: If exercised will extend the contract period of performance of the option period 2 expiration date 12 months.
d) Option Period 4: If exercised will extend the contract period of performance of the option period 3 expiration date 12 months.
e) Option Period 5: If exercised will extend the contract period of performance of the option period 4 expiration date 6 months.
5.12 Place of Performance
Work will be performed at the U.S. Department of the Treasury in Washington, D.C. or as detailed in specific task orders.
5.13 Invoice Requirement:
The contractor shall submit invoices as follows:
(a) Invoices shall be submitted (preferably) electronically to VendorPay@do.treas.gov or sent via mail to the following address:

(b) The contractor shall submit invoices in a format that replicates the line item (CLIN) and subline item (subCLIN) structure of the task order or, in the case of an order against a task order, the CLIN and subCLIN structure of the order. Each invoice shall provide, by CLIN and subCLIN, the line item number, description, quantity being invoiced, unit of measure, unit price, and current invoiced amount. Each invoice shall sequence CLINs and subCLINs in the same order in which they appear in the contract or order and shall be totaled at the bottom of the invoice.
(c) A copy of the invoice shall also be submitted to the COTR, CS and CO simultaneously at the following address:

(d) Documentation necessary to substantiate an invoice shall include, but is not limited to contract number / task order number, contractor name, invoice number, period of invoice, total contract value, total contract funded value, total contract invoiced to date, total contract remaining funding, total contract percent complete. By CLIN the following information shall be provided: CLIN name and number, current period invoiced amount, cumulative invoiced to date, funded amount, remaining funding available, percent complete. Such documentation shall meet the approval of the Contracting Officer.
5.14 NOTICE OF DELAYS
In the event the Contractor encounters difficulty in meeting performance requirements, or whenever difficulty is anticipated in complying with delivery schedules(s) or whenever the Contractor has knowledge that an actual or potential situation has delayed or threatens to delay the timely performance of any work, the Contractor shall immediately notify the COTR and the Contracting Officer in writing, giving pertinent details. Notice of delays shall be provided at least five (5) business days in advance of the due date or deadline. Any notice of delay that is not provided in accordance with this provision shall be documented in writing with the explanation for not meeting the advance notification requirement.
5.15 GOVERNMENT FURNISHED ITEMS
All Government furnished items will be identified in Individual Task Orders, as applicable. If any given task order issued under this contract requires work to be performed on the Government site, the Government will provide office work space, office automation equipment, telephones, and furniture for Contractor personnel unless authorized by the Contracting Officer to deviate from this requirement.
5.16 UNAUTHORIZED CHANGE ORDERS
The Contracting Officer will appoint a COTR for the contract and Task Orders issued under the contract. No order, statement or conduct of any such person shall constitute a change under the “Changes” clause of this contract or entitle the Contractor an equitable adjustment of the contract price. No appointee of the CO is acting within the limits of his/her authority when he attempts to change the contract. Only the Contracting Officer has the authority to change the contract. The contract shall not be changed except by issuance of a written change order signed by the Contracting Officer. No representative of the Contracting Officer shall be authorized to issue a written change order under the “Changes” clause of this contract. The Contractor shall be under no obligation to comply with any orders or directions not issued in writing and signed by the Contracting Officer.
