SOLE SOURCE JUSTIFICATION AND APPROVAL (J&A) FOR

USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

Marine Corps Logistics Command (MCLC), Contracts Department (CD), Albany, GA.

2. Description of Action Being Approved

Award of a sole source bridge contract to the incumbent contractor, PrimeTech International, Inc. (PTi), for logistics services to manage, support, and operate the United States Marine Corps

(USMC) Consolidated Storage Program’s (CSP) Individual Issue Facilities (IIF) and Unit Issue

Facilities (UIF).

3. Description of Supplies/Services

The United States Marine Corps requires operation and management services for its CSP in order to execute its Title 10 mission. The CSP provides the United States Marine Corps with operational management and equipment readiness for Infantry Combat Equipment (ICE);

Chemical, Biological, Radiological, and Nuclear Defense Equipment (CBRN-D); Special

Training Allowance Pool Equipment (STAP); and Soft-Walled Shelters and Camouflage Netting

(SWS&CN). The primary objective of the CSP is to ensure that Marines worldwide can receive individual and unit clothing and equipment so that the Marine Expeditionary Forces (MEF) are able to deploy combat-ready Marines. The requirement is for operation and management services for the Marine Corps CSP worldwide network of over 57 Government-owned, Contractor-operated (GOCO) facilities at approximately 21 geographic locations worldwide. This includes providing total asset visibility of a $2.7 billion dollar inventory using GOCO Information

Technology (GOCO-IT) systems (i.e. Defense Property Accountability System-Warehouse

Module (DPAS-WM), Marine Forces Special Operations Command (MARFORSOC) Special

Operations Forces Sustainment, Asset Visibility and Information Exchange (SSAVIE), and

Global Combat Support System – Marine Corps (GCSS-MC)).

Period of Performance: The period of performance for this sole source action is 22 September

2020 – 21 June 2021, which includes a six-month base period and three 1-month option periods.

If all options are exercised, the total period of performance will be nine (9) months. The estimated dollar value of the contract is $20,107,067 using FY20 and FY21 Overseas

Contingency Operations (OCO) and Operations and Maintenance, Marine Corps (O&M, MC) funds as shown below:

4. Statutory Authority Permitting Other Than Full and Open Competition

The statutory authority permitting other than full and open competition is 10 U.S.C. 2304(c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1, Only One Responsible

Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Rationale Justifying Use of Cited Statutory Authority

The rationale for this justification is 10 U.S.C. 2304(d)(1)(B), as implemented by the FAR

6.302-1(a)(2)(iii)(B), “services may be deemed to be available only from the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in unacceptable delays in fulfilling the agency’s requirement.”

This bridge contract is required to ensure continued provision of mission critical support services due to the filing of an unexpected pre-award protest (21 February 2020) and supplemental protest

(28 February 2020) with the United States Government Accountability Office (GAO) for the long term competitive follow-on procurement. Prior to the pre-award protest, the competitive follow-on procurement was on schedule for a timely contract award on 20 July 2020. The pre-award protest caused an unrecoverable delay to the procurement, as the Government was required to “stay” the solicitation between the date the protest was filed in late February until the

GAO rendered its decision on 29 May 2020.

The Government was prohibited from awarding the competitive follow-on procurement for these services while the protest was pending in accordance with 31 U.S.C. 3553(c)(1) and FAR

33.104(b)(1). Upon receiving the GAO’s decision, the contracting officer assessed the feasibility of awarding a contract prior to expiration of the current contract. Based on experience with the number and complexity of proposals typically received for this requirement, the contracting officer determined that award of the competitive contract prior to the current contract’s expiration on 21 September 2020 cannot be accomplished.

In order to recover from delays caused by the protest, the Government requires a six-month bridge contract. The bridge contract will also include three one-month option periods to cover unforeseen delays in commencement of performance under the competitively awarded contract.

This bridge contract will provide adequate time for the acquisition team to successfully execute the competitive follow-on procurement and allow for a two-month transition period. In accordance with NMCARS 5206.303-1(S-90)(a), the Deputy Commandant, Installations &

Logistics approved the Request for Authorization of Bridge Contract on 4 June 2020.

PTi is the only responsible source the Government reasonably believes can immediately execute the required highly specialized services without resulting in unacceptable delays in fulfilling the agency’s requirement by the required commencement date of 22 September 2020. PTi is the original source that has been performing these highly specialized and mission critical services since 21 September 2017 under competitively award contract M67004-17-F-2046; therefore, PTi is in the position to continue performance without a break in contract services prior to the expiration of bridge contract (M67004-20-P-2001), which ends on 21 September 2020.

The services provided by this existing contract involve highly specialized training and qualifications. The 21 geographic locations worldwide that these services support require continuity of operations in order to ensure continuation of providing individual and unit clothing and equipment so that the Marine Expeditionary Forces (MEF) are able to deploy combat-ready

Marines. The following examples illustrate the highly specialized nature of the services:

Successful performance of the services to maintain total asset visibility, utilizing

Government-Owned Contractor-Operated (GOCO) Information Technology

(GOCO-IT) systems (i.e., Defense Property Accountability System Warehouse

Module (DPAS-WM), Marine Forces Special Operations Command

(MARFORSOC) Special Operations Forces Sustainment, Asset Visibility and

Information Exchange (SSAVIE), and Global Combat Support System – Marine

Corps (GCSS-MC) requires a minimum of 40 hours for approximately 345 CSP

Ops contractor employees of highly specialized training, which equates to a total training time of 13,800 hours.

The support services require all equipment maintainers to have highly specialized training in Government instructions, orders, directives, technical publications, and commercial practices to conduct organizational/preventive and corrective maintenance on all equipment to keep equipment in a serviceable condition code

IAW the applicable serviceability standards.

Contract services to operate and maintain the M26 Joint Service Transportable

Decontamination System Small Scale (JSTDSS), which includes the diagnosis and isolation of equipment/modular malfunctions, calibration, and the repair/replacement of damaged or unserviceable parts and components down to the piece part level.

Contract services to recover, disassemble, sanitize, rebuild and test to Condition

Code A, the Field Protective Masks (FPMs) and associated equipment. This requires the contractor to do the following: 1) Conduct individual sizing and fitting of all FPMs and associated equipment that are issued from an IIF location;

2) Conduct operator level repairs, serviceability testing, sanitization, and all required maintenance of the FPMs at the UIF, in accordance with operators’ manuals and Technical Manuals (TM); 3) Conduct serviceability testing of the

FPMs with the Joint Services Mask Leakage Tester (JSMLT); and 4) Assemble various components of the FPM in preparation for issue, in accordance with the applicable TMs.

Contract services to operate, maintain, and calibrate the Radiation Detection

Indication and Computation instruments (i.e., PDR-77s, UDR-13, Joint Chemical

Agent Detectors, JSMLT, etc.) and scheduled quarterly preventive maintenance checks and services of the M26 JSTDSS, which requires CBRN-D trained contractor personnel.

Contract services in support of Marine Forces Special Operations Command facilities require a Secret clearance for all contractor personnel. All contractor personnel with access to unclassified information systems, including email, shall have at a minimum a favorable National Agency Check. These clearances take, on average, six months to obtain due to a length background investigation process.

Successful performance of the services demands a minimum level of experience and knowledge of Marine Corps Policies and Doctrine, which is specialized in nature when compared to policies and doctrine applicable to other non-military oriented organizations due to the unique requirements of the Marine Corps.

Failure of any of these highly specialized services impacts the health, safety and life of the warfighter.

PTi possesses the necessary qualifications, training, and security clearances, which no other company can provide in a timely manner.

Without a bridge contract, a break in service will occur on 22 September 2020 until the anticipated competitive follow-on award date of 18 January 2021. The estimate was derived from the period of time between the current contract period of performance end date of 21

September 2020 and the anticipated competitive follow-on award date of 18 January 2021. A delay of this length is unacceptable because a break in service will impact all (57) facilities across the (21) geographic locations worldwide, negatively affecting the combat readiness at I, II, and III MEF; Training and Education Command; School of Infantry-East; National Capital

Region; and Marine Corps Forces Special Operations Command.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Possible

The contracting activity is currently working on a follow-on competitive contract for these services via full and open competition procedures. The Government intends to provide notice of the sole source contract action, approved herein, by publishing a synopsis of the action in accordance with FAR 5.203. The Assistant Deputy Commandant, Installations and Logistics

(Contracts) approved a waiver of the DFARS PGI 206.302-1(d) requirement to post a request for information or a sources sought notice and include the results of the inquiry in this justification required by FAR 6.303 on 4 June 2020.

7. Determination of Fair and Reasonable Cost

The Contracting Officer will review the Contractor’s proposal and determine a fair and reasonable price for the services and supplies described herein

8. Actions to Remove Barriers to Future Competition

The Government is in the process of conducting a full and open competitive acquisition for the follow-on requirement.
