JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION (JOFOC)

For the Umbilical Interface Connectors (UICs)

1. FAR 6.303-2(b)(2) – The nature and/or description of the action being approved: This justification provides the rationale for contracting by other than full and open competition to acquire Umbilical Interface Connectors (UICs) for the Orion Crew Survival Systems (OCSS) Project. This document seeks to justify the sole source award to AirLock Inc.

2. FAR 6.303-2(b)(3) – A description of the supplies or services required, to meet the Agency’s needs (including the estimated value): This procurement is to manufacture and deliver Class I UICs for the Orion Crew Survival Systems (OCSS) Project including pre-delivery acceptance testing at the vendor’s facility. This procurement is valued at .

3. FAR 6.303-2(b)(4) – An identification of the statutory authority permitting other than full and open competition: 10 U.S.C 2304(c)(1) states: “The head of an agency may use procedures other than competitive procedures only when…the property or services needed by the agency are available from only one responsible source or only from a limited number of responsible sources and no other type of property or services will satisfy the needs of the agency.” Under FAR 6.302-1(a)(2)(ii)(A), it states: “Supplies may be deemed to be available only from the original source…when it is likely that award to any other source would result in…substantial duplication of cost to the Government that is not expected to be recovered through competition.”

4. FAR 6.303-2(b)(5)&(9) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited and any other facts supporting the use of other than full and open competition such as: The hardware being ordered is highly specialized and unique to Air-Lock Inc., and includes proprietary design and manufacturing techniques. This procurement is part of follow-on work for this vendor as this same hardware has been procured prior to this contract. Previous work included research and development work on prototype units to develop the flight hardware units that are being procured in the contract. Awarding to a new source would result in substantial duplication of cost to the government due to the development and testing practices that have already been developed with the current vendor that are necessary to providing the required deliverables (specialized manufacturing, cleaning, hardware integration, testing, etc.).

A new source would also result in delays in hardware fulfillment from a vendor that is not familiar with this hardware manufacturing, integration and testing schemes that have already been worked with the current vendor.

FAR 6.303-2(b)(9) (ii) – When 6.302-1 is cited for follow on acquisitions as described in 6.302-1(a)(2)(ii), an estimate of the cost to the Government that would be duplicated and how the estimate was derived: If awarded to another vendor, prototype units manufactured would be required to go through the integration and testing process to qualify the units for flight. Air-Lock’s hardware has completed this process already, and therefore awarding to another vendor would result in a duplication of cost estimated at over

5. FAR 6.303-2{b)(6) -A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies:

Synopsis number 80JSC019Q0019 was publicized on the Government wide point of entry (GPE) website http://www.fedbizopps.gov from 8/14/2019 to 8/21/2019. No responses to the synopsis were received.

6. FAR 6.303-2(b)(7) -A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable: The Government has purchased these paiis from Air-Lock in the past. BHF MWC Assy (PN 105� was previously purchased for � per unit, Inlet UIC Assy (PN 10554-01) for� per unit, and Exhaust UIC Assy (PN 10555-01) for �r unit. For this procurement, the prices ai·e � per unit, � per unit, andllllllll per unit, respectively. The cost for this procurement is equal or less than previously incuned by the Government. Based on the comparison of the proposed prices to historical prices paid by the Government for the same items, the price has been detennined to be fair and reasonable.

7. FAR 6.303-l(b)(S) -Description of the market survey conducted, and the results, or a statement of the reasons a market survey was not conducted: Market research was not completed as this is a follow-on cont:I·act for hai·dware that has already been designed and developed by the cunent vendor and includes proprietaiy design and manufacturing techniques.

8. FAR 6.303-2{b)(10) -A listing of the sources, if any, that expressed an interest in writing in the acquisition: Synopsis number 80JSC019Q0019 was posted on 8/13/2019 and closed on 8/21/2019. No Responses to the synopsis were received.

9. FAR 6.303-2(b)(11) -A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required: NASA will continue to reseai·ch and assess the marketplace for alternative sources as well as intermittently compare its requirements with the available capabilities to determine industly's ability to competitively fulfill the requirements.
