SOLICITATION

SUPPLEMENTAL INFORMATION - SIMPLIFIED ACQUISITIONS (April 17, 2018) A. The following information is provided relative to this order:

1. This order is a rated order under DPAS (15 CFR 700). The Rating is DO-A7 if the requirement is for electronic and/or communications equipment. The Rating is DO-C9 for all other requirements.

2. If this order is for items and/or services that are directly related to space flight hardware and/or related ground support equipment, the following requirements apply:

a. If performance under this order results in a nonconforming product, the Contractor shall notify the CO in writing and receive written disposition instructions for that product.

b. Prior to making changes in the following areas relative to the required products and/or services, the Contractor shall submit a written request to the Contracting Officer (CO) and receive written approval before proceeding:

1) Product and/or process description(s),

2) Intended suppliers,

3) Manufacturing facility location.

c. The Contractor shall include the applicable requirements of the Statement of Work/Specification, and the requirements of this paragraph (2) in all subcontracts.

d. The Contractor shall provide test specimens for design approval, inspection/verification, investigation, or auditing, as required by the Statement of Work/Specification, or by special clauses included elsewhere in this order.

e. All quality records (e.g. technical progress reports, process certifications, test results, etc.) created or received by the Contractor in the performance of this order shall be maintained and safeguarded by the Contractor until provided to the Government as specified elsewhere in this order, or, if not specified elsewhere, at the conclusion of this order.

f. The Contractor shall grant access by GRC and other appropriate Government representatives to the areas of facilities and documented information applicable to performance under this order, at any level of the supply chain.

g. The Contractor shall ensure that its employees are aware of: 1) Their contribution to the conformity of all products and services supplied under this order, 2) Their contribution to product safety, and 3) The importance of ethical behavior throughout the performance of this order.

3. If this order is for safety critical items, or for services that involve, or are likely to involve, the furnishing of safety-critical items*, the Contractor shall comply with the requirements of NASA Procedural Requirements (NPR) 8735.1 (Procedures for Exchanging Parts, Materials, Software, and Safety Problem Data Utilizing the Government-Industry Data Exchange Program (GIDEP) and NASA Advisories), Appendix B, Paragraphs B.2 (e) through (h). Upon contractor request, the CO will make NPR 8735.1 available.

*Safety-critical item means a part, assembly, installation equipment, launch equipment, ground support equipment, recovery equipment, or support equipment for an aircraft, launch vehicle, space vehicle, or facility if the part, equipment, or assembly contains a characteristic whose failure, malfunction, or absence could cause a catastrophic or safety-critical failure resulting in the loss of or serious damage to the craft/vehicle/facility, loss of mission, an unacceptable risk of personal injury, or loss of life.

4 If the Government has taken action pursuant to clause 52.225-8, Duty- Free entry, to waive the duty for foreign supplies to be imported into the U.S. for delivery under this contract, the contractor shall include the following code from the Harmonized Tariff Schedule of the U.S.

on the invoice(s) for those supplies: HTSUS 9808.00.8000.

5. If this order is for hazardous materials, including chemicals,: a) The vendor must submit a Safety Data Sheet (SDS) for every hazardous material being shipped to NASA Glenn Research Center, and b) All shipping documents and exterior shipping containers relating to chemicals or hazardous materials shall be marked as follows:

“CAUTION – HAZARDOUS MATERIALS, DO NOT OPEN. Upon receipt, call Chemical Storage/ Barrel Storage (Joe Sepich, 216-433-8752)”.

6. If travel to a foreign country will be required in the performance of this contract, in accordance with NASA Procedural Requirements (NPR) 1660.1, NASA Counterintelligence and Counterterrorism:

a. If the contractor is required to travel to Designated Countries, Russia, and/or other high-threat locations in the performance of this contract, the contractor shall request a personalized, defensive counterintelligence (CI)/counterterrorism (CT) briefing from the GRC CI/CT Office at least 3 weeks prior to travel. Within 1 week after returning from travel, the contractor shall contact the GRC CI/CT Office to schedule a travel debriefing. b. If the contractor is required to travel to a non-designated country/location in the performance of this contract, the contractor shall notify the GRC CI/CT Office at least 3 weeks prior to travel. The GRC CI/CT Office will determine whether a CI/CT briefing and debriefing is required, and coordinate with the contractor as appropriate.

c. For non-official travel outside the United States, the contractor is highly encouraged to request a CI/CT briefing from the GRC CI/CT Office appropriate to the countries/locations being visited.

Only approved and sanitized Information Technology (IT) devices including laptops, flash drives, thumb drives, memory sticks, smart phones or PDA's will be authorized to be taken on http://oiir.hq.nasa.gov/nasaecp/index.html travel. Under no circumstances will IT devices be transported outside the U.S. unless authorization is obtained from the GRC Chief Information Security Officer. The contractor shall ensure that the IT devices remain in their possession while on travel. Any loss, damage, or tampering shall be reported immediately/at the earliest opportunity to the GRC Chief Information Security Officer. All NASA files, documents and/or other information must be reviewed and approved by the following prior to travel outside the U.S.: a) The GRC Center Export Administrator or a cognizant GRC Center Export Representative, and b) The GRC Information Protection Program Manager.

7. All items delivered under this order will be subject to a reasonable inspection and testing period for acceptance in accordance with FAR clause 52.212-4, Contract Terms and Conditions

– Commercial Items. If this order is marked for delivery to the Calibration Laboratory at the NASA Glenn Research Center, due to the nature of the items being procured, the government requires an acceptance period longer than what is normally permitted. Therefore, it may take the government more than 7 days for actual acceptance to occur. Accordingly, the payment due date will be the later of the following events:

1) The 30th day after the designated billing office receives a proper invoice from the contractor (except as provided at FAR 32.904(b)(3)), or

2) The 30th day after actual acceptance of the items delivered.

(a) The designated payment office is the NASA Shared Services Center (NSSC) located at FMD Accounts Payable, Bldg. 1111, Jerry Hlass Road, Stennis Space Center, MS 39529.

(b) Except for classified vouchers, the Contractor shall submit all vouchers and invoices using the steps described at NSSC’s Vendor Payment information web site at:

https://www.nssc.nasa.gov/vendorpayment. Please contact the NSSC Customer Contact Center at 1-877-NSSC123 (1-877-677-2123) with any additional questions or comments.

(c) Payment requests.

(1) The payment periods are stipulated in the payment clause(s) contained in this contract.

(2) Vouchers submitted under cost type contracts and invoices submitted under fixed-price contracts shall include the items delineated in FAR 32.905(b) supported by relevant back-up documentation. Back-up documentation shall include at a minimum, the following information:

(i) Vouchers.

(A) Breakdown of billed labor costs and associated contractor generated supporting documentation for billed direct labor costs to include rates used and number of hours incurred.

(B) Breakdown of billed other direct costs (ODCs) and associated contractor generated supporting documentation for billed ODCs.

(C) Indirect rate(s) used to calculate the amount of billed indirect expenses.

(D) Progress reports, as required.

(ii) Invoices.

(2) The contract includes provisions allowing the contractor to submit vouchers or invoices using the steps for non-electronic payment. In such instances the Contractor agrees to submit non-electronic payment requests using the method or methods specified in Section G of the contract.

(e) Improper vouchers/invoices. The NSSC Payment Office will notify the contractor of any apparent error, defect, or impropriety in a voucher/invoice within seven calendar days of receipt by the NSSC Payment Office. Inquiries regarding requests for payment should be directed to the NSSC as specified in paragraph (b) of this section.

(f) Other payment clauses. In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payment requests.

(g) In the event that amounts are withheld from payment in accordance with provisions of this contract, a separate payment request for the amount withheld will be required before payment for that amount may be made.

(a) Definitions. As used in this provision—

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38

U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
