Section A – General
A1. SUPPLIES AND/OR SERVICES TO BE PROVIDED
The Contractor shall provide all resources, personnel, equipment, facilities, training and travel (except as may be expressly stated in the contract as furnished by the Government) necessary to deliver and/or perform the items listed in the Statement of Work.
A2. PERIOD OF PERFORMANCE
The period of performance of this contract shall not exceed 5 years from the date of award. One Year Base with (4) Four One Year Option Periods.
A3. F.O.B. POINT
All end items shall be considered F.O.B. Destination.
A.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.
A.5 STATEMENT OF WORK
This contract is to cover maintenance, repair, and calibration for the 50+ Government –owned universal load frames at Glenn Research Center. This equipment resides in the Structures and Materials Division and is used for materials characterization testing for the various programs supporting Space and Aeronautics. Research involving this equipment often involves the utilization of these machines at their resolution limits. Therefore, these machines must function according to their design specifications.
The test equipment covers a wide range of load frames including, but not limited to, servohydraulic, electromechanical and screwdriven machines. The majority of these rigs are 20 and 50 kip uniaxial test systems. There are also several axial/torsion, high frequency uniaxial, and custom-built high frequency/low frequency uniaxial test rigs. The majority of the rigs are controlled by analog MTS controllers, e.g. model 458 servocontrollers. There are also Instron controlled systems as well as MTS digitally controlled systems. An equipment list is available upon request.
This contract shall provide service support to maintain the proper operation of these test rigs. This shall include: identification, repair or replacement of defective electronic and mechanical components, tuning of test rigs, and other necessary repairs to ensure the proper functioning of these rigs. The term “rig” constitutes the load frame, controller, sensors, hydraulic pumps and lines, gripping system, environmental chambers, heating systems, and ancillary equipment, which may include any device connected to the rig and used to conduct the test.
The contractor shall also provide calibration services as requested by NASA on an as needed basis. This may include on-site calibration of LVDTs, RVDTs, extensometers, and load cells under static and dynamic conditions, including the alignment of the load train. All calibration standards and equipment used for this purpose shall be NIST traceable. The contractor shall be compliant with the requirements in ANSI/NCSL Z540-3 and ISO 9001. Also, all load cell calibrations shall be done in the load frame without disturbing the grips, cross-head, or load-train alignment unless otherwise permitted, in writing, by NASA.
The Government estimates an average of one week of onsite service support and calibration activity per month or approximately 12 hours of labor per month for diagnosis and repair and approximately 16 hours of labor per month for calibration of load cells and LVDT’s (aggregate for all machines). Most transducers are on a 2 year calibration cycle, so the work tends to be sporadic (high number of calibrations over short intervals separated by long intervals with no calibrations).”
The contractor must be able to supply evidence of experience in the service and calibration of relevant Government owned equipment and be able to provide references of previous contracts and customer contacts (references) upon request.
*Travel shall only be invoiced for travel costs and trips. The invoice shall have travel tickets attached. The contractor shall only invoice the Government once the work has been completed.

Section B - Proposal Submission and Evaluation Process
B1. 52.212-1 -- Instructions to Offerors -- Commercial Items (Apr 2014).
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show --
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) “Remit to” address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)
(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation.
(1)
(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.
(2) The overall evaluated cost or price and technical rating of the successful and debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

B1. Proposal Preparation – General Instructions The offerors response to this solicitation shall include a package as described in 52.212.1(b). Offerors are advised that their proposals are presumed to represent their best effort and most complete response to this solicitation. Offerors are requested to submit one original signed offer and one copy of the original.
All other Proposal data is due no later than 3:30 p.m., EST, on December 29, 2017.

All Offerors (including companies that have badged access to GRC) who choose to hand deliver their proposal shall schedule a “delivery time” with the Government. Proposals shall be delivered to the NASA Glenn Research Center, Building 60. Offerors shall contact David.S.Eccleston@nasa.gov at least 24 hours in advance to schedule a delivery time. For companies that do not have badged access to GRC, a visitor badge will be issued at the GRC Main Gate. The following information shall be provided when a delivery time is scheduled. Name of individual(s), citizenship, and company representing. A picture identification (driver’s license, state identification card, or passport) is also required to receive a visitor’s badge. Only US citizens will be permitted access to GRC. Please allow 30 minutes for visitor badge processing. FASCIMILE OFFERS ARE NOT AUTHORIZED.
B3. 52.212-2 -- Evaluation -- Commercial Items (Oct 2014)
(a) The Government will award a contract resulting from this solicitation to the offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
TECHNICAL MERIT – Details provided per FAR 52.212-1(b). Technical acceptability will be determined by review of information submitted by the offeror which must provide a description in sufficient detail to show that the product offered meets the Government's requirement.
PRICE – Breakdown of cost for calibration services in accordance with SOW.
PAST PERFORMANCE – Offeror shall provide a list of clients (minimum 3) that are similar in size, work content, and complexity to the requirements of this solicitation.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Section C - SUPPLEMENTAL INFORMATION - SIMPLIFIED ACQUISITIONS (August 23, 2017)
C1. The following information is provided relative to this order:
1. This order is a rated order under DPAS (15 CFR 700). The Rating is DO-A7 if the requirement is for electronic and/or communications equipment. The Rating is DO-C9 for all other requirements.
2. If this order is for items and/or services that are directly related to space flight hardware and/or related ground support equipment, the following requirements apply:
a. Prior to making changes in the following areas relative to the required items and/or services, the Contractor shall submit a written request to the Contracting Officer (CO) and receive written approval before proceeding: 1) Product and/or process description(s),
2) Intended suppliers, 3) Manufacturing facility location.
b. If performance under this order results in a nonconforming product, the Contractor shall notify the CO in writing and receive written disposition instructions for that product.
c. All quality records (e.g. technical progress reports, process certifications, test results, etc.) created or received by the Contractor in the performance of this order shall be maintained and safeguarded by the Contractor until provided to the Government as specified elsewhere in this order, or, if not specified elsewhere, at the conclusion of this order.
d. The Contractor shall include the applicable requirements of the Statement of Work/Specification, and the requirements of this paragraph (3) in all subcontracts.

If this order is for safety critical items, or for services that involve, or are likely to involve, the furnishing of safety-critical items*, the Contractor shall comply with the requirements of NASA Procedural Requirements (NPR) 8735.1 (Procedures for Exchanging Parts, Materials, Software, and Safety Problem Data Utilizing the Government-Industry Data Exchange Program (GIDEP) and NASA Advisories), Appendix B, Paragraphs B.2 (e) through (h). Upon contractor request, the CO will make NPR 8735.1 available.
*Safety-critical item means a part, assembly, installation equipment, launch equipment, ground support equipment, recovery equipment, or support equipment for an aircraft, launch vehicle, space vehicle, or facility if the part, equipment, or assembly contains a characteristic whose failure, malfunction, or absence could cause a catastrophic or safety-critical failure resulting in the loss of or serious damage to the craft/vehicle/facility, loss of mission, an unacceptable risk of personal injury, or loss of life.
7. If the Government has taken action pursuant to clause 52.225-8, Duty- Free entry, to waive the duty for foreign supplies to be imported into the U.S. for delivery under this contract, the contractor shall include the following code from the Harmonized Tariff Schedule of the U.S. on the invoice(s) for those supplies: HTSUS 9808.00.8000.
8. If this order is for hazardous materials, including chemicals,: a) The vendor must submit a Safety Data Sheet (SDS) for every hazardous material being shipped to NASA Glenn Research Center, and b) All shipping documents and exterior shipping containers relating to chemicals or hazardous materials shall be marked as follows: “CAUTION – HAZARDOUS MATERIALS, DO NOT OPEN. Upon receipt, call Chemical Storage/ Barrel Storage (Joe Sepich, 216-433-8752)”.
9. If travel to a foreign country will be required in the performance of this contract, in accordance with NASA Procedural Requirements (NPR) 1660.1, NASA Counterintelligence and Counterterrorism:
0. If the contractor is required to travel to Designated Countries, Russia, and/or other high-threat locations in the performance of this contract, the contractor shall request a personalized, defensive counterintelligence (CI)/counterterrorism (CT) briefing from the GRC CI/CT Office at least 3 weeks prior to travel. Within 1 week after returning from travel, the contractor shall contact the GRC CI/CT Office to schedule a travel debriefing. For a listing of current Designated Countries and high-threat locations, refer to the following website: http://oiir.hq.nasa.gov/nasaecp/index.html.
0. If the contractor is required to travel to a non-designated country/location in the performance of this contract, the contractor shall notify the GRC CI/CT Office at least 3 weeks prior to travel. The GRC CI/CT Office will determine whether a CI/CT briefing and debriefing is required, and coordinate with the contractor as appropriate.
0. For non-official travel outside the United States, the contractor is highly encouraged to request a CI/CT briefing from the GRC CI/CT Office appropriate to the countries/locations being visited.
Only approved and sanitized Information Technology (IT) devices including laptops, flash drives, thumb drives, memory sticks, smart phones or PDA's will be authorized to be taken on travel. Under no circumstances will IT devices be transported outside the U.S. unless authorization is obtained from the GRC Chief Information Security Officer. The contractor shall ensure that the IT devices remain in their possession while on travel. Any loss, damage, or tampering shall be reported immediately/at the earliest opportunity to the GRC Chief Information Security Officer.
All NASA files, documents and/or other information must be reviewed and approved by the following prior to travel outside the U.S.: a) The GRC Center Export Administrator or a cognizant GRC Center Export Representative, and b) The GRC Information Protection Program Manager.

Commercial Items. If this order is marked for delivery to the Calibration Laboratory at the NASA Glenn Research Center, due to the nature of the items being procured, the government requires an acceptance period longer than what is normally permitted. Therefore, it may take the government more than 7 days for actual acceptance to occur. Accordingly, the payment due date will be the later of the following events:
1) The 30th day after the designated billing office receives a proper invoice from the contractor (except as provided at FAR 32.904(b)(3)), or
2) The 30th day after actual acceptance of the items delivered.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
