(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215- 2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.
If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a)The Government may extend the term of this contract by written notice to the Contractor before the contract expires provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 5 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(c)The total duration of this contract, including the exercise of any options under this clause, shall not exceed 12 months.
52.237-7 INDEMNIFICATION AND MEDICAL LIABILITY
INSURANCE

(a)It is expressly agreed and understood that this is a non-personal services contract, as defined in Federal Acquisition Regulation (FAR) 37.101, under which the professional services rendered by the Contractor are rendered in its capacity as an independent contractor. The Government may evaluate the quality of professional and administrative services provided, but retains no control over professional aspects of the services rendered, including by example, the Contractor’s professional medical judgment, diagnosis, or specific medical treatments. The Contractor shall be solely liable for and expressly agrees to indemnify the Government with respect to any liability producing acts or omissions by it or by its employees or agents. The Contractor shall maintain during the term of this contract liability insurance issued by a responsible insurance carrier of not less than the following amount(s) per specialty per occurrence: $1,000,000.00 per occurrence and $3,000,000.00 aggregate.
(b)An apparently successful offeror, upon request by the Contracting Officer, shall furnish prior to contract award evidence of its insurability concerning the medical liability insurance required by paragraph (a) of this clause.
(c)Liability insurance may be on either an occurrences basis or on a claims-made basis. If the policy is on a claims-made basis, an extended reporting endorsement (tail) for a period of not less than 3 years after the end of the contract term must also be provided.
(d)Evidence of insurance documenting the required coverage for each health care provider who will perform under this contract shall be provided to the Contracting Officer prior to the commencement of services under this contract. If the insurance is on a claims-made basis and evidence of an extended reporting endorsement is not provided prior to the commencement of services, evidence of such endorsement shall be provided to the Contracting Officer prior to the expiration of this contract. Final payment under this contract shall be withheld until evidence of the extended reporting endorsement is provided to the Contracting Officer.
(e)The policies evidencing required insurance shall also contain an endorsement to the effect that any cancellation or material change adversely affecting the Government’s interest shall not be effective until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer. If, during the performance period of the contract the Contractor changes insurance providers, the Contractor must provide evidence that the Government will be indemnified to the limits specified in paragraph (a) of this clause, for the entire period of the contract, either under the new policy, or a combination of old and new policies.
(f)The Contractor shall insert the substance of this clause, including this paragraph (f), in all subcontracts under this contract for health care services and shall require such subcontractors to provide evidence of and maintain insurance in accordance with paragraph (a) of this clause. At least 5 days before the commencement of work by any subcontractor, the Contractor shall furnish to the Contracting Officer evidence of such insurance.

352.237-75 KEY PERSONNEL DEC 2015
The key personnel specified in this contract are considered to be essential to work performance. At least 30 days prior to the contractor voluntarily diverting any of the specified individuals to other programs or contracts the Contractor shall notify the Contracting Officer and shall submit a justification for the diversion or replacement and a request to replace the individual. The request must identify the proposed replacement and provide an explanation of how the replacement's skills, experience, and credentials meet or exceed the requirements of the contract (including, when applicable, Human Subjects Testing requirements). If the employee of the contractor is terminated for cause or separates from the contractor voluntarily with less than thirty days’ notice, the Contractor shall provide the maximum notice practicable under the circumstances. The Contractor shall not divert, replace, or announce any such change to key personnel without the written consent of the Contracting Officer. The contract will be modified to add or delete key personnel as necessary to reflect the agreement of the parties.

If the Contractor believes that any actions constitute, or are perceived to constitute personal services, it shall be the Contractor's responsibility to notify the Contracting Officer (CO) immediately.

Indian Health Manual Part 3, Chapter 20 establishes policy for Protecting Children from Sexual Abuse by Health Care Providers. All Indian Health Service contractors must complete a government-provided, training module associated with this policy as an integral part of the onboarding process, but no more than 30 days from the date of onboarding. Failure to complete the mandatory training may be cause for adverse action from a minimum of temporary suspension, to a maximum of termination, from appointment.
The Contractor is required to flow down this clause in any subcontract for commercial or non-commercial item. The extent of the flow down shall be as required by the clause.
NAIHS-ACQ-08 CONTRACTING OFFICER’S REPRESENTATIVE AUG 2022
(a) Definition. “Contracting Officer’s Representative (COR)” means an individual designated in by the Contracting Officer as authorized personnel responsible for the technical aspects of the contract and serves as technical liaison with the contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.
(b) Per FAR Subpart 1.602-2(d): The Contracting Officer (CO) determines that this contract requires a Contracting Officer Representative (COR).The Contracting Officer Representative (COR) is:

(c) Upon award, the COR will receive a copy of the written designation, specifying the extent of the COR’s authority on behalf of the CO.
(d) Limitations. The COR is not authorized to make any commitments or changes that will affect price, quality, quantity, delivery, or any other term or condition of the contract. Any contractor request for changes shall be referred to the CO directly or through the COR. No such changes shall be made without the express written prior authorization of the CO.
NAIHS-ACQ-09 UNAUTHORIZED COMMITMENTS SEP 2023
(a) Definitions.
Contracting Officer means a person with the authority to enter into, administer, and/or terminate contracts and make related determination and findings.
Ratification means the act of approving an unauthorized commitment by an official who has the authority to do so.
Unauthorized Commitment (UAC) means an agreement that is not binding solely because the Government representative who made it lacked the authority to enter into that agreement on behalf of the Government.
(b) Policy.
The Government is not bound by agreements with, or contractual commitments made to, prospective contractors by individuals who do not have delegated contracting authority. Unauthorized commitments do not follow the appropriate process for the expenditure of Government funds. Consequently, the Government may not be able to ratify certain actions, putting a contractor at risk for taking direction from a Federal official other than the contracting officer (see FAR 1.602-1) Government employees responsible for unauthorized commitments are subject to disciplinary action. Contractors perform at their own risk when accepting direction from unauthorized officials. Failure to follow statutory and regulatory processes for the expenditure of Government funds is a very serious matter.
(c) Procedure.
Any agreement, modification, or change to a contractual agreement made by a government personnel who lack authority will be deemed an unauthorized commitment. The Government is not liable to the Contractor or under the terms of the contract, financially or otherwise – unless the unauthorized commitment successfully passes the ratification process.
The ratification process does not have any lead time, nor does the Government make any promise that an unauthorized commitment will be ratified and, therefore, the Contractor would be paid. The Contractor proceeds at its own risk if any of the terms of the contract are altered, changed, or modified without the written concurrence by a Contracting Officer.

Statement of Work Pharmacist Services
The overall scope of this contract is to provide temporary professional Pharmacist Services that are qualified and available for mutually agreed upon temporary staffing assignments for the duration of the contract term.
The Contractor shall ensure that the staff meets the qualification requirements set forth in the contract as detailed below. The contractor will be expected to have the necessary ability and education, training, licensing, and previous work experience to perform the work according to the requirements and conditions contained in this Work Statement.
Selected candidate(s) shall undergo the Indian Health Service (IHS) mandated security clearance requirement prior to commencement of services at Tohatchi Health Center (THC) pharmacy. THC is a clinic within the Gallup Service Unit.. The security pre-clearance requirement must be adhered to; the process includes a fingerprint check and a screen check of the medical services and related providers through the office of the inspector general's exclusion list at http://exclusions.oig.hhs.gov/. Documented evidence of the clearances shall be provided to the Contracting Officer Representative at: Tohatchi Health Center 07 Choosghai Drive PO Box 142 Tohatchi, NM 87325.
PHARMACIST
I. STATEMENT OF WORK:
The contractor shall provide pharmacist services on an as needed basis for the Tohatchi Health Center Pharmacy, Tohatchi, NM. Depending on the location assigned, services shall include (1) screening outpatient prescription orders, and patient record for appropriateness, (2) filling/verifying prescriptions, (3) counseling patients on proper use of their medications, (4) functions that support the first three, e.g., drug information, pharmacy and therapeutics function, supply management, quality assurance, pharmacokinetics service, (5) primary care services where the pharmacist operating understanding orders or protocols, monitor or manage patients on chronic medications or those that require OTC medication for an acute limited illness.
1. SPECIFIC REQUIREMENTS:
A. The contractor’s employee must have at least 6 months of prior Indian Health Service pharmacy experience.
B. The contractor’s employee(s) shall be responsible for reviewing all prescribed medication orders in the chart or electronic health record prior to administration or dispensing for safety, appropriateness and efficacy. He/she shares joint responsibility for the safety and efficacy of drug therapy with the physician.
This review or screening process shall include the following steps:
1. Verification of the prescription orders for completeness and legal validity.
2. Ascertain that the patient’s problem/diagnosis is not potentially drug induced or drug related.
3. Validate the appropriateness of the prescribed drug therapy against the diagnosis/data base.
4. Check for known previous adverse reactions/sensitivities or allergies to prescribed medication.
5. Check for the presence of pathological conditions that might require a modification of the choice dosage or dosage form of a drug.

6. Check for the appropriateness of dose, duration of therapy, dosage form and quantity of medication.
7. Check for interaction between drugs, drugs and food or drugs and laboratory tests.
B. If the contractor’s employee(s) believes there is a potential problem, he/she will consult the prescriber for resolution prior to dispensing the medication.
C. The contractor’s employee(s) shall document in the patient record that these services have been performed according to Service Unit Procedures.
D. The contractor’s employee(s) shall fill prescriptions in accordance with federal, state, IHS regulations and principles of professional pharmacy practice. Included in the requirements are:
1. Child and water-resistant containers shall be used.
2. Each prescription container will be prepared and labeled per policy using the pharmacy computer system when available.
E. I.V. admixtures and inpatient drug distribution will be carried out based on patient care needs and following Service Unit policies and procedures.
F. The contractor’s employee(s) shall provide counseling for all patients on the safe and effective use of their medications.
1. Use of two patient identifiers is required prior to consultation.
2. Controlled drug dispensing requires positive proof of identification (e.g.
government issued i.d. such as drivers’ license or tribal identification card).
3. All patients consultations and written supplements should include the following information:
a. Name and purpose of the medication;
b. Dosage schedule including special instruction, e.g., take on an empty stomach;
c. Length of therapy;
d. Expected outcome;
e. Precautions and possible common side effects; and,
f. Storage requirements.
g. Discuss/question patient on other relevant points concerning disease state, drug therapy or potential problems with compliance.
h. Review drug allergy history (either illicit new or verify old).
i. Verify/confirm follow-up appointment with patient.
j. Briefly verify patient understanding of material presented.
4. All consultations are to be done in a private environment, e.g., consultation room if available or unless circumstances prevent it.
5. The contractor shall verify patients understanding of proper use of prescribed medication. The patient or the person who will be responsible for administering the medication is to be counseled.
6. Supplemental written patient instructions are to be used liberally.
7. The contractor shall document this activity using accepted I.H.S. counseling codes according to Service Unit policy and procedures.
G. The contractor’s employee(s) shall participate in training and competency activities including:
1. Annual safety and infection control
2. Other mandatory training as assigned.
H. The contractor’s employee(s) shall provide the following support services:
1. Supply Management – The contractor shall be responsible for maintaining adequate pharmaceutical supplies following hospital procedure. Drugs will include only those on the Service Unit Formulary. “Samples” will not be used, and non-formulary drug requests will be handled via the Service Unit Policy and Procedure Manual.
2. Drug Information – Drug information will be provided by the contractor upon request or when he perceives a need for additional information.
3. Quality Assurance – The contractor shall participate in all clinic quality assurance activities with special emphasis on quality of pharmaceutical care and utilization.
To enable the facility to meet and maintain compliance with all JCAHO, IHS, CMS, APhA, and applicable ASHP standards.
4. Primary Care – The contractor utilizing protocols can provide primary care to selected patients on chronic medication or requiring medication for acute illness.
II. SHIFTS: Contractor’s employee(s) will be expected to abide by the facility’s Uniform Code and shift hour assigned, modalities of charting and care delivery and other rules and regulations of the facility. The contractor shall provide coverage that is needed to meet the needs of the program to maintain safe patient care.
Hours needed to cover emergency leave, vacancies, and other staff shortages:
Monday through Friday 8 am to 4:30 pm with 30 minute lunch.
III. CONTRACTOR MINIMUM REQUIREMENTS/QUALIFICATIONS:
1. Each licensed Pharmacist shall present an original current license when reporting to the Tohatchi
Health Center Pharmacy Department for duty or for orientation whichever comes first. A copy is required for the contract file. No reimbursement will be made for Pharmacists who report to work with an expired license or a license that is not in good standing.
2. All contractor must provide copy of resume for file. Contractor file will be kept by the Pharmacy Department Office for verification of license; also file will contain continuing education, competency assessments, awards, and any disciplinary actions.
3. Contractor is subject to a character investigation in the performance of the contract in accordance with P.L. 101-630, Indian child protection and Family Violence Act of 1990.
4. Contractor is responsible for his/her own reliable transportation, travel and per diem expenses in the performance of this contract.
5. Contractor is responsible for maintaining satisfactory standard of competence, conduct, appearance and integrity. The quality of work performance of the contractor shall be subject to review.
6. Contractor shall abide by the Service Units Standard of Conduct and policies and procedures.
7. Contractor is responsible for notifying the Chief Pharmacist or designee, if he/she will be late or will be unable to work due to illness or any other reason.
8. Contractor is compensated only for hours actually worked at the agreed rate. Contractors who become sick while on duty will seek medical care from their own private physician, unless contractor is eligible to receive health care from Indian Health Service.
9. Contractor is responsible for completing time sheets for actual hours worked and faxing to vendor.
IV. OTHER CONTRACTOR RESPONSIBILITY FACTORS
The Contractor may be an individual, group or organization in which a qualified provider providing services meets the stated qualification requirements described herein.
Pursuant to the Public Law (PL) 101-630, Indian Child Protection and Family Violence Prevention Act and Public Law (PL) 101-647, Crime Control Act, the Contractor shall be responsible for completion of all applications and forms required for the purpose of a background character investigation. If the Contractor is a group practice, all professionals scheduled to provide services at the designated IHS facility are required to complete the appropriate forms. The Contractor shall be required to schedule an appointment with the GIMC Human Resource (HR) Staff Coordinator for completing the forms and for fingerprinting.
The Contractor shall provide services in such a manner as to meet the highest standards of professional ethics and conduct particularly in regard to confidentiality and patient rights. If at any time during the term of the contract, the Government suspect's unprofessional behavior and practices, the Contractor will be contacted and requested to take appropriate action in accordance with applicable Federal Acquisition Regulations (FAR).
The Contractor shall be proficient in writing, typing and have a basic working knowledge and understanding of computer hardware and software.
The Privacy Act of 1974 mandates that the Contractor shall maintain complete confidentiality of all administrative, medical and personnel records and all other pertinent information that comes to his/her attention or knowledge. The Privacy Act carries both civil and criminal penalties for unlawful disclosure of records. Violations of such confidentiality shall be cause for immediate termination of the contract. The IHS shall provide training on the Freedom of Information (as Amended) and the Privacy Act. All IHS regulations and policies applicable to these acts shall be enforced. The Contractor shall not serve as an “expert witness” in any suit against the Federal Government.
The Contractor shall comply with all IHS facility infection control and safety procedures, and standards.
The Contractor shall provide for the consistent performance of patient care process according to the standards of The Joint Commission (TJC), Centers for Medicare Services (CMS) who supplies accreditation to the Navajo Area Indian Health Service hospitals and health centers. These standards shall include: The Comprehensive Accreditation Manual for Hospitals and Ambulatory Care Standards, as they represent the scope of services of this contract.
