Description
This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6 “Streamlined Procedures for Evaluation and Solicitation for Commercial Items”, as supplemented with additional information included on this notice and in conjunction with FAR Part 13.106, utilizing Simplified Acquisition Procedures. This announcement constitutes the only solicitation; offers are being requested, and a written solicitation document will not be issued. The solicitation number is 75F40122Q00019_1251139. This solicitation is issued as a Request for Quote (RFQ). This solicitation and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2022-04 dated January 30, 2022.
The associated North American Industry Classification System (NAICS) Code for this procurement is 334516 – Analytical Laboratory Instrument Manufacturing; with a Small Business Size Standard of 1000 employees. This combined/synopsis solicitation is full and open competition.
Background: The Food and Drug Administration (FDA)/National Center for Toxicological Research (NCTR)/Division of Genetic and Molecular Toxicology (DGMT) has a need for a microphysiological system (mps) control unit capable of operating organ chips for simultaneous culture of multiple tissues among other application which will be described in detail in the required minimal technical specifications. The mps control unit will support several ongoing and future projects, including investigating the impact on target tissues of zika virus (zikv) sexual transmission from the testes (e07775), zikv transmission through the placental barrier (e03003), drug transport across the placental barrier (e7728 and c22003) and development artificial lung and liver organ to study biomarkers of corona virus infection (c21042). The systems currently in use in DGMT consist of two TissUse humimic control units with each capable of operating 4 mps organ chips.
Minimum Technical Requirements for a Tissue Control Unit:
• Shall include a 7” capacitive in-plane switching (IPS) touchscreen.
• Shall allow for different user settings and reports.
• Shall include digital pressure and vacuum control.
• Shall include an internal or external vacuum supply.
• Shall include pump tubing and pump connection ports with bench-top compatible dimensions (w: 20.5 cm x l: 25 cm x h: 14.5 cm)
• Shall be able to operate 24 pneumatic micropumps and microfluidic systems for two-tissue organ-on-a-chips.
• Shall include and adjustable fluid speed and direction flow control.
• Shall include an automatic pump leakage detection and control system.
• Shall be capable of operating up to four (4) two-tissue organ-on-a-chips.
• Shall be compatible with the existing equipment (TissUse HUMIMIC control unit, model#
1324211 and serial numbers BCU055 and 68463) used to conduct experiments in order to minimize variability between experimental replicates.
Installation and Warranty Requirements
• The system and its associated accessories shall include operations and maintenance manuals covering proper operation, routine maintenance, and trouble shooting for the instrument and controlling software. All manuals and documentation on the instrument shall be provided in hard copy and/or electronic format.
• The offeror shall provide all labor, travel, kits and tools, etc, to install the equipment at the address provided below.
• The offeror shall warrant the entire system for a period of at least one (1) year from acceptance by FDA. The warranty shall include: unlimited telephone/e-mail support for questions regarding operation, onsite visits for diagnosis of problems and repairs inclusive of all parts, labor, and travel expenses at no additional cost to the FDA.
• The FDA shall have the right to exercise optional periods to continue the maintenance and service contract beyond the warranty period, which will include software updates during the service agreement period, phone support, onsite visits for diagnosis of problem and repairs inclusive of all parts, labor, and travel expenses, unless authorized. The contract will include exercisable service contracts for 4 years.
Minimum Performance Requirements for the 4 (1-year Post Warranty Maintenance Option Periods):
• The Contractor shall provide one (1) scheduled on-site planned preventive maintenance visit per year.
• The Contractor shall provide unlimited On-Site Corrective Maintenance/Repairs within 3 business days of call for service where problems cannot be resolved remotely after 2 business days.
• The Maintenance and Repair activities shall be performed following the Original Equipment
Manufacturer (OEM) specifications, manuals, and service bulletins, using OEM-certified replacement parts, components, subassemblies, etc.
• The Contractor shall include unlimited software and firmware updates during the coverage period(s).
• The Contractor shall include unlimited technical support Monday through Friday (excluding Federal Holidays) 8:00AM – 5:00PM Central Time.
• All maintenance/repair pricing shall be inclusive of labor, travel, replacement parts, components, subassemblies, etc.

Service Records and Reports The Contractor shall, commensurate with the completion of each service call (inclusive of warranty service), provide the end-user of the equipment with a copy of a field service report/ticket identifying the equipment name, manufacturer, model number, and serial number of the equipment being serviced/repaired and detailing the reason for the service call, a detailed description of the work performed, the test instruments or other equipment used to affect the repair or otherwise perform the service, the name(s) and contact information of the technician who performed the repair/service, and for information purposes, the on-site hours expended and parts/components replaced. In addition, the Contractor shall provide a written report to the FDA Technical Representative and Contract Specialist, summarizing all maintenance and repair activities (including warranty work) each time service and/or repair is performed.

CLAUSES
FAR 52.212-4 Contract Terms and Conditions-Commercial Items (Nov 2021)
The following FAR 52.212-4 addenda apply:
The Contractor shall only tender for acceptance of those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services.
Be advised that FDA does not accept documents which contain the use of macros. Document submissions required throughout the award period(s) shall not have macro enabled functionality and any document delivered having that functionality will be deemed delinquent, if not corrected prior to the due date.
The supplies and/or services delivered hereunder shall be inspected and accepted at destination by the Governments Technical Point of Contact (TPOC) specified at award. If the supplies or services are acceptable, the TPOC shall promptly forward a report of inspection and acceptance to the paying office. If the supplies or services are not acceptable, the TPOC shall document the nonconforming items/services and immediately notify the Contracting Officer.
The TPOC is responsible for: (1) monitoring the Contractor's technical progress, including the surveillance and assessment of performance and recommending to the Contracting Officer changes in requirements; (2) interpreting the Statement of Work and any other technical performance requirements; (3) performing technical evaluation as required; (4) performing technical inspections and acceptances required by this contract; and (5) assisting in the resolution of technical problems encountered during performance.
The Contracting Officer is the only person with authority to act as agent of the Government under this contract. Only the Contracting Officer has authority to: (1) direct or negotiate any changes in the contract; (2) modify or extend the period of performance; (3) change the delivery schedule; (4) authorize reimbursement to the Contractor any costs incurred during the performance of this contract; or (5) otherwise change any terms and conditions of this contract.

B. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services.
