This is a request for quote for a Firm Fixed Price (FFP) purchase order, which shall provide regularly scheduled shipments of palletized boxes of files to be delivered to the Iron Mountain Fredericksburg Records Center from the Harrisonburg File Storage Facility. The pick-up and delivery schedule will be coordinated to occur based on mutually agreed upon weekdays per the Statement of Work (SOW).

FAR CLAUSES IN FULL TEXT

52.209-10 – Prohibition on Contracting With Inverted Domestic Corporations (NOV 2015)

(a) Definitions. As used in this clause-- “Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.

(c) Exceptions to this prohibition are located at 9.108-2.

(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting Officer within five business days from the date of the inversion event.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. 52.222-42 – STATEMENT OF EQUIVALENT RATES FOR FEDERAL HIRES (MAY 2014)

In compliance with the Service Contract Labor Standards statute and the regulations of the Secretary of Labor (29 CFR part 4), this clause identifies the classes of service employees expected to be employed under the contract and states the wages and fringe benefits payable to each if they were employed by the contracting agency subject to the provisions of 5 U.S.C. 5341 or 5332.

3052.209-70 PROHIBITION ON CONTRACTS WITH CORPORATE EXPATRIATES (JUN

2006)

(a) Prohibitions. Section 835 of the Homeland Security Act, 6 U.S.C. 395, prohibits the Department of Homeland Security from entering into any contract with a foreign incorporated entity which is treated as an inverted domestic corporation as defined in this clause, or with any subsidiary of such an entity. The

Secretary shall waive the prohibition with respect to any specific contract if the Secretary determines that the waiver is required in the interest of national security.

(b) Definitions. As used in this clause:

Expanded Affiliated Group means an affiliated group as defined in section 1504(a) of the Internal Revenue Code of 1986 (without regard to section 1504(b) of such Code), except that section 1504 of such Code shall be applied by substituting `more than 50 percent' for `at least 80 percent' each place it appears.

Foreign Incorporated Entity means any entity which is, or but for subsection (b) of section 835 of the Homeland Security Act, 6 U.S.C. 395, would be, treated as a foreign corporation for purposes of the Internal Revenue Code of 1986.

Inverted Domestic Corporation. A foreign incorporated entity shall be treated as an inverted domestic corporation if, pursuant to a plan (or a series of related transactions)—

(1) The entity completes the direct or indirect acquisition of substantially all of the properties held directly or indirectly by a domestic corporation or substantially all of the properties constituting a trade or business of a domestic partnership;

(2) After the acquisition at least 80 percent of the stock (by vote or value) of the entity is held—

(i) In the case of an acquisition with respect to a domestic corporation, by former shareholders of the domestic corporation by reason of holding stock in the domestic corporation; or

(ii) In the case of an acquisition with respect to a domestic partnership, by former partners of the domestic partnership by reason of holding a capital or profits interest in the domestic partnership; and

(3) The expanded affiliated group which after the acquisition includes the entity does not have substantial business activities in the foreign country in which or under the law of which the entity is created or organized when compared to the total business activities of such expanded affiliated group.

Person, domestic, and foreign have the meanings given such terms by paragraphs (1), (4), and (5) of section 7701(a) of the Internal Revenue Code of 1986, respectively.

(c) Special rules. The following definitions and special rules shall apply when determining whether a foreign incorporated entity should be treated as an inverted domestic corporation.

(1) Certain stock disregarded. For the purpose of treating a foreign incorporated entity as an inverted domestic corporation these shall not be taken into account in determining ownership:

(i) Stock held by members of the expanded affiliated group which includes the foreign incorporated entity; or

(ii) Stock of such entity which is sold in a public offering related to an acquisition described in section 835(b)(1) of the Homeland Security Act, 6 U.S.C. 395(b)(1).

(2) Plan deemed in certain cases. If a foreign incorporated entity acquires directly or indirectly substantially all of the properties of a domestic corporation or partnership during the 4-year period beginning on the date which is 2 years before the ownership requirements of subsection (b)(2) are met, such actions shall be treated as pursuant to a plan.

(3) Certain transfers disregarded. The transfer of properties or liabilities (including by contribution or distribution) shall be disregarded if such transfers are part of a plan a principal purpose of which is to avoid the purposes of this section.

(d) Special rule for related partnerships. For purposes of applying section 835(b) of the Homeland Security Act, 6 U.S.C. 395(b) to the acquisition of a domestic partnership, except as provided in regulations, all domestic partnerships which are under common control (within the meaning of section 482 of the Internal Revenue Code of 1986) shall be treated as a partnership.

(e) Treatment of Certain Rights.

(1) Certain rights shall be treated as stocks to the extent necessary to reflect the present value of all equitable interests incident to the transaction, as follows:

(i) warrants;

(ii) options;

(iii) contracts to acquire stock;

(iv) convertible debt instruments; and

(v) others similar interests.

(2) Rights labeled as stocks shall not be treated as stocks whenever it is deemed appropriate to do so to reflect the present value of the transaction or to disregard transactions whose recognition would defeat the purpose of Section 835.

(f) Disclosure. The offeror under this solicitation represents that [Check one]:

Invoicing Instructions:

(a) In accordance with FAR Part 32.905, all invoices submitted to USCIS for payment shall include the following:

(1) Name and address of the contractor.

(2) Invoice date and invoice number.

(3) Contract number or other authorization for supplies delivered or services performed (including order number and contract line item number).

(4) Description, quantity, unit of measure, period of performance, unit price, and extended price of supplies delivered or services performed.

(5) Shipping and payment terms.

(6) Name and address of contractor official to whom payment is to be sent.

SECURITY REQUIREMENTS

During transport of USCIS files and information, the contractor shall ensure that contents within the storage area of the vehicle are secure during transit.

FACILITY ACCESS CONTROL

The Contractor will observe all internal building security regulations that apply to any and all buildings concerning this contract. The Contractor will only enter the facility or building with continuous escort service during their work hours and they will depart the facility or building after work hours. When entering and departing the facility or building each contractor must sign in and out as required at the site.

EMPLOYMENT OF ILLEGAL ALIENS

Subject to existing law, regulations and other provisions of this contract, the Contractor shall not employ illegal or undocumented aliens to work on, or with this contract. The Contractor shall ensure that this provision is expressly incorporated into any and all subcontracts or subordinate agreements issued in support of this contract.

Security Clause 3 w/Transportation

Statement of Work

FY 19

1. Title of Project

U.S. Citizenship and Immigration Services, Harrisonburg File Storage Facility (HGB) Transportation services between Harrisonburg File Storage Facility and the Iron Mountain Fredericksburg Records Center.

2. Period of Performance

The period of performance shall commence five (5) business days following contract award, and shall continue for a period of two (2) months.

3. Place of Performance

The cargo shall be picked up a the loading dock at the Harrisonburg File Storage Facility, 1344 Pleasants Drive, Harrisonburg VA 22801 and delivered to Iron Mountain Fredericksburg Records Center, 2031 International Parkway, Fredericksburg, VA 22406 loading dock.

4. Project Background

HGB requires shipments of palletized boxes containing paper receipt files to be stored at Iron Mountain Fredericksburg Records Center. Files that are being transported will not be of a classified nature.

5. Tasks

There will be a total of approximately 44 outbound shipments over a five-week period. Three return shipments will also be scheduled to transport empty pallets from the Iron Mountain records facility back to the Harrisonburg files storage facility. The pick-up and direct delivery schedule will be coordinated to occur based on mutually agreed upon weekdays. HGB has a pickup/delivery dock which can accommodate a 53’ truck. The Iron Mountain locations has a pickup/delivery dock which can accommodate a 53’ truck. The driver shall provide a Bill of Lading at pick up of the palletized boxes and pallets for transport.

Outbound files shipments are to be picked up twice a day Monday-Friday between 7:00 am – 9:00 am EST from HGB. Shipments must arrive at Iron Mountain no earlier than 7:45am EST and no later than 3:00 pm EST. Return pallet shipments are to be picked up at Iron Mountain, on the scheduled date, no earlier than 7:45 am EST, and must be delivered to Harrisonburg no later than 2:00 pm EST.

Prior to the arrival of the transporting truck, the Harrisonburg staff will shrink-wrap and place the pallets on the dock. The facility personnel at each location will load the pallets into the shipping container (trailer) at the Harrisonburg facility’s dock and unload the same at the Iron

Mountain location dock. The driver will transport the pallets exactly as they were loaded onto the vehicle at the site.

A shipment is a one-way delivery to/from Harrisonburg, to/from Iron Mountain. Boxes will be palletized with approximately 45 boxes per pallet with a total of 24 pallets of boxes per truck load. The number of pallets may vary each week. Each cardboard box is 12.5” W x 15.5” D x 10” H and weighs approximately 30 lbs. Each pallet weighs approximately 1,440 lbs. and is 57” tall, 46” long, and 37” wide. The driver shall not double stack the pallets of boxes.

The truck driver shall deliver the contents from dock to dock within one (1) calendar day from the date of pick-up. In the event of a delay in delivery 1 day or more, the contractor shall immediately notify Jerome Pugh 540-542-9577.

The contractor shall be responsible for reimbursing USCIS for any cost associated with a compromised or lost shipment if it is determined that the contractor violated the procedures set forth in this Statement of Work.

6. Security Requirements

The contactor shall provide a DEDICATED truck with a container (trailer) which shall transport ONLY material that has been loaded at either the HBG or Iron Mountain facilities, regardless of quantity (even if only one pallet) to destination. NEITHER THE CONTRACTOR NOR

ANY SUBCONTRACTORS SHALL BE BROKERS. CONTRACTOR SHALL PROVIDE

THEIR DEPARTMENT OF TRANSPORTATION IDENTIFICATION NUMBER(S). The truck driver shall not simultaneously transport or comingle freight from other businesses, individuals, or government agencies with these shipments. The driver shall not create any compartments inside the container to transport items from other entities.

The driver shall provide a seal and place it on the outside of the container (trailer) for transport. The cargo, once loaded and sealed into the container (trailer), shall not be accessed or rearranged unless in the presence of a government employee. The seal shall be either metal or plastic and must have an identification number. This number shall be recorded on the Bill of Lading at the time the container (trailer) is secured. Neither the driver nor any person shall tamper with, break or replace the seal between the Harrisonburg File Storage Facility and the Iron Mountain Records Center.

Should it become necessary to tamper with, break or remove the seal due to unforeseen circumstances, such as law enforcement requirement or weigh station inspections, the Contractor shall notify Jerome Pugh 540-542-9577 immediately to report the reasons for such actions. In addition the contractor shall replace the seal with a new one and provide the seal ID#. In all cases the contractor shall provide copies of all written documentation regarding the incident.

7. Deliverables

The shipping Contractor shall provide a Bill of Lading to be given to HGB personnel who will meet the driver at the dock prior to the movement of any cargo.

After each delivery the contractor will e-mail Jerome Pugh (harry.j.pugh@uscis.dhs.gov), HBG point of contact for the contract, the date and time the pallets were delivered to the destination.

This information may be included on a revised Bill of Lading in lieu of e-mail.

A revised Bill of Lading shall be provided after delivery of that cargo to the designated destinations.

(a) Definition. As used in this provision--

“Internal confidentiality agreement or statement”, “subcontract”, and “subcontractor”, are defined in the clause at 52.203-19, Prohibition on Requiring Certain Internal Confidentiality Agreements or Statements.

(b) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. (1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

52.212-2 Evaluation—Commercial Items (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) price;

(ii) technical acceptability

USCIS intends to award a task order, in accordance the Lowest Price Technically Acceptable (LPTA) source selection process. Best value is expected to result from selection of the technically acceptable quote with the lowest evaluated price. Only the lowest priced offer will be evaluated until it is determined the lowest priced offer does not meet technical acceptability criteria; at that point, the next lowest priced offer will be evaluated for technical acceptability. This process will continue until a technically acceptable offer is identified. Technical acceptability is comprised of meeting the requirements as outlined in the solicitation and statement of work, adherence to the delivery schedule, and acceptable or neutral past performance. Award will be made on the basis of the lowest evaluated price of quotes meeting the Technical Acceptability for non-cost factors.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.219-1 -- Small Business Program Representations (Oct 2014)

(a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business concern eligible under the WOSB Program.

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
