A. INTRODUCTION:

The Federal Emergency Management Agency (FEMA) intends to award a single-award Firm-Fixed Price IDIQ for building supplies. FEMA reserves the right to issue a multiple award IDIQ. The solicitation number is 70FBR919Q00000035 and is issued as a Request for Quotation (RFQ) prepared in accordance with FAR 16.504(a)(4). This RFQ document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-97. This acquisition is competitively solicited under a set aside for small businesses located in the area impacted by DR-4404-MP. The applicable North American Industry Classification Standard (NAICS) code is 444130 Hardware Stores with a small business size standard of $7.5 Million.

FEMA anticipates purchasing the items in the estimated quantities that are included in the attached Pricing Template (see Attachment 2). A detailed description of the requirement can be found in the attached Statement of Objectives (SOO)(see Attachment 1). The factors identified under Section C of this RFQ will be the evaluation factors used to evaluate the offer. Quotes must be specific in details and clearly identify all the government requirements.

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

Note: The federal government abides by the Buy American Act. Contracts should familiarize themselves with FAR clause 52.225-1 located in Section E of this Request for Quote.

B. INSTRUCTIONS AND GENERAL INFORMATION

Questions: Questions regarding this RFQ shall be submitted to the contracting officer and contract specialist via email only, no later than TBD. Questions received after this time may not be considered.

Quote: Quotes are due no later than TBD.

Late quotes may not be accepted.

3. Submission Requirements:

Response to this solicitation is restricted to the participation of small businesses and preference will be given to small businesses residing or primarily doing business in the disaster affected area. The disaster affected municipalities are: Northern Marianas, Rota, Saipan, and Tinian.

4. Quote Cover Letter – Content:

All proposal submissions must include the following information:

a. Company’s Complete Name and Address

5. Price Quote:

The contractor shall complete the Pricing Template listed in Attachment (2). Do not change the government provided estimated number of units; simply complete the information per the instruction listed in the Pricing Template. The government will confirm calculations for accuracy.

6. Proof of Local Area Representation (This Information Must Be Submitted With Your Quote):

This requirement is being set-aside for vendors located in the disaster affected area. The disaster affected municipalities are: Northern Marianas, Rota, Saipan, and Tinian.

1. FAR Clause 52.226-3-(d), states:

(c) An offeror is considered to be residing or primarily doing business in the set-aside area if, during the last twelve months—

(1) The offeror had its main operating office in the area; and

(2) That office generated at least half of the offeror's gross revenues and employed at least half of the offeror's permanent employees.

The information listed in section (c) 1 and 2 must be submitted with your bid. The following information must be submitted.

2. Proof that the vendor’s main operating office is located within the disaster affected area. The Contracting Officer will look up the offeror SAM.gov registration, to determine the address listed in the SAM.gov. Please ensure that your registration is up to date.

3. That office generated at least half of the offeror’s gross revenue: A statement listing the total revenue generated within the last 12 months. How much of this revenue was generated in the disaster affected area.

4. The office employed at least half of the offeror’s permanent employees: A statement listing the names of the permanent employees employed by your main operating office. A statement confirming that at least half of the listed employees represent half of the offeror’s permanent employees.

Section (d) and (e) of that same clause states that:

(d) If the offeror does not meet the criteria in paragraph (c) of this provision, factors to be considered in determining whether an offeror resides or primarily does business in the set-aside area include:

(1) Physical location(s) of the offeror's permanent office(s) and date any office in the set-aside area(s) was established;

(2) Current state licenses;

(3) Record of past work in the set-aside area(s) (e.g., how much and for how long);

(4) Contractual history the offeror has had with subcontractors and/or suppliers in the set-aside area;

(5) Percentage of the offeror's gross revenues attributable to work performed in the set-aside area;

(6) Number of permanent employees the offeror employs in the set- aside area;

(7) Membership in local and state organizations in the set-aside area; and

(8) Other evidence that establishes the offeror resides or primarily does business in the set-aside area. For example, sole proprietorships may submit utility bills and bank statements.

(e) If the offeror represents it resides or primarily does business in the set-aside area, the offeror shall furnish documentation to support its representation if requested by the Contracting Officer. The solicitation may require the offeror to submit with its offer documentation to support the representation.

If the information in section cannot be provided, the offeror shall provide as much information in section (d) (1 through 8) as possible for the Contracting Officer to make a determination that the offeror primarily does business in the disaster affected area.

This RFQ requires registration with the System for Award Management (SAM) in order to be considered for award, pursuant to applicable regulations and guidelines. Registration information can be found at www.sam.gov. Registration must be "ACTIVE" when your bid is submitted.

C. EVALUATION:

Award will be made to the Lowest Priced Technically Acceptable (LPTA) quote that meets or exceeds the acceptability standards for non-price factors (e.g. Technical). Technical factors must be rated as acceptable in order to evaluate the price factor. For example, if the technical factors are rated as acceptable, price will then be evaluated. However, if any of the technical factors are rated as unacceptable; the evaluation process stops and award cannot be made to that offeror. If all offerors are rated technically acceptable, award will be made to that offeror with the lowest priced technically acceptable quote. This will end the evaluation process. The Government intends to make award without discussions, however, clarifications may be necessary.

iii. Ability to provide all required items on Saipan

iv. Ability to provide all required items on Tinian

c. Past Performance

(2) Evaluation Factors and Submittal Requirements:

a. The Government will evaluate price to determine whether the offered price is fair and reasonable, realistic for work to be performed, and reflects a clear understanding of the solicitation requirements. Price will be the factor in making the final determination for award.

b. Analysis of price will be performed in accordance with FAR 15.404-1 to determine completeness, reasonableness, and understanding of requirement.

c. Offerors must complete the attached pricing template.

(3) Technical:

a. Required specifications are met: Offeror must submit in writing their ability to meet or exceed the requirements specified in the attached Statement of Objectives (SOO).

b. Materials: Offeror must submit in writing their ability to provide all the items in the attached material supply list.

c. Supplies on Saipan: Offeror must submit in writing their ability to provide all the required items on Saipan.

d. Supplies on Tinian: Offeror must submit in writing their ability to provide all the required items on Tinian.

(4) Past performance:

a. Name at least three projects completed in the last three years that are similar in size, scope, and complexity in which you leased copiers. Supply sales to Government as well as Commercial businesses will be accepted.

(5) Ratings:

a. Price: Will be evaluated for reasonableness and completeness

b. Technical: Technical Capability will be evaluated using the technical evaluation rating criteria set forth below to determine the most qualified source from a technical standpoint. An objective technical evaluation will be performed on each technical proposal based solely on the information furnished and not on previous knowledge or associations. The technical evaluation will result in a score of Acceptable or Unacceptable:

· Acceptable: expected to meets or exceed the requirement.

· Unacceptable: is not expected to meet the requirements

c. Past Performance will be evaluated to determine if the Past Performance listed is similar to the requirement being requested in this RFQ. The following rating will be used for Past Performance:

· Pass: Based on the offeror’s past performance record, essentially no doubt exists that the Offeror will successfully perform the required effort.

· Neutral: The offeror has no relevant past performance

· Fail: Based on the offeror’s past performance record, it is not likely that the Offeror will successfully perform the required effort.

In addition to contacting references, the Government reserves the right to check outside sources and systems such as the Contractor Performance Assessment and Reporting System (CPARS) and the Past Performance Information Retrieval System (PPIRS).

(h) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(i)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. 52.216-18 ORDERING (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from March 18, 2019 through March 17 2019 (estimated).

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $200, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor--

(1) Any order for a single item in excess of N/A;

(2) Any order for a combination of items in excess of N/A; or

(3) A series of orders from the same ordering office within 10 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 6 months past effective period of contract.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within five (5) calendar days before the contract expires.

52.217-9 – OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within one (1) calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least five (5) calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed one (1) year and six (6) months.

52.232-1 PAYMENTS (APR 1984)

The Government shall pay the Contractor, upon the submission of proper invoices or vouchers, the prices stipulated in this contract for supplies delivered and accepted or services rendered and accepted, less any deductions provided in this contract. Unless otherwise specified in this contract, payment shall be made on partial deliveries accepted by the Government if—

(a) The amount due on the deliveries warrants it; or

(b) The Contractor requests it and the amount due on the deliveries is at least $1,000 or 50 percent of the total contract price.

ELECTRONIC AND INFORMATION TECHNOLOGY (EIT)

The Federal Emergency Management Agency (FEMA) considers universal accessibility to information a priority for all its employees and external customers, including individuals with disabilities. Pursuant to the Workforce Investment Act of 1998, 29 FEMA must ensure the accessibility of its programs and activities to all current and potential users, specifically its obligation to acquire and use accessible Electronic and Information Technology (EIT) including web pages, software, telecommunications, kiosks and other information transaction machines, and fax machines, copiers, printers, and other information technology office equipment. To comply with the provisions of this clause, the contractor shall provide EIT that meets the intent of the Workforce Investment Act of 1998 which requires, regardless of medium, --

(i) individuals with disabilities who are Federal employees to have access to and use of information and data that is comparable to the access to and use of the information and data by Federal employees who are not individuals with disabilities; and

(ii) individuals with disabilities who are members of the public seeking information or services from FEMA to have access to and use of information and data that is comparable to the access to and use of the information and data by such members of the public who are not individuals with disabilities.

Furthermore, the contractor shall comply with the applicable accessibility standards issued by the Architectural and Transportation Barriers Compliance Board at 36 CFR 1194 and http://www.section508.gov. Further guidance provided in Attachment 1, SOO.

NOTIFICATION OF 75% OF FUNDS EXPENDED

(a) The parties estimate that performance of this contract will not cost the Government more than

(1) the estimated cost specified in the Schedule or,

(b) The Schedule specifies the amount presently available for payment by the Government and obligated to this contract, the items covered, the Government’s share of the cost if this is a cost- contract, and the obligated amount covers. The parties contemplate that the Government will allot additional to the contract up to the full estimated cost to the Government specified in the Schedule. The Contractor agrees to perform, or have performed, work on the contract up to the point at which the total amount paid and payable by the Government under the contract but does not exceed the total amount actually allotted by the Government to the contract.

(c) The Contractor shall notify the Contracting Officer in writing whenever it has reason to believe that the costs it expects to incur under this contract in the next 30 days, when added to all costs previously incurred, will exceed 75 percent of

(1) the total amount so far allotted to the contract by the Government

The notice shall state the estimated amount of additional funds required to continue deliveries for the period specified in the Schedule.

(d) Thirty days before the end of the period specified in the Schedule, the Contractor shall notify the Contracting Officer in writing of the estimated amount of additional funds, if any, required to continue timely deliveries under the contract or for any further period specified in the Schedule or otherwise agreed upon, and when the funds will be required.

(e) If, after notification, additional funds are not allotted by the end of the period specified in the Schedule or another agreed- upon date, upon the Contractor’s written request the Contracting Officer will terminate this contract on that date in accordance with the provisions of the Termination clause of this contract. If the Contractor estimates that the funds available will allow it to continue to discharge its obligations beyond that date, it may specify a later date in its request, and the Contracting Officer may terminate this contract on that later date.

(f) Except as required by other provisions of this contract, specifically citing and stated to be an exception to this clause --

(1) The Government is not obligated to pay the Contractor for inventory acquired in excess of the total amount required by the Government to this contract; and

(2) The Contractor is not obligated to continue performance under this contract (including actions under the Termination

(h) No notice, communication, or representation in any form other than that specified in subparagraph (f)(2) above, or from any person other than the Contracting Officer, shall affect the amount allotted by the Government to this contract. In the absence of the specified notice, the Government is not obligated to pay the Contractor for any costs in excess of the total amount obligated by the Government to this contract, whether incurred during the course of the contract or as a result of termination.

(i) When and to the extent that the amount obligated by the Government to the contract is increased, any costs the Contractor incurs before the increase that are in excess of --

(1) The amount previously obligated by the Government or;

(j) Change orders shall not be considered an authorization to exceed the amount obligated by the Government specified in the Schedule, unless they contain a statement increasing the amount obligated.

(k) Nothing in this clause shall affect the right of the Government to terminate this contract. If this contract is terminated, the Government and the Contractor shall negotiate an equitable distribution of all property produced or purchased under the contract.

B.5 MINIMUM AND MAXIMUM QUANTITIES FOR MULTIPLE AWARD CONTRACTS

As referred to in paragraph (b) of FAR Clause 52.216-22, “Indefinite Quantity” of this contract, the guaranteed contract minimum is $679.76--per successful awardee--to include the Base and the Options periods. The contract ceiling amount is Not to Exceed (NTE) $5,000,000.00 per contract for Large Business and 1,500.000.00 per contract for Small Business.

Contractors will use Standard Form 1034 (Public Voucher for Purchases and Services Other Than Personal) located at http://www.gsa.gov/portal/forms/type/SF when submitting a payment request. A payment request means any invoice or request for contract financing payment requesting reimbursement for supplies or services rendered. The Contractor shall not be paid more frequently than on a monthly basis.

Contractors must submit vouchers electronically, via e-mail, in .pdf format, to the FEMA Finance Center, as stated at Block 20: FEMA Finance: FEMA-Finance-Vendor- Payments@fema.dhs.gov. A copy of the voucher must be submitted electronically, in .pdf format, via e-mail, to the Contract Specialist, to the Contracting Officer, and to the Contracting Officer Representative, also identified at Block 20 within this contract. The submission of vouchers electronically will reduce correspondence and other causes for delay to a minimum and will facilitate prompt payment to the Contractor. Paper vouchers mailed to the finance center will not be processed for payment. If the Contractor is unable to submit a payment request in electronic form, the contractor shall submit the payment request using a method mutually agreed to by the Contractor, the Contracting Officer, and the payment office.

B.9 INVOICE INSTRUCTIONS (JUN 2014)

Invoices shall be submitted as follows:

Contractors will use Standard Form 1034 (Public Voucher for Purchases and Services Other Than Personal) and SF 1035 Continuation sheet when requesting payment for supplies or services rendered. The voucher must provide a description of the supplies or services, by line item (if applicable), quantity, unit price, and total amount. The item description, unit of measure, and unit price must match those specified in the contract. Invoices that do not match the line item pricing in the contract will be considered improper and will be returned to the Contractor.

SF 1034 and 1035 instructions:

SF 1034--Fixed Price

The information which a contractor is required to submit in its Standard Form 1034 is set forth as follows:

(1) U.S. Department, Bureau, or establishment and location insert the names and address of the servicing finance office unless the contract specifically provides otherwise.

(2) Date Voucher Prepared - insert date on which the public voucher is prepared and submitted.

(3) Contract/Delivery Order Number and Date - insert the number and date of the contract and delivery order, if applicable, under which reimbursement is claimed.

(4) Requisition Number and Date - leave blank.

(5) Voucher Number - insert the appropriate serial number of the voucher. A separate series of consecutive numbers, beginning with Number 1, shall be used by the contractor for each new contract. When an original voucher was submitted, but not paid in full because of suspended costs, resubmission vouchers should be submitted in a separate invoice showing the original voucher number and designated with the letter "R" as the last character of the number. If there is more than one resubmission, use the appropriate suffix (R2, R3, etc.) The last voucher of every contract or task order should be marked with the next sequential number, with the words "FINAL" (e.g. Invoice No. 1234-FINAL).

(6) Schedule Number; Paid By; Date Invoice Received - leave blank.

(7) Discount Terms - enter terms of discount, if applicable.

(8) Payee's Account Number - this space may be used by the contractor to record the account or job number(s) assigned to the contract or may be left blank.

(9) Payee's Name and Address - show the name of the contractor exactly as it appears in the contract and its correct address, except when an assignment has been made by the contractor, or the right to receive payment has been restricted, as in the case of an advance account. INVOICE PREPARATION INSTRUCTIONS SF 1035

The SF 1035 will be used to identify the specific item description, quantities, unit of measure, and prices for each category of deliverable item or service. Suitable self-designed forms may be submitted instead of the SF 1035 as long as they contain the information required.

The information which a contractor is required to submit in its Standard Form 1035 is set forth as follows:

U.S. Department, Bureau, or Establishment - insert the name and address of the servicing finance office.

Voucher Number - insert the voucher number as shown on the Standard Form 1034. Schedule Number - leave blank.

Sheet Number - insert the sheet number if more than one sheet is used in numerical sequence. Use as many sheets as necessary to show the information required.

Number and Date of Order - insert payee's name and address as in the Standard Form 1034. Articles or Services - insert the contract number as in the Standard Form 1034.

Amount - insert the total quantities contract value, and amount and type of fee payable (as applicable).

A summary of claimed current and cumulative goods and services delivered and accepted to date. - Invoices shall include an itemization of all goods and services delivered and accepted for the period by item and by CLIN. Each invoice shall include sufficient detail to identify goods and services as compared to and in accordance with contract terms and conditions. Invoices that do not match the line item pricing in the contract will be considered improper and returned to the contractor. In addition, each invoice shall detail the total charges by showing current and cumulative goods and services both currently invoiced and cumulative to date.
