Title:
Effort to establish a Blanket Purchase Agreement (BPA) for portable toilet and hand wash station services at 16 FEMA Disaster Recovery Centers (DRC) located in the various municipalities designated disaster areas in accordance with Presidential Disaster Declaration DR-4473-PR. (See Attachment #1 for Map of Designated Municipalities) The ceiling price for this blanket purchase agreement is $325,000.00.
The Government will be obligated only to the extent of authorized call orders issued under the BPA. Individual call orders shall not exceed $100,000.00. A list of individuals authorized to make purchases under the BPA shall be furnished to the contractor by the Contracting Officer.
Notice:
This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested by the due date above. The solicitation number is RFQ #70FBR218Q00000028 and is issued as a Request for Quotes (RFQ). The associated North American Industrial Classification System (NAICS) code for this procurement is 562998, Portable Toilets.
This effort is solicited as a local area set-aside in accordance with the Robert T. Stafford and Local Community Recovery Act of 2006. Per FAR 26.202 Local Area Preference, preference shall be given, to the extent feasible and practicable, to local firms doing business in the area affected by DR-4473-
PR.
Description of Services: The Federal Emergency Management Agency (FEMA) has a requirement for the delivery, cleaning, and pick up services for the lease, maintenance, and service of portable restrooms and handwash stations at 16 Disaster Recovery Centers (DRCs) in disaster declared areas on the Commonwealth of Puerto Rico. The exact location of the DRCs is unknown at the time of this solicitation.
This is a combined synopsis/solicitation for services (other than personal) for the lease, service, and maintenance of:
1) Two (2) Standard portable toilets per DRC location
2) Two (2) ADA portable toilets per DRC location
3) Two (2) Hand-washing stations per DRC location

Requirement: Locations Are To Be Determined
Quantity 2 – Standard portable toilets (port-a-potty) to be serviced three (3) times per week on Monday, Wednesday and Friday. Service shall include empty waste tanks, disposal of sewage, replace paper products and hand sanitizing products (if included) and clean and sanitize all surfaces within each unit.
Quantity 2 – ADA compliant portable toilets (port-a-potty) to be serviced three (3) times per week on Monday, Wednesday and Friday. Service shall include empty waste tanks, disposal of sewage, replace paper products and hand sanitizing products (if included) and clean and sanitize all surfaces within each unit.
Quantity 2 – Hand-Washing stations to be serviced three (3) times per week on Monday, Wednesday and Friday. Service shall include, removal of wastewater, refill soap dispensers and/or hand sanitizer, refill water holding tank(s), replace paper towels, and sanitize all surface areas of each unit.
Contractor shall provide all labor, materials, tools, equipment, and personnel to provide the services to:
• Deliver, install, maintain and clean all portable restroom units.
• Contractor shall pump waste and discard pumped waste adhering to all established
Commonwealth, Local, Environmental and Federal laws and regulations.
• Servicing and maintenance shall occur three times per week, on Monday, Wednesday and Friday.
• Contractor shall clean and sanitize all surface areas of each unit at each servicing, to occur Monday, Wednesday, and Friday
• Contractor shall refill toilet tanks with chemically treated water in portable toilets to minimize odor, to occur Monday, Wednesday, and Friday
• Contractor shall refill water for handwashing units with each servicing
• Contractor shall refill toilet tissue, soap dispensers, hand sanitizer and replace paper towels in each unit to occur Monday, Wednesday and Friday.
• Contractor shall leave all portable toilets and surrounding area clean of waste and debris at each service visit.
• Contractor shall immediately clean and mitigate any spillage of wastewater.
• Contractor shall dispose of all paper waste products to occur Monday, Wednesday, and Friday.
• Contractor shall replace any units that become damage, cracked, or otherwise unusable within 24-hours of notification.
All work shall be performed to the satisfaction and under the supervision of the Contracting Officers Representative/Project Officer or authorized representative.
Request for Quotation Criteria
The Government intends to issue a Blanket Purchase Agreement for the above listed line items to the responsible contractor whose quote, conforming to the solicitation, is considered the “Lowest- Priced-
Technically- Acceptable” (LPTA) offer. Award may be made on an all or none basis. Except for communications conducted for the purpose of minor clarification, the Government intends to evaluate quotes and award a contract with or without informal discussions. Therefore, each initial quotation should contain the offeror’s best terms from a technical capability, and price standpoint. However, the Government reserves the right to conduct informal discussions if it is determined by the Contracting Officer to be necessary.
The following factors will be used to evaluate quotes:
1. Local Disaster Area Business:
a. Preference will be given to those Small Businesses that reside in the Presidentially Declared Disaster Area of DR-4473-PR; however, ALL businesses are encouraged to provide a quotation.
b. Set-aside area. The area covered in this contract are the municipalities declared disaster areas under DR 4473-PR and Attachment #2 (Map of Designated Municipalities DR-4473-PR 2-14- 2020).
2. Delivery: Within 24 hrs of request from the Contracting Officer or Contracting Officer Representative.
3. Price – Lowest price technically acceptable
4. System for Award Management Registration: Contractor must have an active System for
Award Management (SAM) Registration at the time of award.
5. Eligibility to Perform Business with the Federal Government: Contractor must NOT be in the
Excluded Parties List System (EPLS); and are NOT listed on the List of Parties Excluded from Federal Procurement or otherwise ineligible to receive an award.

52.204-21 Basic Safeguarding of Covered Contractor Information Systems. (JUN 2016)
(a) Definitions. As used in this clause-
Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).
Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
Safeguarding means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures. (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the

(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

52.209-11 Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law. (FEB 2016)
(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that-
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or t is is not

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

NARA RECORDS MANAGEMENT LANGUAGE FOR CONTRACTS
The following standard items relate to records generated in executing the contract and should be included in a typical Electronic Information Systems (EIS) procurement contract:
1. Citations to pertinent laws, codes and regulations such as 44 U.S.C chapters 21, 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.
2. Contractor shall treat all deliverables under the contract as the property of the U.S.
Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.
3. Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government IT equipment and/or Government records.
4. Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.
5. Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract.
6. The Government Agency owns the rights to all data/records produced as part of this contract.
7. The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.
8. Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format (paper, electronic, etc.)
or mode of transmission (e-mail, fax, etc.) or state of completion (draft, final, etc.).
9. No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation.
Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.
10. Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information.

G - Contract Administration Data Technical Direction and Surveillance
TECHNICAL DIRECTION AND SURVEILLANCE
(a) Performance of the work under this contract shall be subject to the surveillance and written technical direction of the Contracting Officer's Representative (COR) who shall be specifically appointed by the Contracting Officer in writing. Technical direction is defined as a directive to the Contractor which approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work of documentation items; shifts emphasis among work areas or tasks; or otherwise furnishes guidance to the Contractor. Technical direction includes the process of conducting inquiries, requesting studies, or transmitting information or advice by the COR, regarding matters within the general tasks and requirements in the statement of work for this contract.
(b) The COR does not have the authority to, and shall not, issue any technical direction which:
(1) Constitutes an assignment of additional work outside the Statement of Work;
(2) Constitutes a change as defined in the contract clause entitled "Changes";
(3) In any manner causes an increase or decrease in the total estimated contract cost, the fixed fee (if any), or the time required for contract performance;
(4) Changes any of the expressed terms, conditions, or specifications of the contract; or
(5) Interferes with the Contractor's right to perform the specifications of the contract.
(c) All technical directions shall be issued in writing by the COR.
(d) The Contractor shall proceed promptly with the performance of technical directions duly issued by the COR in the manner prescribed by this clause and within his/her authority under the provisions of this clause. Any instruction or direction by the COR which falls within one, or more, of the categories defined in (b)(1) through (5) above, shall cause the Contractor to notify the Contracting Officer in writing within five (5) working days after receipt of any such instruction or direction and shall request the Contracting Officer to modify the contract accordingly. Upon receiving the notification from the Contractor, the Contracting Officer shall either issue an appropriate contract modification within a reasonable time or advise the Contractor in writing within thirty
(30) days after receipt of the Contractor's Letter that:
(1) the technical direction is rescinded in its entirety
(2) the technical direction is within the scope of the contract, does not constitute a change under the "Changes" clause of the contract and that the Contractor should continue with the performance of the technical direction.
(e) A failure of the Contractor and Contracting Officer to agree that the technical direction is within scope of the contract, or a failure to agree upon the contract action to be taken with respect thereto shall be subject to the provisions of the "Disputes" clause of this

(f) Any action(s) taken by the Contractor in response to any direction given by any person other than the Contracting Officer or the COR shall be at the Contractor's risk.

H - Special Contract Requirements
HOLIDAYS AND ADMINISTRATIVE LEAVE
U. S. Department of Homeland Security personnel observe the following days as holidays: New Year's Day, Labor Day, Martin Luther King's Birthday, Columbus Day, Presidents' Day, Veteran's Day, Memorial Day, Thanksgiving Day, Independence Day, and Christmas Day
Any other day designated by Federal statute, by Executive Order or by the President's proclamation.
When any such day falls on a Saturday, the preceding Friday is observed. When any such day falls on a Sunday, the following Monday is observed. Observance of such days by Government personnel shall not be cause for an extension to the delivery schedule or period of performance or adjustment to the price, except as set forth in the contract.
Except for designated around-the-clock or emergency operations, contractor personnel will not be able to perform on-site under this contract on holidays set forth above. The contractor shall not charge any holiday as a direct charge to the contract. In the event contractor personnel work during a holiday other than those above, no form of holiday or other premium compensation will be reimbursed as either a direct or indirect cost.
However, this does not preclude reimbursement for authorized overtime work.
In the event DHS grants administrative leave to its Government employees at the site, on-site contractor personnel shall also be dismissed if the site is being closed. However, the contractor shall continue to provide sufficient staff personnel to perform around-the-clock requirements of critical efforts already in progress or scheduled and shall be guided by the instructions issued by the Contracting Officer or his/her duly appointed mailto:ndolph@fema.dhs.gov representative. In each instance when the site is closed to contractor personnel as a result of inclement weather, potentially hazardous conditions, or other special circumstances;
the contractor will direct its staff as necessary to take actions such as reporting to its own site(s) or taking appropriate leave consistent with its policies. The cost of salaries and wages to the contractor for the period of any such site closure are a reimbursable item of direct cost under the contract for employees whose regular time is normally a direct charge if they continue to perform contract work; otherwise, costs incurred because of site closure are reimbursable as indirect cost in accordance with the contractor’s established accounting policy.

The Government may increase the quantity of supplies called for in the Schedule at the unit price specified. The Contracting Officer may exercise the option by written notice to the Contractor within 3 days. Delivery of the added items shall continue at the same rate as the like items called for under the contract, unless the parties otherwise agree.

The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. 52.217-8 Option To Extend Services. (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 24 hours.

(a) Set-aside area. The area covered in this contract is: The Commonwealth of Puerto Rico as identified by the map in Attachment #1 that shows designated areas under Presidential Disaster Declaration DR-4473-PR issued October 2, 2017.
(b) Representations. The offeror represents that it [ ] does [ ] does not reside or primarily do business in the set-aside area.
(c) An offeror is considered to be residing or primarily doing business in the set-aside area if, during the last twelve months—
(1) The offeror had its main operating office in the area; and
(2) That office generated at least half of the offeror's gross revenues and employed at least half of the offeror's permanent employees.
(d) If the offeror does not meet the criteria in paragraph (c) of this provision, factors to be considered in determining whether an offeror resides or primarily does business in the set-aside area include—
(1) Physical location(s) of the offeror's permanent office(s) and date any office in the set-aside area(s) was established;
(2) Current state licenses;
(3) Record of past work in the set-aside area(s) (e.g., how much and for how long);
(4) Contractual history the offeror has had with subcontractors and/or suppliers in the set-aside area;

(6) Number of permanent employees the offeror employs in the set-aside area;

(e) If the offeror represents it resides or primarily does business in the set-aside area, the offeror shall furnish documentation to support its representation if requested by the Contracting Officer. The solicitation may require the offeror to submit with its offer documentation to support the representation.

Set-aside area. Offers are solicited only from businesses residing or primarily doing business in the Commonwealth of Puerto Rico and as identified by the map in Attachment #1 that shows designated areas under Presidential Disaster Declaration DR-4473-PR. Definitions. The definitions of the following terms used in this clause are found in the Small Business Administration regulations at 13 CFR 125.6(e): cost of the contract, cost of contract performance incurred for personnel, cost of manufacturing, cost of materials, personnel, and subcontracting.
The Contractor agrees that in performance of the contract in the case of a contract for--
Services (except construction).
