BLANKET PURCHASE AGREEMENT

Pursuant to Federal Acquisition Regulation (FAR) 13.303, Blanket Purchase Agreements (BPA (s)), the Contractor agrees to the following terms of a BPA EXCLUSIVELY WITH the FBI Criminal Justice Information Services (CJIS).

(1) The Government estimates, but does not guarantee, that the volume of purchases through this agreement will be $500,000 through the period of performance that includes a Base Year and four (4), one (1) year options. Award shall be a Fixed Price contract with an Economic Price Adjustment – Standard Supplies (52.216-2)

(2) The following products and services can be ordered under this BPA within the scope of the BPA. All orders placed against this BPA are subject to the terms and conditions of the BPA.

(3) Destination and Delivery: Destination and Delivery of products shall be to the FBI Clarksburg, WV entity entitled the Criminal Justice Information Services, or herein referred to as CJIS.

(4) This BPA does not obligate any funds.

(5) This BPA expires on TBD, 2016 if all options are exercised. Furthermore, all Delivery Order (s) shall be completed by the BPA expiration date.

(6) The following office(s) is hereby authorized to place orders under this BPA:

Any FBI Contracting Officer with a Certificate of Appointment (Warranted), Contracting Officer’s Technical Representative (COTR) or CJIS personnel authorized in writing by the Contracting Officer.

(7) The terms and conditions included in this BPA apply to all purchases made pursuant to it. In the event of an inconsistency between the provisions of this BPA and the Contractor's invoice, the provisions of this BPA will take precedence.

1.1

GENERAL DESCRIPTION

The Contractor shall perform the effort required by this Blanket Purchase Agreement (BPA) and subsequent BPA Delivery Orders issued on a Fixed Price basis. Each deliver order shall be performed in accordance with all sections of this BPA.

Due to the volatility of gasoline prices and the difficulty in accurately pricing Option Years, award shall be made using a Fixed Price contract with an Economic Price Adjustment – Standard Supplies. At this time any one submitting a proposal is required to provide a base year Price Per Gallon price for evaluation. FAR 52.216-2 allows for an increase of 10% of the base year for each subsequent change in Price Per Gallon. At the beginning of each option year the contractor will be allowed to change their pricing, either up or down from the previous year, yet each increase shall not exceed a 10% of the base year at any one time. To complete the price evaluation any contractor submitting a proposal shall price the option years at an increase of 10% of the base year from the previous option year’s price. This is for evaluation purposes only and accurate pricing shall be established at the onset of any option years and within the parameters of FAR 52.216-2.

1.3

ORDERING LIMITATIONS

Only individuals authorized within this document and by the Contracting Officer in writing shall place delivery orders. No one delivery order shall exceed 6,000 gallons.

The minimum guaranteed contract order is 6,000 gallons over the life of the BPA. The ceiling for each period of performance is $100,000. Collectively, delivery orders shall not exceed $100,000 throughout the execution of each period of performance.

2.1

PURPOSE

The purpose of this Blanket Purchase Agreement is to have E-85 liquid fuel delivered upon the FBI’s request to FBI CJIS in Clarksburg, WV. Delivery orders shall be made against this BPA as the need for more E-85 fuel is required. Orders are not expected to be placed at regular intervals or in consistent amounts. Each delivery order shall be unique to its self and be placed when FBI CJIS deems necessary.

2.2

TASKS

When fuel is required an FBI representative from the approved list of people written into this contract, the Contracting Officer, Contract Specialist and Contracting Officer’s Technical Representative, shall make contact with the BPA contractor and shall submit a delivery order. The delivery order shall contain the exact amount, in gallons, required by FBI CJIS followed by the contractor’s expected date of delivery. All pricing to include fuel costs, any applicable taxes as well as delivery charges shall be consistent with the pricing detailed in the contractor’s proposal.

3.1 Packing and marking Preservation, packaging and packing for all items delivered hereunder shall be in accordance with commercial practice and adequate to ensure acceptance by common carrier and safe arrival at destination.

4.1

PLACE OF INSPECTION AND ACCEPTANCE

Inspection and acceptance of all deliverables shall take place at the FBI CJIS facility in Clarksburg, WV.

4.2

SCOPE OF INSPECTION

The basis for acceptance shall be compliance with the requirements set forth in the delivery order, the contractor’s Quotation and other terms and conditions of the contract. Deliverable items rejected shall be corrected in accordance with the applicable clauses.

4.3

NON-CONFORMING PRODUCTS OR SERVICES

Non-conforming products or services will be rejected. Deficiencies will be corrected, by the contractor, within ten (10) business days of the rejection notice at no additional cost to the Government. If the deficiencies cannot be corrected within ten (10) business days, the contractor may be terminated for default.

5.1

5.1.1

STANDARD HOURS FOR DELIVERY

Standard hours for receipt of fuel deliveries are Monday through Friday 06:30AM to 02:30PM.

5.2

PERIOD OF PERFORMANCE

The period of performance for this BPA is the Base Year with four (4) one (1) year Option Periods for a maximum of five (5) years.

5.3

NOTICE REGARDING LATE DELIVERY/ PROBLEM NOTIFICATION REPORT

The contractor shall notify the COTR in writing as soon as it becomes apparent to the contractor, that a scheduled delivery will be late. The contractor shall include in the written notification the rationale for late delivery and the expected date for the delivery. The COTR will review the new schedule and provide guidance to the contractor. Such notification in no way limits any Government contractual rights or remedies including but not limited to termination.

5.4

DELIVERABLE FORMAT

The contractor shall use best commercial practices for delivering the fuel safely and effectively to CJIS in accordance with all applicable Local, State and Federal laws and regulations.

5.5

DELIVERY ORDER SCHEDULE DATES

Deliverable dates shall be determined by the contractor and agreed to by the FBI for each individual delivery order.

6.1

INVOICE SUBMISSION

The contractor shall submit requests for payments in accordance with acceptable industry practices to be considered proper for payment. In addition, the data elements indicated below shall be included on each invoice.

CONTRACTING OFFICER’S TECHNICAL REPRESENTATIVE (COTR) RESPONSIBILITIES

The Contracting Officer will appoint a COTR in writing for the BPA and subsequent Delivery Orders. The COTR will receive, for the Government, all business called for and will represent the CO in the technical phases of the business. The COTR will provide no assistance outside of technical. The COTR is not authorized to change any of the terms and conditions of the BPA or subsequent Delivery Order. Changes in the scope of business shall be made only by the CO through a properly executed modification to the BPA and/or DO.

6.5

DELIVERY ORDER PROCESS

The FBI shall issue Delivery Orders under the BPA pursuant to the procedures in FAR 13.303. It is agreed and understood that the Government has no future obligations to issue Delivery Orders. The contractor agrees to accept and perform Delivery Orders issued by authorized FBI personnel. In the event of a conflict between a Delivery Order and the BPA, the BPA shall take precedence.

6.6

SECURITY REQUIREMENTS

Prior to any delivery the contractor shall notify the COTR or any other approved FBI CJIS representative at least 24 hours in advance. If a notice of at least 24 hours is not given to the COTR or other approved FBI CJIS representative then delivery shall be refused at the contractor’s expense. When notifying CJIS of delivery at least 24 hours in advance the contractor shall provide the DRIVER’s:

1) Full Name

2) Social Security Number

3) Place of Birth

4) Date of Birth

5) Drivers License Number

6) State in which the license was issued

7) Company the driver works for The driver shall bring a valid driver’s license when delivering to the CJIS facility or entrance shall not be granted by the FBI Police thus deeming the delivery unacceptable.

52.212-2 Evaluation—Commercial Items.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical – The ability to delivery fuel timely, effectively and safely to the FBI CJIS complex.

Price – The most important factor and determined by pricing the base year plus all option years.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Offeror Representations and Certifications—Commercial Items (Nov 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (o) of this provision.

(a) Definitions. As used in this provision—

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Inverted domestic corporation”, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code at 26 U.S.C. 7874.

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern—

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program” (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(b)

(1) Annual Representations and Certifications. Any changes provided by the offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications posted on the Online Representations and Certifications Application (ORCA) website.

(2) The offeror has completed the annual representations and certifications electronically via the ORCA website at http://orca.bpn.gov. After reviewing the ORCA database information, the offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications—Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard applicable to the NAICS code referenced for this solicitation), as of the date of this offer and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ______________.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. Economic Price Adjustment—Standard Supplies (Jan 1997)

(a) The Contractor warrants that the unit price stated in the Schedule for _________ [offeror insert Schedule line item number] is not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term “unit price” excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term “established price” means a price that—

(1) Is an established catalog or market price for a commercial item sold in substantial quantities to the general public; and

(2) Is the net price after applying any standard trade discounts offered by the Contractor.

(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.

(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified accordingly, subject to the following limitations:

(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 10 percent of the original contract unit price.

(2) The increased contract unit price shall be effective—

(i) On the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor’s written request within 10 days thereafter; or

(ii) If the written request is received later, on the date the Contracting Officer receives the request.

(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.

(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.

(5) Within 30 days after receipt of the Contractor’s written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.

(d) During the time allowed for the cancellation provided for in paragraph (c)(5) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) of this clause.
