CHEMICAL SAFETY SOFTWARE LICENSE TERMS ENVIRONMENTAL MANAGEMENT

SYSTEMS (“EMS”) SOFTWARE END-USER LICENSE AGREEMENT (“EULA”)

EMS 5.0 SOFTWARE

These license terms are an agreement between SFS Chemical Safety, Inc., herein under referred to as

“Chemical Safety”, a California Corporation and you. Please read them carefully. They apply to the software named above, which includes the media on which you received it, if any. The terms also apply to any Chemical Safety services, as listed below, for this software. Updates Supplements Internet‐based services Support services

BY EXCUTING THIS AGREEMENT IN WRITING, YOU ACCEPT THESE TERMS. IF YOU DO

NOT ACCEPT THEM, DO NOT USE THE SOFTWARE.

IF YOU COMPLY WITH THESE LICENSE TERMS, YOU HAVE THE RIGHTS BELOW FOR

EACH SERVICE YOU PROPERLY LICENSE.

1. OVERVIEW.

a. Software. The software includes: • Application Software

Server software

b. Licensing Terminology.

• Instance. You create an “instance” of software by executing the software’s setup or install procedure orby having Chemical Safety execute the software’s setup or install. You also create an instance of software by duplicating an existing instance. References to software in this agreement include

“instances” of the software.

• Run an Instance. You “run an instance” of software by loading it into memory and executing one or more of its instructions. Once running, an instance is considered to be running (whether or not its instructions continue to execute) until it is removed from memory.

• Operating System Environment. An “operating system environment” is:

‐ all or part of an operating system instance, or all or part of a virtual (or otherwise emulated) operating system instance which enables separate machine identity (primary computer name or similar unique identifier) or separate administrative rights, and

‐ instances of applications, if any, configured to run on the operating system instance or parts identified above.

There are two types of operating system environments, physical and virtual. A physical operating system environment is configured to run directly on a physical hardware system. The operating system instance used to run hardware virtualization software (e.g. Virtual Server or similar technologies) or to provide hardware virtualization services (e.g. virtualization technology or similar technologies) is considered part of the physical operating system environment. A virtual operating system environment is configured to run on a virtual (or otherwise emulated) hardware system. A physical hardware system can have either or both of the following:

‐ one physical operating system environment

‐ one or more virtual operating system environments.

Server. A server is a physical hardware system capable of running server software. A hardware partition or blade is considered to be a separate physical hardware system.

Physical and Virtual Processors. A physical processor is a processor in a physical hardware system.

Physical operating system environments use physical processors. A virtual processor is a processor in a virtual(or otherwise emulated) hardware system. Virtual operating system environments use virtual processors. A virtual processor is considered to have the same number of threads and cores as each physical processor on the underlying physical hardware system.

Assigning a License. To assign a license means simply to designate that license to one device or user.

USE RIGHTS.

Licensing a Server. Before you run instances of the server software on a server, you must determine the required number of software licenses and assign those licenses to that server as described below.

Determining the Number of Licenses Required. You must first determine the number of software licenses you need. The total number of software licenses required for a server equals the sum of the software licenses required under (A) and (B) below.

(A) To run instances of the server software in the physical operating system environment on a server, you need a software license for each physical processor that the physical operating system environment uses.

(B) To run instances of the server software in virtual operating system environments on a server, you need a software license for each virtual processor that each of those virtual operating system environments uses. If a virtual operating system environment uses a fraction of a virtual processor, the fraction counts as a full virtual processor.

1. ADDITIONAL LICENSING REQUIREMENTS AND/OR USE RIGHTS

‐ No Client Access Licenses (CALs) Required for Access. You do not need CALs for other devices to access your instances of the server software.

1. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights to use the software. Chemical Safety reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways.

You may not:

• workaround any technical limitations in the software;

• reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;

• make more copies of the software than specified in this agreement or allowed by applicable law, despite this limitation;

• publish the software for others to copy; • rent, lease or lend the software; or

• use the software for commercial software hosting services.

6. DOCUMENTATION. Any person that has valid access to your computer or internal network may copy and use the documentation for your internal, reference purposes.

7. NOT FOR TRANSFER/RESALE SOFTWARE. You may not transfer or sell this software.

8. SUPPORT SERVICES. Chemical safety provides support services for the software, under a separate agreement. 9.ENTIRE AGREEMENT. This agreement (including the warranty below), and the terms for supplements, updates, Internet‐based services and support services that you use, are the entire agreement for the software; however, none of these terms shall supersede the terms of the GSA Schedule Contract.

10. APPLICABLE LAW.

a. If you acquired the software in the United States, United States Federal law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict oflaws principles.

11. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your state or country. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your state or country if the laws of your state or country do not permit it to do so.

12. LIMITED WARRANTY. CHEMICAL SAFETY warrants that (a) EMS will perform substantially in accordance with the accompanying written materials for a period of sixty (60) days from the date of receipt. Some states and jurisdictions do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you. To the extent allowed by applicable law, implied warranties on EMS, if any, are limited to sixty (60) days.

13. CUSTOMERREMEDIES. CHEMICAL SAFETY and its suppliers' entire liability and your exclusive remedy shall be, at CHEMICAL SAFETY’s option, either (a) return of the price paid, if any, or

(b) repair or replacement of EMS that does not meet CHEMICAL SAFETY ' Limited Warranty and which is returned to CHEMICAL SAFETY with a copy of your receipt. This Limited Warranty is void if failure of EMS resulted from accident, abuse, or misapplication. Any replacement of EMS will be warranted for the remainder of the original warranty period or sixty (60) days, whichever is longer.

Outside the United States, neither these remedies nor any product support services offered by

CHEMICAL SAFETY are available without proof of purchase from an authorized international source.

14. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY

APPLICABLE LAW, CHEMICAL SAFETY AND ITS SUPPLIERS DISCLAIM ALL OTHER

WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT

NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A

PARTICULAR PURPOSE, WITH REGARD TO EMS. THIS LIMITED WARRANTY GIVES YOU

SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS, WHICH VARY FROM

STATE/JURISDICTION TO STATE/JURISDICTION.

15. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT

PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEMICAL SAFETY OR ITS

SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL

DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF

BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR

ANY OTHER PECUNIARY LOSS) ARISING

OUT OF THE USE OF OR INABILITY TO EMS, EVEN IF CHEMICAL SAFETY HAS BEEN

ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES AND

JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR

CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT

APPLY TO YOU. CHEMICAL SAFETY IS NOT RESPONSIBLE FOR ANY IMPROPER OR

ILLEGAL USE YOU MAKE OF EMS.

Environmental Management Systemstm

Environmental Management Systems (EMS) is an integrated management and reporting software that tracks and manages chemicals through the supply chain, keeps (M)SDS’s up-to-date and makes them available to all users across an organization via the Internet or network. EMS makes environmental and safety information available in accordance with local, state, federal and international regulations.

Fully developed for online use, EMS is the system of choice for enterprise solutions, as well as for organizations wishing to optimize resources by meeting Right-to-Know requirements electronically and supporting efficient chemical management at the individual user-level.

EMS is one comprehensive system, not a collection of disparate systems developed separately and patched together. This means that EMS can meet your complex and wide-ranging needs environmental and material management needs without requiring a different module for every one of them. EMS is supported by the largest data dictionary and included chemical reference database available.

Chemical Safety customizes EMS for many organizational requirements, and integrates with a wide array of systems, from ERP, HR, and purchasing systems to outside chemical vendors, trainers and online partners.

Chemical Inventory Management

EMS manages chemical inventory from the time is received at your facility, and throughout its lifecycle on-site. This supports regulatory compliance and responsible management of regulated or potentially harmful products. With integration to your purchasing system, EMS can pick up the tracking of materials even before the come on site, giving you a great deal of control over materials purchased and their handling. On-site chemical tracking can be supported with barcode scanners or scanning PDA’s* (* PDA’s using Microsoft CE operating system).

(M)SDS and Chemical Information Management

The EMS program is a complete tool for managing hazardous material information and meeting federal, state, local and international regulatory requirements. For all chemical products at your facility, the program maintains Material Safety Data Sheets in data- and image-based format and makes them available on the company’s network or the Internet. These files are searchable and cross-referenced to chemical reference information in the program. (New!) Important information includes NFPA and BOCA designations.

Purchasing, Inventory & Accounting

EMS handles data for purchasing, storing, and transporting regulated chemicals and materials, as well as hazardous waste. This information is managed in a structure that allows you to track purchasing and disposal to any level of the organization necessary. This facilitates accurate accounting and departmental charges and can reduce purchasing and disposal expenses by sharing product inventory information across the company.

Hazardous Waste Documentation & Management

Creating manifests, container shipping labels and Land Disposal Restriction Forms, as well as state and federal annual and biennial reports is effortless with EMS. Using management reports and drum tracking capabilities, you can minimize waste and track cost-per-item, -drum, or -container back to the original source. You can use EMS to most efficiently route hazardous waste according to your waste management contracts. Maximize efficiency using barcode scanners or PDA’s.

Radioactive (Isotope) Tracking system (RTS)

The Radioisotope Tracking System (RTS) is designed to help manage the flow of radioactive isotopes from purchasing through waste disposal in a multi-user and multi-facility environment.

RTS has been integrated into Chemical Safety’s Environmental Management Systems (EMS) as a unique component to manage Isotope purchase, use and disposal, all within the context of the regulatory framework under which organizations are required to operate, and all in real-time. It is designed to assist both the Radiation Safety Officer (RSO) and/or compliance officer, as well as

Biochemists and Principal Investigators, meet industry and regulatory requirements for

Radioisotope use.

Regulatory Compliance & Reporting

Chemical and material inventory data is cross-referenced to the included Chemical Reference database based on current List of List regulatory information. The program accurately creates management and compliance reports based on regulation of chemicals and components. Regulatory requirements are kept up-to-date by Chemical Safety, and are linked to the Chemical Reference database to ensure you are in compliance, even when regulations change. EMS creates the Federal

Tier II Hazardous Materials Report, California Title 27 Report, UFC (Uniform Fire Code) Report and all other Federal, state and local reports.

EMS has a powerful management report writer for customized reports that meet your organization’s information and decision-making needs. The task administrator can monitor and remind users when tasks are due based on project progression, calendar date, inventory level or other data.

Employee Training & Record Maintenance

The Human Resources module of EMS tracks employee training and certification records, and manages use and handling information and industrial hygiene monitoring. It creates incident/accident and OSHA reports.

Environmental Audits and Equipment Inspections

The Audits and Inspections module is used to support the monitoring of your environmental programs and to keep an inventory of all safety equipment in a specific location. This very useful tool is a must for ISO 14000 and EO 13148 compliance.

Bills of Lading and (M)SDS Distribution

The Bill of Lading (BOL) system creates the BOL and other documents specifically required for the shipment of chemicals and regulated materials. Based on chemical and (M)SDS information, the BOL document is created with accurate for the specific shipment. The products or items included on a BOL are linked electronically to their (M)SDS, ERG pages, Labels and Placards, allowing a user to view or print these documents as required. The system notes chemical incompatibilities that may restrict shipment together and also allows for the inclusion of nonregulated items on the BOL. Additional Benefits

Connectivity

EMS’s open database connectivity ensures the suite can easily integrate with your other business systems, electronically gathering and processing information already residing in your purchasing, materials & distribution, ERP system or on the Internet. This also allows you to interface with vendors and customers for the accurate, timely and simple electronic transfer of data, virtually eliminating manual data entry.

Archive / Restore Data Tables

Previous versions of data records may be saved automatically to backup tables as part of the editing process, providing a history, by user, of changes to individual records. These may in turn be ‘rolled-back’ as part of the Restore option to any earlier version.

Inventory Level Tracking Product records now allow you to indicate min/max quantities. Current inventory quantities are compared against these min/max quantities and will indicate Reorder or Over-limit levels.

Handheld Wireless Interface

Using a PDA (Personal Digital Assistant), an EMS user can now remotely update Inventory or

Waste data and can view (M)SDS PDF images.

Task Management

Allows you to create projects with task lists that support both one time and periodic events. Tasks may be set up to automatically run a management report. Users may tailor the execution plan of tasks to their specific needs. The system triggers tasks based on values in the database. For example, Task Management can be set to report if an inventory quantity falls outside an allowed limit, if a waste profile is about to expire, or if an employee is due for retraining. The system can automatically generate and send an email to notify employees of events or requirements.

Material Safety Data Sheet Management Module

Image -or text- based Material Safety Data Sheets can be viewed across the organization over the Internet, corporate Intranet, or by way of a local or wide area network. An easy-to-use search screen makes finding the correct and most up-to-date (M)SDS simple and fast. Enter the product name, manufacturer, (M)SDS # or any other data field, and the image- or text-based (M)SDS is returned for viewing or printing.

Electronically provided (M)SDS’s now meet OSHA right-to-know requirements for instant hazard information access 24 hours a day.

Waste Management Module

The EMS Waste Management Module is an integrated “cradle-to-grave” waste tracking, documentation and compliance reporting tool. It tracks waste from the point of generation to manifesting and disposal.

Manifests can be generated using templates and reference tables, and will print on State Specific

Forms as well as the Uniform (National) Manifest Form. Both open and closed manifests are tracked. Electronic interface with waste management companies can further simplify management and the exchange of critical information with service providers.

Handling, storage, and disposal permits are tracked and users can be notified of actual or impending permit or regulation violations.

Chemical Inventory Module

Effective chemical inventory management is the cornerstone of a facility’s operations. Properly maintaining regulated materials in inventory requires a system that helps comply with complex and changing regulations, helps reduce chemical purchasing and chemical storage on-site, and reduces operational costs and corporate liability.

The EMS Inventory Management Module addresses all the special issues associated with storing and using hazardous materials.

Radioisotope Tracking Module

The Radioisotope Tracking System (RTS) program is designed to help manage the flow of radioactive isotopes from purchasing through waste disposal in a multi-user and multi-facility environment. RTS has been integrated into Chemical Safety’s Environmental Management Systems (EMS) as a unique component to manage Isotope purchase, use and disposal, all within the context of the regulatory framework under which organizations are required to operate, and all in real-time. It is designed to assist both the Radiation

Safety Officer (RSO) and/or compliance officer, as well as Biochemists and Principal Investigators, meet industry and regulatory requirements for Radioisotope use.

Management Reports Module

The Reporting System within EMS is extremely flexible; from printing a single record to printing complicated regulatory reports, it provides an easy-to-learn interface that enables users to retrieve data from the system without difficulty.

At the simplest, a user may print the record they are looking at by just clicking the Print button.

What they see on the screen will be printed.

If the user wishes to select specific fields to print on a report, they may use EMS’s built-in ad hoc reporting tool, Management Reports. Within the Management Reports module, we have grouped together tables that are connected to each other in the database and that would logically be used together for reporting certain kinds of data. This allows the user to create reports by just selecting a group of tables without having to know any SQL language.

The Management Report module allows the user to customize the appearance of the report, changing colors, font sizes and styles, putting borders around a single cell or an entire page, and totaling numeric columns.

Once a Management Report has been created, it may be cloned for use in creating a new report. The results of any Management Report can also be exported as an Excel spreadsheet, a PDF file, or a text file. For reports that are more complicated, Crystal Reports 8.5 is used. Chemical Safety can create a report for the organization, or EMS users can create their own reports. Once a Crystal

Report is saved in the reports folder, all EMS users can view it without any special software. Crystal reports may feature multiple sub-queries, and may be created to prompt the person running the report for specific data before generating the report.

Inventory Collection System

Chemical Safety’s ICS is an uncomplicated program useful for gathering or updating data on the chemical inventory in place.

ICS’s simplified form for adding chemical information can be opened on any PC or laptop and has low space requirements. The application may include a pre-populated table of chemicals assigned to a location, if one is available. A user can add or update chemicals they have in possession. ICS will fill in such information as CAS number and other chemical reference data once given the chemical name. Drop-down selection tables are available to fill in chemical name, vendor or other data fields. The end result is a complete, accurate, up-to-date table of the chemicals in a specific location. This information is then readily available and easily added to the master inventory table in

EMS.

Audits and Inspections Module

The Auditing and Inspections module is used to keep an inventory of all safety equipment in a specific location. It may sound simple but is in fact a very useful tool, which features exceptional technology.

Chemical Safety has specifically implemented EMS Mobile in order to be able to “scan in” barcodes while on the move and then upload the data to the main EMS application. Using your

Smartphone or Tablet you can “scan in” all safety equipment in a specific location such as fire extinguishers, fire blankets etc.

However, the great advantage of this module comes when inspection procedures have to be adhered

to. Chemical Safety has developed a unique Mobile Inspection Wizard, which allows individual customers to produce a fully customized set of questions that best describe their inspection procedures.

Added Value

AIPG (Automatic Inspection Procedure Generator) an add-on utility, is wholly based on XML. It automatically generates an XML description of the set of procedures input by the user by following a simple wizard. The full set of descriptions is then loaded on your PDA. You are now ready to scan your equipment.

This module includes printing safety labels, customized reports and more importantly includes email notification. Based on a preset “To Do List” the system automatically notifies by email the person responsible as well as its supervisor.

Bills of Lading Module

Chemical Safety Bill of Lading Software (BOL) has been designed and created for companies which produce, distribute or and sell chemical substances that require DOT documentation. BOL uses DOT Proper

Shipping Name Tables and Chemical Reference data to produce all required shipping documentation including standard and customized BOLs, ERGs, shipping labels and barcode labels.

The BOL software also manages shipping load incompatibilities and generates (M)SDS distribution checklists so that customers receive (M)SDSs with new shipments as well as electronic (M)SDSs via email as shipments are created and/or as (M)SDS updates are released.

Service Contract Labor Standards: The Service Contract Labor Standards (SCLS), formerly known as the Service Contract Act (SCA), is applicable to this contract as it applies to the entire Multiple

Award Schedule (MAS) and all services provided. While no specific labor categories have been identified as being subject to SCLS/SCA due to exemptions for professional employees (FAR 22.1101,

22.1102 and 29 CRF 541.300), this contract still maintains the provisions and protections for

SCLS/SCA eligible labor categories. If and / or when the contractor adds SCLS/SCA labor categories to the contract through the modification process, the contractor must inform the Contracting Officer and establish a SCLS/SCA matrix identifying the GSA labor category titles, the occupational code, SCLS/SCA labor category titles and the applicable WD number.
