2. Terms and Conditions for All IT Contractors
1. Organizational Conflicts of Interest
a. Definitions.
"Contractor" means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party to this contract.
"Contractor and its affiliates" and "Contractor or its affiliates" refer to the Contractor, its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.
An "Organizational conflict of interest" exists when the nature of the work to be performed under a proposed ordering activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either
(i) result in an unfair competitive advantage to the Contractor or its affiliates or
(ii) impair the Contractor's or its affiliates' objectivity in performing contract work.
b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that might otherwise exist in situations related to individual orders placed against the schedule contract. Examples of situations, which may require restrictions, are provided at FAR 9.508.
2. Services Performed
a. All services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not as an agent or employee of the ordering activity.
b. The Contractor shall commence performance of services on the date agreed to by the Contractor and the ordering activity.
c. the contractor agrees to render services only during normal working hours, unless otherwise agreed to by the Contractor and the ordering activity.

3. Travel
Any Contractor travel required in the performance of services must comply with the Pub. L. 99- 234 and FAR Part 31.205-46, as applicable, in effect on the date(s) the travel is performed.
Established Federal Government per diem rates will apply to all Contractor travel.
4. Warranty
a. Unless otherwise specified in this contract, the Contractor's standard commercial warranty as stated in the contract's commercial pricelist will apply to this contract.
b. Note: No equipment is being offered for sale. Any hardware involved in delivering the services is covered by the corresponding manufacturer’s warranty.
c. The Contractor's commercial guarantee/warranty shall be included in the Commercial Supplier Agreement to include Enterprise User License Agreements or Terms of Service (TOS) agreements, if applicable.
d. Except as otherwise provided by an express or implied warranty, the Contractor will not be liable to the ordering activity for consequential damages resulting from any defect or deficiencies in accepted items.

3. Descriptions of Professional Services SIN 54151S, IT Professional Services
Senior Level Electronic Engineer
Functional Responsibilities: Evaluate new technology/egress methods and networking as they pertain to the Strategic Vehicle Technologies Unit (SVTU) technologies and capabilities.
Design and development projects; integrate IT technology; manage and develop installation drawings and work packages related to network, audio/video/GPS disciplines; provide training in these technologies as it applies to law enforcement; design specialized concealments around this technology. Provide expertise with egress technologies such as WiFi, Cellular, Bluetooth, and Radio Frequency (RF) as associated with GPS tracking, video, audio collection and computer networks.
Minimum Education: Bachelor’s Degree Minimum Years of Experience: 12 years
Engineering Technician
Functional Responsibilities: Research and survey vehicles and make recommendations for the vehicle’s potential to host after-market electronics within its existing IT infrastructure. Design custom installations, fabricate hardware, and integrate after-market electronic equipment into a vehicle while ensuring the maximum performance of said electronic equipment without interfering with the vehicle’s original electronic components. Provide expertise in the fields of audio, GPS, video, alarms, monitors, cameras and specific network electronic equipment deemed essential to the Strategic Vehicle Technologies Unit (SVTU) objective.
Troubleshoot failed electronic equipment, and/or interact with and provide direction to repair vendors to ensure operational readiness of equipment. Develop test procedures and assist with or perform sole operational testing of electronic equipment to ensure conformance with functional specifications.
Minimum Education: Associate’s Degree Minimum Years of Experience: 4 years
Network Administrator
Functional Responsibilities: Develop software solutions by studying information needs, conferring with end users, and studying systems flow and data usage along with work processes. Investigate problem code, and follow the software development lifecycle.
Determine operational feasibility by evaluating analysis, problem definitions, requirements, solution development, and proposed solutions. Accomplish engineering and organization mission by completing related tasks as needed. Provides expertise in programing languages and structure.

Instructor-SME
Functional Responsibilities: Train and evaluate technical personnel in specific, special purpose, highly specialized IT applications. Evaluate and update training in an effort to keep up with evolving and emerging technologies. Develop training requirements, conduct training classes, and identify, acquire, test, and evaluate emerging technologies and integrate these technologies in future training curriculums.

Software Engineer
Functional Responsibilities: Develop block diagrams and logic flow charges. Translate detailed design into computer software to produce the required product. Prepare both program-level and user-level documentation. Enhance software to reduce operating time or improve efficiency. Provide technical direction to programmers to ensure program deadlines are met. Function as an applications programmer on computer and database management systems. Provide expertise in computer equipment and developing complex software to satisfy design and database management.
Minimum Education: Bachelor’s Degree Minimum Years of Experience: 4 years
Mechanical Engineer
Functional Responsibilities: Design, produce, or modify existing items and use available materials to render new or modified solutions. Perform research and/or development engineering studies on a wide variety of IT projects. Activities involve a variety of areas including but not limited to mechanical, electro-optical, and electronic systems. Involved in product development phases such as product design, prototyping, product improvement iterations, and manufacturing. Design responsibility for small, routine projects, or perform portions of large, complex projects. Additional duties include, but are not limited to the following.
• Review previous specifications, operational plans, technical advances, etc., to gather supplementary data on which to base designs.
• Create models and perform calculations, taking into consideration the project’s needs using CAD as necessary.
• Review working drawings and design commitments made to users.

Functional Responsibilities: Provide training, assist with workflow, business administration, digital collection systems, database management, system administrator functions, installation of PC peripheral equipment, help desk services, system diagnosis, and problem resolution services. Specific functions include, but are not limited to the following.
• Assist with workstation software and baseline upgrades
• Diagnose problems down to motherboard/processor/system memory, video card, sound card, NIC card, and peripherals.
• Identify and troubleshoot network problems
• System configuration problems diagnosis (on unclassified and classified networks)
• Provide new user / refresher training and assist with the development of training material.

Electronic Technician
Functional Responsibilities: Design, assemble, and test electronic hardware. Competent in advanced digital communications technology, Provide support for network hardware and IT software. Assemble prototypes at the board level and integrate component boards into IT systems. Modify existing hardware based on minimally documented design modifications.
Test boards and assemble devices using commercial or special purpose test equipment.
Additional duties include, but are not limited to the following.
• Perform preventive and corrective maintenance to keep equipment and systems in reliable condition.
• Develop maintenance standards and procedures, test and evaluate new or modified IT systems, and analyze the compatibility of interlocking components and systems.

SharePoint Content Administrator
Functional Responsibilities: Provide support of content management for SharePoint sites.
Develop and maintain SharePoint and web applications using Microsoft technology.
Responsible for building and maintaining internal facing applications. Additional support includes, but is not limited to the following.
• Perform front and back-end SharePoint design and development.
• Develop, stage, and test selected SharePoint solutions.
• Implement SharePoint lists, libraries, web parts, InfoPath forms, workflows, and
SharePoint Apps.
• Gather functional and technical requirements from stakeholders and technical users.
• Assist with user acceptance testing and the preparation of user manuals and training for
SharePoint applications.

Information Systems Security
Functional Responsibilities: Serve as a subject matter expert in IT, InfoSec, and Program Management while facilitating communication between executives and other professional staff. Provide hardware and software support, database and web application development, technical writing, data visualization, and executive reporting/briefing. Support includes, but is not limited to the following.
• Ensure the environments are properly maintained, operational, and FISMA compliant including FISMA compliance of assets, executive support through briefs, data visualization, ad hoc reporting, and technical oversight of all systems/applications.
• Provide subject matter expertise in IT and InfoSec.
• Assist in all aspects of oversight of assets in terms of FISMA compliance through established procedures and best practices.
• Review and manage the results of scans of assets in accordance with policies governing
FISMA requirements.
• Ensure Privileged User identification and ensure annual training recertification for staff who have access to the systems that have these specific requirements.

Senior Systems Architect
Functional Responsibilities: Provide technical engineering support to include Project Management, requirements analysis, systems engineering, operations and maintenance, network/systems administration, systems security/Information Systems Security Officer Support, and configuration management. Support includes, but is not limited to the following.
• Conduct a thorough analysis of operational, technical, systemic requirements, and conduct a gap analysis for any required modification to maintain network infrastructure.
• Ensure the environments are properly maintained and operational.
• Support of Type-1 encryption devices.
• Support of existing Network Management Systems to include backup and recovery operations of the servers/equipment supporting these systems.
• Operations and maintenance of the network infrastructure.

Functional Responsibilities: Develop, gather, and disseminate technical information among customer base and technical staff. Document the business process for select IT applications and support the collection and documentation of the end user technical requirements.
Additional duties include, but are not limited to the following.
• Work with computer support specialists and software developers to manage the flow of information among project workgroups during development and testing.
• Study product samples and communicate with product designers and developers.
• Organize and write supporting documents for IT products.
• Assist in the creation of appropriate medium for message or audience, such as manuals or online videos.
• Standardize content across platforms and media.
• Gather usability feedback from customers, designers, and manufacturers.

Agile Business Analyst, Senior
Functional Responsibilities: Facilitate the gathering of business focused requirements to support an IT product team and product owner, including defining the backlog and ensuring the user’s perspective is considered. Work with a product owner and users to determine the operational objectives of business needs and elicit requirements. Focus on requirements to improve usability, user experience, and user adoption and engagement. Identify core IT business needs, decompose and document concepts of operation, story maps, briefings, and user stories, document business rules, and construct workflow diagrams, as needed. Condense

Develop Lambda functions using TypeScript and NodeJS coding languages to implement business logic and data processing.
