CONTRACT OVERVIEW

GSA awarded Sciome LLC a GSA Multiple Award Schedule (MAS) contract under the Information Technology Category with contract number 47QTCA20D0041. The current contract period is January 6, 2025 – January 5, 2030. GSA may exercise a total of up to two additional five-year option periods. This contract allows for the placement of Firm Fixed Price or Time and Materials task orders using the labor categories and ceiling rates defined in the contract.

ABOUT US

Sciome LLC (Sciome) uses comprehensive and cutting-edge quantitative methods paired with efficient informatics techniques to solve complex scientific challenges. We work with our clients at all stages of the life science discovery process, starting with hypotheses generation and experiment design, through data analysis using off-the-shelf and custom designed methodologies and culminating with expert help in interpretation of the results. We also provide detailed support for manuscript preparation, formulation of reports, and aid in the dissemination of information using print or online medium for projects that cover a variety of scientific disciplines. Our consulting team includes PhD level Bioinformatics Scientists, Statisticians, Cheminformaticians, Computational Toxicologists, Health Scientists and Computer Scientists with a wide array of experience in government contracting, academic research, and the pharmaceutical industry.

CONTRACT USE

This contract is available for use by all federal government agencies, as a source for Professional Services.

Executive agencies, other Federal agencies, mixed-ownership Government corporations, and the District of Columbia; government contractors authorized in writing by a Federal agency pursuant to 48 CFR 51.1; and other activities and organizations authorized by statute or regulation to use GSA as a source of supply may use this contract. Additionally, contractors are encouraged to accept orders received from activities within the Executive Branch of the Federal Government.

CONTRACT SCOPE

The contractor shall provide all resources including personnel, management, supplies, services, materials, equipment, facilities and transportation necessary to provide a wide range of professional services as specified in each task order.

Services specified in a task order may be performed at the contractor’s facilities or the ordering agencies’ facilities. The government will determine the contractor’s compensation by any of several different methods (to be specified at the task order level) e.g., a firm-fixed price for services with or without incentives, labor hours or time-and-material.

The Special Item Numbers (SINs) available under this contract provide services across the full life cycle of a project. When task orders are placed, they must identify the SIN or SINs under which the task is being executed.

INSTRUCTIONS FOR PLACING ORDERS FOR SERVICES BASED ON

GSA SCHEDULE HOURLY RATES

GSA provides a streamlined, efficient process for ordering the services you need. GSA has already determined that Sciome LLC meets the technical requirements and that our prices offered are fair and reasonable. Agencies may use written orders; facsimile orders, credit card orders, blanket purchase agreement orders or individual purchase orders under this contract.

If it is determined that your agency needs an outside source to provide GSA Schedule services, follow these simple steps:

Orders under the Micro-Purchase Threshold

• Select the contractor best suited for your needs and place the order.

Orders in-between the Micro-Purchase Threshold and the Simplified Acquisition Threshold

• Prepare a SOW or PWS in accordance with FAR 8.405-2(b).

• Prepare and send the RFQ (including SOW and evaluation criteria) to at least three GSA Schedule contractors.

• Evaluate, then make a "Best Value" determination.

Note: The ordering activity should request GSA Schedule contractors to submit firm-fixed prices to perform the services identified in the SOW.

Orders over the Simplified Acquisition Threshold

• Prepare the RFQ (including the SOW and evaluation criteria) and post on eBuy to afford all Schedule contractors the opportunity to respond, or provide the RFQ to as many Schedule contractors as practicable, consistent with market research, to reasonably ensure that quotes are received from at least three contractors.

• Seek price reductions.

• Evaluate all responses and place the order, or establish the BPA with the GSA Schedule contractor that represents the best value (refer to FAR 8.405-2(d)).

Note: The ordering activity should request GSA Schedule contractors to submit firm-fixed prices to perform the services identified in the SOW.

Developing a Statement of Work (SOW)

In the SOW, include the following information:

• Work to be performed,

• Location of work,

• Period of performance;

• Deliverable schedule, and

• Special standards and any special requirements, where applicable.

Preparing a Request for Quote (RFQ)

• Include the SOW and evaluation criteria;

• Request fixed price, ceiling price, or, if not possible, labor hour or time and materials order;

• If preferred, request a performance plan from contractors and information on past experience;

and include information on the basis for selection.

BLANKET PURCHASE AGREEMENT

Ordering activities may establish BPAs under any schedule contract to fill repetitive needs for supplies or services. BPAs may be established with one or more schedule contractors. The number of BPAs to be established is within the discretion of the ordering activity establishing the BPAs and should be based on a strategy that is expected to maximize the effectiveness of the BPA(s). In determining how many BPAs to establish, consider:

• The scope and complexity of the requirement(s);

• The need to periodically compare multiple technical approaches or prices;

• The administrative costs of BPAs; and

• The technical qualifications of the schedule contractor(s).

Establishment of a single BPA, or multiple BPAs, shall be made using the same procedures outlined in 8.405-1 or 8.405-2. BPAs shall address the frequency of ordering, invoicing, discounts, requirements (e.g. estimated quantities, work to be performed), delivery locations, and time.

When establishing multiple BPAs, the ordering activity shall specify the procedures for placing orders under the BPAs.

Establishment of a multi-agency BPA against a Federal Supply Schedule contract is permitted if the multi-agency BPA identifies the participating agencies and their estimated requirements at the time the BPA is established.

Ordering from BPAs:

Single BPA. If the ordering activity establishes one BPA, authorized users may place the order directly under the established BPA when the need for the supply or service arises.

Multiple BPAs. If the ordering activity establishes multiple BPAs, before placing an order exceeding the micro-purchase threshold, the ordering activity shall:

• Forward the requirement, or statement of work and the evaluation criteria, to an appropriate number of BPA holders, as established in the BPA ordering procedures; and

• Evaluate the responses received, make a best value determination (see 8.404(d)), and place the order with the BPA holder that represents the best value.

BPAs for hourly rate services. If the BPA is for hourly rate services, the ordering activity shall develop a statement of work for requirements covered by the BPA. All orders under the BPA shall specify a price for the performance of the tasks identified in the statement of work.

Duration of BPAs. BPAs generally should not exceed five years in length, but may do so to meet program requirements. Contractors may be awarded BPAs that extend beyond the current term of their GSA Schedule contract, so long as there are option periods in their GSA Schedule contract that, if exercised, will cover the BPA’s period of performance.

Review of BPAs:

The ordering activity that established the BPA shall review it at least once a year to determine whether:

• The schedule contract, upon which the BPA was established, is still in effect;

• The BPA still represents the best value (see 8.404(d)); and

• Estimated quantities/amounts have been exceeded and additional price reductions can be obtained.

The ordering activity shall document the results of its review.

Meets standard project requirements such as literature reviews, database reviews, report generation, and related activities. Supports correspondence and other documentation.

Works under close supervision from more senior staff.

Research Associate II

Minimum Experience: One (1) year of experience

Functional Responsibilities:

Meets a range of project requirements including but not limited to literature reviews, database reviews, report generation, and related activities, including some that are nonstandard in nature. Develops correspondence, minutes, training materials, and other project documentation. Works under minimal supervision.

Research Associate IV

Functional Responsibilities:

Addresses a variety of challenging or unusually complex project requirements involving multi-modal literature reviews, complex databases, comprehensive reports and related documents, various forms of correspondence, training preparations and conduct, development of documentation, and other activities or work products. Works independently, providing supervision to more junior project staff as required.

Service Contract Labor Standards: The Service Contract Labor Standards (SCLS), formerly known as the Service Contract Act (SCA), is applicable to this contract as it applies to the entire Multiple Award Schedule (MAS) and all services provided. While no specific labor categories have been identified as being subject to SCLS/SCA due to exemptions for professional employees (FAR 22.1101, 22.1102 and 29 CRF 541.300), this contract still maintains the provisions and protections for SCLS eligible labor categories. If and/or when the contractor adds SCLS labor categories to the contract through the modification process, the contractor must inform the Contracting Officer and establish a SCLS matrix identifying the GSA labor category titles, the occupational code, SCLS labor category titles and the applicable WD number. Failure to do so may result in cancellation of the contract.

SCIOME END-USER SOFTWARE LICENSE AGREEMENT

IMPORTANT-READ CAREFULLY

This End-User Software License Agreement (“EULA”) is a legal agreement between you, {*an Ordering Activity

(an entity entitled to order under GSA Schedule contracts as defined in GSA Order ADM 4800.2I, as may be revised from time to time)*} [*either an individual or single entity*] (hereafter referred to as “Licensee”) and Sciome, LLC, a North Carolina limited liability company (hereafter referred to as “Licensor”) for the Swift software product and its associated databases, device drivers, configuration files, and any printed materials which may include online or electronic documentation provided to Licensee (collectively the “Software Product”). [*By downloading, transferring, installing, arranging for the installation of, opening the packaged software CD or DVD, or otherwise using the Software Product, Licensee agrees to be bound by the terms of this EULA. If Licensee does not agree to all of the terms of this EULA, Licensee is not authorized to install or use the Software Product and should click the “I do not accept” option during installation, delete all copies of the Software Product and software installation programs, and return any packaged software, whether opened or unopened, to Sciome at the location below within seven (7) days of the date of purchase: *]

SOFTWARE PRODUCT LICENSE

The Software Product is protected by copyright laws and international copyright treaties as well as other intellectual property laws and treaties. The Software Product is licensed, not sold.

1. Grant of License. Licensor hereby grants Licensee a nonexclusive, nonsublicensable, nontransferable license to install and use the Software Product in machine-readable, object code form according to the terms and conditions herein. Except for the license granted expressly herein, no right, title, or interest in the Software

Product is transferred to Licensee by this Agreement.

2. Rights and Limitations

(a) Access: Licensee agrees to solely use the Software Product for Licensee’s internal business use and will not provide access to the Software Product to anyone other than its employees, contractors or consultants under written contract agreeing to be bound by terms at least as protective as this EULA. Licensee shall not use the Software Product for purposes of providing a service bureau, including, without limitation, providing third-party hosting, or third-party application integration or application service provider-type services, or any similar services.

(b) Copies: Licensee agrees not to make copies of the Software Product except as is reasonably necessary for backup purposes.

(c) Modifications: Licensee may not modify, translate, reverse engineer, decompile, disassemble, or reconfigure the Software Product or create derivative works based on all or any part of the Software Product, except and only to the extent that such activity is permitted expressly by Licensor, or by applicable law notwithstanding this limitation.

(d) Transfers: Licensee may not rent, distribute, assign, lease, sublicense, or transfer all or part of the

Software Product or any rights granted hereunder to any other person or entity without the prior written consent of Licensor.

(e) Marks: Licensee may not remove any proprietary notices, labels, or marks from the Software

Product without the prior written consent of Licensor.

(f) Domain: Licensee may not use the Software Product outside of, or access the Software from, the country in which it was purchased, without the prior written consent of Licensor.

(g) Intended Use: Licensee may not utilize the Software Product for any purpose other than as set forth in this Agreement and its documentation without the prior written consent of Licensor.

(h) Export Restrictions: Licensee agrees that the Software Product will not be exported outside the United

States except as authorized and permitted by the laws and regulations of the United States. If the Software

Product has been rightfully obtained by Licensee outside the United States, then Licensee agrees that Licensee will not re-export the Software Product except as permitted by the laws and regulations of the United States, and the laws and regulation of the jurisdiction in which Licensee obtained the Software Product. Licensee agrees to comply with all applicable national laws and international treaties that apply to the Software Product, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by the United States and other governments.

3. Payments. Licensee agrees to pay all fees set forth in the applicable order form provided to Licensee in connection with registering to access the Software. [*All fees due under this Agreement are non-cancelable and the sums paid are nonrefundable. Unless otherwise stated in the order form, all fees shall be due in advance on a monthly basis. Licensee hereby authorizes Sciome to charge the credit card, debit card or bank account provided by Licensee to Sciome in connection with this Agreement on the first of every month during the Term for the fees due under the Agreement. Licensee warrants that the account information is accurate and current and that the account has sufficient funds to satisfy the fees incurred. Licensee agrees to notify Sciome of any changes in its payment information and to be responsible for any bank or credit card fees, penalties are charges resulting from the insufficiency of available funds. Licensee agrees to pay any sales, value-added or other similar taxes imposed by applicable law for the right to access the Software. *] Licensee acknowledges that

Sciome may offer additional services or software products that may be used with, or in addition to, the Software.

Licensee’s right to access additional services or use other software products offered by Sciome must be according to a separate written agreement between Licensee and Sciome and nothing herein shall be interpreted to give

Licensee rights to use or access any other services or software products provided by Licensee.

4. Maintenance; Updates. Sciome may from time-to-time, and in its exclusive discretion, update the Software in order to, among other things, correct errors or bugs, improve the performance of the Software or increase the functionality of the Software. Licensee acknowledges that such updates may change or modify certain functions or features of the Software. Sciome shall not be liable to Licensee for any specific changes to the features or functionality of the Software and Licensee’s exclusive recourse if it is not satisfied with any update or improvement is to stop using the Software. Nothing herein shall obligate Sciome to provide any maintenance or support for the Software and nothing herein shall be interpreted as granting Licensee a right to receive any upgrades, patches, enhancements, bug fixes, new versions or new releases of the Software. Sciome reserves the right to provide new versions of the Software and/or additional functionality for additional or increased fees.

5. Intellectual Property. Licensee acknowledges and agrees that the Software is being licensed to Licensee, not sold, and that other than the limited license granted herein, Licensee shall have no right, title or interest in or to the Software. As between Sciome and Licensee, all intellectual property rights, including without limitation, any patent, trademark, trade secret and copyrights in and to the Software, are owned by, and shall remain with

Sciome.

6. Warranty/Limitation of Liability.

(a) Disclaimer. THE SOFTWARE AND ANY UPDATES, MODIFICATIONS, OR

IMPROVEMENTS TO THE SOFTWARE PROVIDED BY SCIOME TO LICENSEE ARE PROVIDED "AS IS"

AND “AS AVAILABLE.” ALL EXPRESS OR IMPLIED WARRANTIES, CONDITIONS, OR

REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SATISFACTORY

QUALITY OR ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE, ARE HEREBY

EXCLUDED BY SCIOME TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW. WITHOUT

LIMITING THE GENERALITY OF THE FOREGOING, NO WARRANTY IS MADE REGARDING THE

RESULTS OF THE SOFTWARE OR THAT THE SOFTWARE WILL OPERATE WITHOUT ERRORS,

PROBLEMS OR INTERRUPTIONS, OR THAT ERRORS OR BUGS IN THE SOFTWARE WILL BE

CORRECTED, OR THAT THE SOFTWARE'S FUNCTIONALITY WILL MEET LICENSEE’S

REQUIREMENTS. {*THIS CLAUSE DOES NOT LIMIT OR DISCLAIM ANY OF THE WARRANTIES

SPECIFIED IN THE GSA SCHEDULE 70 CONTRACT UNDER FAR 52.212-4(O). IN THE EVENT OF A

BREACH OF WARRANTY, THE U.S. GOVERNMENT RESERVES ALL RIGHTS AND REMEDIES UNDER

THE CONTRACT, THE FEDERAL ACQUISITION REGULATIONS, AND THE CONTRACT DISPUTES ACT, 41 U.S.C. 7101-7109.*}

(b) Limitation of Liability. IN NO EVENT WILL SCIOME BE LIABLE FOR ANY LOST DATA, LOST

REVENUE, LOST PROFITS, DAMAGE TO REPUTATION, BUSINESS INTERRUPTION, OR ANY OTHER

INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY OR ANY SIMILAR TYPE

DAMAGES ARISING OUT OF THIS AGREEMENT, EVEN IF SCIOME HAS BEEN ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT WILL SCIOME BE LIABLE TO LICENSEE OR

ANY AUTHORIZED USER FOR ANY DIRECT OR INDIRECT DAMAGES ARISING FROM THE INABILITY TO

USE THE SOFTWARE OR RELATING TO THE RESULTS GENERATED THROUGH THE USE OF THE

SOFTWARE. THE SOFTWARE IS BEING PROVIDED AS A TOOL TO AID LICENSEE BUT LICENSEE

REMAINS RESPONSIBLE FOR CONFIRMING THE ACCURACY OF ALL RESULTS OF THE SOFTWARE

AND FOR HOW LICENSEE ELECTS TO USE SUCH RESULTS. IN NO EVENT SHALL SCIOME’S TOTAL

LIABILITY UNDER ANY CAUSE OF ACTION, WHETHER ARISING IN CONTRACT, TORT (INCLUDING

ACTIVE OR PASSIVE NEGLIGENCE), BREACH OF WARRANTY, CLAIMS BY THIRD PARTIES OR

OTHERWISE, EXCEED THE FEES PAID BY LICENSEE FOR THE SOFTWARE IN THE SIX (6) MONTHS

PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE ABOVE-STATED REMEDY OR

LIMITED WARRANTY FAILS OF ITS ESSENTIAL PURPOSE. BECAUSE SOME STATES OR

JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL

DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO LICENSEE.

{*THIS CLAUSE SHALL NOT IMPAIR THE U.S. GOVERNMENT’S RIGHT TO RECOVER FOR

FRAUD OR CRIMES ARISING OUT OF OR RELATED TO THIS CONTRACT UNDER ANY FEDERAL

FRAUD STATUTE, INCLUDING THE FALSE CLAIMS ACT, 31 U.S.C. 3729-3733. FURTHERMORE, THIS

CLAUSE SHALL NOT IMPAIR NOR PREJUDICE THE U.S. GOVERNMENT’S RIGHT TO EXPRESS

REMEDIES PROVIDED IN THE GSA SCHEDULE CONTRACT (E.G., CLAUSE 552.238-75 – PRICE

REDUCTIONS, CLAUSE 52.212-4(H) – PATENT INDEMNIFICATION, AND GSAR 552.215-72 – PRICE

ADJUSTMENT – FAILURE TO PROVIDE ACCURATE INFORMATION).*}

(c) Authority. Licensee, and the individual accepting these terms on behalf of Licensee, hereby represents and warrants that it has the full power and authority to accept the terms of this Agreement on behalf of Licensee and that Licensee agrees to be bound by the terms of this Agreement.

7. Confidentiality. Licensee acknowledges and agrees that it may receive from Sciome certain proprietary, confidential, and/or non-public information pertaining to the Software, Sciome's other technology, and Sciome’s financial, employment, and/or other business affairs (the "Confidential Information"). Licensee shall not disclose or publicize the Confidential Information without Sciome’s prior written consent. Licensee shall use its reasonable efforts (but in no case less than the efforts used to protect its own proprietary information of a similar nature) not to disclose and not to use the Confidential Information for its own benefit or for the benefit of any other person, third-party, firm or corporation in a manner inconsistent with the purpose of this Agreement.

The terms of confidentiality and non-disclosure contained herein shall expire five (5) years from the date of the termination of this Agreement. Confidential Information shall not include information which was: (i) generally available to the public at the time of disclosure, or later available to the public other than through fault of

Licensee; (ii) already known to Licensee prior to disclosure pursuant to this Agreement; or (iii) obtained at any time lawfully from a third-party under circumstances permitting its use or disclosure to others. Notwithstanding the foregoing, Licensee may disclose Confidential Information as required by applicable law or by proper legal or governmental authority provided Licensee gives Sciome prompt notice, if permitted by applicable law, of any such legal or governmental demand and reasonably cooperates with Sciome in any effort to seek a protective order or otherwise to contest such required disclosure.

8. Third Party Software. The Software may include certain open source software, libraries, or tools for which different licensing terms apply. The open-source software is licensed directly to Licensee pursuant to the licenses associated with such software and do not require the distribution or access to the source code of the

Software. Licensee shall not remove any proprietary notices, labels, or marks from the Software relating to such open-source software. Licensee will not cause the Software or any derivatives to become subject to, or be interpreted or asserted to be subject to, any additional license obligations with respect to any open-source software. The licensors of all third-party software included with the Software retain ownership rights in such software.

9. Government Use. If Licensee is an agency, department, or other entity of the United States Government

("Government"), the use, duplication, reproduction, release, modification, disclosure or transfer of the Software or any related documentation of any kind, including technical data or manuals, is restricted in accordance with

Federal Acquisition Regulation ("FAR") 12.212 for civilian agencies and Defense Federal Acquisition Regulation

Supplement ("DFARS") 227.7202 for military agencies. The Software Product is commercial computer software and commercial computer software documentation. Use of the Software Product by the Government is further restricted in accordance with the terms of this Agreement.

10. Termination.

(a) [*Unless earlier terminated as provided herein, the term of this Agreement shall commence on the acceptance of this Agreement by Licensee and continue on a month-to-month basis until either party provides notice of its intent not to renew the Agreement at least thirty (30) days in advance of the proposed date of termination (the “Term”). *]

(b) [*Either party may terminate this Agreement, effective immediately: (i) upon mutual consent; (ii) in the event the other party materially breaches this Agreement and does not cure such breach within ten (10) days of written notice from the non-breaching party setting forth the nature of the material breach; or (iii) in the event the other party submits in writing its inability to pay its debts as they become due; makes a general assignment for the benefit of creditors; institutes proceedings to be adjudicated bankrupt; consents to the filing of a petition of bankruptcy against it; seeks reorganization under any bankruptcy act, or consent to the filing of a petition seeking such reorganization. *] {*Termination may be conducted in accordance with the terms and conditions of the GSA Schedule contract.*}

(c) Upon termination of this Agreement for any reason, Licensee shall immediately discontinue all use of the Software. Thereafter, Licensee shall have no further right, license or privilege to access, or use the

Software. Those portions of the Agreement that must survive termination in order to give effect to its essential purpose, will survive termination of this Agreement.

11. Miscellaneous.

(a) Notices. Notice, demand, or other communication mandated to be given by this Agreement by either party to the other shall be sufficiently given or delivered if it is sent by registered or certified mail, postage prepaid, return receipt requested or delivered personally. Unless Sciome is otherwise notified in writing, Licensee’s address for notice purposes shall be Licensee’s address provided to Sciome in registering to access the Software.

(b) Acknowledgement. [*Accessing or using the Software constitutes acceptance of this Agreement in its entirety. Licensee will confirm this acceptance when Licensee presses the “I Accept” button (or equivalent) in the terms and conditions dialog box presented by the Software or associated website during first use. This

Agreement sets forth the entire agreement of the parties and supersedes all prior or contemporaneous writings, negotiations, and discussions with respect to the subject matter hereof. *] Neither party has relied upon any such prior or contemporaneous communications. This Agreement may not be amended or superseded unless agreed in writing by both parties.

(c) Independent Contractors. The parties are independent contractors and will so represent themselves in all regards. Neither party is the agent of the other and neither may bind the other in any way.

(d) No Waiver. Neither party will be deemed to have waived any of its rights under this Agreement by lapse of time or by any statement or representation other than in an explicit written waiver. No waiver of a breach of this Agreement will constitute a waiver of any prior or subsequent breach of this Agreement.

(e) Force Majeure. To the extent caused by force majeure, no delay, failure, or default will
