TERMS AND CONDITIONS APPLICABLE TO INFORMATION TECHNOLOGY (IT)
PROFESSIONAL SERVICES (SPECIAL ITEM NUMBER 132-51)
| 1. | SCOPE |
| a. | The prices, terms and conditions stated under Special Item Number 132-51 Information Technology Professional Services apply exclusively to IT/IAM Professional Services within the scope of this Information Technology Schedule. |
| b. | The Contractor shall provide services at the ordering activity location, as agreed to by the Contractor and the ordering activity. |
| 2. | PERFORMANCE INCENTIVES I-FSS-60 Performance Incentives (April 2000) |
| a. | Performance incentives may be agreed upon between the Contractor and the ordering activity on individual fixed price orders or Blanket Purchase Agreements under this contract. |
| b. | The ordering activity must establish a maximum performance incentive price for these services and/or total solutions on individual orders or Blanket Purchase Agreements. |
| c. | Incentives should be designed to relate results achieved by the contractor to specified targets. To the maximum extent practicable, ordering activities shall consider establishing incentives where performance is critical to the mission of the ordering activity and incentives are likely to motivate the contractor. Incentives shall be based on objectively measurable tasks. |
| 3. | ORDER |
| a. | Agencies may use written orders, EDI orders, blanket purchase agreements, individual purchase orders, or task orders for ordering services under this contract. Blanket Purchase Agreements shall not extend beyond the end of the contract period; all services and delivery shall be made and the contract terms and conditions shall continue in effect until the completion of the order. Orders for tasks which extend beyond the fiscal year for which funds are available shall include FAR 52.232-19 (Deviation – May 2003) Availability of Funds for the Next Fiscal Year. The purchase order shall specify the availability of funds and the period for which funds are available. |
| b. | All task orders are subject to the terms and conditions of the contract. In the event of conflict between a task order and the contract, the contract will take precedence. |
| 4. | PERFORMANCE OF SERVICES |
| a. | The Contractor shall commence performance of services on the date agreed to by the Contractor and the ordering activity. |
| b. | The Contractor agrees to render services only during normal working hours, unless otherwise agreed to by the Contractor and the ordering activity. |
| c. | The ordering activity should include the criteria for satisfactory completion for each task in the Statement of Work or Delivery Order. Services shall be completed in a good and workmanlike manner. |
| d. | Any Contractor travel required in the performance of IT Services must comply with the Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on the date(s) the travel is performed. Established Federal Government per diem rates will apply to all Contractor travel. Contractors cannot use GSA city pair contracts. |
5. STOP-WORK ORDER (FAR 52.242-15) (AUG 1989)
| (a) | The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either- |
| (1) | Cancel the stop-work order; or |
| (2) | Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract. |
| (b) | If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if- |
| (1) | The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and |
| (2) | The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract. |
| (c) | If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement. |
| (d) | If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order. |
6. INSPECTION OF SERVICES
In accordance with FAR 52.212-4 CONTRACT TERMS AND CONDITIONS--COMMERCIAL ITEMS (MAR 2009) (DEVIATION I - FEB 2007) for Firm-Fixed Price orders and FAR 52.212-4 CONTRACT TERMS AND CONDITIONS COMMERCIAL ITEMS (MAR 2009) (ALTERNATE I OCT 2008) (DEVIATION I – FEB 2007) applies to Time-and-Materials and Labor-Hour Contracts orders placed under this contract.
7. RESPONSIBILITIES OF THE CONTRACTOR
The Contractor shall comply with all laws, ordinances, and regulations (Federal, State, City, or otherwise) covering work of this character. If the end product of a task order is software, then FAR 52.227-14 (Dec 2007) Rights in Data – General, may apply.
8. RESPONSIBILITIES OF THE ORDERING ACTIVITY
Subject to security regulations, the ordering activity shall permit Contractor access to all facilities necessary to perform the requisite IT Professional Services.
9. INDEPENDENT CONTRACTOR
All IT Professional Services performed by the Contractor under the terms of this contract shall be as an independent Contractor, and not as an agent or employee of the ordering activity.
| 10. | ORGANIZATIONAL CONFLICTS OF INTEREST |
| a. | Definitions. |
“Contractor” means the person, firm, unincorporated association, joint venture, partnership, or corporation that is a party to this contract.
“Contractor and its affiliates” and “Contractor or its affiliates” refers to the Contractor, its chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and consultants and any joint venture involving the Contractor, any entity into or with which the Contractor subsequently merges or affiliates, or any other successor or assignee of the Contractor.
An “Organizational conflict of interest” exists when the nature of the work to be performed under a proposed ordering activity contract, without some restriction on ordering activities by the Contractor and its affiliates, may either (i) result in an unfair competitive advantage to the Contractor or its affiliates or (ii) impair the Contractor’s or its affiliates’ objectivity in performing contract work.
b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the best interests of the ordering activity, ordering activities may place restrictions on the Contractors, its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when placing orders against schedule contracts. Such restrictions shall be consistent with FAR 9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of interest that might otherwise exist in situations related to individual orders placed against the schedule contract. Examples of situations, which may require restrictions, are provided at FAR 9.508.
11. INVOICES
The Contractor, upon completion of the work ordered, shall submit invoices for IT/IAM Professional services. Progress payments may be authorized by the ordering activity on individual orders if appropriate. Progress payments shall be based upon completion of defined milestones or interim products. Invoices shall be submitted monthly for recurring services performed during the preceding month.
12. PAYMENTS
For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission of proper invoices or vouchers, the prices stipulated in this contract for service rendered and accepted. Progress payments shall be made only when authorized by the order. For time-and-materials orders, the Payments under Time-and-Materials and Labor-Hour Contracts at FAR 52.212-4 (MAR 2009) (ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies to time-and-materials orders placed under this contract. For labor-hour orders, the Payment under Time-and-Materials and Labor-Hour Contracts at FAR 52.212-4 (MAR 2009) (ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies to labor-hour orders placed under this contract. 52.216-31(Feb 2007) Time-and-Materials/Labor-Hour Proposal Requirements—Commercial Item Acquisition. As prescribed in 16.601(e)(3), insert the following provision:
(a) The Government contemplates award of a Time-and-Materials or Labor-Hour type of contract resulting from this solicitation.
(b) The offeror must specify fixed hourly rates in its offer that include wages, overhead, general and administrative expenses, and profit. The offeror must specify whether the fixed hourly rate for each labor category applies to labor performed by—
(1) The offeror;
(2) Subcontractors; and/or
(3) Divisions, subsidiaries, or affiliates of the offeror under a common control.
13. RESUMES
Resumes shall be provided to the GSA Contracting Officer or the user ordering activity upon request.
14. INCIDENTAL SUPPORT COSTS
Incidental support costs are available outside the scope of this contract. The costs will be negotiated separately with the ordering activity in accordance with the guidelines set forth in the FAR.
15. APPROVAL OF SUBCONTRACTS
The ordering activity may require that the Contractor receive, from the Contracting Officer of the ordering activities, written consent before placing any subcontract for furnishing any of the work called for in a task order.
| 16. | DESCRIPTION OF IT/EC SERVICES AND PRICING |
| a. | The Contractor shall provide a description of each type of IT Service offered under Special Item Numbers 132-51 and Services should be presented in the same manner as the Contractor sells to its commercial and other ordering activity customers. If the Contractor is proposing hourly rates, a description of all corresponding commercial job titles (labor categories) for those individuals who will perform the service should be provided. |
b. Pricing for all IT services shall be in accordance with the contractor’s customary commercial practices; e.g., hourly rates, monthly rates, term rates, and/or fixed prices.

Labor Category Descriptions
Engineering Subject Matter Specialist (SME - I) Minimum/General Experience: Eight (8) years of experience analyzing problems and processing complex data while promoting best practice concepts in all areas of solution design in a solution architect role. Demonstrated excellence in verbal and written communication at all organizational levels. Proficiency in evaluating new SAP technologies, tools, and solutions with domain experience in SAP SD.
Functional Responsibility: Provides knowledge of specific engineering process technologies. Assures that the necessary benchmarking is done to stimulate and extend the knowledge. Monitors process throughout the entire commercial lifecycle, from inception to date. Investigates technical development opportunities and assists in implementation of new technologies (e.g., manufacturing equipment, process analytical technology (PAT).Collaborates with technical development team and other participants or stakeholders to facilitate the transfer of technical knowledge. Supports continuous process and quality improvements. Designs and controls optimization projects. Executes technical feasibility trials related to process improvement and implementation of new engineering technology.
Minimum Education: Bachelor’s degree in IT, engineering, or a related field.
Technical Subject Matter Specialist (SME - II) Minimum/General Experience: Must have eight (8) years of experience in managing the implementation of information engineering projects and experience in systems analysis, designing and programming. Expertise in information systems development, functional and data requirement analysis, systems analysis and design, programming, program design, and documentation preparation.
Functional Responsibility: Develops analytical and computational techniques and methodology for problem solutions. Performs process and data modeling in support of the planning and analysis efforts using manual and automated tools. Must be able to apply reverse engineering and re-engineering disciplines to develop migration strategic and planning documents. Provides technical guidance in software engineering techniques and automated support tools. Must be capable of applying business process improvement practices to modernization projects. Applies, as appropriate, activity and data modeling transaction flow analysis; internal control and risk analysis; modern business methods; and performance measurement techniques. Assists in establishing standards for information systems procedures. Develops and applies organization wide information models for use in designing and building integrated, shared software and DBMS.
Minimum Education: A Bachelor's Degree from an accredited college or university with a major in Computer Science, Information Systems, Engineering, Business, or other related scientific or technical discipline. A Master's Degree is preferred.
Business Subject Matter Specialist (SME - III) Minimum/General Experience: At least six (6) years of experience in business process re-engineering.
Functional Responsibility: Develops business requirements and business processes re-engineering methodologies. Solves application and process related problems by creating detail process and system design specifications; and works with other areas across the business units to support a total solution approach. Communicates business requirements for reports and applications development. Facilitates collaboration within and across business units and across IT functions. Resolves problems and improves business units’ technical environments.
Minimum Education: Bachelor’s Degree from an accredited college or university in Business, Human Resources Management or a related field. An MBA or MPA is preferred.
Operations/Technical Support Manager Minimum/General Experience: Five (5) years of experience in a supervisory or management level role; ability to demonstrate strong leadership within matrix teams. Expert knowledge of networks, virtual desktop, server operating systems, EMC SAN storage technologies, VMWare Server Virtualization, and overall infrastructure design and architecture.
Functional Responsibility: Provides operational leadership including, but not limited to, strategic technical guidance, project management, personnel management and optimization for technical solutions. Coordinates production and non-production hardware and software support for the company infrastructure including servers, network, storage, backup, operating systems, virtualization platforms, and desktop devices. Oversees security administration, disaster recovery planning and implementation requirements. Partners with system architect and other IT team members to ensure efficient functionality and performance.
Minimum Education: Bachelor’s degree in computer science or computer engineering required.
Applications Systems Analyst/Programmer I Minimum/General Experience: Two (2) years of experience with current development experience using SQL, .Net or other programming languages/tools, and experience with EDI Mapping software. Familiarity and understanding of HTTP/FTP/SFTP concepts.
Functional Responsibility: Develops and maintains high-quality software products while supporting the strategic vision of the corporation using Java Framework, SQL and integrated system components. Supports and complies with documented software process and procedure requirements spanning all phases of software product life cycle. Participates with other team members to design user-friendly interfaces; develop high quality, object-oriented business objects, and conduct research and evaluation of software-related technologies and products. Collaborates with other team members to assist with code reviews. Manages work time and priorities in accordance with development deadlines, budgets, best practices. Performs tasks under a quality/delivery methodology, such as Agile Development.
Minimum Education: Bachelor’s degree in computer science, computer engineering, or related field required.
Applications Programmer II Minimum/General Experience: Five (5) of experience with C#/VB.NET, Java Framework, HTML, JavaScript, CSS, Mobile Development, Web Services Windows Services, Web API, WCF, SOAP, Entity Framework, ADO.NET, SQL Server, SQL and Agile methodology.
Functional Responsibility: Develops accurate and efficient computer programs, which includes assisting in the design of program logic for automated systems. Develops and maintain documentation of programs. Builds solutions based on specifications provided by the business analyst, systems analyst, user community and/or subject matter experts. Works according to the direction of, or project plans laid out by, the team lead, or applications development team. Codes, tests and documents new programs and changes to existing applications. Maintains current technical knowledge of standard languages, coding techniques and operations requirements.
Minimum Education: Bachelor’s degree in computer science or computer engineering required.
Program Manager
Minimum/General Experience: Eight (8) years of management experience, preferably in an IT office setting.
Functional Responsibility: Manages operations of contract and direct-hire staff and all aspects the delivery of multiple projects. Provides necessary direction and guidance to achieve assigned corporate and financial objectives. Responsible for maintaining quality of ongoing contracts to ensure cost effective performance and to assure client satisfaction. Approves all contracts and fee proposals.
Minimum Education: Bachelor’s degree in IT or a related field.
Project Manager General Experience: Five (5) years of experience in project management, preferably in a role that managed IT related projects.
Functional Responsibility: The project manager is assigned the management of a specific project and the work performed under assigned task orders. Performs day-to-day management of the project, identifies issues and risks and recommends possible issue and risk mitigation strategies associated with the project. Acts as a facilitator between federal agencies and our IT contractors. Is responsible for ensuring that work performed under task orders is within scope, consistent with requirements, and delivered on time and on budget. Identifies critical paths, tasks, dates, testing, and acceptance criteria. Provides solutions to improve efficiency. Monitors issues and provides resolutions for up-to-date status reports.
Minimum Education: Bachelor’s Degree from an accredited college or university, project management certification is preferred.
Software Architect Minimum/General Experience: Five (5) years of experience designing software systems as a software architect. Familiarity with spiral and agile software development in C#, .Net Core, JavaScript, and full stack design.
Functional Responsibility: Communicates architecture designs with internal software and multi-disciplinary project team, and external (other stakeholders, industry partners, vendors, etc.) parties involved in software projects. Defines product requirements and creates high-level architectural specifications, ensuring feasibility, functionality, and integration with existing systems/platforms. Demonstrates expertise in a variety of the field's concepts, practices, patterns, and procedures. Relies on extensive experience and judgment to plan and accomplish goals. Develops software and follows SDLC software development lifecycle, which includes: Agile sprint tasking and configuration management. Writes unit and UI tests that run on a continuous integration server for each feature and regression. Ensures that work complies with corporate policies and federal and state regulations.
Minimum Education: Bachelor’s degree in IT or a related field.
Business Systems Analyst Minimum/General Experience: Four (4) years of experience with business processes, IT systems, and security methodologies. In depth knowledge of best practices in IT business governance.
Functional Responsibility: Support various departments by analyzing business needs, work flows, processes and requests for service, and implementing and maintaining programs and interfaces to meet business requirements. This is accomplished by assessing user needs, researching methods, recommending technology solutions, analyzing costs, managing vendor resources, and recommending changes or enhancements to management.
Minimum Education: Bachelor’s degree in IT or a related field.
Software Systems Engineer Minimum/General Experience: Three (3) years of experience with operating systems, basic algorithms and design patterns, and modern programming language (e.g., C# and C++).
Functional Responsibility: Designs and develops software components with some guidance. Tests developed components in accordance with specified test procedures and resolves associated discrepancies/deficiencies. Assists technical writers with documenting the design of assigned software components. Continually apprises supervisor of progress on assigned tasks.
Minimum Education: Bachelor’s degree in IT, engineering, or a related field.
Software Developer Minimum/General Experience: Five (5) years of experience with Cold Fusion, Adobe Flex, NET, and other web applications; experience with C# language.
Functional Responsibility: Designs and develops complex features. Addresses complex bugs and implements/updates application modules. Works independently in area of functional expertise while collaborating closely with other technical and business functions in a close-knit team environment. Performs quality assurance and automated testing tasks as required. Assists junior level developers on large/difficult projects.
Minimum Education: Bachelor’s degree in computer science or computer engineering.
Web Developer Minimum/General Experience: Three (3) years of experience with PHP, HTML/HTML5, CSS/CSS3, and JavaScript/jQuery. Experience with popular front-end frameworks, developing new modules, and customizing existing modules, functions, and code base. Knowledge of SEO, performance, and security best practices.
Functional Responsibility: Configures, manages, and performs all phases of web application development, implementation, testing, and deployment. Develops mobile friendly responsive websites, landing pages, and portals. Partners with the team to implement mockups and integrate the back-end stack. Maintains and troubleshoots sites; manages relationships with hosting provider. Ensures high-performance and availability of sites. Evaluates, recommends, and selects modules and other plugins or tools for desired functionality. Builds out process and technical operations support for internal sites. Conducts usability and testing groups to test website for functionality and ease of use. Works with management ensuring that the web servers and the hardware and software are operating and configured securely and correctly.
Minimum Education: Bachelor’s degree in computer science, computer engineering, or a related field.
Network Systems Administrator Minimum/General Experience: Four (4) years of experience as a network administrator or similar role. Experience with hands-on knowledge of firewalls, intrusion detection systems, anti-virus software, data encryption, and other industry-standard techniques and practices. In-depth technical knowledge of network, PC, and platform operating systems, including Windows 2008/2012, and Windows 7/8 a must.
Functional Responsibility: Provides hardware and software technical assistance for support requests related to company computer systems and peripherals. Supports offices during their off-hours. Diagnoses, troubleshoots, and resolves/escalates issues reported to the help desk. Monitors, manages, and documents all actions and solutions into internal ticketing system. Responds to requests via email, in person, or over the phone using remote assistance tools. Maintains inventory of company computer equipment, peripherals, and supplies.
Minimum Education: Bachelor’s degree in computer science, computer engineering, or a related field.
Quality Assurance Specialist Minimum/General Experience: Three (3) years of experience with engineering design services, design-led manufacturing, networks and operations, data transformation, and analytics. Proficiency in MS and familiarity with SAP a must.
Functional Responsibility: Reviews and approves of finished product batch records & lab data and performs periodic product reviews. Interacts with all third party manufacturers in areas of product release to drive QA resolutions. Supports QA in the timely implementation, assessment and closure of product related projects and operation. Analyzes, evaluates, presents and escalates to management, any identified risks, improvement opportunities and/or compliance concerns associated with quality systems. Participates in internal and external audits as needed.

Test Engineer Minimum/General Experience: Three (3) years of experience with implementing software QA methodologies, tools, and processes. Experience working in an Agile/Scrum development process, and ability to produce test Scripts, scenarios, and plans; strategy execution plans, and execution reports.
Functional Responsibility: Provides engineering support for test processes in order to ensure throughput at the test areas. Develops test program for team of testers. Responsible for new product development process, implementation of new test fixtures/equipment. Works with customers (internal and external) to address any test issues. Performs preventative maintenance and repairs testers and test fixtures. Collects and analyzes first pass test yield data and performs test gap analysis. Provides technical expertise and recommendations to test, manufacturing, products and quality engineers on product feedback and support issues. Evaluates and improves test programs, assesses repeat return data with quality team and implements 5s methodologies. Translates concepts and information for trainers, engineering technicians and test operators in support of personnel development and processes improvements. Performs other duties such as data entry, report management, and works with cross-functional teams to accomplish organizational objectives.

Database Manager/Administrator Minimum/General Experience: Five (5) years of system administration experience with UNIX or Windows.
Functional Responsibility: Provides desktop, server, and network administration support to mission and analytic networks. Primary responsibilities include desktop support, application support, server administration, user account support, and basic support to LAN infrastructure. Provides instruction and leadership for junior level system administrators as needed.
Minimum Education: Bachelor’s degree in computer science or a related field required.
Database Analyst/Programmer Minimum/General Experience: Three (3) years of experience in technical support and troubleshooting with web-based systems in a client-driven, customer service environment. Must have experience with writing complex SQL queries (oracle, or SQL Server) and developing reports.
Functional Responsibility: Supports server OS, databases, and middleware to diagnose and assist with monitoring and resolution of infrastructure issues. Provides multi-level support for all tickets assigned to application support queue. Resolves tickets independently or engages internal teams and vendor teams as necessary according to established SOP and corporate guidelines. Engages internal incident/problem management teams for faster resolution of high priority tickets and communicate with Business to assess issues and provide periodic status updates, both short-term and long-term. Plans and coordinates activities for environment maintenance, data refreshes, product patches, and product upgrades. Creates documentation for support activities and for any custom solutions developed as part of projects. Configures user interface, database queries and support custom solutions such as reports and workflows requested by IT project manager.

Help Desk Specialist II Minimum/General Experience: Five (5) years of experience in an IT technical support role.
Functional Responsibility: Provides IT technical support help for complex issues and responds to tickets. Monitors computer systems and backups, configures cloud printers, and performs email setup and configuration. Oversees lower level help desk associates as they update IT systems inventory. Performs other, general troubleshooting tasks as needed.
Minimum Education: Bachelor’s degree in computer science or computer engineering required.
IT Consultant Minimum/General Experience: Four (4) years of experience providing project control support in an IT office while supporting multi-project software implementation or development programs.
Functional Responsibility: Manage the IT environment by supporting research, engineering, and administrative information requirements. Provide recommendations regarding compliance with legislative and regulatory requirements, evolving software engineering concepts, standards, and customer/mission requirements, to include new functions and capabilities, as well as enhance the safety, stability, reliability, maintainability and compatibility with external systems. Participate in system integration and transition to operational and remote common back-up activities as they pertain to systems engineering and technical planning.
Minimum Education: Bachelor’s degree or higher in engineering, scientific, computer science, operations research, business, or related field.
