14. Warranty Provision
RPG guarantees that items covered under this contract are free from defects in workmanship and materials for 90 days from delivery. Obligation limited to repair or replacement at RPG’s election. Written notice required within 90 days. Excludes items subject to misuse, neglect, accident, or unauthorized repair. Remedies under this warranty are the Government’s sole and exclusive remedies. RPG disclaims implied warranties of merchantability or fitness for a particular purpose.
15. Export Packing Charges

16a. Terms and Conditions of Printer Rental, Maintenance, and Repair
A. Order: a written Purchase Order or Government Purchase Card shall be the only basis for a Maintenance Service Agreement in accordance with the terms of this contract and shall refer to Corporate Contract Number 47QTCA18D004D. Federal Requisitions or Letters of Intent are not Purchase Orders. Maintenance may commence on the day following warranty expiration. The Purchase Order shall include a mutually agreed‐upon commencement date, the machine type, model, serial number, meter reading, point of contact personnel, telephone number, and separate maintenance charges for attachments, if applicable.
B. Coverage: Geographical coverage for maintenance is based on ONE zone – 0 to 60 miles’ distance from the servicing location. Maintenance performed beyond the 60‐ mile radius will be at a higher rate by mutual agreement between ordering agency & contractor.
Service includes one annual Preventive Maintenance, determined by specific needs of the individual machine.
Preventive Maintenance will include lubrication and necessary adjustments. Preventive Maintenance may be performed during a regular routine maintenance service call.
C. Invoice: RPG shall bill, and the Government agrees to pay, for all copies made during the fiscal year in excess of the allowance, at the established rate corresponding to the allowance referenced in the Maintenance Agreement.
Excess charges to be billed at the conclusion of the agreement period, or upon achieving annual copy allowance, whichever occurs first. Alternatively, RPG shall bill, and the Government agrees to pay Maintenance charges, together with excess copy charges on a monthly basis.
D. Renewal: The price stated at the beginning of a Maintenance Agreement shall remain the same only for the fiscal year in which it was issued. In the event of a price change, the newer price shall apply to the existing Maintenance Agreement at the beginning of each new fiscal year. Price changes for new Maintenance Agreements to be effective as of the date of award. RPG will renew Maintenance Service Agreements through the fifth year of continuous use without reconditioning the copier as a requirement for renewal. However, should the Government desire to continue under a Maintenance Agreement beyond five (5) continuous years, equipment will be subject to inspection for reconditioning at the Government’s expense.
E. Discontinuance: Cancellation of Maintenance Service may be at any time during the contract period. Notice must be received in writing by RPG’s Accounting Department, thirty (30) calendar days in advance of the cancellation date. There are no penalty charges for early cancellation of a Maintenance Agreement. Any balance due, prior to cancellation date, must be paid in full to RPG within thirty
(30) calendar days after the cancellation date.
F. Service: Service will be provided during normal business hours and begin no later than nine (9) working hours after receipt of written or oral notice. Normal working hours are 8 a.m. to 5 p.m., Monday through Friday. Service will be performed on an on‐call basis that includes the replacement of unserviceable parts with new or rebuilt parts. Replaced parts on Government-owned equipment would remain in the possession of the Government, except for printed circuit boards and copy drums.
G. Accessories: Maintenance pricing for RPG accessories are as listed and are in addition to printer maintenance charges for the basic unit, unless it is specified in the Maintenance Agreement and agreed by the customer and RPG. The Maintenance Service Agreement does not include service or adjustment of parts which were not furnished by RPG except for common hardware items such as screws, nuts, bolts, clasps and commercially available parts, e.g. light bulbs, etc. RPG may provide to the Government and install a non-brand attachment that has RPG’s approval for compatibility use in conjunction with the Branded equipment to which it is to be attached on an "Open Market" basis.
H. Access to Equipment: RPG shall have full access to the machines to provide service thereon.
I. Movement of Installed Equipment Under Maintenance Service: Machines under this contract for Maintenance Service shall not be moved from the general location in which they are installed, except in an emergency, unless RPG’s Service Manager has been notified, in writing, thirty (30) calendar days in advance that a move is to be made. Upon receipt of notice, and approval by RPG, machines may be transferred from one Government location to another, but without cessation of maintenance charges during the period of transfer. Charges for machine movement and transfer are to be on an Open Market basis when relocation is made by RPG. Machine movement and transfer of equipment made by the Government, without notice to RPG, will incur a charge of two (2) times the monthly maintenance rate for each month of infraction, or part thereof.
J. Lapse in Maintenance Coverage: RPG reserves the right to recondition any machine that is to be placed under Maintenance Agreement, if thirty (30) days or more have elapsed between the purchase warranty expiration date and the maintenance commencement date, or if thirty (30) days or more have elapsed between Maintenance Agreements.
When, in RPG’s opinion, reconditioning is necessary because normal repair and parts replacement cannot keep the equipment in satisfactory operating condition, RPG will submit an Open Market cost estimate. Such work, if authorized by the Government, will be provided in addition to the applicable maintenance service rate.
K. Liability: If a person other than an RPG-trained technician, or an Authorized Brand Dealer, performs service or repair on a Branded machine, and as a result further repair by RPG is required to restore the machine to good operating condition, such repair shall be at the Government's expense on an hourly basis at "Open Market" rates. If a person other than an RPG-trained technician, or an Authorized Brand Dealer, performs service or repair on an RPG machine during the warranty period, such warranty becomes null and void as of the date of service rendered.
L. Exclusions: Service does not include:
a) Machines located in an unsafe or hazardous environment as determined by RPG.
b) Furnishing supplies, attachments, painting, refinishing, or furnishing material for making specification changes.
Performing service connected with the relocation of machines and adding or removing attachments is also excluded.
c) Electrical work external to the machine or maintenance of attachments or attachments to the machine or other devices not furnished by RPG.
d) Repair or damage resulting from accident, transportation, neglect or misuse, failure of electrical power, air conditioning, or humidity control, or other causes other than ordinary use.
e) Maintenance Agreements for shipboard or airborne‐ based equipment. However, on‐call service on an "Open Market" basis will be provided if equipment is located within the geographical scope of this contract.
16b. Terms and Conditions of 3D Scanner Rental A. Warranties/Disclaimers: Lessor makes no warranties, oral or written, expressed or implied, with respect to the equipment, all of which are (between lessor and lessee) provided “as is”. Lessee agrees to look only to the manufacturer or vendor of said equipment for any warranty claim relating thereto. Lessor expressly disclaims all warranties, express or implied, including but not limited to the implied warranties of accuracy, quality, and merchantability, fitness for a particular purpose, or non-infringement. Lessee chose the Equipment and the vendor based on Lessee’s judgment. Lessee may contact the vendor for a statement of warranties, if any, that the manufacturer or vendor is providing.
B. Limitations of Liability: Lessor will not under any circumstance, whether as a result of breach of contract, breach of warranty, tort or otherwise, be liable for consequential, incidental, special, indirect or exemplary damages, however caused, including, but not limited to, loss of profits or revenues, loss of use of or damage to any associated equipment, cost of capital, cost of substitute products, facilities or services, downtime costs or claims of any kind whether in contract, tort (including negligence) or otherwise for any loss of damage arising out of, resulting from, or concerning any aspects of the agreement shall not exceed the monthly payment amount due under this agreement for this equipment. Lessee will be immediately notified of any loss of revenue resulting from the equipment damage. Charges will not exceed two (2) months of rental services and are the sole responsibility of the client.
C. Insurance: Lessee shall provide a Certificate of Insurance (COI) listing both Property and General Liability coverage. Lessee must also provide an Evidence of Property Insurance (EPI) listing the make, model, serial number, and replacement cost of the rented equipment.
Reprographic Products Group Inc must be named as Additional Insured on both documents as well as named as Loss Payee on the EPI. Lessee shall, at its sole expense, at all times from the time of delivery of Equipment, maintain Miscellaneous Equipment, Third Party Property Damage and Commercial General Liability insurance covering all Equipment rented for full replacement cost without deduction for depreciation and for loss of use (rents) of recommendations, including all parts and technical service labor, required on the Equipment. The costs of all parts requiring replacement or manufacturer’s modification are covered by this Agreement.
D. Shipping: The Lessee is responsible for all shipping charges associated with the Equipment, including to and from the Lessor’s location. The Lessee is responsible for and warrants their compliance with all applicable laws, rules, and regulations, including but not limited to customs laws, hazardous materials laws, import and export laws, and governmental regulations of any state and country to, from, through, or over which the shipment may be carried.
E. Rental Period: The rental period begins from the date the Lessee receives the Equipment. If the Equipment is not returned by the end of the rental period, without prior authorization, the Lessee will be charged a late fee. A return tracking number must be sent to realitycapture@rpg.com no later than the last date of the rental period to avoid additional charges. Please see Late Fees for more details.
F. Late Fees: If the Lessee fails to return the Equipment by the end of their predetermined rental period, they will automatically be charged a daily overage rate.
G Agreement: The preceding terms and conditions, as well as any addenda, shall constitute the entire agreement between RPG and the customer, and supersede all prior oral and written agreements. RPG may retain electronic image reproduction of this document, and it shall be deemed the original. The agreement shall be governed by the laws of the State of Maryland. In the event it becomes necessary to place this account in the hands of an attorney for collection, or any litigation commenced before any court or administrative agency, the customer agrees to pay all costs and attorneys’ fees incurred by RPG in connection with such proceedings. Customer agrees that any legal proceedings relating to this Agreement or the performance thereunder shall be brought in the state or federal courts located in Maryland and in no other state, except as needed by RPG to record and execute on any judgment. Except for this obligation of payment, neither RPG nor customer shall be liable for non-performance caused by circumstances beyond their reasonable control, including, but not limited to, work stoppage, fire, civil disobedience, riots, and acts of God. Failure of either party to insist upon or enforce strict performance by the other party of any provision of the Agreement or to exercise any right under this Agreement shall not be construed as a waiver or relinquishment to any extent of such party’s right to assert or rely upon any such provision or right in that or any other instance. If any provision of this Agreement is held invalid, all other provisions of this Agreement shall remain in effect; PROVIDED, HOWEVER, that the invalid provision shall, to the extent possible, be modified by the parties or a court of law, as needed to make such provisions valid.
H. Sublease: The Lessee shall not assign or sublease any Equipment without prior written consent of RPG. Any assignment or sublease without RPG’s prior written consent shall, at RPG’s option, terminate this Lease without refund.
17. Terms and Conditions of Installation It is the Government’s responsibility to provide a suitable space and environment for installation.
RPG will deliver, unpack, and install the equipment, which includes checking the equipment for proper machine operation. An additional open market charge will be included for inside drayage in the event of unusual circumstances, such as inoperable elevators, confined passage, narrow clearance, restricted stairwells, excessive incline, etc. These charges, if applicable, will be itemized on the invoice for delivery.
