DISCLAIMER

The Terms & Conditions below expressly set forth Seating Inc.’s position and is not intended to be a full, comprehensive, and complete detail of each subject. Seating Inc. reserves the right to alter, change, modify, expand, or discontinue any of the policies set forth below.

Seating Inc. further reserves the right to alter, change, modify, or discontinue its programs, policies, or relationship with any customer who violates Seating Inc.’s stated Terms & Conditions.

PRICES

All prices shown within this Pricer are Suggested List Price only and are subject to change without notice. All merchandise will be invoiced at prices prevailing at time of order placement.

ORDERS

All orders must be submitted in writing via US Mail, Fax Transmission, or Email. It is the Buyer’s sole responsibility to check orders and their corresponding acknowledgements for accuracy.

MINIMUM ORDER SIZE

No minimum order required.

ACKNOWLEDGEMENTS

Every order is acknowledged by fax within 72 hours of receipt and credit approval of an order. If you do not receive an order acknowledgement within 72 hours, please contact customer service at 800.468.2475. An acknowledgement will confi rm quantities, items ordered and prices eff ective at the time of order acceptance. Orders will be manufactured and invoiced based upon the information on the acknowledgement. If there is any discrepancy, please notify Seating Inc. immediately, in writing.

LEAD TIMES

Lead times are based on receipt of a complete and correct order that has been approved for credit. If an order is subject to a credit hold, it will be scheduled for shipment only after it is released from credit hold.

All order acknowledgements contain an estimated shipping date, which is subject to change.

REVISED ORDERS

Orders requiring changes to the product or additional options will not incur additional costs unless orders have been processed. Seating Inc.

reserves the right to apply additional charges to the invoice for orders revised after manufacturing has begun. All changes must be in writing.

TERMS

SECURITY

The Buyer agrees that Seating Inc. maintains a security interest and title, to all merchandise sold by it to the Buyer until all monies have been paid to Seating Inc. for said merchandise.

CANCELLATION

All orders are considered fi rm and are not subject to cancellation by the Buyer without written approval from Seating Inc. Management. Any cancellation requests from the Buyer must be submitted in writing within two days of receipt of purchase order to be considered for approval.

Seating Inc. reserves the right to assess a Cancellation Fee of no more than 30%, or as negotiated, for any order cancelled by the Buyer.

SHIPMENTS

All shipments shall be made via Seating Inc.’s choice of carrier. The Buyer may specify a servicing carrier when requesting 3rd party billing.

Seating Inc.’s liability ends once the Buyer signs the Bill of Lading, or otherwise receives the shipment, thus acknowledging that the merchandise was received in satisfactory condition. It is the Buyer’s sole responsibility to assume liability, risk, damage, or loss during 3rd party shipment or transshipment. Further, it is the Buyer’s responsibility to report damage or loss of any shipment with the appropriate carrier.

SHIP DATES AND DELAYS

If Seating Inc. cannot ship products as scheduled due to causes beyond their reasonable control, (such as casualty, acts of nature, labor disputes, or accident; inability to obtain necessary material or transportation; or changes requested by the customer) the ship date will be extended to compensate for the delay as determined by Seating Inc.

REDELIVERY OF FREIGHT

When redelivery of merchandise is required because the customer is not ready to accept the merchandise, and no notifi cation of this fact is given to the factory at least two weeks prior to the scheduled ship date, the actual costs for freight, restocking and rehandling will be billed to the customer.

RETURNS

Seating Inc. products are made-to-order and may not be returned without written approval from Seating Inc. Management. Seating Inc.

reserves the right to refuse return of merchandise. All approved returns must be returned prepaid by the Buyer and are subject to a Restocking Charge of no greater than 30%. Merchandise must be returned unused, in original shipping carton with proper inner packaging.

CHANGES

Seating Inc. reserves the right to institute changes to material, parts, or design as well as to discontinue models, options, and/or parts without any prior notice.

DESIGN

In keeping with modern manufacturing advances, Seating Inc. reserves the right to make changes in product off ering, design and materials as well as the discontinuance of parts and units when such action is deemed to be an improvement in design or function.

SPECIAL PRODUCTS

Modifi cations to standard products will be considered for large quantity orders. SC - Semi Custom. Contact the factory for price quotations.

TEXTILES DISCLAIMER

Seating Inc. will not be held responsible, or liable in any way, for any color variances between rolls of material due to dye lots within a shipment.

All merchandise will be invoiced when shipped, upon credit approval, with standard terms of net 30. Credit cards accepted within 10 days of shipment. SIMPLE STEPS HELP YOU CHOOSE

HOW TO SELECT AND ORDER A SEATING INC. CHAIR

Whether you are choosing a chair for one individual or outfi tting an entire workplace, you can count on Seating Inc. to supply quality ergonomic chairs that will last for years.

Follow the steps below to custom confi gure chairs that fi t every task - and every body.

SIMPLE STEPS

STEP 1 - DETERMINE A CATEGORY

Consider the size of the people who will be seated and the work environment.

Seating Inc. chairs are organized into three categories.

300 Everyday for single users up to 8 hours per day, 300 lb weight capacity.

400 Intensive Use for multiple users, intensive and/or heavy duty applications, 400 lb weight capacity

550 Generous Fit for single or multi shift use, 550 lb weight capacity (not suitable for smaller users)

STEP 2 - CHOOSE A SERIES

Each chair series has a distinctive “look” with comfort and construction features common to all styles and models.

Series are arranged in alphabetical order within each category and may appear in one, two, or all three category sections.

Functional Solutions: Contour II Complete Solutions: Monterey II and Pearl II Mesh Solutions: Grid, Jay, and EDU2

Executive Solutions: Fit, K, Saddle, and Tradition Specialty Solutions: Indy and Health Nesting Solutions: Jay Nesting

STEP 3 - PICK A STYLE AND MODEL

From Advent to Tradition, our chair series have coordinating swivel, task, stool, sled, and multipurpose stackable styles. Consider the type of work that the user is performing and his or her level of authority.

Choose high, medium, or small backs.

STEP 4 - SELECT A MECHANISM

Mechanisms determine what a chair can “do” - from simple swivel to advanced synchro tilt. Increased functionality adds ergonomic benefi ts - and increases the price of the chair. Consider the number of people who will use the chair, the amount of time they will be sitting, and the type of work being performed. Purchase the mechanism with functions that will work for your application...and make sure that each user knows how to take advantage of the benefi ts that you supply.

STEP5 - ADD ARMS

All Seating Inc. chairs - except those with arms that are permanently attached to the frame - are priced without arms.

Arm choices range from basic fi xed height arms with urethane pads to fully upholstered executive style arms.

Specialty arm options include width adjustment brackets and pads for extra comfort or durability.

Appropriate arm choices are displayed on each product page.

STEP 6 - CONSIDER COMFORT, STYLE, AND SPECIALTY OPTIONS

Seating Inc. off ers solutions for special needs. A ballistic nylon outer back protects chairs in cramped spaces.

Upgraded foam increases comfort for users who are seated for long periods of time. A wide seat can accommodates holsters or utility belts. CAL 133 meets fi re safety regulations. Multiple options and upgrades are available to satisfy individual requirements. Suitable options are displayed on each product page.

STEP 7 - PICK A TEXTILE GRADE, PATTERN AND COLOR

Seating Inc. off ers a broad array of textiles to fi t every application, decor and budget. Select fabric, vinyl, or leather/vinyl combinations from our carded program or choose graded-in product from one of our textile partners: Arc-com, Culp, CF Stinson, Guilford of Maine, Momentum Textiles, Mayer Fabrics, or Ultrafabrics®. Commercial COM textiles may be supplied and are priced as Grade One.

STEP 8 - PREPARE YOUR PURCHASE ORDER

Include quantity, model number, mechanism code, and fabric selection on your purchase order. Where applicable, indicate frame color, and mesh color.

Add arm and option codes as needed.

STEP 9 - PLACE YOUR ORDER

Place your order by fax, US mail, or email. Be sure to include your company name, address, phone number, fax number, PO number, Installing Dealer and SPIFF ID(where applicable) and any special instructions. Include a contact name and extension in case there are questions regarding your order. Be sure to include a shipping address if it is diff erent than the bill to address.

Seating Inc. manufactures quality chairs that suit any task - and will fi t every body. Our chairs are built to last, with a warranty to match, so we buy component parts from the industry’s most reputable North American suppliers. Our experienced Western New York crew works hard to meet our customers’ high expectations. Completed chairs are inspected and tested. We always do our best to ship your orders complete, correctly, and on time.

MECHANISMS

Mechanism quality is determined by more than just the sum of its functions. The gauge of steel, thickness of springs, size of the mounting plate, and thickness of the back bar stock, combine with functionality and adjustability to determine the cost and quality of the control. EST is North America’s pre-eminent producer of chair components, manufacturing a vast array of models.

PNEUMATIC CYLINDERS

Pneumatic cylinders (or gas lifts) are available in many diff erent “stroke lengths”, “internal pressures”, diameters, and inner wall thickness. We use Class 4 cylinders for all of our products - 400 Newton pressure rating for our 300 Everyday Task & Swivel chairs, 500 Newton pressure rating for 400 Intensive Use Task and Swivel chairs, 550 Generous Fit Task & Swivel chairs, and all stools.

“Stroke lengths” are chosen to match the base and mechanism ordered to ensure that our chairs meet ANSI standard seat heights.

Cylinder height options are available for special needs. See page 189 for more information.

BASES & CASTERS

Bases should be a minimum of 23” in diameter and have 5 legs. Injection molded polyurethane bases should be reinforced with resin or glass for added strength. Casters should be hooded with two wheels for added stability. All of our parts meet or exceed these requirements. Carpet casters are standard on all chairs with wheels. Additional caster and base options are available. See product pages for details.

INNER WOOD

The quality of inner wood is determined by the grade, overall thickness, number of plys, and wood species. The country of origin is also important as moisture diff erences overseas can cause lumber to dry out and crack over time. We only use American veneers to produce both simple and compound curved wood component parts in our factory.

FOAM

Seating Inc. uses four types of foam - open cell, layered “soft seat”, closed cell molded, and TLC energy-absorbing memory foam.

Foam density is the primary property that determines foam quality. Softness is simply a personal preference. Open cell and layered “soft seat” foam is the least expensive foam, with density properties in the 1.2 to 2.9 range. Mid priced closed cell molded foam has a density range of 3.2 to 3.8lbs. Premium TLC energy-absorbing memory foam has a density of 5.2lbs. Other properties that impact quality and comfort are: thickness and compression reset, or loss of thickness over time. We use high quality foam that resists “bottoming out”. Seating Inc. foams meet the CAL117 fi re standard.

ARMS & ARM PADS

Consideration should be given to more than the style and movement of an arm treatment. The gauge of steel, thickness of bar stock, and secure fastening are all important aspects. Arm pads should support without reverse compression to your forearm and still be durable enough to resist scratches. We off er arms as options to all of our ergonomic task seating choices and choices of arm pads for almost all of our models. All arms are easily adjusted from a seated position.

TEXTILES

The quality of a textile is more than just the number of “double rubs” achieved in a Wyzenbeek test. Fiber content, colorfastness, “backing”, weight, and mill warranties should also be given considerable thought. We are proud to off er American made textiles manufactured by Absecon Mills and Guilford of Maine along with a full line of graded in upholstery products available through leading distributors Arc-com, Culp, CF Stinson, Mayer Fabrics, Momentum Textiles, and Ultrafabrics®.

PACKAGING

We make sure that our chairs leave the factory in excellent condition, and pack them to arrive in great shape. We use high quality, 350lb. cardboard boxes with stapled corners and “hand hold cutouts” for easy lifting. All boxed chairs are packaged using cardboard “cross inserts” to prevent side impact shock, and foam fi ll to minimize impact shock to chair.

Upholstered foam cushions are the layer of comfort that sheild a seated person from the hard wood that provides structure for their chair. Seating Inc. uses four types of high quality foam cushioning that meet the CAL 117 fi re code requirement - open cell, layered “soft seat”, closed cell molded foam, and TLC energy absorbing memory foam. PACKAGING & FREIGHT CLAIMS

Every consideration is given to ensuring that our products are received by you, or your customer, in the same condition as when it leaves our factory. We know your order is not complete until this is accomplished. All of our products are either shipped via UPS/FedEx, common carrier, or private carrier. This is determined by the number of cartons required for shipping your order, and the destination location.

PRIVATE CARRIER AND COMMON CARRIER

Only orders that are big enough to fi ll at least a truckload are considered for private carrier shipments. For large quantity orders, we are happy to deliver cardboard wrapped, sometimes referred to as blanket wrapped, fully assembled orders. This is the most convenient way to receive chairs. Simply roll the chairs off the truck into your customer’s space. Cardboard wrapping may not be suitable for all chair types and textiles. Call us directly to set up this service. Note: Customer is responsible for disposing of the cardboard.

LTL

Products packaged for LTL shipments may use combinations of private & UPS/FedEx packaging as we see fi t.

Orders that do not fi ll at least a truckload will be subject to shipment by LTL.

Seating Inc. products that will be shipped using LTL are noted on each product page within this price book.

UPS/FEDEX

PACKAGING

We have worked diligently with carriers to ensure that our cartons, packaging, labeling, etc., not only meet their restrictions for size and weight, but more importantly, will arrive at its destination with the least likelihood of any damage.

All cartons have:

• 350lb double wall construction

• Cardboard “cross-inserts” to prevent side impact shock to the chair

• Access holes for easy lifting

• Stapled seam for extra strength

• Foam padding to prevent impact shock to the chair

FREIGHT CLAIMS

Even though we take every precaution to ensure your order arrives with no damage, we cannot control events that my take place in transit.

It is the responsibility of the party receiving the shipment to inspect it for signs of damage before signing the bill of lading. Signing the bill of lading releases the carrier and Seating Inc. from any responsibility for damages occurring during transit.

Caution: after obtaining a clear receipt for shipment, the delivering carrier is no longer responsible for damages or shortages.

It is your responsibility to report any shortages or outward damages on the bill of lading. You protect yourself by refusing shipments showing damage or shortage until transportation carrier has noted on the delivery sheet the extent of damage or shortage.

In the event of “hidden damage” it is the responsibility of the party receiving the shipment to contact Seating Inc. immediately.

Damage to contents must be reported within 2 days from the date of delivery. If at all possible, please take pictures of the damage.

All merchandise should be retained in the original shipping container, in the same condition it was in when loss or damage was discovered

If you experience concealed damage:

1. Call Seating Inc. to report the damage immediately.

Then write an affi davit giving date damaged product was received and the damage incurred. If possible, take pictures of the damage.

2. Retain all merchandise in the original container.

3. Contact Seating Inc.’s shipping department (800.468.2475, production@seatinginc.com) to advise them of the damage situation and be prepared to provide detailed order and product information.

4. Send a copy of your affi davit to Seating Inc. and any pictures, if available. It will be the responsibility of Seating Inc. to fi le a cargo claim within prescribed time limits and to respond to any requests from the carrier for supporting documentation. The damaged product must be retained until the claim is resolved, or until the claimant is given disposition by the carrier.

WARRANTY INFORMATION

Seating Inc. warrants to the original end user that this product will be free from defects in its material and workmanship, subject to limitations as expressed below. The company will repair or replace, at its option without charge to the original purchaser only, defective products or parts during the following warranty periods.

This warranty shall be eff ective for the applicable time period beginning from date of purchase as shown on your original receipt or other proof of purchase. This warranty is your sole remedy for product defects and excludes defects due to or arising in connection with products abuse or misuse, user modifi cations of, or attachments to the product, including application of your own upholstery materials and products or parts not used, maintained, or installed in accordance with the company’s installation, maintenance, and/or applicable guidelines.

If this product fails during normal use, as set forth in the limitations above, within the applicable coverage period, please send a description of the relevant part, together with proof of purchase of the product to:

We will repair, or at our option, replace, the defective part, free of charge to the purchaser, provided only that the purchaser returns said part to Seating Inc., freight or other shipping charges prepaid. Do not return any parts or product without prior written authorization from Seating Inc. The company reserves the right to inspect any part or product to determine the nature of the defect and it is the purchaser’s responsibility to return the part or product to the manufacturer at his/her expense for warranty determination.

There are no other warranties, expressed or implied other than those specifi cally described, including without limitation any implied warranty or merchantability or of fi tness for a particular purpose. We will not be responsible for incidental or consequential damages, and/or off -site labor charges. Our company will advise you of the procedure to follow when making warranty claims.
